52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JAN 2011)

(a) Definitions. As used in this provision--

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.

52.209-9 Updates of Publicly Available Information Regarding Responsibility Matters (JAN 2011)

(a) The Contractor shall update the information in the Federal Awardee Performance and Integrity Information System (FAPIIS) on a semi-annual basis, throughout the life of the contract, by posting the required information in the Central Contractor Registration database at http://www.ccr.gov.

(b)(1) The Contractor will receive notification when the Government posts new information to the Contractor's record.

(2) The Contractor will have an opportunity to post comments regarding information that has been posted by the Government. The comments will be retained as long as the associated information is retained, i.e., for a total period of 6 years. Contractor comments will remain a part of the record unless the Contractor revises them.

(3)(i) Public requests for system information posted prior to April 15, 2011, will be handled under Freedom of Information Act procedures, including, where appropriate, procedures promulgated under E.O. 12600.

(ii) As required by section 3010 of Public Law 111-212, all information posted in FAPIIS on or after April 15, 2011, except past performance reviews, will be publicly available.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 calendar days before expiration of the effective period.

The following have been modified:

ADDENDUM TO 52.212-1

ADDENDUM TO FAR 52.212-1 -- INSTRUCTIONS TO OFFERORS

1. Department of Defense Education Activity (DoDEA), is releasing this solicitation electronically only. This on-line version of the Request for Quote (RFQ) is the official version for this acquisition. In cases of conflict between the electronic (on-line) version of this RFQ and any downloaded version of the RFQ, the on-line RFQ prevails. No hard copy of this solicitation will be issued. Vendors are encouraged to check the Federal Business Opportunities (FEDBIZOPPS) website at http: www.fedbizops.gov for any amendments to this solicitation

2. Questions - The cut-off date for all questions is April 22, 2011 at 11:00 A.M. EST. Request that the vendor email all questions in writing to Nina.Lin@hq.dodea.edu with the Subject Line “HE1254-11-T-0014.” No responses to questions via telephone will be answered provided.

3. Responses to all questions will be in the form of an amendment to the solicitation which will be posted on FedBizOpps.

4. Quotes are due and shall be received at the address below by May 16, 2011 at 11:00 A.M. EST via U.S. Postal, UPS, FEDEX or hand delivered to the following address. DoDEA will ensure personnel are present at the agency to accept quotes. No electronic or fax copies of any quote will be accepted. No exceptions.

5. Addendum to Paragraph (b) Submission of offers. In addition to those requirements as stated in paragraph (b), the following are added and shall apply to the submission requirements in response to this solicitation:

(1) Quote Submission - All vendors must submit written quote materials as described below and in the quantities of each volume as stated.

Volume I – Technical Capability (Submit 1 with original documents, and 3 copies) –The vendor shall provide access to courses, a Technical Capability Statement, and a course list for review. These items will be evaluated against the criteria listed under Evaluation Factors in the addendum to FAR 52.212-2, Evaluation, Commercial Items. For this volume, the vendor shall provide:

a. Written Proposal: A written description which includes a technical description in sufficient detail to evaluate compliance with the requirement in the solicitation. This may include product literature or other documents if necessary. At a minimum, the following criteria shall be addressed:

• Provide a comprehensive listing of available courses that includes both core curriculum and Advanced Placement (AP) courses and course length equivalencies (one-semester unit or a full year or two-semester unit).

• Provide evidence of how courses are aligned to national content standards.

• Provide evidence of nationally recognition accreditiation by a nationally recognized High

School Accreditation Organization such as North Central Association, Middle States Association, Southern Association, Western Association, Northwest Association, or New England Association.

• Provide evidence of ability to deliver courses in a flexible year round schedule that enables students to complete courses within an established block of time (ie. 18 weeks – semester course, 36 weeks- full year course.

• Provide information to explain how formative and summative assessments are incorporated into the courses to verify student readiness for the next lesson and to support student and teacher needs for feedback.

• Provide a list of required materials and media employed within the course including all necessary orientation materials, textbooks, workbooks, lab books, or other materials needed for completion of the course and how the vendor plans to deliver course materials. These may be available online or provided by the Contractor to the students at no additional cost.

• Provide a policy statement that addresses how all courses and course content are evaluated regularly and updated periodically to ensure accuracy and improve their effectiveness in providing instruction.

• Provide listings, description and/or screen shoots of course features for school administration and teacher use for student performance reporting.

b. Sample Online Courses: The vendor shall provide DoDEA information technology personnel and up to four evaluators with access (ex. logins and passwords) to 2-4 of the Offeror’s existing courses. The samples shall be representative of at least two high school core content areas, e.g., mathematics and social studies or English language arts and science and be reflective of the contractor’s experience and expertise in the development, design and delivery of the online courses. Review of courses should demonstrate, at a minimum, the following criteria:

• Lesson structure includes a lesson overview, content and activities, assignments and assessments to provide multiple learning opportunities for students to master the content.

• A variety of audio, video and graphical media elements that are engaging and relate directly to topics covered are included in order to accommodate different learning styles and stimulate active participation.

• Formative and summative assessments are employed to verify student readiness for the next lesson and to support student and teacher needs for feedback.

Volume II – Past Performance Information (Submit 1 with original documents, and 1 copy) - The vendor shall submit Past Performance documentation in accordance with instructions provided below:

a. Vendors shall provide information concerning performance in providing supplies and services relevant to those required in the SOW, for the last three contracts similar in nature to this requirement, either completed or currently being performed during the last three years. Vendors shall describe the relevance of each listed contract to the current RFQ’s requirements. Contracts listed may include those entered into by the Federal Government, agencies of state and local governments and commercial customers.

b. Attachment A, Past Performance Information (Part I), shall be completed and submitted by all vendors.

c. Attachment B, The Respondent Information (Part II) shall be completed and submitted directly by vendor’s references to the DoDEA Procurement Division by email with the subject line “HE1254-11- T-0014 Reference” to Nina Lin at Nina.Lin@hq.dodea.edu before or by the closing date and time of this solicitation.

d. The Government may also consider past performance information obtained through other sources.

Volume III – Contracting/Pricing- (Submit 1 with original document, and 1 copy): Contracting/Pricing Volume will be submitted separately with all executed RFQ Documents. Prices will be evaluated for reasonableness. This volume consists of:

a. The OFFER (the Standard Form 1449 with block 17a to include CAGE Code, DUNS, and block 30a, 30b, 30c completed and signed )

b. All issued Standard Form 30 Amendments to the solicitation (signed and dated).

c. Complete offer schedule with unit price and total amount for each Contract Line Items.

d. The vendors are cautioned that no reference to proposed price(s) shall be made in any other volumes but volume III.

e. Vendors shall comply with all requirements of the quote submission instructions. Deviations shall be fully explained; however, inclusion of price/cost in documents other than the Price Quote is not an acceptable deviation.

f. Quote preparation costs – This Request for Quote does not commit the Government to pay any costs incurred in the preparation and submission of your quote or in making any necessary studies for the preparation thereof, or for any visit the Contracting officer may request for the purpose of clarification of the quote or for preparation of negotiations. By the submission of its offer, the vendor assumes all cost associated.

Volume IV – Certs/Reps, Subcontracting Plan, Assumptions - (Submit 1 with original document, and 1 copy).

This volume consists of:

a. Completed Representations and Certifications of Vendor (FAR Clause 52.212-3 Alt I and DFARS Clause DFARS 252.212-7000) or a statement stating that they are available online at the Online Representations and Certifications Applications (ORCA) website https://orca.bpn.gov/.

b. Completed Commercial Item Small Business Subcontracting Plan (See Attachment C) if vendor is not a small business as defined by the Small Business Administration (SBA).

c. All (if any) assumptions, conditions, or exceptions with any of the terms and conditions of the SOW. If not noted in this volume of the quote, it will be assumed that the vendor proposes no assumptions for award, and agrees to comply with all of the terms and conditions as set forth herein. It is not the responsibility of the Government to seek out and identify assumptions, conditions, or exceptions randomly located within other volumes of the vendor’s quote.

6. Addendum to Paragraph (c) Period for acceptance of offers: This paragraph (c) is changed to read as follows: The Vendor agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers, unless another time period is specified in an amendment to the solicitation.

7. Addendum to Paragraph (e) Multiple offers. This paragraph (e) is changed to read as follows: Multiple offers presenting alternative terms and conditions will NOT be accepted.

8. Addendum to Paragraph (h) Multiple awards. This paragraph (h) is changed to read as follows: The Government may accept any item or group of items of an offer. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government has a right to make an offer on any item for a quantity less than the quantity quoted, at the unit prices quoted, unless the vendor specifies otherwise in the quote.

D. TAX EXEMPTION STATUS

DoDEA is an activity of the Federal Government. As such, state agencies are precluded from taxing them by reason of the Supreme Court decision in McCullough v. Maryland, 17 US 316 (1817). In addition, the various states have codified this immunity by appropriate statutes. DoDEA Federal Tax Identification Number: 26-2331642.

E. CONTRACT TYPE

Contract award type shall be a Requirements Indefinite Delivery/Indefinite Quantity Contract. The base year period of performance shall be from date of award through 12 months with the Government's option to extend the contract term for up to four 12-month option periods.

F. COMMERCIAL PROVISION – SECTION 508 – IT REQUIREMENT

All electronic hardware and software procured under this contract must comply with Section 508 of the Rehabilitation Act of 1973, as amended, (29 U.S.C. 794d) and the Architectural and Transportation Barriers Compliance Board Electronic Information Technology (EIT) Accessibility Standards (36 CFR part 1194). STATEMENT OF WORK

Supplemental Online High School Courses

1.0 INTRODUCTION

1.1. The Department of Defense Education Activity (DoDEA) serves the educational needs of the dependents of military and civilian employees by providing PK-12 instruction to approximately 87,000 students in seven states, twelve foreign countries, Guam, and Puerto Rico. The number of students varies based on the deployment of military troops worldwide. DoDEA’s curriculum, resources, and student achievement scores on standardized assessments compare favorably to high-performing US public schools.

1.2 DoDEA is divided into three administrative areas. DDESS (Domestic Dependent Elementary and Secondary Schools) covers the schools in seven states and Puerto Rico, and for administrative purposes, Cuba. DoDDS (Department of Defense Dependent Schools) is divided into DoDDS- Europe and DoDDS-Pacific. The former administers the schools in England, Germany, Italy, Belgium, Netherlands, Spain, Portugal, Turkey, and Bahrain. The latter covers the schools in

Korea, Japan, and for administrative purposes, Guam. DoDEA also operates a fully accredited Virtual High School with its main office in Virginia and teaching hubs in Germany and Korea.

2.0 BACKGROUND

2.1 DoDEA supplements its Virtual High School course offerings with online courses purchased from US vendors. This requirement includes the provision of summer online courses for students in need of credit replacement.

3.0 SCOPE

3.1 DoDEA requires seat-based licenses for online high school courses for students in grades 9-12 to

(1) supplement courses offered through our Virtual High School during the school year and (2) during the summer.

• All online courses—both core curriculum and Advanced Placement (AP)—will be taught by DoDEA teachers.

• Courses will be equivalent to a one-semester unit or a full year or two-semester unit.

• To accommodate the different school year calendars of DoDEA’s US and overseas schools, both school year and summer courses will have rolling start dates.

• Courses may be hosted either on DoDEA’s virtual learning environment (VLE) or by the vendor.

3.2 DoDEA expects to award multiple contracts for a performance period of a base year and four 12-month option years, beginning on or about July 15, 2011. The number of seats to be purchased is difficult to estimate because DoDEA’s enrollment may change and the number of online courses DoDEA’s Virtual High School offers may change. However, DoDEA expects it will require 400- 600 concurrent seats each year of the contract.

4.0 REQUIREMENTS

4.1 General—The Contractor(s) will:

4.1.1 Be accredited by a nationally recognized High School Accreditation Organization such as North Central Association, Middle States Association, Southern Association, Western Association, Northwest Association, or New England Association.

4.1.2 Provide comprehensive online course content and assessment materials for each course represented in the menu of offerings. DoDEA will provide the instructor.

4.1.3 Provide as many of the 38 courses listed below as possible.

4.1.4 Contain Provide modules or units equivalent to one semester (.5 units), or a full year two semesters, (1.0 unit) equivalent.

4.1.5 Offer courses that can be scheduled as shown below:

4.1.6 Provide courses that:

• Are designed to run on DoDEA’s adopted Virtual Learning Environment (VLE) or in a vendor supplied environment.

• Utilize appropriate content-specific tools and software that (1) make maximum use of the capabilities of the online medium, (2) make resources available by alternative means, e.g., PDF documents, video, and/or CD-ROM, and (3) feature user-friendly navigation.

• Meet universal design principles as specified by Section 508 (www.Section508.gov) and Worldwide Web Consortium (W3C) guidelines (www.w3.org) to ensure access for all students. All software—stand-alone, network or web-based—must be Section 508 compliant.

• Provide student material in a digital Optical Character Resolution (OCR) format, or PDF format that is compatible with common OCR devices to convert written text into audio format. If not already available, the Contractor may be required to convert student texts into this format.

• Reflect a multicultural approach that is free of racial, color, national origin, age, disabling conditions, sexual, religious, and ethnic bias and presents a balanced coverage of a variety of cultures accurately and authentically, avoiding stereotypes. Materials should also promote gender equity.

4.1.7 Permit the online teacher to add activities and assessments to extend learning opportunities.

4.1.8 Demonstrate that all copyrighted materials is are properly cited. The use of any materials not protected by fair use will occur only after permission is granted by the copyright owner. Course content will include copyrighted material only if permission for such use has been obtained by the contractor from the copyright owner, unless the “fair use” doctrine would clearly apply to the use of such copyrighted material.

4.1.9 Ensure that all courses and course content are evaluated regularly and updated periodically to ensure accuracy and improve their effectiveness in providing instruction.

4.2 Online Courses—Each course will:

4.2.1 Have course goals and objectives that are (1) clearly stated, observable, measurable, achievable,

(2) aligned to national content standards for each subject area, and (3) compatible with DoDEA learning standards and objectives, which may be found at http://www.dodea.edu/curriculum/.

4.2.2 Include the following:

• Course requirements that are consistent with courses goals, representative of the scope of the course and clearly stated.

• Clear, complete course overview and syllabus.

• Content and assignments of sufficient rigor, depth and breadth to teach the standards being addressed.

• Information literacy and communication skills incorporated as an integral part of the curriculum.

• All necessary orientation materials, textbooks, workbooks, lab books, or other materials needed for completion of the course. These may be available online or provided by the Contractor at no additional cost.

• Instructor resources/notes, assessments, recommended rubrics, assignments, and answers/explanations for teacher use.

4.2.3 Be student-centered, and incorporate a variety of ways to learning and multiple levels of mastery of the curriculum.

4.2.4 Emphasize 21st century skills such as learning and innovation skills; self-directed learning, and global awareness in the course and assessments.

4.2.5 Include the following:

• In each lesson a lesson overview, content and activities, assignments and assessments to provide multiple learning opportunities for students to master the content.

• Include a variety of audio, video and graphical media elements that are engaging and relate directly to topics covered in order to accommodate different learning styles and stimulate active participation.

4.2.6 Provide opportunities for appropriate instructor-student, student-student and student-content interaction to foster mastery and application of the material.

4.2.7 Include appropriate readability levels, written language and mathematical requirements for all content-related topics, readings and activities and assessments.

4.2.8 Provide authentic background information and applications that enrich course content.

4.3 Course Assessments—Each course will:

4.3.1 Contain adequate and appropriate assessment methodology to assess students’ mastery of content including both computer-scored and teacher-scored feedback that is appropriate to the outcomes, activities, and technologies.

4.3.2 Utilize formative and summative assessments to verify student readiness for the next lesson and to support student and teacher needs for feedback.

4.3.3 Incorporate flexibility for the teacher to assess students in a variety of ways.

4.3.4 Include grading rubrics and models for the teacher to use in implementing the course.

4.4. Teacher Training and Support—The Contractor(s) will:

4.4.1 Provide accompanying professional development training that contains guidance and resources for course implementation.

4.4.2 Training will include an overview of effective online teacher strategies, emphasizing online classroom pedagogy and management, creating and sustaining an online community and fostering a constructivist, student-centered approach. The training will include strategies for using online assessment methodologies and provide teachers with background information and strategies for differentiating instruction.

4.4.3 Training may be presented face-to-face, through online modules, and/or webinars. DoDEA expects to have face-to-face training at the Virtual High School’s annual meeting. It also will require additional professional development through online modules and/or webinars.

4.1 4.3.1 The face-to-face training will consist of 3-6 hour orientation to provide teachers and administrative staff with guidance regarding how to implement the courses.

Additional professional development on topics will be presented by DoDEA at the Post- Award Conference.

4.1 4.3.2 The online modules and/or webinars will provide teachers with more specific information regarding how to use course tools to manage and adjust the learning environment to differentiate instruction including strategies for utilizing online activities and assessments to provide remediation or enrichment in a student-centered approach.

4.4.4 Provide the technical support via phone and email necessary for DoDEA teachers to implement the courses. Email responses must be completed in one-two business days.

5.0 TECHNICAL REQUIREMENTS

5.1 All online resources and instructional software shall meet DoDEA information security requirements (as defined below), such as not containing vulnerabilities posing risk to the network. All software and websites shall undergo preliminary testing to ensure that they pose no security risk to the DoDEA infrastructure. Any IT component of the Contractor’s proposal that fails to meet DoDEA’s information security and technology requirements shall be excluded from further evaluation.

5.2 All software/Plugins/Add-ons shall meet DoDEA’s following requirements:

5.2.1 DoD Information Assurance Certification and Accreditation Process (DIACAP) [Accreditation Process (DIACAP), 28 November 2007, which may be found at the following URL: http://www.dtic.mil/whs/directives/corres/pdf/851001p.pdf].

5.2.2 Security Technical Information Guidance (STIG), which may be found at the following URL: http://iase.disa.mil/stigs/stig/index.html.

5.2.3 The Contractor shall provide security patches and upgrades, to include third-party applications, in response to public released vulnerabilities associated with their software solution. Any deviations from this requirement (paragraph 5.2) shall be approved in writing by the DoDEA CIO/Designated Approving Authority (DAA).

5.3 Contractor software solutions shall not interfere with other installed software and shall not modify DoDEA’s underlying system security configuration. The Contractor shall develop and provide software upgrades within 30 days of notification should any of the software/plug-ins be found vulnerable and non-compliant with DISA standards. Software upgrades and patches shall be included in the licensing cost and performed at the least disruptive times. Any additional software requirements may be subject to the DIACAP process prior to contract award.

5.4 In accordance with its testing criteria, DoDEA requires the use of software which may be installed and/or accessed in a stand-alone environment, a network environment or web-based environment that is compatible with standards cited herein. All software shall be completely functional on a standard DoDEA desktop without the need for Administrative-level user rights or a requirement to insert media (CD/DVD) to execute the software. Software shall not require modifications to folder permissions while executing. Additionally, all software shall be compatible with the following hardware baseline:

5.5 All windows, fly-out menus, etc. shall work from within an environment that blocks popup windows.

Additionally, all web-based software shall not require the use of streaming videos or downloads, such as Java Applets.

5.6 All software packages shall support unattended installation methods used by enterprise software packaging and deployment systems, i.e., Microsoft Systems Management Server, Computer Associates Unicenter software delivery, and Symantec Altiris deployment solution. Older 16-bit software shall be closely analyzed against this requirement.

5.7 The Contractor shall deliver any online materials on a web-based platform and provide course or video files in QuickTime v.6.0+ and Windows Media v.9+ formats, and /or Flash 6+ format that are compatible with the hardware and operating system requirements listed in Section 5.4. The software shall run successfully in the existing DoDEA environment.

5.8 The Contractor’s solution shall be robust enough to serve the needs of a large community of learners dispersed across the world using a variety of bandwidths. The Contractor’s solution shall be scalable and able to expand to meet future growth, both in terms of the volume of instruction and the size of the student body.

5.8.1 Any portion of the Contractor’s solution that collects student personally identifiable information shall be compliant with the Children's Online Privacy Protection Act (COPPA) and the Children's Internet Protection Act (CIPA) and the Privacy Act.

5.8.2 Any opportunity for data integration of student or teacher accounts shall adhere to the DoD guidance for security of personally identifiable information (appended). All Contractor staff that has access to DoDEA student and/or teacher personally identifiable information shall take the DoD Privacy Act/Personally Identifiable Information (PA and PPI/PII) training before gaining access to the data and yearly thereafter. DoDEA contractors who have a DoDEA username and password may access the training on DoDEA's intranet. All other any contractors shall access the PA and PPI/PII slides, a link to which is found on DoDEA's homepage (www.dodea.edu). Contractors shall send written confirmation to the Contracting Officer's Representative listing the staff members that have taken the mandatory PA and PPI/PII training.

5.9 Maintenance and support shall be available for the duration of the contract. Maintenance is defined as automatic distribution of upgrades and revisions that can be accomplished using a combination of

Internet and or email. Any upgrades to online digital materials shall include compatibility with DoDEA school-level technology and Department of Defense’s (DoD) information technology requirements. The Contractor shall not contact schools directly but shall coordinate the dissemination of upgrades or revisions through the COR and shall provide electronic access of the update and/or revision to the COR for testing.

5.10 The Contractor may be required to sign Non-Disclosure Agreements (NDA), which prohibits the disclosure, publishing, divulgence, or release of any information obtained during the performance of the contract.

6.0 DELIVERABLES—The Contractor(s) will:

6.1 Participate in a Post-Award Conference with DoDEA officials by videoconference or telephone within 15 days after contract award.

6.2 Meet with DoDEA staff by videoconference or telephone to discuss details associated with course licensing, enrollments, delivery of the course via hosting or placement on DoDEA Virtual Learning Environment (VLE), scheduling and technical support.

6.3 Meet with DoDEA staff quarterly by videoconference or telephone during actual course delivery.

The meeting(s) will be devoted to reviewing progress of and discussing any changes in the course implementation needed to ensure peak performance.

6.4 Provide teacher training.

6.5 Deliver course licenses.

6.6 Provide technical support throughout the life of the contract. Technical support may be delivered via phone or email and should be accessible to users worldwide.

7.0 PERFORMANCE REQUIREMENT AND TIMELINE

8.0 CONTRACTOR TRAVEL

Contractor costs for Government authorized travel are included in this contract. All travel shall be in accordance with FAR 31.205-46 and applicable travel regulations (Joint, Federal or Standardized).

Contractor payment claims shall include applicable documentation to support actual costs incurred (e.g., airfare and hotel/lodging receipts) as well as any receipts valued at or above $75.00. Failure to provide appropriate documentation may result in loss of reimbursement of travel expenses.

52.216-21 REQUIREMENTS (OCT 1995)

(a) This is a requirements contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies or services specified in the Schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government's requirements do not result in orders in the quantities described as "estimated'' or "maximum" in the Schedule, that fact shall not constitute the basis for an equitable price adjustment.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. Subject to any limitations in the Order Limitations clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies or services specified in the Schedule and called for by orders issued in accordance with the Ordering clause. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(c) Except as this contract otherwise provides, the Government shall order from the Contractor all the supplies or services specified in the Schedule that are required to be purchased by the Government activity or activities specified in the Schedule.

(d) The Government is not required to purchase from the Contractor requirements in excess of any limit on total orders under this contract.

(e) If the Government urgently requires delivery of any quantity of an item before the earliest date that delivery may be specified under this contract, and if the Contractor will not accept an order providing for the accelerated delivery, the Government may acquire the urgently required goods or services from another source.

(f) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 180 days of the last order issued during the ordering period.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days of contract expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.
