SUMMARY OF CHANGES

SECTION I - CONTRACT CLAUSES

The following have been added by full text:

52.219-4 NOTICE OF PRICE EVALUATION PREFERENCE FOR HUBZONE SMALL BUSINESS

CONCERNS (DEVIATION 2019-O0003)

(a) Definitions. As used in this clause— “HUBZone small business concern” means a small business concern, certified by the Small Business Administration (SBA), that appears on the List of Qualified HUBZone Small Business Concerns maintained by the SBA (13 CFR 126.103).

“Similarly situated entity” means a first-tier subcontractor, including an independent contractor, that has the same small business program status as that which qualified the prime contractor for the award; as is considered small for the NAICS code the prime contractor assigned to the subcontract the subcontractor will perform. An example of a similarly situated entity is a first-tier subcontractor that is a HUBZone small business concern for a HUBZone set-aside or sole source award under the HUBZone Program.

(b) Evaluation preference.

(1) Offers will be evaluated by adding a factor of 10 percent to the price of all offers, except—

(i) Offers from HUBZone small business concerns that have not waived the evaluation preference; and

(ii) Otherwise successful offers from small business concerns.

(2) The factor of 10 percent shall be applied on a line item basis or to any group of items on which award may be made. Other evaluation factors described in the solicitation shall be applied before application of the factor.

(3) When the two highest rated offerors are a HUBZone small business concern and a large business, and the evaluated offer of the HUBZone small business concern is equal to the evaluated offer of the large business after considering the price evaluation preference, award will be made to the HUBZone small business concern.

(c) Waiver of evaluation preference. A HUBZone small business concern may elect to waive the evaluation preference, in which case the factor will be added to its offer for evaluation purposes. The agreements in paragraphs

(d) and (e) of this clause do not apply if the offeror has waived the evaluation preference.

__ Offeror elects to waive the evaluation preference.

(d) Independent contractors. An independent contractor shall be considered a subcontractor.

(e) Agreement. By submission of an offer and execution of a contract, a HUBZone small business concern agrees that, in the case of a contract for—

(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the 50 percent subcontract amount that cannot be exceeded;

(2) Supplies (other than procurement from a nonmanufacturer of such supplies), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the 50 percent subcontract amount that cannot be exceeded;

(3) General construction, it will not pay more than 85 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the 85 percent subcontract amount that cannot be exceeded; or

(4) Construction by special trade contractors, it will not pay more than 75 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the 75 percent subcontract amount that cannot be exceeded.

(f) A HUBZone joint venture agrees that the aggregate of the HUBZone small business concerns to the joint venture, not each concern separately, will perform the applicable requirements specified in paragraph (d) of this clause.

(g) Notice. The HUBZone small business offeror acknowledges that a prospective HUBZone awardee must be a HUBZone small business concern at the time of award of this contract. The HUBZone offeror shall provide the Contracting Officer a copy of the notice required by 13 CFR 126.501 if material changes occur before contract award that could affect its HUBZone eligibility. If the apparently successful HUBZone offeror is not a HUBZone small business concern at the time of award of this contract, the Contracting Officer will proceed to award to the next otherwise successful HUBZone small business concern or other offeror.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

INSTRUCTIONS TO OFFERORS

Instructions, Conditions, and Notices to Offerors or Respondents

L1 – INFORMATION TO OFFERORS

L1.0 Program Title and Objectives

The Mobility Enterprise Services-Classified contract will provide Program Management, System Engineering, Capability Integration, PMO Operational Support, and Logistical Support that support the Department of Defense Mobility Classified Capability (DMCC).

The Mobility PMO is the DoD enterprise service offering made up of the DMCC Programs for the Secret and Top Secret (TS) capabilities. DMCC is a DoD enterprise service offering, which enables Commercial Solutions for Classified (CSfC) approved customer owned mobile devices access to the classified DoD Information Network (DoDIN) and commercial information services. The Mobility PMO requires CSfC compliance in an open platform for the MES-C solution. This system is comprised of an Enterprise Mobility Management (EMM) suite, network gateways, Tier III service support, commercial mobile devices (which provide classified voice and data services), and an identity management system.

DISA has established the Mobility PMO, which aligns the progress of various mobile device pilots and initiatives across DoD under common objectives. A phased series of operational pilots have been conducted and allow DoD to incorporate lessons learned, ensure interoperability, and refine the requirements for a secure architecture to support Mobile Device Management (MDM), influence commercial standards, and create cost and operations’ efficiencies for DoD enterprise mobile users. This ultimately will provide DoD with the ability to lower the cost of the DMCC EMM suite as well as address security and increase DoD productivity goals. The PMO will offer the enterprise classified mobility services to the DoD community in the same way DISA provides other enterprise capabilities today. The DISA Mobility PMO will provide enterprise services such as voice, video, and data to the customer via a mobile platform but will not implement its own enterprise services. This ensures costs within the Department are not duplicated and that current and future enterprise services are maximized to increase value and efficiency.

The Government intends to award one contract as a result of this solicitation. Award will be made to the offeror whose proposal represents the best value in accordance with the evaluation criteria defined in Section M, Evaluation Factors for Award. Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation, either before or after the closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an offeror for any costs.

L2.0 General Instructions

L2.1 Use of Non-Government Evaluators. Non-government personnel will not be utilized in the evaluation of proposals, however, an automated source selection software tool (FedSelect), licensed from a non-government source (CACI International Inc), will be used during the proposal evaluation process. Non-Disclosure Agreements will be furnished for the administration of the software.

L2.2 General Proposal Guidance

a) This section of the Information to Offerors provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The offeror's proposal must include all data and information requested by the RFP and must be submitted in accordance with these instructions. The offerors are to propose to the technical factors and subfactors. Non-conformance with the instructions provided in this Information to Offerors may result in removal of the proposal from further evaluation.

b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their capabilities and experience and will base its evaluation on the information presented in the offeror's proposal.

c) Elaborate brochures or documentation, binding, detailed art work, internet hyperlinks, or other embellishments are unnecessary and are not desired.

d) The offeror shall make a clear statement in the Volume I cover page that the proposal is valid for a minimum of 180 days from the proposal due date.

e) In accordance with Federal Acquisition Regulations (FAR) Subpart 4.8 (Government Contract Files), the Government will retain one digital copy of all unsuccessful proposals.

f) Portions of the successful offeror’s proposal may be incorporated into the contract as an attachment in

Section J.

L2.1 General Information

L2.1.1. Point of Contact. The Contracting Officer, Constance Jackson and the Contract Specialist, Angela Zang, are the sole points of contact for this procurement. Address any questions or concerns to the Contracting Officer and Contract Specialist. Written requests for clarification must be sent to the Contracting Officer and Contract Specialist at the email address located in Section G.

L2.1.2. Debriefings. The Contracting Officer will notify offerors of any decision to exclude them from the competitive range, whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The Contracting Officer will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506.

Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

L2.1.3. Discrepancies. If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the Contracting Officer and Contract Specialist in writing. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussions.

L2.1.4. Electronic Reference Documents. All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) website at http://www.fedbizopps.gov. Potential offerors are encouraged to subscribe for real-time email notifications when information has been posted to the website for this solicitation. Additional documents, known as the Bidders Library, pertaining to the technical requirements of this solicitation will be posted at http://www.fedbizopps.gov. These documents are access controlled and only potential offerors with a “vendor” account, through http://www.fedbizopps.gov, can access be requested and granted. Once logged into FedBizOpps, the potential offeror can select the secure package and “Request Explicit Access.” An email notification will be sent once access has been approved or rejected.

L2.1.5. Communications. Exchanges of source selection information between Government and offerors will be controlled by the Contracting Officer and/or Contract Specialist. Evaluation notices and responses will be transmitted as emails and will be treated as source selection information. Questions/comments will only be entertained if received in email and only when submitted on Attachment L1 Questions and Answer Template in Section L. No information concerning this solicitation or requests for clarification will be provided in response to offeror initiated telephone calls. All such requests must be made in writing and submitted as directed above. All questions/comments provided in a timely manner will be answered in writing and provided to all offerors. However, written inquiries may not be answered when requests are received by the Government points of contact after the original due date for receipt of questions as specified in this solicitation. The timeframe for submitting inquiries will not be extended as a result of an extension to the due date for the receipt of offers unless authorized by the Contracting Officer.

The Government intends to award without discussions. Therefore, the offeror’s initial proposal should contain the offeror’s best approach/terms for technical, management, past performance, and price; however, despite this intent, the Government reserves the right to conduct discussions if the Source Selection Authority (SSA) determines they are necessary. If the SSA determines that discussions are necessary, a competitive range may be established. In the event issues pertaining to a proposed contract cannot be resolved to the SSA's satisfaction, the Government reserves the right to withdraw and cancel the solicitation. In such event, offerors will be notified in writing.

L5.0. Volume III – Supply Chain Risk Management (SCRM) Volume. A determination has been made by the program office that the items or services to be procured under this RFP are subject to Supply Chain Risk Management (SCRM) controls as outlined in the PWS. As a result, contractors will be required to submit a detailed organization-wide SCRM plan as part of their proposal. Supply chain risks range from natural threats to counterfeit products and apply to quality, security, resiliency, and product integrity. Mitigation plans to manage risks may involve logistics, cybersecurity, and financial management. The goal is to preclude undue risk to the Government and ensure supply chain continuity in the event normal business operations are interrupted. This evaluation factor will assess the adequacy of an organization-wide SCRM plan to identify threats to the supply chain, and provide mitigation strategies that will protect the Government’s interest.

If a SCRM concern arises after contract award, the Government will determine whether a continuation of the contract poses an undue risk to both the common defense and security to this nation. If the Government determines that such a risk exists, the Government reserves the right to accept or reject a proposed mitigation plan by the Contractor (if one or more is presented within a reasonable time) as negotiated by the Contracting Officer or terminate the contract for convenience.

L6.0. Volume IV - Small Business Participation Factor. All offerors, including small business, that submit proposals as a prime contractor are required to propose on the extent of their inclusion of small businesses in the performance of the contract, including: small business, small disadvantaged business, women-owned small business, HUBZone small business, and service-disabled veteran-owned small business. The Government’s assessment of small business participation and commitment will be measured to determine if small business participation is maximized where applicable. Small business participation is a separate and distinctly different requirement from the FAR 19.704 requirement for the Contracting Officer to review and accept an offeror’s subcontracting plan. The small business participation plan is an actual commitment document that addresses the extent of small business utilization in the performance of a contract as outlined in DFARS 215.304(c)(i). The small business participation plan outlines the "specifics" or the "how" or the "details" of the offeror’s firm intentions to maximize the utilization of small businesses within this acquisition. The offeror shall articulate small business contributions to contract performance at the prime contract through first tier subcontract levels. Second and third tier small business subcontractors will not be considered towards the total small business participation percentage.

All offerors, including small businesses and those who are DoD Comprehensive Test Program participants, shall submit a small business participation plan as a part of their proposal. The final small business participation plan will be monitored as a measure of contract compliance in accordance with Section G. The final small business participation plan will be incorporated at contract award within Section J.

The small business participation plan is for the overall contract and will apply cumulatively to all resultant task orders issued to the contractor unless individually negotiated at the task order level. In accordance with DFARS 215.304(c)(i) small business participation is an evaluation factor under Section M.2.0 of this solicitation for both other than small and small business offerors.

Offerors shall address the below elements in their small business participation plan and must demonstrate their proposed approach as to how they will meet all stated small business participation requirements for this contract.

The Small Business Participation Plan shall not reference the Subcontracting Plan (if required) or any other volume for information; all information required within the Small Business Participation Plan must be contained within this document. The offeror’s proposed small business participation plan shall address the following elements:

1. The extent of participation of small business firms (including those in socioeconomic categories as defined in FAR Part 19) in terms of the percentage of the total acquisition value. The Government will evaluate the extent to which the offeror meets the small business participation minimum objectives. The small business participation minimum objectives for this contract are:

Small Business:

Small Disadvantaged Business 5% of the total acquisition value Women-Owned Small Business 5% of the total acquisition value Service Disabled Veteran Owned Small Business 3% of the total acquisition value Historically Underutilized Business Zone 3% of the total acquisition value Small Business 25% of the total acquisition value

The Total Acquisition Value (TAV) shall only be used for calculating small business participation goals for this element and shall not be considered a minimum guarantee, ceiling amount, or estimate for pricing purposes. The percentage of work performed by small businesses that qualify in multiple socioeconomic categories may be counted in each category. Also, this information shall be provided for each period of performance of the contract (separately for the base and each option period). Detailed explanations shall be provided when the offeror’s percentages do not meet the small business participation minimum objectives listed within the solicitation. If the offeror submits zero percentages, the offeror shall provide a detailed explanation to address how the offeror will achieve small business participation where zero percentages are presented.

2. Small business participation planned for this acquisition: Identification by name, type of business, products/services, dollar value, percent of estimated TAV, timeframe, and nature of commitment of the small business utilization planned for this acquisition as outlined in Table L6. Table L6 should be incorporated into the small business participation plan.

L8.0. Volume VI - Cost/Price.

L8.1 Cost/Price General Information.

L8.1.1 Price Reasonableness and Completeness. This section is to assist in submitting information other than pricing data that is required to evaluate the reasonableness and completeness of the proposed price. The Government will verify that all solicitation requirements have been priced, figures correctly calculated, and prices are presented in a clear and useful format. Proposals should be sufficiently detailed to demonstrate their reasonableness.

Information beyond that it required by this instruction shall not be submitted unless considered essential to document or supports the price position. All information relating to the proposed price, including all required supporting documentation, must be included in the section of the proposal designated as the Price Volume. Under no circumstances shall this information and documentation be included elsewhere in the proposal.

L8.1.2 Price Information. Unsanitized price proposals are required to be submitted using the Pricing Templates included as Section L, Attachment L4, MES-C Pricing Template and Attachment L5, MES-C Task Order 0001 Pricing Template. Additionally, the offeror shall provide sanitized versions of the Task Order Pricing Template (i.e., removing pricing information but including information related to hours and labor categories proposed by the offeror) to aid in the Government’s review.

Within the MES-C Pricing Template, all offerors are required to provide fully burdened Fixed Price (FP) labor rates (inclusive of direct and indirect rate burdens, and profit) for all labor categories for both Government Site and Contractor Site for the base period and all option periods including the 6-month extension period within the “Labor Rate Table” tab in accordance with the ‘Labor Category Descriptions’ included Attachment L6.

Price proposals shall be submitted for the base period and all option periods, including option pricing for an additional six-month period that may be authorized IAW FAR 52.217-8 "Option to Extend Services". See FAR 52.217-8 which authorizes the Government to require continued performance of any services within the limits and at the rates specified in the contract. These prices shall be identical to the proposed pricing in the six months prior to expiration of the base period, or the final option period. The total evaluated price will consist of the total proposed price for the base period, all option periods, and the option pricing for the additional 6-month period IAW FAR 52.217-8 in the MES-C Pricing Template and the MES-C Task Order 0001 Pricing Template (anticipated to be awarded with the basic contract).

For cost-reimbursable Other Direct Cost (ODC) estimates, offerors are provided a Government estimate in the MES- C Task Order 0001 Pricing Template. These EXACT amounts include all markups and burdens allowed by the contract and shall not be adjusted based upon independent decisions regarding actual anticipated costs. Profit is not allowed on ODCs. ODCs shall be authorized by the Contracting Officer’s Representative (COR), prior to performance and travel will be paid IAW FAR 31.205-46.

L8.1.3 Cost or Pricing Information Requirements In accordance with FAR 15.403-1(b) and 15.403-3(a), “data other than cost or pricing data”-to include the identical types of data as certified cost or pricing data, but without the certification- may be required to support price reasonableness. Information shall be provided IAW FAR 15.403-5. If, after receipt of proposals, the Contracting Officer determines the required conditions of adequate competition do not exist, that there is insufficient information available to determine price reasonableness, and none of the exceptions in FAR 15.403-1 apply, the offeror may be required to certify its submitted cost or pricing data (see FAR 15.406-2 - Certificate of Current Cost or Pricing Data).

L8.2 MES-C Pricing Template and MES-C Task Order 0001 Pricing Template The labor rates proposed in the MES-C Pricing Template (Attachment L4) will be used as ceiling labor rates for pricing of all FFP TOs and CLINs issued under this IDIQ contract. The FFP rate ceiling will be based on the composite fully burdened labor rates proposed for each labor category, and be considered negotiated ceiling labor rates. As such, the proposed rates from the MES-C Pricing Template will be included in Section B of the awarded IDIQ contract.

In completing the required pricing templates, the offeror is required to provide labor rate schedules for both Government and Contractor sites with labor showing proposed fully burdened (inclusive of direct and indirect rate burdens and profit) by contract year. The labor rate schedules shall include prime contractor, subcontractor, and inter-divisional transfer rates, to develop a fully burdened composite labor rate. Proposed rates under the resulting task orders shall not exceed the proposed ceiling rates under MES-C Pricing Template.

In the MES-C Task Order 0001 Pricing Template, offerors shall include the detailed information regarding the resources required to accomplish the task (e.g., labor categories, labor hours, number of employees for each labor category, rates, ODCs, etc.). Proposed rates under Task Order 0001 shall not exceed the proposed ceiling rates under MES-C Pricing Template.
