G2 LINE ITEM AND CONTRACT/ORDER CLOSEOUT (OCT 2021)

Dormant and/or excess funds consist of funds that are primarily in “expired” or “cancelled” status. Expired funds are no longer available for new obligations, but are available for upward adjustments and payments on prior obligations to include payments on contractor invoices. Cancelled funds are no longer available for upward adjustments to obligations or to pay contractor invoices.

Timely contract closeout of the entire contract/order and of completed individual contract line item number(s) (CLIN) and/or sub line item number(s) (SLIN) is a priority under this contract/order. As such, the Contractor shall submit a final invoice no later than ninety (90) calendar days after the expiration of this contract/order and/or at the expiration of any individual CLIN(s)/SLIN(s) that expire before the final expiration of the contract/order (i.e., end item(s) was scheduled to be delivered or the period of performance (base or option year) was completed), unless the Contractor requests and is granted a written extension by the Contracting Officer. In addition, and concurrent with the submission of the final invoice for a specific CLIN/SLIN or for the contract/order in its entirety, the Contractor shall notify the Contracting Officer of the amount of excess funds that can be deobligated from the CLIN/SLIN or contract/order so the deobligation of any excess funds can be completed as soon as possible.

After ninety (90) days from expiration of a CLIN/SLIN, end item delivery, or contract/order in its entirety, unless an extension had been requested and granted by the Contracting Officer in writing, a bilateral contract/order modification to deobligate excess funds and/or closeout the contract/order in its entirety will be forwarded to the Contractor by the Contracting Officer. The modification must be signed and returned to the Contracting Officer within thirty (30) calendar days of receipt . A Contractor’s failure to respond and/or sign the bilateral modification within thirty (30) calendar days of receipt will constitute approval of the terms of the modification and the modification will subsequently be processed unilaterally by the Contracting Officer to deobligate excess funds and/or closeout the contract/order.

For cost reimbursement CLINs/SLINs, contracting officers will use FAR 42.708, Quick-closeout procedures to the maximum extent possible after the contract/order is physically complete. Should the contract/order require audit/review (e.g., audits conducted by the Defense Contract Audit Agency), excess funds/balances from CLIN(s)/SLIN(s) that are not required to satisfy potential adjustments as a result of the review/audit will be removed from the CLIN(s)/SLIN(s) through a bilateral modification. The modification will be forwarded by the Contracting Officer and must be signed by the Contractor and returned within thirty (30) calendar days of receipt. A Contractor’s failure to respond within thirty (30) calendar days of receipt will constitute approval of the terms of the modification and the modification will subsequently be processed unilaterally by the Contracting Officer to remove the excess funds/balances on the associated CLINs/SLINs. If the Contractor disagrees with amount for deobligation they will notify the Contracting Officer promptly with the proposed amount and rationale for deobligation.

Communications with the Contractor will be conducted with the identified Point(s) of Contact (POC) identified in G1 of this contract/order. Should a change in POC be required, the Contractor shall immediately notify the Contracting Officer.

G21 CONTRACT PAYMENTS - DELIVERY TICKET INVOICE (APR 2024)

Payments for all orders, to include Communications Service Authorizations (CSAs), issued under this contract or agreement, shall be made by the US Government using the Delivery Ticket Invoice (DTI) contract payment method.

The Receiving Report may consist of a Notice of Completion (NOC) signed by the government acceptor or a NOC combined with an email from an authorized government POC denoting acceptance. The Contractor shall not submit separate invoices for telecommunication services provided in any orders on this contract or agreement. Any separate invoices submitted by the Contractor will not be considered.

The Contractor shall provide a Receiving Report for each order under this contract or agreement and any modifications that state a NOC is required. The Contractor shall submit the Receiving Report to the Contracting Officer in accordance with any other terms included in this contract/agreement.

Section H - Special Contract Requirements

H1 ORGANIZATIONAL AND CONSULTANT CONFLICTS OF INTEREST (OCCI) (JAN 2020)

If the contractor or a subcontractor breaches any of the OCCI restrictions of the contract, to include any OCCI mitigation plan submitted with its offer, or does not disclose or misrepresents any relevant facts concerning its conflict of interest, the government may take appropriate action, including terminating the contract, in addition to any remedies that may be otherwise permitted by the contract or operation of law.

H20 CRITICAL INFRASTRUCTURE COMPLIANCE (OCT 2021)

A critical element of U.S. national security is the security of America's communications networks. Threats to the security of the nation's communications networks posed by certain telecommunications equipment or service providers are a matter of concern as reflected in both Executive Branch regulations and Congressional legislation.

In order to be eligible for (contract) award, Contractor/Telecommunications Provider (TP) must certify in writing in its quote/proposal the following:

Even if the prime Contractor/TP’s solution relies upon the exception of backhaul, roaming, or interconnection arrangements for delivery of some portion of the circuit/network, the solution will not use Telecommunications equipment produced by Huawei Technologies Company, ZTE Corporation (or any subsidiary or affiliate of such entities), or other covered telecommunications equipment/service on U.S. Government camps/posts/stations, or that directly connects to U.S. Government facilities.

During evaluation and administration of any resulting contract, the Government may consult other sources to determine whether the Contractor/TP is in compliance with the certification. Furthermore, the Government may inspect the Contractor/TP's equipment or services in accordance with the terms of the contract/ order that will result from this contracting opportunity. Failure to comply with the certification may result in termination of the contract for default or cause. If the Government determines that the security risks caused by the Contractor/TP's failure to comply with the certification can be eliminated or significantly reduced, then the Government shall require the contractor to take all necessary measures to mitigate such risks. Mitigation measures shall include removal and replacement of "covered telecommunications equipment" at no cost to the Government.

The submission of this quote/proposal constitutes the Telecommunications Provider’s Certification that the TP has complied with the terms of the provision, and acknowledges that the TP’s continued compliance with the provision is a material precondition for the Government’s continued payment under the contract. TP must state in quote “BY

SUBMISSION OF THIS QUOTE, I (AS THE TP) CERTIFY THAT I UNDERSTAND THE PROVISION

OUTLINED AND WILL COMPLY.”

H21 APPROVED PRODUCTS LIST (JUN 2023)

Department of Defense (DoD) Instruction 8100.04, DoD Unified Capabilities, (December 9, 2010), establishes governing policy for products and services that support and connect to the DoD Information Network (DoDIN).

DoDI 8100.04 also sets forth instructions that are implemented by the Defense Capabilities Requirement (formerly the Unified Capabilities Requirement document), the DoDIN Approved Products List (APL), and the DoDIN Service Provider Equipment (SPE) List. The DoDIN APL lists products that have been certified for Cybersecurity and Interoperability and are approved for use within and on DoD networks. The DoDIN SPE lists products that may be used to interface with the DoDIN when used by Internet Service Providers (ISP) or other Telecommunications Providers. For the purposes of this solicitation, equipment at the point of interface with the Government's network must conform to either the DoDIN APL or the DoDIN SPE.

VENDOR/TELECOMMUNICATIONS PROVIDER (TP) must list the make and model number of all equipment the TP or any subcontractor will use at the point of interface with the Government's network. The Government has the right to evaluate the list of equipment at the point of interface with the Government's network to ensure it is compliant with either the DoDIN APL or the DoDIN SPE. A TP's failure to list the specific equipment used at the point of interface with the Government's network, or inclusion of equipment not on the DoDIN APL or the DoDIN SPE, may result in the TP being deemed not technically acceptable. Additionally, during the period of performance, service delivery, and contract administration, the TP is required to ensure the TP and all subcontractors use only equipment that conforms to DoDIN APL or DoDIN SPE requirements at the point of interface with the Government's network. If at any time during the performance of this contract/order the specified equipment will not be in compliance with the requirements of this provision, the TP must notify the Contracting Officer prior to installation. The Government has the right to review the equipment used at any time during this contract/order.

When determined by the Government that an exception is in the Government's best interest, the Government or the TP may seek an exception to policy in accordance with DoDI 8100.04 or the DoDIN APL Process Guide to allow the TP to use equipment beneficial to the Government's mission.

The DoDIN Approved Products List and applicable procedures can be accessed at:

https://aplits.disa.mil/processAPList.action

The DoDIN Service Provider Equipment List can be accessed at:

https://aplits.disa.mil/processDoDINSPE.action

The submission of this quote/proposal constitutes the Telecommunications Provider’s Certification that the TP has complied with the terms of the provision, and acknowledges that the TP’s continued compliance with the provision is a material precondition for the Government’s continued payment under the contract. TP must state in quote “BY

SUBMISSION OF THIS QUOTE, I (AS THE TP) CERTIFY THAT I UNDERSTAND THE PROVISION

OUTLINED AND WILL COMPLY.”

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

See attached addendum to FAR 52.212-2.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. To account for the option period(s) possible under 52.217-8, Option to Extend Services (not to exceed six (6) months), the Government will evaluate the option to extend services (FAR Clause 52.217-8) by requiring the offeror to price an additional six months of the offeror's final option period price to the offeror's total price. This amount will be the total evaluated price. The Government may choose to exercise the Option to Extend Services at the end of any performance period (base or option periods). However, the end of the Option to Extend Services period represents the end of contract performance, and the Government shall not exercise any other option periods after the Option to Extend Services has been exercised.

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
