Instructions, Conditions, and Notices to Offerors or Respondents

1.0 Program Title and Objectives

The MWR Global ICP provides voice and Internet Protocol (IP)-based data services to support the DoD MWR ICP.

The MWR Internet Cafés are used to support DoD, United States (U.S.) Government non-DoD organizations, and DoD Partner Nation Elements to allow deployed personnel to make personal long distance telephone calls, access the Internet, email, and video chat with family and friends while deployed.

1.1. Budget/Funding Information

Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation, either before or after the closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an offeror for any costs.

2.0 General Instructions

(a) This section of the Information to Offerors provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The offeror's proposal must include all data and information requested by the RFP and must be submitted in accordance with these instructions. The offeror shall sufficiently address the requirements stated in the Performance Work Statement (PWS). Non-conformance with the instructions provided in this Information to Offerors may result in removal of the proposal from further evaluation.

(b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their capabilities and experience, and will base its evaluation on the information presented in the offeror's proposal.

(c) Elaborate brochures or documentation, detailed artwork, internet hyperlinks, or other embellishments are unnecessary and are not desired.

2.1 General Information

2.1.1. Point of Contact

The Contracting Officer, Crista Decker, and the Contract Specialist, Lynn (Buss) Vail, as identified in DARS 52.204-9000, Points of Contact, are the sole points of contact for this procurement. Address any questions or concerns you may have to the Contracting Officer and/or the Contract Specialist. Written requests for clarification must be sent to the Contracting Officer and Contract Specialist at the addresses located in the Points of Contact provision of this solicitation.

2.1.2. Debriefings

The Government intends to award this Contract without discussions. However, in the event discussions are opened and a competitive range is set, the Contracting Officer will notify offerors of any decision to exclude them from the competitive range, whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing, or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The Contracting Officer will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506.

Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

2.1.3. Discrepancies

If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the Contracting Officer, Crista Decker, and/or the Contract Specialist, Lynn (Buss) Vail, in writing. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussions.

2.1.4. Electronic Reference Documents

All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) web site at http://www.fedbizopps.gov. Potential offerors are encouraged to subscribe for real-time email notifications when information has been posted to the website for this solicitation.

2.1.5 Communications

Exchanges of source selection information between Government and offerors will be controlled by the Contracting Officer. Email may be used to transmit such information to offerors only if the email can be sent and received encrypted and includes “Source Selection Information – See FAR 2.101 & 3.104” in the Subject line.

2.1.6 Organizational and Consultant Conflict of Interest (OCCI) Each offeror shall specifically identify in its proposal whether or not any potential or actual OCCI, as described in FAR Subpart 9.5, exists for this procurement. If the offeror believes that no OCCI exists, the OCCI response shall set forth sufficient details to support such a position. If an offeror believes that an actual or perceived OCCI does exist on this procurement, the offeror shall submit an OCCI plan with the proposal, explaining in detail how the OCCI will be mitigated and/or avoided.

2.2 Organization/Number of Copies/Page Limits

The offeror shall prepare the proposal as set forth in the Proposal Organization Table (Table 2.2 below). The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits and with the number of copies as specified in Table 2.2. The contents of each proposal volume are described in the information to offerors paragraph as noted in the table below.

Page limitations may be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the offerors. Page limitations shall not be circumvented by including inserted text boxes/pop-ups or internet links to additional information; such inclusions are not acceptable and will not be considered part of the proposal. The Government reserves the right not to consider for award any proposal that does not adhere to the administrative requirements of this solicitation. Each page shall be counted except the following: cover page, table of contents, list of tables and figures, cross reference matrix, glossaries, COMSATCOM IA Questionnaire (CIAQ), satellite availability reports, manufacturer’s technical documentation for the equipment, coverage maps, diagrams, and organizational conflict of interest (OCCI) responses and mitigation plans. Pages shall be single line spaced. Except for the reproduced sections of the solicitation document, the text size shall be no less than 11-point Arial, Times New Roman, or Courier New font for all text. Foldout pages may only be used for large tables, charts, graphs, diagrams, and schematics, not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than 11-point Arial, Times New Roman, or Courier New font for all text included in a table.

2.2.2.3 Page Numbering. The offeror shall use a standard page numbering system to facilitate the proposal references. Consecutive page numbering within parts is preferred, e.g., Page II-2-7, indicates Volume II, Part 2, page 7. Charts, graphs, and other insert materials shall be page-numbered as part of the page numbering system.

2.2.3 Cost or Pricing Information

All cost or pricing information shall be addressed ONLY in the Cost/Price Proposal Volume and in Section B- Pricing Schedule of the RFP. Information shall be limited to contract line item numbers (CLIN) or subCLINs, including unit and extended pricing, as specified in Section B of the RFP. The Contracting Officer will review each proposal to ensure cost/price information is not mentioned outside of the Cost/Price Volume. The proposal may be eliminated from consideration if cost/price data is found other than in the Cost/Price volume.

2.2.4 Cross-Referencing

To the greatest extent possible, each volume shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross-referencing to other volumes of the proposal. Information required for proposal evaluation that is not found in its designated volume will be assumed to have been omitted from the proposal.

The offeror shall prepare a Cross Reference Matrix cross-referencing all RFP requirements to the location of the offeror's responses in their proposal. The Cross Reference Matrix provides reference information but is not evaluated. The offeror's format is acceptable.

2.2.5 Indexing

Each volume shall contain a more detailed table of contents to delineate the subparagraphs within that volume.

2.2.6 Glossary of Abbreviations and Acronyms

Each volume shall contain a glossary of all abbreviations and acronyms used, and with an explanation for each.

Glossaries do not count against the page limitations for their respective volumes.

2.2.7 Proposal Submission

In the absence of an unforeseen circumstance, the Government does not intend to entertain any requests for an extension to the proposal deadline.

All questions and/or clarifications regarding the solicitation are due Tuesday, September 6, 2016, at 8:00 AM (CDT) and should be addressed to crista.n.decker.civ@mail.mil and lynn.m.buss.civ@mail.mil. 5.0 Volume III - Price

5.1 General Instructions

5.1.1 Price Reasonableness and Completeness

This section is to assist the offeror in submitting information other than pricing data that is required to evaluate the reasonableness and completeness of the proposed price. Reasonableness will be determined using one or more of the techniques within FAR 15.404. For completeness, the Government will verify that all solicitation requirements have been priced, figures are correctly calculated, and prices are presented in a clear and useful format. Price submissions should be sufficiently detailed to demonstrate their reasonableness and be adequate enough to support and sustain a DCAA audit.

5.1.2 Price Information

Pricing submitted for the base period and all option periods, including option pricing for an additional 6-month period that may be authorized IAW FAR 52.217-8, "Option to Extend Services," will be evaluated. See FAR 52.217-8, which authorizes the Government to require continued performance of any services within the limits and at the rates specified in the contract. The pricing proposal should include separate line items by CLIN for the additional 6-month period IAW FAR 52.217-8. These prices shall be identical to the proposed pricing in the 6-months prior to expiration of the final option period. The total evaluated price will consist of the proposed price for the base period, all option periods, and the option pricing for the additional 6-month period. Pricing will be incorporated into Schedule B and related B-Tables upon contract award and used for all orders placed post-contract award.

Information beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your cost/price position. All information relating to the proposed price, including all required supporting documentation must be included in the section of the proposal designated as the Cost/Price Volume.

Under no circumstances shall this information and documentation be included elsewhere in the proposal.

5.1.3 Pricing Information Requirements

It is anticipated that pricing of this action will be based on adequate price competition; therefore, offerors are not required to submit certified cost or pricing data. If, after receipt of proposals, the Contracting Officer determines the required conditions of adequate competition do not exist, that there is insufficient information available to determine price reasonableness, and none of the exceptions in FAR 15.403-1 apply, the offeror may be required to certify its submitted cost or pricing. In accordance with FAR 15.403-1(b) and 15.403-3(a), data other than certified cost or pricing data may be required to support price reasonableness. Information shall be provided in accordance with

FAR 15.403-5.

5.1.4 Price Proposal

The Pricing Schedule found in Section B of the RFP, shall be used by the offeror to submit their price proposal. The spreadsheet contains formulas to assist the Government in evaluating the offeror’s overall price based on the estimated quantities provided. The proposed unit monthly recurring charge/non-recurring charges shall reflect a firm fixed price and include all regulatory telecommunications charges and fees as well as all applicable Federal, State, and local taxes and duties. The evaluated price will be computed by multiplying monthly recurring charge/non-recurring charges by the estimated quantities for base and option periods. All formulas used shall remain present in the spreadsheet for verification.

5.2 Volume Organization

The pricing proposal shall be a separate volume from the technical proposal. The offeror shall use the Pricing Schedule, Section B, included with the RFP. The offeror agrees to hold the price in its proposal firm for 180 calendar days from the date specified for receipt of proposals or as requested in any subsequent amendment(s).

The offeror shall submit their proposed unit prices for the MWR ICP in MS Excel, as provided in Section B. The offeror’s price proposal shall be complete, submitting prices for all of the CLINs identified. Due to the likely inability of any offeror to accurately estimate amounts for CLINs X0012 and X0013, the Government is providing plug numbers to be used by all offerors when proposing for these CLINs. Failure to price all CLINs may result in the rejection of a proposal. The offeror must provide pricing for the base year and each of the option years identified.

With the exception of selected cells within the Pricing Schedule, Section B, the spreadsheet is protected by the Government and offerors shall not unprotect, alter, or add to the Pricing Schedule in any manner not directed in the instructions.

There is no page limitation for the price proposal. However, each text page shall use 11-point Arial, Times New Roman, or Courier New font, single-spaced, single-side, 8½ x 11 inches (no exceptions allowed). Excel spreadsheets may be submitted on paper up to 11 x 17 inches using 11-point Arial, Times New Roman, or Courier New font.

6.0 Volume IV –Contract Documentation

6.1 Representations and Certifications

The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file. The offeror's proposal must include a signed copy of the solicitation and completion of the sections identified below.

6.1.1 Section A-Solicitation/Contract Form

Completion of block 12, 17, and 30 of the SF 1449 are required. Signature by the offeror on the SF 1449 constitutes an offer, which the Government may accept.

6.1.2 Section I - Contract Clauses

Refer to the RFP for contract clauses specifically related to this effort. The offeror shall comply with the clauses provided in the RFP. Please note that many clauses require the prime contractor to include the same or similar clause in contracts with subcontractors.

6.1.3 Section K – Representations, Certifications, and other Statements of Offerors Completed representations, certifications, acknowledgments, and statements are required.

6.2 Other Information Required

6.2.1 Organizational and Consultant Conflicts of Interest (OCCI) Mitigation Plan In accordance with DARS 52.209-9000, each offeror shall specifically identify in its proposal, whether or not any potential or actual OCCI as described in FAR Subpart 9.5 exists for this instant procurement. If the offeror believes that no OCCI exists, the OCCI response shall set forth sufficient details to support such a position. If an offeror believes that an actual or perceived OCCI does exist on the instant procurement, the offeror shall submit an OCCI plan with the proposal, explaining in detail how the OCCI will be mitigated and/or avoided.

7.0 Required Submittals

The Offeror must provide the following submittals in response to the RFP:

a) Standard Form SF1449, Solicitation (Signed and completed)

b) Technical/Management Document- Performance Work Statement (Section L, Paragraph 4.0 and RFP

Section C), to include coverage maps, etc.

c) Pricing Schedule (Section B)

d) CIAQ (Section J, Attachment 1)

e) OCCI Plan

f) Subcontracting Plan (only applicable to other than small businesses)

8.0 Non-Government Advisors

8.1 Proposal Evaluation

Offerors are advised that the following contractors may participate as non-government advisors in the evaluation of proposals:

FCI

14170 Newbrook Drive Suite 100 Chantilly, Virginia 20151

TriSept Corporation 14425 Penrose Place Suite 270 Chantilly, Virginia 20151

8.2 Data Access

The above listed non-government advisors will be authorized access to only those portions of the proposal data and discussion items that are necessary to enable them to provide specific advice on specialized matters or on particular problems. The non-government advisors will not be allowed to establish initial or final assessments of risks or actually rate or rank offerors’ proposals. The non-government advisor will not take part in discussions with offerors.

The non-government advisors will be required to sign non-disclosure/conflict of interest documents prior to carrying out their responsibilities. Offerors’ objections to the disclosure of information to these non-government advisors shall be provided in writing to the Contracting Officer before the date set for receipt of proposals. The written objection shall include a detailed statement for the basis of the objection.

8.3 Non-Government Source Selection Software

FedSelect, source selection software tool developed by CACI, shall be used during the proposal evaluation phase.

As a result, CACI will have access to offeror’s proposals for the sole purpose of uploading the documents into the software tool.

SECTION M - EVALUATION FACTORS FOR AWARD

SECTION M

Evaluation Factors for Award

M001 SOURCE SELECTION

a. Basis for Contract Award

This is a best value source selection conducted in accordance with FAR Subpart 15.3, Source Selection, as supplemented by the DFARS and the DARS. These regulations are available electronically at http://www.ditco.disa.mil/hq/aqinfo.asp and http://farsite.hill.af.mil. The Government will select the best overall offeror, based on integrated assessment of the evaluation factors and subfactors described below. A contract may be awarded to the offeror who is deemed responsible in accordance with the FAR, as supplemented, whose proposal conforms to the solicitation’s requirements (to include all stated terms, conditions, representations, certifications, and all other information required by Section L of this solicitation) and is judged to represent the lowest priced technically acceptable approach.

http://www.ditco.disa.mil/hq/aqinfo.asp http://farsite.hill.af.mil/

b. Evaluation

The technical proposal should include all information the offeror wants the Government to consider and evaluate regarding its company’s ability to perform all required tasks and conform to all required terms and conditions. The best value determination will be based on the lowest priced offer that meets all requirements. After receipt of proposals, the Government will first evaluate the lowest price proposal. If the lowest price proposal is determined to be technically acceptable and otherwise properly awardable, no further evaluations will be conducted, and award will be made. If, however, the lowest price proposal is determined to be technically unacceptable and/or otherwise not properly awardable, further evaluations will be conducted.

The Government intends to evaluate proposals and award a contract without discussions with offerors. However, the Government reserves the right to conduct discussions or seek clarifications if the Contracting Officer determines they are necessary. In the event issues pertaining to a proposed contract cannot be resolved to the Contracting Officer’s satisfaction, the Government reserves the right to withdraw and cancel the proposed contract. In such event, offerors will be notified in writing. In the event a competitive range is established and the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition.

c. Evaluation of Options

The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the base period. The offeror shall submit pricing for the base period and all option periods, including option pricing for an additional 6-month period that may be authorized IAW FAR 52.217-8. See FAR 52.217-8, which authorizes the Government to require continued performance of any services within the limits and at the rates specified in the contract. The pricing proposal shall include a separate line item for the additional 6-month period IAW FAR 52.217-8. These prices shall be identical to the proposed pricing in the 6 months prior to expiration of the base period, or the final option period. The total evaluated price will consist of the contractor’s proposed price for the base period, all option periods, and the option pricing for the additional 6-month period. The Government reserves the right, but is not obligated, to review option prices to determine if they are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

d. Number of Contracts to be Awarded

The Government intends to award a firm-fixed price, single-award ID/IQ contract for the MWR Internet Café Program ICP; however, the Government reserves the right to make no award at all.

e. Rejection of Offers

The Government may reject any proposal that contains program commitments or contract terms and conditions that do not comply with the PWS or this RFP. The Government reserves the right, but is not obligated, to review for unbalanced pricing. If the Government conducts such a review, the Government may eliminate a proposal from the competition if it contains unbalanced pricing.

M002 EVALUATION FACTORS

a. Evaluation Factors and Subfactors

Award will be made to the offeror whose proposal is determined to represent the overall best value to the Government using a lowest priced technically acceptable evaluation process. The following evaluation factors and subfactors will be used to evaluate each proposal and allow the Government to assess the offeror’s ability to perform the contract.

Factor 1: Technical/Management Subfactor 1: Internet Cafés

Subfactor 2: End-to-End Managed Services Factor 2: Information Assurance (IA)

Factor 3: Cost/Price

b. Technical/Management Factor

The technical/management evaluation will be evaluated for acceptability using the ratings in Table 1.

Table 1. Technical/Management Ratings Rating Description

Acceptable Proposal/quotation clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal/quotation does not clearly meet the minimum requirements of the solicitation.

The Government will evaluate the offeror’s proposal in accordance with the subfactors described below. Each subfactor listed under the Technical/Management evaluation will be assessed individually, and each subfactor will receive its own rating. A rating of unacceptable in any of the below subfactors will render a proposal unawardable.

The Technical/Management approach will be evaluated using the following subfactors:

(i) Subfactor 1 – Internet Cafés (Reference PWS subparagraph 6.2) In order for this subfactor to be rated Acceptable, the proposed solution must meet the standards enumerated below:

a. The offeror must demonstrate how they will provide Field Service Representatives (FSRs) that are highly experienced in electronic systems and familiar with the contractor’s proposed Internet Café Program systems to conduct onsite maintenance when service and equipment issues cannot be resolved remotely, as described in PWS subparagraph 6.2.4.1 and 6.2.4.4. For purposes of this subfactor, highly experienced means at least 10 years of experience in electronic systems and similar systems to those the offeror proposes to use to meet the Internet Café requirements. FSRs shall be available to deploy anywhere in the world to install, de-install, maintain, troubleshoot, and repair Cafés, per PWS subparagraph 6.2.4.4.

b. The offeror must demonstrate how they will provide all Internet Café equipment to support the sizes and types described in PWS subparagraph 6.2.1 for both satellite-based and local ISP-based Internet Cafés. The offeror must also demonstrate how they will provide all software for the Cafés as described in subparagraph 6.2.3.

(ii) Subfactor 2 – End-to-End Managed Services (Reference PWS subparagraph 6.3) In order for this subfactor to be rated Acceptable, the proposed solution must meet the standards enumerated below:

a. The offeror must demonstrate through service coverage maps and link budget analysis how the space segment coverage requirements are met through the service offering, per PWS subparagraph 6.3.1.1.

b. The offeror must demonstrate how minimum committed information rates, service availability, latency, and packet loss requirements will be met by the offeror’s proposed solution, per subparagraphs 6.3.1.2, 6.3.1.3, 6.3.1.4, 6.3.1.5, and 6.3.1.6.

c. The offeror must demonstrate their capability of providing automated provisioning of U.S.-based

Internet services so that users are able to directly access services without additional actions (e.g., having to call to a help desk for access when using Café and personal devices) to all MWR Internet Cafés ordering services under this contract per subparagraph 6.3.

d. The offeror must demonstrate their capability of providing a local ISP option for transmission in lieu of satellite communications for all café types and locations per subparagraph 6.3.5.

c. Information Assurance Factor

Information Assurance Specifications (PWS Section 6.4.1): This factor will be evaluated, on an acceptable/unacceptable basis described in Table 1, above. An unacceptable rating for the Information Assurance Factor will render a proposal unawardable. The CIAQ is located in Section J, Attachment 1 of the RFP. In order for this subfactor to be rated acceptable, details of the contractor solution IA security posture shall be documented in the DISA provided CIAQ. The CIAQ must be submitted in its original Microsoft Excel format with the technical quotation. A single CIAQ must document all applicable system segments (corporate systems not involved in service operations need not be reported upon). NSA Cryptography is acceptable. As a minimum, Cryptography generally commensurate with commercial best practices is also acceptable if the Government determines that normal or special contractor emphasis and normal or close Government monitoring will likely be able to overcome any schedule, cost/price, and/or performance issues. Once the Government has identified the proposal that represents the best value to the Government, the Government will seek approval of the selected proposal by the Authorizing Official (AO).

If the AO does not approve the selected solution, the Government may either choose another offeror’s proposal or choose not to award the contract.

d. Price Factor

(i) For award purposes, the offeror's price proposal will be evaluated based upon the total evaluated price proposed for the base period and all option periods, including option pricing for an additional 6-month period that may be authorized IAW FAR 52.217-8.

(ii) The Government will calculate the total evaluated price by multiplying the proposed non-recurring costs and monthly recurring costs by the Government-provided evaluation quantities and evaluated months for each period, including the option pricing for an additional 6-month period. The estimated quantities are included in the Pricing Schedule in Section B of the RFP.

(iii) Evaluation of options shall not obligate the Government to exercise such options.

(iv) The offeror’s price proposal will be evaluated, using one or more of the techniques defined in FAR 15.404, in order to determine if it is reasonable and complete. Normally, price reasonableness is established through price analysis techniques as described in FAR 15.404. For additional information, see FAR 31.201-3. The Government will determine completeness of the offeror's price proposal by verifying that all solicitation requirements have been priced, figures are correctly calculated, and prices are presented in a clear and useful format. The offeror shall complete the Government-provided Pricing Schedule in Section B of the RFP, as instructed in Section L.
