21.0 PERFORMANCE EVALUATION MEETINGS. The Contracting Officer may require the contract manager to meet with the contracting officer, communications Rep, end user, and other government personnel as deemed necessary. The contractor may request a meeting with the Contracting Officer when he or she believes such a meeting is necessary.
22.0 POINTS OF CONTACTS AND AUTHORITIES. The Contracting Officer is the only person authorized to approve any changes to the requirements of this contract and, not withstanding provisions contained elsewhere in this contract, the authority remains solely the contracting officer.
TO BE PROVIDED AT CONTRACT AWARD
22.1 In the event the Contractor effects any change at the
direction of any person other than the contracting officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price as a result of the change.
23.0 LIABILITY. The U.S. Government accepts no liability for
the actions of the Contractor or its employees and agents.
24.0 PAYMENTS (WAWF). The Contractor shall submit all invoice and receiving reports directly to Wide Area Workflow (WAWF) in accordance with the instructions included in the Addendum to the contract. The COR will verify billing against government records to ensure the proper rate is being charged. The invoice shall be provided 30 calendar days after the established reporting period (monthly) and shall contain:
- Contract Number.
- Equipment Make, Model, and Serial Number.
- Equipment Location: Building and room number.
- Invoice number, date, and performance period date(s).
Accuracy of all invoices is extremely important. Noted invoice discrepancy(s) by the Government during any monthly processing periods, shall be rejected, and resubmitted by the contractor within seven days from receipt date for continuous processing in accordance with Prompt Payment Act (USC, Title 31, 3903(a)) and OMB Circular A-125, Prompt Payment, as revised. All monthly discrepancies will be documented and will serve as official documentation in the evaluation of the contractor's past performance.
25.0 CONTRACT ADMINISTRATION. Correspondence relative to the
administration of this contract shall be addressed to the following:

PART II. PRICE RELATED FACTORS.
26.0 FLAT RATE PRICES.
This will be a Firm-Fixed Price Contract. The Government requires
Firm-Fixed Price quotes that provide “Flat Rate Prices” for all supplies and services sought. The term “Flat Rate Prices” means one monthly lease price (inclusive of all prints, services, and supplies) per MFD throughout all months of the contract. No other pricing arrangement will be considered by the Government.
27.0 OPERATIONAL LEASE.
MARSOC intends to enter into an operational lease—not a capital lease. (The capital lease criterion is set forth in the DoD’s Federal Management Regulation.) Among other things, this means ownership of equipment will not transfer to the Government at any time, including at the end of the lease. Offeror must provide lease pricing for leases where, throughout the entire lease, ownership of the equipment remains with the offeror. Offeror must not provide prices for lease-to-own type leases.
