SECTION SF 1449 - CONTINUATION
This is a Five Year Indefinite Delivery Indefinite Quantity (IDIQ) type contract which will be executed via issuance of Firm Fixed Priced Task Orders.
CONTRACT LIMITATIONS
MINIMUM CONTRACT VALUE
The minimum contract value will be satisfied by the Government upon issuance of the first task order, for the life of the contract. Once the minimum contract value is satisfied, the Government is under no further obligation to issue additional orders.
MAXIMUM CONTRACT VALUE
The maximum contract value is established at $2,000,000.00 for the life of the contract. The cumulative value of all orders issued against any resultant contract shall not exceed the maximum contract value.
ELIN STRUCTURE
a) Under each ordering year, the Contractor shall use the provided ELIN structure for pricing at both the basic contract and task order level.
AUTHORIZED ORDERING OFFICIALS
a) All Naval Special Warfare and United States Special Operations Contracting Officers may issue Task Orders, with prior approval from a H92240 Contracting Officer that sufficient capacity is available.
b) Task Orders may be placed either orally or in writing by the applicable contracting officer only, upon receipt of prior approval from H92240 Contracting.
c) Task Orders may not be placed against this contract by any other source, unless otherwise permitted by the H92240 Contracting Officer.
d) Task Orders will contain applicable Delivery and Payment instructions.
e) The value and PIIN of Task Orders issued to DODAACs other than H92240 shall be forwarded to WCMCONTRACTS@socom.mil within ten (10) business days of the date of the Order.

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JUN 2020)
Paragraphs (a) thru (l) are incorporated by reference.
(m) ADDENDA:
(1) The quote is due 11 August 2020 at 1000 Pacific Time, within the Government’s email inbox inbox identified below in paragraph (m)(3). Email to the email address in (3) below, is the only acceptable method of quote submission.
(2) Quoters may submit written questions during the quote preparation period. All questions must be received no later than 30 July 2020 at 1000 Pacific Time. Only written questions sent to the email address in (3) below, will receive a response.
(3) All questions and quotes shall be directed to the Contract Specialist by email, citing the RFQ number in the subject, at the following addresses: taylor.laman@socom.mil and jonathan.h.katz.civ@socom.mil.
(4) Comprehensive responses to the requirements of this Request for Quote (RFQ) are required to enable the Government to evaluate the Quoter’s understanding of, capability and approaches to accomplish the stated requirements. Quotes shall be submitted in accordance with the instructions herein, and non-conformance with the specified required content may be cause for rejection of the quote. Any such exceptions or failure to identify exceptions may render the quote ineligible for award. The quote shall be valid for no less than 90 days from the date of RFQ closing, a statement affirming this fact shall be included on the cover page of all factor volumes. The quote shall provide comprehensive responses to the areas provided for in this section. The quote shall be a complete response to the Attachment 1 - Performance Work Statement (PWS) and the requirements of this RFQ. The uccessful offeror will be selected based on an evaluation of quotes as outlined in FAR 52.212-2 and it’s addendum, included in this RFQ.
(5) Quote Format And Content. Electronic quotes shall address the sections listed below. Individual emails may not exceed 10 MB. Submissions with .zip files are not acceptable and will not be delivered by the government email server. The government server does not generate rejection notices and it may not forward a file if quarantined by the edge device. As such it is the vendor’s responsibility to ensure its quote is received. The quote page format will be 8 1/2” x 11” except for fold-outs used for charts, tables, or diagrams, which may not exceed 11” x 17”. A page is defined as one face of a sheet of papercontaining information. Type shall not be less than 10 pitch. Elaborate formats or color presentations are not desired or required.
(6) ADMINISTRATIVE INFORMATION: Complete business address of the Offeror, the corporate name to be used on any resultant contract, and the remittance address if different from that above. If this name does not identify a "parent company" or sponsoring "corporation" name, also provide such identity, as appropriate.
(i) The Offeror’s Commercial and Government Entity (CAGE) Code and Dun & Bradstreet (DUNs) Number.
(ii) Name, telephone numbers and e-mail address of person(s) to be contacted for clarification or questions to the quote.
(iii) Fill-In Clauses: Provide all fill-ins or certifications required by the solicitation for inclusion in any resulting contract. The Quoter must be registered in the System for Award Management (SAM) to be eligible for award; Quotes received without the completed copy of the provision at FAR 52.212-3 or completed SAM representation may be considered non-compliant.
(7) TECHNICAL: This section shall address the Quoter’s technical capabilities to accomplish the work by providing specific narrative details and/or description of actual methods, processes and procedures for conducting the course(s) as described in the Attachment 1- Performance Work Statement (PWS). General statements that the Quoter understands and can or will comply with the requirements of the RFQ will be considered inadequate. Also, Quoters are cautioned not to simply rephrase or restate the Government’s requirements in the quote, but furnish convincing narratives describing “how” they intend to meet these requirements. The Quoter shall limit the Technical Section to 10 pages, exclusive of Resumes or Certificates.
(i) Technical Capability: The Quoter shall provide sufficiently detailed information to demonstrate how the training course requirements outlined in the performance work statement will be satisfied.
Specifically, the quote shall include information relative to the training location and any associated permits that may be required at the specified location, contractor equipment that is similar to the items specified in the PWS, and the experience of instructor personnel to include identification of certifications required under PWS paragraph 4.1.7.
(ii) Corporate Experience: The Quoter shall provide sufficiently detailed information to demonstrate it has recent and recurring experience (within the last three years) delivering the same or very similar services as required in this solicitation.
In addition, quoters shall fill out the provision contained in SOFARS Clause 5652.204-9004 Foreign Persons (2006). The Quoter shall limit this volume to five (5) pages.
(8) PRICE: The Quoter shall provide firm-fixed prices for all five years in Attachment 2 – ELIN Table (Basic Contract) for ALL Exhibit Line Item Numbers (ELINs) outlined in the solicitation with all applicable pricing information. Partial quotes will not be considered. The evaluated price of the option under FAR 52.217-8 will be calculated by the Government at 50% of the total price for Year 5. The Government may require additional “other than cost and pricing data” prior to award.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
The Government will award a contract resulting from this solicitation to the responsible offeror whose quote conforming to the solicitation is the lowest price technically acceptable offer. The following factors shall be used to evaluate offers:
Factor 1 – Technical Factor 2 – Price
A finding of Unacceptable in Factor 1 shall result in the entire quote being determined unacceptable and, therefore, ineligible for award. The Government shall evaluate the Technical Factor using the following adjectival ratings:
Adjectival Ratings Description Acceptable Proposal meets the requirements of the Performance Work Statement AND Quoter has recent and recurring experience within the past three years in providing the same or similar types of services.
Unacceptable Proposal does not meet the requirements of the Performance Work Statement AND/OR Quoter does not have recent and recurring experience within the past three years in providing the same or similar types of services.
Factor 1 – TECHNICAL: The Government will evaluate information submitted by the quoter for this factor and will make an acceptable or unacceptable rating.
Technical Capability: The quote will be evaluated to determine the extent to which the Quoter meets the technical requirements of the PWS.
Corporate Experience: The quote will be evaluated to determine the extent to which the Quoter has recent and recurring experience within the past three years in providing the same or similar types of services to either a Government or Commercial entity.
Acceptable is defined as the quoter’s technical approach clearly demonstrating the ability to meet the overall requirement outlined in Attachment 1 PWS and the Quoter having recent and recurring experience within the past three years in providing the same or similar types of services. Unacceptable is defined as the quoter’s technical approach not meeting all stated requirements outlined in Attachment 1 PWS and /or the Quoter not having recent and recurring experience within the past three years in providing the same or similar types of services.
Factor 2 – PRICE: All prices proposed in Attachment 2 – ELIN Table (Basic Contract), including the option permitted under FAR 52.217-8, will be evaluated for price reasonableness in accordance with FAR 13.106-3. Note that pricing for all items is required, otherwise the quote may be considered ineligible for award. The total evaluated price will be calculated automatically. The Government will evaluate quotes for award purposes by adding the total prices for all five years, and the six-month extension via FAR 52.217-8. The evaluated price of the option under FAR 52.217-8 will be calculated by the Government at 50% of the total price for Year 5.
All offerors shall be considered in terms of price, lowest to highest, and then the apparent lowest-priced offeror will be evaluated for acceptability under the technical factor. If the lowest-price offeror is evaluated as unacceptable, the acceptability of the next lowest-price offeror will be evaluated, continuing this process as necessary. The Government reserves the right (but is not required) to seek additional information from only the lowest price vendor and make award to that vendor considering the additional information.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (JUN 2020)
ALTERNATE I (OCT 2014)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision--
“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Forced or indentured child labor” means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
“Sensitive technology”—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

“Service-disabled veteran-owned small business concern”—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Veteran-owned small business concern” means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern --

(2) Whose management and daily business operations are controlled by one or more women.
“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability.
Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.
(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
