The offeror shall submit a Past and Present Performance Proposal (Volume II) that contains the following:

L3.2 Past Performance Summary. Provide a summary describing the role of the offeror and each subcontractor, teaming partner, and/or joint venture partner. Include rationale supporting the assertion of relevance, but note the Government is not bound by the offeror’s opinion of relevancy. Clearly link past performance to the factors/sub-factors; explain what aspects of the contracts are deemed relevant to the proposed effort. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past effort to identify and mange program risk.

L3.3 Past Performance Information Sheets (Section J Attachment 9). The offeror shall submit a maximum of 5 Past Performance Information (PPI) Sheets with an emphasis on the prime offeror. Offerors must submit information for those contracts which are relevant to demonstrate the ability to perform all of the work identified in the Group A SOW.

L3.4 Past Performance Questionnaires (Section J Attachment 10). The offeror shall submit Past Performance Questionnaires (PPQ) for those contracts identified on the information sheets. The completed questionnaire shall be submitted directly via email from the reference to karen.stevens@socom.mil and sherri.ashby@socom.mil by the proposal due date. The offeror is responsible for distributing the questionnaires and providing a tracking record that shows who they sent them to and the contact information for the individuals. L3.5 Past Performance Information Regarding Small Business Participation. Offerors that are required to submit subcontracting plans shall provide the following past performance information. Provide one year history (within the past 12 months) demonstrating corporate commitment to meet subcontracting goals/targets by providing Individual Subcontracting Reports (ISRs) or Summary Subcontracting Reports (SSRs) that have been accepted through the Electronic Subcontracting Reporting system (www.eSRS.gov), for those contracts/projects submitted mailto:karen.stevens@socom.mil mailto:sherri.ashby@socom.mil under Past Performance. The offeror shall submit, along with the information required in this paragraph, a consent letter, executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse PPI to the offeror so the offeror can respond to such information. For each commercial customer citation, the offeror shall also submit a client authorization letter.

L3.7 Relevant Contracts. Relevancy will be determined based on contract references reflecting past and present performance over the past five years. Contract efforts will be considered either relevant or not relevant. The Government will perform an independent analysis in determining the relevancy of a contract based on the data provided and/or obtained. When making relevancy determinations, the definitions in Table L.2 will be utilized.

Table L.2

Relevant (R) Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Not Relevant (NR) Present/Past or Present Performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

L3.7.1 For the prime offerors, relevancy is defined as contracts that are most similar to this effort; contract type, dollar value, types of services provided, complexity, numbers of personnel required on the contract being reviewed when compared to those of the SWMS Group A requirements. The past performance should be similar in breadth and depth related to the functional areas as outlined in the SWMS Group A SOW.

L3.7.2 For proposed subcontractors/teaming partners, relevancy is defined by that which reflects experience in the area of expertise the subcontractor is projected to actually perform under the program, (i.e. specific functional areas in the SOW).

L3.7.3 In the case of a newly formed business entity or in contractor teaming arrangements where the company is relying mostly on the past performance and experience of its key personnel, partners on the team, or on a major subcontractor(s), the proposal must clearly explain "whose" past performance, and "how" that past performance is relevant to the procurement. Resumes or letters of recommendation are not a valid past performance submissions.

L-4 VOLUME III – PRICE/COST PROPOSAL

L4.1 FACTOR 4 – Price/Cost General. Price/cost information shall only be addressed within this volume.

Offerors must ensure task order proposals are submitted IAW these instructions and the TO specific instructions provided. The burden of proof for credibility of proposed prices rests with the offeror and the numbers must be verifiable. Any inconsistency between proposed performance and price/cost shall be explained in the task order proposals. A significant inconsistency, if unexplained, may raise a question of the offeror’s understanding of the nature and scope of the work required and its ability to perform within the proposed price/cost constraints, which may cause the proposal to be rejected.

Note: It is expected that IDIQ level personnel would be an indirect cost, if this is inconsistent with the offeror’s accounting practices, offerors shall include as a direct cost and provide basis of estimate.

L4.2 Contract Type (FFP): Offerors are to provide a total Firm-Fixed-Price (FFP) for each task order provided.

Price shall be inclusive of all direct (i.e., direct labor, material, and ODCs) and associated indirect costs plus profit related to the task order. Proposed price shall be identified by base and option periods. Offeror shall submit supporting information required to evaluate FFP prices, to include Basis of Estimates (BOEs) for all FFP task orders. Although the Government will not adjust the proposed FFP prices, the Government will evaluate these

BOEs to ensure the offeror has a complete understanding of the task order. Offeror must identify and describe all price assumptions. Subcontractor sealed packages are not required. Additional Instructions to Offerors are provided for each TO.

L-5 VOLUME IV – ADMINISTRATIVE MATERIAL

L5.1 General. The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file; as well assist the KO in making a responsibility determination. Offerors shall provide the following additional administrative material.

L5.2 Facility Security Clearance. The offeror must possess, or acquire prior to award of the contract, a Top Secret Facility Clearance as accredited by the Defense Security Service (DSS) in accordance with the contract level Contract Security classification Specification (DD Form 254). If an offeror that is an apparent IDIQ awardee does not possess a TS facility clearance by the time the IDIQ contracts are awarded, they will be ineligible to receive any task order awards until a TS FCL is obtained. Storage of classified information is not anticipated to be required at the contract level; however, the contractor shall meet all requirements of the Task Order level DD Form 254 requirements.

USSOCOM cannot sponsor a FCL without a contract in place. Since the solicitation itself does not require any access to classified material; an offeror that does not currently possess a Top Secret FCL can submit as part of their proposal, evidence that the process has been initiated with DSS under another contract award to include status on the accreditation process.

L5.3 Contract Forms and Certifications.

L5.3.1 Proposal cover page which includes names, office phone numbers, cell phone numbers, and email addresses for individuals who are authorized to discuss the proposal with government personnel on behalf of the offeror.

L5.3.2 Section A – Solicitation/Contract Form Complete blocks 12-16, and the Signature and Date blocks 17 and 18, of the Standard Form 33. A signature by the Offeror on the Standard Form 33 constitutes an offer, which the Government may accept. The "original" copy shall be clearly marked under separate cover.

L5.3.3 Section I – Contract Clauses All clauses from the IDIQ contract carry over to subsequent TOs, and have the same applicability despite omission of these clauses on each TO. The offeror shall complete all TO requirements IAW terms and conditions of the IDIQ contract and any additional terms and conditions specified in the TO.

L5.3.4 Section K – Representations, Certifications, and other Statements of Offerors FAR 52.204-7, System for Award Management, is incorporated by reference in Part II, Section I. The Offeror shall follow the instructions cited in this Section K, FAR 52.204-08 and complete all representations, certifications, acknowledgments, and statements in the Online Representations and Certifications Application (ORCA) as part of responding to this RFP (https://orca.bpn.gov/). If a representation, certification, acknowledgement or statement cited in this Section K cannot be found in ORCA, then the Offeror shall submit that Section K representation, certification, acknowledgement or statement. Failure to adhere to these instructions will render an Offeror as being ineligible for award.

L5.4 Current Adequate Accounting System. IAW Federal Acquisition Regulations (FAR) Part 30; Cost Accounting Standards (CAS) do not apply to small business concerns. IAW FAR 16.306 (c), no CPFF contract may be awarded unless the limitations in FAR 16.301-3 are met. One of the limitations cited is that the contractor’s accounting system must be adequate for determining costs. The offeror shall provide valid documentation from DCMA, DCAA or other Federal Audit Agency that they have an adequate accounting system for operating Government cost type contracts to be considered for award. The offeror may provide other information that allows the contracting officer to determine that the contractor's accounting system will permit timely development of all necessary cost data for the cost type CLINs and the negotiation of cost in accordance with the FAR and applicable supplements in order to be considered for award. If the offeror does not currently have valid documentation (within the last 3 years) regarding an adequate accounting system, the Offeror shall complete Section J Attachment 13 –SWMS Modified SF 1408 Preaward Survey of Prospective Accounting System Checklist with supporting documentation. An advance copy of the offeror's SF 1408 with supporting documentation shall be forwarded to the cognizance DCAA and to the Contracting Officer as soon as practicable nut no later than the proposal due date. Offeror’s are cautioned that determination of the adequacy of the accounting system must be accomplished to be eligible for contract award.

Therefore, offerors shall be prepared to support DCAA audits upon the initiation of the audit.

L5.5 Small Business Subcontracting Plan. A small business concern as defined in FAR 2.101 is not required to submit a Subcontracting Plan. For other than small business concerns, the offeror shall provide a subcontracting plan IAW FAR 52.219-9, Small Business Subcontracting Plan. The Subcontracting Plan shall include a description of the Offeror’s subcontracting strategies used in previous contracts and significant achievements, with an explanation of how this plan will build upon those earlier achievements. Additionally, the Offeror shall demonstrate through its plan that it understands the small business subcontracting program’s objectives and is committed to taking those actions necessary to meet the goals outlined below. The subcontracting plan will be incorporated by reference into the resulting SWMS Group A IDIQ prime award.
