I.D. Period of Performance

The Initial Contract period shall be for a period of twelve (12) months from the date of contract award. Task Orders may be placed under this Contract from the date of award through the expiration date of said Contract.

I.D.1. Optional Contract Periods

GSAR 552.217-71, Notice Regarding Option(s) (Nov 1992)

The GSA has included an option to extend the term of this contract in order to demonstrate the value it places on quality performance by providing a mechanism for continuing a contractual relationship with a successful Offeror that performs at a level which meets or exceeds GSA’s quality performance expectations as communicated to the Contractor, in writing, by the Contracting Officer or designated representative. When deciding whether to exercise the option, the Contracting Officer will consider the quality of the Contractor’s past performance under this contract in accordance with 48 CFR 517.207.

In accordance with GSAR 517.203, solicitations that include an option to extend should inform Offeror that the contract could result in a long term contractual relationship subject to both of the following conditions: Continuing need by GSA, and level of contract performance that at least meets GSA’s quality performance expectations.

The Government reserves the unilateral right to exercise the options to extend the term of the Contract. This Contract contains options that allow the government to extend the Contract for four (4) one-year option periods.

I.D.2. Option to Extend the Contract

FAR 52.217-9 Option to Extend the Term of the Contract (Mar 2000)

The Government may extend the term of this contract by written notice to the contractor within the term of the contract; provided that the Government gives the contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension. If the Government exercises this option, the extended contract shall be considered to include this option clause. The total duration of this contract, including the exercise of any options under this clause, shall not exceed 4 years.

February 28, 2017 Pages 5 of 62 (The Agreement including Amendment 1)

I.E. Contract Values

The awarded Contractor will be guaranteed a minimum of $1,000.00 for the entire contract duration (maximum potential of five (5) years) to be executed ONLY during the base year, which can be satisfied by the award of one or more Task Orders during the respective Contract period.

In the event a firm receives awards of less than this guaranteed minimum, the Government will reimburse the Contractor for the difference between the actual obligation and the guaranteed minimum. The maximum value (total of the base and all optional periods) of a contract awarded as a result of this solicitation is $2,000,000.00. Refer to Section IV.A. FAR 52.216-19 (Order Limitations) which specifies Task Order limitations.

If the Government’s requirements for construction set forth in the Contract do not result in Task Orders in the amounts described throughout the Contract as estimated or maximum dollar values, the event shall not constitute the basis for an equitable price adjustment under any resultant Contract.

Each task order shall specify dates for starting work and completing work at the job site. The starting date shall not be less than two (2) calendar days (except as may be otherwise agreed upon and between the Ordering Official and the contractor) after issuance of the task order.

Time shall be computed starting with the date the task order was received by the contractor.

I.G.2. Liquidated Damages Rate Liquidated Damages are established at a rate of $100.00 per day for Task Orders issued under the Contract. I.G.3.e. Tax Exempt Status

Each contract is subject to its respective Tax Exempt Status, as it varies by state:

Tax Exemption letters and certificates will be furnished to each awarded contractor by the Contracting Officer/Ordering Official upon request from the Contractor.

February 28, 2017 Pages 7 of 62 (The Agreement including Amendment 1)

Invoices should be retained by the purchasing contractor/subcontractor as required by law.

Invoices shall be furnished to the Ordering Official upon request for supplies purchased, used and consumed in fulfilling the project.

Issuance of the exemption letters and exemption certificates does not relieve the contractor for responsibility for payment for materials or supplies, nor does it create a contractual relationship between GSA and any subcontractor.

Kansas Sales and Use Tax Notwithstanding any other provisions of this contract, the contract price excludes the Kansas Retailers’ Sales Tax and Compensating (Use) Tax on all sales of tangible personal property or services purchased for the performance of the contract. In accordance with K.S.A. 79-3606, subsection (e) as provided April 9, 1971, the contracting office will obtain from the State and furnish to the contractor an Exemption Certificate for subcontractors in the purchase of materials for incorporation in the project. The number of such certificate shall be furnished to all suppliers from whom such purchases are made, and such suppliers shall execute invoices covering the same, bearing the number of such certificate. The contractor shall furnish copies of all such invoices to the Contracting Officer, who, upon completion of the project shall certify to the State that upon information provided and belief all purchases so made were entitled to exemption under said subsection (e).

Missouri Sales Tax Sales of supplies and materials to the contractor and subcontractors for use in this project are exempt from Missouri sales tax. Notwithstanding any other provisions of this contract, the contract price is based upon exemption for Missouri Sales Tax for sales at retail of tangible personal property and materials for use in this project.

Sales to the contractor and subcontractors of construction materials and supplies for this project are exempt from Missouri sales tax provided the contractor and/or subcontractors provide to their suppliers a project exemption certificate authorizing purchases for the project.

An exemption letter and certificates will be furnished to the contractor by the Contracting Officer upon request of the contractor. Contractors/subcontractors must provide a copy of the exemption letter and certificate to suppliers when purchasing materials and supplies to be used in the project. (Purchases of machinery, equipment or tools used in fulfilling the contract are not exempt from sales tax). Suppliers are to include on their invoices the name of the exempt organization (GSA) and the project identification number. NOTE: Tax Exemption letters and certificates will not be issued until the required schedule of values and progress schedule have been submitted and approved.

Invoices should be retained by the purchasing contractor/subcontractor as required by law.

Invoices shall be furnished to the Contracting Officer upon request for supplies purchased, used and consumed in fulfilling the project. All offerors are referred to the Missouri Revised Statutes for the specific requirements and provisions of the law.

Issuance of the exemption letters and exemption certificates does not relieve the contractor for responsibility for payment for materials or supplies, nor does it create a contractual relationship between GSA and any subcontractor.

February 28, 2017 Pages 8 of 62 (The Agreement including Amendment 1)

Iowa Sales Tax Sales of construction materials to the contractor and subcontractors for use in this project are exempt from Iowa sales tax. Notwithstanding any other provisions of this contract, the contract price is based upon exemption for Iowa Sales Tax for sales of tangible personal property consisting of building materials, supplies, or equipment for use in this construction project.

In order to utilize this exemption for Iowa sales tax the contractor and/or subcontractors is required to provide their suppliers a project exemption certificate authorizing purchases for the project.

Upon request of the contractor, the Contracting Officer will furnish and authorization letter and exemption certificates for the contractor/subcontractors. Contractors/subcontractors must provide a copy of the exemption certificates to suppliers when purchasing construction materials to be used in the project. (Complete information on qualifying materials can be found at www.state.ia.us/tx, the Iowa Department of Revenues website). Suppliers are to include on their invoices the name of the exempt organization (GSA) and the project identification number.

Invoices should be retained by the purchasing contractor/subcontractor, as required by law.

Invoices shall be furnished to the Contracting Officer upon request for construction materials purchased, used and consumed in fulfilling the project.

All offerors are referred to the Iowa Code Sections 422.42(15) & (16), and 422.47 (5) for the specific requirements and provisions of the law.

Issuance of the authorization letter and exemption certificates does not relieve the contractor of the responsibility for payment for construction materials, nor does it create a contractual relationship between GSA and any subcontractor.

Nebraska Sales Tax All contractors, both resident and nonresident, have three options from which to choose regarding how they will satisfy their sales and use tax liability on building materials and fixtures.

The choice of an option is made by the Nebraska Department of Labor’s online Contractor/Subcontractor Registration Application located at www.dol.nebraska.gov. The contractor/subcontractor registration information, including the contractor option elected, is displayed in the Contractor Registration Database. Before performing any construction work in Nebraska, a contractor must be registered in the Contractor Registration Database.

To make tax-exempt purchases of building materials and fixtures, Option 1 or Option 3 contractors must complete Nebraska Resale or Exempt Sale Certificate for Sales Tax Exemption Form 13, Section C, Part 1.

To make tax-exempt purchases of building materials and fixtures pursuant to a construction project for an exempt governmental unit or an exempt nonprofit organization, Option 2 contractors must complete Nebraska Resale or Exempt Sale Certificate for Sales Tax Exemption Form 13, Section C, Part 2. The contractor must also attach a copy of a properly completed Purchasing Agent Appointment and Delegation of Authority for Sales and Use Tax, Form 17, to the Form 13, and both documents must be given to the supplier when purchasing building materials.

I.H.1. Performance and Payment Bonds are required in accordance with FAR 52.228-15. The penal amount of both the performance and payment bonds shall be initially set at $400,000.00 for the base contract period. A new $400,000.00 payment and performance bond will be required for each subsequent option period, if exercised. During each period of performance (base period or any option period) the amount of the performance and payment bonds will be increased in increments of $200,000.00 at such time the total value of all task orders issued reaches $400,000.00 for the current period of performance.

I.H.2. Offerors are instructed to include known and anticipated bond premiums in the bid factor to be applied to the price schedule. Contractors shall not receive any separate compensation for bond premiums.

I.H.3. Notice to prospective offerors on the use of individual sureties (if applicable – only if not using a corporate surety)

In addition to the information required under the above referenced FAR and GSAR clauses, the following information is required in support of Standard Form (SF 28), "AFFIDAVIT OF

INDIVIDUAL SURETY":

(2) CPA - certified balance sheet(s) and income statements(s) with a signed opinion for each individual surety.

The above referenced information will be utilized by the Contracting Officer to determine the acceptability of individuals proposed as sureties.

I.I. Work Conditions/Site Requirements

Knowledge of Conditions Affecting Price. Clauses FAR 52.236-27, Site Visit - Construction, FAR 52.236-3, Site Investigations and Conditions Affecting the Work, and FAR 52.236-3, Site Investigations and Conditions Affecting the Work, are incorporated by reference in this Contract and any Task Orders resulting from this contract.

The Contractor shall be presumed to have established its bid factor and task order proposal with knowledge of general and local conditions that may affect the cost of Contract performance at the site where the Work is to be performed, to the extent that such information is reasonably obtainable.

Contractors are urged and expected to inspect the site where the work will be performed and Tasks Orders will provide instructions on how and when visits can be conducted.

No oral statement made by a Government representative during any site visit or preproposal conference, nor any written record of such oral statements as may be made and subsequently furnished to the offeror, will be deemed to have the effect of adding to, modifying, or otherwise varying from the written provisions of the request for proposals (including, but not limited to specifications, drawings and written amendments to the solicitation). In the event the discussion or questions raised during the site visit or preproposal conference indicate a need to modify the request for proposals, an amendment to the solicitation will be issued in writing.

Each individual Task Order will specify any known, unique site requirements.

I.J. Authorized Representative

(1) This Contract is between the United States of America, acting by and through the Administrator of General Services (GSA), and the Contractor (the Parties). References in this Contract to "the Owner" or "the Government" shall be understood to refer to GSA. The following individual is designated as the only authorized GSA representative under this Contract, unless other warranted contracting officers are designated in writing:

Contracting Officer

Name: Daniel Talbert Address: 2300 Main Street – 7th Floor, Kansas City, Missouri 64108 Telephone: 816-527-3777 Email: daniel.talbert@gsa.gov

(2) GSAR 552.236-71, Authorities and Limitations, is incorporated by reference in this Contract.

(3) The Contracting Officer identified in I.J.1 will provide awardee with the warranted GSA ordering officials for this Contract at time of award.

I.K. Buy American Exceptions

Bid Factors submitted by Contractors shall assume no exceptions to Buy American Requirements.

See Section IV.A. 52.225-9 Buy American—Construction Materials (May 2014).

II. Prices

II.A. Contract Pricing

Pricing for this contract will be based upon the RS Means Building Construction Costs Book (hereafter referred to as the RS Means Book). The RS Means Book will be used for the duration of this Contract. The version of RS Means Book that is current on the date of contract award shall be utilized until each option period is exercised. Thereafter, the calendar year edition/version of the RS Means Book that is current on the date that each option is exercised shall be utilized. This book may be purchased through:

RS Means 1099 Hingham Street, Suite 201 Rockland, MA 02370 1-800-334-3509 https://www.rsmeans.com/products/books.aspx

The “Bare Cost” from the RS Means Book, when multiplied by the Offeror’s proposed Bid Factor, will establish Task Order pricing. The Bare Cost of a unit of work will be determined by the RS Means column entitled “Bare Cost”, NOT the column entitled “Total Incl O&P”.

February 28, 2017 Pages 11 of 62 (The Agreement including Amendment 1)

NOTES: The City Cost Index from the RS Means Book will NOT be applied to the Bare Costs.

Any adjustment for location must be included in the offeror’s Bid Factor. Additionally the Division 1 – General Requirements section from the RS Means Book will NOT be allowed when pricing task orders under the contract. Any consideration for Division 1 – General Requirements must be included in the offerors bid factor.

EXAMPLE: A Bid Factor of 0.85 would result in 85 percent of the listed Bare Cost when establishing pricing within the Task Order; and 1.00 would leave the actual Bare Cost values as your proposed pricing.

Firm-Fixed Price Job Order Example: The following sample calculations illustrate how Task Order pricing will be established using the RS Means Book and contractor’s Bid Factor. All Bid Factors, Bare Costs, and dollar figures are fictitious.

Total Bare Cost (Labor, Material and Equipment) $10,000.00 Bid Factor (Base Year) – Zone 1 @ 85% X 0.85

TOTAL JOB ORDER PRICE $8,500.00

The Bid Factors are proposed as a percentage (in decimal format) increase or decrease to the RS Means Book. The offeror shall limit the Bid Factors to two (2) decimal places.

The offeror shall propose a Base Year Bid Factor and an Option Year Bid Factor for each Option Year.

The offeror’s Bid Factors must be ALL INCLUSIVE and shall include, but is not limited to, the following costs:

1. Labor

2. Materials

The Contractor shall diligently prosecute the Work so as to achieve Substantial Completion of the Work, as defined in Section III (Terms and Conditions), “Substantial Completion and Contract Completion” clause, within the time specified in Section I (Project Information), “Period of Performance” clause. If the Contract specifies different completion dates for different phases or portions of the Work, the Contractor shall diligently prosecute the Work so as to achieve Substantial Completion of such phases or portions of the Work within the times specified.

III.B. Contractor Responsibilities

III.B.1. For the purposes of FAR 52.236-1 Performance of Work by the Contractor, the Contractor shall perform at least fifteen percent (15%) of the work.

Unless otherwise expressly stated in the Contract, the Contractor shall be responsible for all means and methods employed in the performance of the Contract.

Where installation of separate Work components as shown in the Contract Documents will result in conflict or interference between such components or with existing conditions, including allowable tolerances, it is the Contractor's responsibility to bring such conflict or interference to the attention of the Contracting Officer and seek direction before fabrication, construction, or installation of any affected work. If the Contractor fabricates, constructs, or

February 28, 2017 Pages 13 of 62 (The Agreement including Amendment 1) installs any work prior to receiving such direction, the Contractor shall be responsible for all cost and time incurred to resolve or mitigate such conflict or interference.

III.B.5. Where drawings show work without specific routing, dimensions, locations, or position relative to other work or existing conditions, and such information is not specifically defined by reference to specifications or other information supplied in the Contract Documents, the Contractor is responsible for routing, dimensioning, and locating such work in coordination with other work or existing conditions in a manner consistent with Contract requirements.

III.D. Extensions of Time

FAR 52.211-13, Time Extensions, is supplemented as follows:

III.D.1. If the Contractor requests an extension of the time for Substantial Completion, the Contractor shall base its request on analysis of time impact using the Project Schedule as its baseline, and shall propose as a new Substantial Completion date to account for the impact.

The Contractor shall submit a written request to the Contracting Officer setting forth facts and analysis in sufficient detail to enable the Contracting Officer to evaluate the Contractor's entitlement to an extension of time.

III.D.2. The Contractor shall only be entitled to an extension of time to the extent that (a) Substantial Completion of the Work is delayed by causes for which the Contractor is not responsible under this Contract, and (b) the actual or projected Substantial Completion date is later than the date required by this Contract for Substantial Completion.

III.D.3. The Contractor shall not be entitled to an extension of time if the Contractor has not effectively provided sufficient data to the Contracting Officer for evaluation in a timely manner.

III.D.4. The Government shall not be liable for any costs to mitigate time impacts incurred by the Contractor that occur less than 30 calendar days after the date the Contractor submits a request for extension of time in compliance with this clause.

III.E.2. Unless otherwise noted, the drawings shall be interpreted to provide for a complete construction, assembly, or installation of the Work, without regard to the detail with which material components are shown in the drawings.

III.F. Submittals
