GS-09P-08-KSC-0040 AMENDMENT 01 (continuation page)

1. Due date for offers is extended to Friday August 29, 2008, 12:00 Noon PDST.

Instructions and evaluation criteria are described on the following pages.

2. The term "Bid Item 1" means the base bid, line item 0001 on the SF 1442. The terms "Option 1" and "Option 2" refer to design options available to the successful offeror, and are not bid options.

3. Bid bond (FAR clause 52.228-1) is set to 20% of the proposed price. If alternates are offered, the highest price considering base and alternates is to be used to set the bid bond amount. The bid bond will be returned to the successful offeror upon receipt of payment and performance bonds. The bid bond will be returned to each unsuccessful offeror shortly after award. Standard Form 24 must be used for bid bonds.

4. Liquidated damages will not be used; clause 52.211-12 will not be included in the awarded contract.

5. Design submittals must be submitted electronically as PDF files, as well as 3 sets of hardcopies. Record documents must be submitted as (1) PDF files plus 3 sets of hard copies for O&M documentation, and (2) 3 hardcopies plus AutoCAD files conforming to the GSA CAD Standards and security guidelines (copies posted separately).

6. The project must been the requirements of the 2006 SGIP Handbook, and GSA's reservation letter (posted separately). Project must be complete and required documentation submitted to PG&E not later than 7/31/2009. If an offeror considers this not feasible, this should be stated with the proposal so that GSA may request the permissable extension (up to 6 months) per the SGIP Handbook.

7. Insurance requirements are defined in Appendix D of the SGIP reservation letter. These exceed the requirements stated in the SOW; the former are required.

8. The intent of this solicitation is to permit flexibility in design alternatives proposed, so as to give GSA the most cost effective way possible of using the maximum possible site (rather than source) energy. Therefore offerors may propose systems other than those defined in the concept design and on the SF 1442, so long as such alternates are clearly defined, and do not pose substantial maintenance, access, or operating problems to GSA.

In addition, offerors are not required to submit proposals for all alternates or for the base system; offers may submit proposals for any combination of the base system (line 0001 on the SF 1442) and alternates.

INSTRUCTION TO OFFERORS

Submit the following qualifications related documents not later than 12 Noon PDST on August 29, 2008:

1. Be registered on the Central Contractor Registration website at www.ccr.gov. Note: this can take a few days for processing, and requires a DUNS number.

2. Be registered on ORCA at orca.bpn.gov, and submit an executed ORCA statement (form being posted).

3. Submit a minimum of three references for design-build co-generation system installation. More credit will be given for work performed in Northern California and/or with substantially the same workforce as will be used for this project, during the past three years. Limited credit will be given for work that was largely subcontracted. Provide a description of the work performed, dollar value, role vis-à-vis any subcontractors (i.e., if all work not performed by offeror indicate what was subcontracted) and client contact information. Note: more than three references may help in establishing Offeror's experience.

4. Submit pricing by completing the SF 1449. An attachment may be included to the SF 1449 describing and providing pricing for alternates not described on the SF 1449.

Offerors are not required to propose all alternates or the base system (line 0001). Offerors may propose any alternates without proposing the base system, the base system and no alternates, or any combination thereof. Include an acknowledgement of all amendments.

This may be annotated on the SF 1449, or on a separate page.

5. Submit a technical proposal for each system proposed (line 0001 base system, any alternates whether defined on the SF 1449 or described on the attachment as indicated above), to consist of (1) a brief narrative description (which may be accompanied by a schematic at the offeror's discretion), and (2) a completed SGIP Proof of Project Advancement Checklist with required accompanying documentation. Any deviations from the published concepts (bridging) design published must be clearly indicated in the narrative.

Offers must be submitted by email to Mark.Levi@gsa.gov. Three original signed copies of the SF 1449 must be mailed or delivered not later than September 5, 2008, to:

Mark Levi General Services Administration (9PME) 450 Golden Gate Ave. 4E San Francisco, CA 94102

Price proposals must be valid and executable for 30 days.

BASIS OF AWARD

Award will be on a best-value basis considering price and non-price factors, with price of approximately equal importance to non-price factors. Factor 3 is of greater importance than Factors 1 and 2, which are of roughly equal importance to each other. The non-price factors are of roughly equal importance to each other. Non-price factors include:

Factor 1: Past Performance

The Government will evaluate the relative merits of each Offeror’s past performance. The evaluation will be a subjective assessment of how well each offeror has satisfied its customers in the past. It will not be based on absolute standards of performance. The Government reserves the right to consider all aspects of an Offeror’s performance history, but will attribute more significance to work that was similar in nature, magnitude, and complexity to the work that will be required by the contract described in this RFP. If an offeror has no relevant performance history, then the Government will give it neither a favorable nor an unfavorable evaluation, but rather a "neutral" evaluation will be assigned.

The Government may base its evaluation of past performance on information that it receives from offerors and information that it obtains through its own investigation. The Government may contact an Offeror’s former customers and business associates; Federal, state, and local government agencies; electronic databases; and other sources of information. The Government will try to determine the Offeror’s reputation for complying with the terms of its contracts, including quality, service delivery, price, and other terms; its reputation for effective employee management and relations; its reputation for effective contract administration; and its reputation for honesty and for reasonable and cooperative behavior.

The standard is met when there is no record of poor performance, or dissatisfaction with the contractor’s performance identified.

This standard is exceeded when a consistent record of achieving high levels of satisfaction from clients, and indications that the contractor frequently exceeded the expectations of clients, i.e. timeliness of performance/delivery, cooperation, quality of work, reasonableness of pricing of change orders or contract modifications, skills applied to the work, and customer’s overall satisfaction with the work performed.

For joint ventures, this factor will consider all joint venture partners, and will weight the influence of each partner in accordance with its percentage control of the joint venture.

This factor will not consider proposed subcontractors.

Factor 2: Experience

The Government will evaluate the Offeror's experience performing similar work in the local area. A satisfactory rating will be granted if the Offeror demonstrates experience with design-build co-generation installations in mid-size or large commercial, institutional or industrial facilities. Increased credit will be granted for jobs performed in Northern California. Increased credit will be granted for jobs performed with the same management or substantively the same crew as this project. Decreased credit will be granted if significant parts of the work are subcontracted, depending on the degree and nature of the subcontracting.

For joint ventures, this factor will consider all joint venture partners, and will weight the influence of each partner in accordance with its percentage control of the joint venture.

Factor 3: Quality of the Technical Solution

The Government's objective is to obtain a system that converts as much of the building's energy consumption to site energy as possible, as cost effectively as possible, with minimum negative impact on operations and maintenance. This factor evaluates the extent to which each proposed system achieves these goals. Evaluation will be performed separately for each proposed system.

The Government will evaluate site energy production using Department of Energy criteria for federal agencies. The Government will evaluate cost effectiveness using the current DOE BLCC program. Assumptions will be those posted with the SOW appendices, except that natural gas prices are updated to $8.50 per decatherm, and electricity to a weighted average of $.133 per kwh. The Government will evaluate impact on maintenance and operations by considering (1) impact on accessibility to other systems and to the new equipment, (2) maintainability of the system proposed, (3) risk factors posed by the new system to other building equipment, (4) other impacts on working conditions in the mechanical spaces (e.g., noise levels).
