About this file

This Bill of Sale form (GS 22) is used by the Missouri Department of Transportation (MoDOT) to document the transfer of leased tractors from a seller to MoDOT as the buyer. The form establishes the legal framework for conveyance of tractor equipment and is part of MoDOT's statewide tractor lease program, which operates under an Invitation for Bid (IFB) with a contract period commencing from the date of award through June 30, 2029. MoDOT retains the right to extend the contract for up to two additional one-year periods at its sole discretion. Bids are submitted electronically through MissouriBUYS MOVERS or by mail via USPS, UPS, or FedEx, with hard copy bidders required to notify the buyer of record, Ashten Nichols, five business days before the solicitation closing date. Electronic bid submissions are the standard method, and email submissions are not accepted.

The Bill of Sale allows for flexible warranty terms, with options for either an "as-is" sale with no express or implied warranties or a sale that includes express or implied warranties of suitability and fitness for a particular purpose, with warranty details to be provided as an exhibit. The agreement specifies that the seller shall indemnify and hold harmless MoDOT from any claims or liability arising from the seller's performance. The contract is governed by Missouri state law and venue for any disputes is established in the Circuit Court of Cole County, Missouri. Specific pricing and equipment descriptions are detailed in exhibits attached to the individual bill of sale documents executed by MoDOT's CO General Service Fleet Manager.
