About this file

This is a Bill of Sale form (GS 22) issued by the Missouri Department of Transportation (MoDOT), acting on behalf of the Missouri Highways and Transportation Commission, for the purchase of leased tractors. The form serves as a standardized agreement template between MoDOT as the Buyer and a Seller for the conveyance of leased tractor equipment. The document provides a framework for executing the sale, with designated fields for completion of specific tractor descriptions, transaction dates, and purchase prices. The agreement does not specify quantities, response deadlines, site visits, or bidders' meetings, as it functions as a post-award execution document rather than a solicitation instrument.

The Bill of Sale allows for flexible warranty terms, with options for the equipment to be conveyed either as-is without warranties or with express and implied warranties of suitability and fitness for particular purpose, contingent upon the Contractor providing supplemental warranty documentation. The Seller is required to indemnify and hold harmless MoDOT and its employees from claims or liabilities arising from the Seller's performance. The agreement is governed by Missouri state law and any disputes shall be adjudicated exclusively in the Circuit Court of Cole County, Missouri. No specific pricing, funding sources, or contract term details are predetermined in this template document.
