1. GENERAL INFORMATION
1.1 PURPOSE OF SOLICITATION AND SCOPE OF SERVICES
Purpose of Solicitation: The purpose of this Invitation to Bid (ITB) is to select a Contractor to provide cultural resource services for the Oregon Department of Forestry (“Agency” “ODF”) on behalf of the U.S. Forest Service under Good Neighbor Authority (GNA) for intensive cultural resource surveying of the Wallowa Valley Fuel Break (hereinafter referred to as the “Project”) located on the U.S. Forest Service Wallowa-Whitman National Forest (WWNF). The awarded Contractor shall begin work within three (3) weeks of Contract award and complete the Services no later than December 31, 2025.
Scope of Services: The total Project Area, also known as the Area of Potential Effect (APE), is approximately 7,349 acres. Approximately 3,196 of those acres will require cultural resource surveying (Survey Area). Areas requiring survey have been determined by the WWNF and are identified on the enclosed Project maps (Exhibit D
– Heritage Survey Maps). Survey methods, the cultural resource report, and the site and isolated find documentation must meet the specifications for conducting cultural resource surveys on the WWNF as outlined in Exhibit A (Statement of Work).
Both pre and post contact sites have been previously recorded within the Project Area. Ten previously recorded sites are located within the area identified for cultural survey. These sites include lithic scatters, a historic refuse scatter, rock cairns, a tree carving, trails/roads, and a field and stock corral. It’s anticipated that new sites will be similar to those previously recorded in the area. One previously recorded site, a burned cabin, is located outside of the Survey Area but the selected Contractor will be required to revisit and an update for this site. Based on previous archaeological work in the area, the site density is estimated to be approximately three to five sites per square mile.
The Project must comply with Section 106 of the National Historic Preservation Act of 1966 as amended (NHPA) (16 U.S.C. 470) and procedures of the Advisory Council of Historic Preservation (ACHP) outlined within 36 CFR
800. The Project is located within ceded lands of the Nez Perce Tribe. Additionally, the Confederated Tribes of the Umatilla Indian Reservation (CTUIR) claim these lands as an area of interest due to historic relationships with the Nez Perce. The WWNF will be responsible for consulting with the State Historic Preservation Office (SHPO) and Indian Tribes.
The Agency will hold the contract and be responsible for payment, and WWNF staff will act as Agency representatives, local contacts and contract field inspectors reporting to the Agency on contract implementation and acceptance of completed work. The Contractor will contact WWNF staff for issues and questions regarding policy, analysis, format requirements and SOW tasks. The Contractor will contact the ODF Federal Forest Restoration Program Lead or other designated representative for questions regarding contract specifications, contract-related issues, and contract payments.
As a result of this solicitation process, the Agency intends to award a single Contract for the Services described in this Solicitation Document. The resulting Contract and applicable general provisions are included in Attachment 3 (Sample Contract Form). Additional consulting services may be added to or subtracted from the contract via an amendment. The cost of those amendments will be determined using the rate per unit rate schedule entered by the successful Bidder in Attachment 2 (Pricing Submittal Form) to this ITB. The parties may need to modify selected terms, conditions, price(s) and types of work under circumstances related to the following illustrative, although not exhaustive, categories of amendments:
(a) Amendments to extend the term of the Contract for additional periods;
(b) Amendments to increase or decrease the quantity of Work;
(c) Amendments to add new Work within the scope of the Solicitation, if any, at the prices specified within the Solicitation responses or at a discount to these prices, or if no Solicitation, within the scope of the Statement of Work;
i. Amendments to increase the maximum, not-to-exceed compensation payable to Contractor to cover new Work or additional quantity of Work added to the Contract;
ii. Amendments to delete Work;
iii. Amendments to decrease the maximum, not-to-exceed compensation payable to Contractor;
and;
iv. Amendments to change or add additional specifications.
The term of the awarded Contract is intended to be in effect until December 31, 2025, but may be amended for additional time.
Unless otherwise specified, the selected Contractor shall be required to meet the highest standards prevalent in the industry or business most closely involved in providing the appropriate Services when performing under the Contract resulting from this Solicitation Document.

Unless extended or terminated earlier in accordance with its terms, this Contract shall terminate when the Agency accepts Contractor's completed performance or on December 31, 2025, whichever date occurs last. Contract termination shall not extinguish or prejudice the Agency’s right to enforce this Contract with respect to any default by Contractor that has not been cured.
b. Authority. The Agency is authorized to enter into this type of contract under the authority granted in ORS 526.274 and DAS Delegation Agreement REQ-DASOBO-00065874.
2. Statement of Work. Contractor shall perform the work (the “Work”) as set forth in the Statement of Work, which includes the delivery schedule for such Work, and that is attached hereto as Exhibit A. Contractor shall perform the Work in accordance with the terms and conditions of this Contract.

The Agency will not pay Contractor any amount in excess of the not-to-exceed compensation of this Contract for completing the Work and will not pay for Work performed before the date this Contract becomes effective or after the termination of this Contract. If the maximum compensation is increased by amendment of this Contract, the amendment must be fully effective before Contractor performs Work subject to the amendment.
b. Interim payments to Contractor shall be subject to ORS 293.462, and shall be made in accordance with the payment schedule and requirements in Exhibit A.
c. The Agency will pay only for completed Work that is accepted by the Agency.
d. Contractor agrees to invoice the Agency on the schedule and in accordance with the conditions set forth in Part IV of the Exhibit A (Statement of Work).

Contractor is responsible for determining the appropriate means and manner of performing the Work.
b. If Contractor is currently performing work for the State of Oregon or the federal government, Contractor by signature to this Contract, represents and warrants that: Contractor’s Work to be performed under this Contract creates no potential or actual conflict of interest as defined by ORS 244 and no statutes, rules or regulations of the state or federal agency for which Contractor currently performs work would prohibit Contractor’s Work under this Contract.

If Contractor requests the Agency to approve a re-assignment or transfer of a Key Person, the Agency shall have the right to interview, review the qualifications of, and approve or disapprove the proposed replacement(s) for the Key Person. Any individual the Agency approves as a replacement for a Key Person is deemed a Key Person under this Contract.
