About this file
This is a Class Justification and Approval (CJ&A) document authorizing non-competitive procurement for the United States Marine Corps Systems Command.
The Marine Corps is awarding a Basic Ordering Agreement (BOA) on a sole source basis to Oshkosh Defense, LLC for Engineering and Logistics Support addressing Diminishing Manufacturing Sources and Material Shortages (DMSMS) for three vehicle platforms: Medium Tactical Vehicle Replacement (MTVR), Logistics Vehicle System Replacement (LVSR), and P-19A Replacement (P-19R). The scope of work includes defining and selecting replacement components, developing integration kits, testing components and kits, and creating engineering and logistics documentation. The BOA will not include creation of kits for fielding. The estimated period of performance spans April 2026 through March 2030, with specific dollar values by fiscal year redacted in the document. Orders will be funded through Operations and Maintenance appropriations, and the authority to act under this CJ&A expires five years from the BOA award date.
The sole source award is justified under 10 U.S.C. Section 3204(a)(1) and FAR 6.302-1(a)(2)(iii) because Oshkosh Defense is the original equipment manufacturer and owner of the technical data packages for all three platforms. Competitive procurement would require substantial reverse engineering, estimated to increase costs significantly and extend project timelines up to one year per system. Market research through an RFI yielded seven respondents, of which six demonstrated capability; however, five would require additional funding for reverse engineering. The independent government cost estimate projects cost savings through sole sourcing compared to full and open competition. Prior non-competitive contracts with Oshkosh Defense (contract numbers M67854-04-D-5016, M67854-20-D-0036, and M67854-20-C-0016) were reviewed by the approval authority.

CLASS JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity
Marine Corps Systems Command Program Executive Officer, Land Systems (PEO LS) 2200 Lester Street Quantico, VA 22134
2. Description of the Action Being Approved
This Class Justification and Approval (CJ&A) authorizes and approves the use of other than full and open competition to award a Basic Ordering Agreement (BOA) and a class of orders on a sole source basis for Engineering and Logistics Support for Diminishing Manufacturing Sources and Material Shortages (DMSMS) to Oshkosh Defense, LLC, 2307 Oregon St. Oshkosh, WI 54902, hereafter referred to as Oshkosh Defense. Authority to act under this class justification expires five years from the date of award of the BOA.
3. Description of Supplies/Services
This BOA will require Oshkosh Defense to define and select replacement components, develop integration kits, test components and kits as needed, and create both engineering and logistics documentation to field the replacement components and kits smoothly in response to DMSMS issues associated with the Medium Tactical Vehicle Replacement (MTVR), Logistics Vehicle System Replacement (LVSR), and P-19A Replacement (P-19R), hereafter referred to as the Family of Vehicles (FoV). However, the effort will not create kits for fielding.
Program Management (PM) Motor Transport (MT) will award a BOA to minimize and mitigate impacts resulting from obsolescence within the PM MT FoV until their item exit dates. The effort will consist of engineering services and logistics support to include identification of alternate supply sources; prototype integration design, fabrication, manufacturing, and testing;
and development of engineering and logistics documentation.

The orders issued under this BOA will be funded with appropriations from Operations and Maintenance.
Each order will specify a period of performance for the specific task ordered under this agreement. The authority to act under this CJ&A will end five years from the date of award of the BOA. The orders will be competed in accordance with each order’s specific task requirements.
The total estimated value, if fully executed, for this procurement is . The program office estimate for each Fiscal Year (FY) is summarized in the table below. The estimated period of performance for this effort is April 2026 through March 2030.

4. Statutory Authority Permitting Other Than Full and Open Competition
The statutory authority permitting use of Other Than Full and Open Competition is 10 U.S.C.
Section § 3204(a)(1), as implemented by the Federal Acquisition Regulation (FAR) 6.302- 1(a)(2)(iii), “Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.”
5. Rationale Justifying Use of Cited Statutory Authority
In accordance with FAR 6.302-1, Oshkosh Defense is the only responsible source able to satisfy the Agency requirement to minimize and mitigate obsolescence issues. Award to any other source would result in substantial duplication of costs that is not expected to be recovered through competition for the following reasons:
Oshkosh Defense is the original equipment manufacturer (OEM) of all platforms cited and is the owner of the technical data packages (TDPs) defining those platforms. For PM MT to use full and open competition, the selected contractor would need to perform significant reverse engineering on the platforms, substantially increasing cost and schedule. Reverse engineering systems and sub-systems would increase project timelines up to one year per system, based on system complexity.
Furthermore, as the OEM, Oshkosh Defense has already completed tasks like those required by the BOA when first contracted to create the FoV, which reinforces confidence in Oshkosh Defense’s capacity to meet platform requirements.
PM MT developed an Independent Government Cost Estimate (IGCE) based on historical actuals for obsolescence mitigation for large to small efforts on the MTVR, LVSR, and P-19R. Cost risk and uncertainty have been considered, and all costs are escalated using the latest Office of the
Code: CT-2.8 CJ&A Number 26065
Secretary of Defense inflation indices. The IGCE also estimated the cost to have the TDPs reverse engineered to develop solutions to the obsolescence issues. This reverse engineering estimate was based on previous reverse engineering efforts on MTVR, like the emergency egress windows and second source armor kits. The Independent Government Cost Estimate (IGCE) projected a total expenditure of for a full and open competition, which would require significant reverse engineering efforts. According to the same estimate, sole sourcing from Oshkosh Defense would reduce spending by
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable
PM MT conducted market research to determine if additional sources capable of satisfying the Government’s requirements exist. In accordance with FAR 5.201, Request for Information (RFI) M67854-25-I-0086 was publicized on the SAM.gov website on 11 February 2025 and closed 14 March 2025. Respondents were asked to submit a notice of interest to include a brief description of the company’s capabilities as they relate to requirements posted in the RFI.
Seven respondents answered the RFI with their capabilities. Of those, six were deemed able to fulfill the requirements; however, five of these respondents would require additional funding for reverse engineering to develop a technical data package sufficient for this effort. Oshkosh Defense was the only respondent deemed capable of fulfilling the requirements with minimal reverse engineering, due to their ownership of the current FoV TDP.
7. Determination of Fair and Reasonable Cost
The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by the CJ&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition
For reasons set forth in paragraph five (5), PM MT has no plans to compete for future contracts for the engineering services and logistics support covered by this document. If another potential source emerges, PM MT will assess whether competition for future requirements is feasible. Any future actions will be reviewed by PM MT to offer competition to the greatest extent possible.
As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with Defense Federal Acquisition Regulation Supplement Procedures, Guidance and Information (DFARS PGI) 206.304(a)(S-70)(i), the prior contracts M67854-04-D-5016 (J&A 11,159), M67854-20-D-0036 (J&A 20,039), and M67854-20-C-0016 (J&A 20,004) were provided to the approval authority for review. Approval of this CJ&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(S-70)(ii).
