About this file

This is a general contract template document from the Berkshire Regional Group Purchasing Program (BRGPP), a cooperative purchasing program operating under the Berkshire Regional Planning Commission in Massachusetts, which outlines the terms and conditions governing vendor relationships with BRGPP and its participating municipalities. The contract covers the period from July 1, 2026 through June 30, 2027 and applies to a broad range of highway supplies and services, including aggregates, cold patch, calcium and magnesium chloride, culvert products, guardrail products, line painting, pavement preservation products, chip seal, hot mix asphalt, paving, winter rock salt and sand, fuels, catch basin cleaning, tree work, and street sweeping. Bid packages became available on March 12, 2026 through BRGPP's OpenGov online procurement portal, with bids due by April 2, 2026 at 1:00 pm, followed by public bid opening. Certain service categories including guardrail installation, line painting, pavement preservation products, chip seal, paving, catch basin cleaning, tree work, and street sweeping require MassDOT pre-qualification, with estimated values ranging from $40,114 to $1,748,500 depending on the service and geographic area.

Compensation is provided on a time and materials basis as detailed in contract documents, with vendors submitting monthly invoices describing goods and services provided and progress reports, subject to participant approval and payment within thirty days of receipt. All bids for services are subject to Massachusetts prevailing wage requirements per General Laws Chapter 149, Sections 26-27F and Chapter 30, Section 39M, and a 5% bid deposit is required in the form of a bid bond or certified check unless otherwise specified. The vendor must maintain comprehensive insurance coverage including worker's compensation, employer's liability of $1,000,000, automobile liability of $1,000,000, general liability of $1,000,000 per occurrence with $3,000,000 aggregate, and excess umbrella liability of $4,000,000. The contract is governed by Massachusetts law and includes standard terms regarding independent contractor status, compliance with federal, state, and local regulations, indemnification, intellectual property protection, and guarantees covering defective materials and workmanship with one-year replacement provisions unless otherwise specified.

WHEREAS, the VENDOR is ready, willing, and able to provide such goods and/or services in accordance with and subject to the Terms and Conditions of this CONTRACT, any purchase order or supplementary conditions that any PARTICIPANT may require, and the Scope of Services provided herein.

NOW THEREFORE, the parties hereto mutually agree as follows:

1. Scope of Service – The VENDOR shall perform its obligations in this CONTRACT as described herein. The Contract Documents include, by reference, the following:

a. This CONTRACT and any purchase order or supplementary conditions issued by a PARTICIPANT;

VENDOR shall commence performance upon issuance of a notice to proceed, and shall perform in a sequence as to assure their expeditious completion as described in the Contract Documents, and shall complete performance of its obligations by June 30, 2027. Any work to be performed beyond the completion date will not proceed unless the VENDOR has obtained prior written consent from an authorized agent of BRGPP.

3. Compensation and Method of Payment – VENDOR shall be compensated on a time and materials basis as provided in the Contract Documents. The VENDOR shall submit to PARTICIPANTS, not more often than monthly, statements for Goods and/or Services provided. The VENDOR’S statements shall include a description of the Goods and/or Services provided for the period in question with a progress report, and shall be in such form and with such supporting data as BRGPP and/or the PARTICIPANT(S) may reasonably require.
