The total project area may include up to 200 acres of vegetation annually, as identified by FWC, within the J. W. Corbett Wildlife Management Area (Corbett WMA) located in northern Palm Beach County (see Figures 1, 2, and 3). Road shoulder mechanical treatment is typically less than 2 miles per treatment and only occurs as needed. Annual acreage and locations of mechanical vegetation treatment within Corbett WMA will be determined based on funding availability and hydrological conditions. FWC reserves the right to increase or decrease the project size and treatment location based on budget, bid price, and habitat conditions.

Project sites are in natural areas, composed mainly of pine flatwoods interspersed with wet prairies and freshwater marshes, and the shoulder of the public access road through the area. Access to the project sites may require specialized off-road equipment.

Prior to treatment, the Contractor and the FWC Project Manager will visit and discuss the project area, the goals of the operation, specific effects to avoid, and execution of the project. FWC reserves the right to change treatment location and project size if the ground is or becomes saturated.

The Contractor shall mechanically treat designated vegetation at designated sites as instructed by the FWC Project Manager. The focus of mechanical treatment will be on areas with high densities of saw palmetto, primarily in pine flatwood habitats. Ground disturbance shall be minimized to the greatest extent possible.

The Contractor must have the capability to provide replacement equipment within five (5) days in the event of equipment breakdowns.

III. WORK SPECIFICATIONS

1. The Contractor shall provide all labor, materials, equipment, supplies, vehicles, and such miscellaneous items as necessary to complete all mechanical treatment operations in accordance with the specifications contained herein.

2. The Contractor must be capable of treating a minimum of twenty-five (25) acres per week and shall provide an estimated work schedule to the FWC Project Manager prior to starting the project.

Repeated failure by the Contractor to meet the weekly treatment acreage shall result in termination of the contract.

3. Mechanical vegetation treatment work must begin within two (2) weeks of the date of purchase order issuance unless otherwise determined by the FWC Project Manager.

4. The Contractor shall notify the FWC Project Manager two (2) days prior to entering the work site.

Contractor shall be responsible for and repair/replace, to the satisfaction of the FWC Project Manager, all Contractor-induced damage. Damage to natural resources or infrastructure may result in immediate termination of the contract.

15. The Contractor shall be solely responsible for the rescue or recovery of any immobilized equipment at the Contractor’s expense. FWC equipment shall not be used to assist with the rescue or recovery of the Contractor’s equipment.

IV. MECHANICAL VEGETATION TREATMENT SPECIFICATIONS

1. The Contractor shall begin treatment where directed by the FWC Project Manager and shall proceed in a systematic manner across contiguous areas to ensure target vegetation is treated as specified herein.

2. The FWC Project Manager will provide maps of designated routes to be used for access to the treatment areas. Equipment operated outside of the designated routes and treatment areas may result in immediate termination of the contract.

3. The Contractor shall mechanically cut all understory vegetation, including saw palmetto rhizomes, in treatment areas to within six inches (6’’) of ground surface.

4. Pine trees greater than five inches (5”) in diameter at breast height shall be protected from any damage or ground disturbance, unless otherwise identified by the FWC Project Manager.

5. A buffer area of eighteen inches (18”) from pine trees greater than fourteen inches (14”) diameter at breast height shall be left untreated.

6. Damage to pine tree bark resulting in the exposure of sapwood may be grounds for the termination of the contract.

7. Equipment must sever horizontal saw palmetto rhizomes without ground disturbance. Cut vegetation may be left on site. Vegetation must not be piled.

8. Mechanical treatment shall result in clear sight lines through the understory across the treatment area.

9. For mechanical vegetation treatment of road shoulders, the Contractor shall cut all understory vegetation ten feet (10’) from road edge to within six inches (6”) of ground surface. Additionally, all cabbage palms and stumps within five feet (5’) of road edge shall be cut to ground level.

V. RESOURCE PROTECTION

1. Every effort shall be made by the Contractor to avoid damage to wetlands, native vegetation, and wildlife.

Ch. 287 Invitation to Bid – Revised 3.27.2024 FWC 24/25-38, Page 13 of 50

2. The Contractor shall use every precaution necessary to prevent environmental pollution by fuel, oils, chemicals, silt, or other harmful materials. All bodies of water, including ditches, will be kept free of Contractor-generated debris or soils.

3. All equipment must be clean and free of vegetation/soil prior to entering the site to prevent contamination by invasive plant species. Before beginning work, the Contractor will, at a minimum, power wash all equipment to be used on the project. Equipment will be inspected upon arrival.

4. Should any historical or cultural artifacts be uncovered during work, the Contractor shall immediately cease work in the proximity of the site and immediately notify Corbett WMA staff.

5. No mechanical treatment shall occur near active red-cockaded woodpecker (RCW) clusters during the breeding season (typically April – July). The FWC reserves the right to issue a stop work notification if the Contractor’s equipment is operating too close to an active RCW cluster, as determined by the FWC Project Manager. Area staff closely monitor RCW, a federally protected species, activity throughout the year and will exclude active clusters from mechanical treatment area maps to the greatest extent possible. However, if a previously inactive or unidentified cluster becomes active in the planned treatment area, staff will immediately notify the Contractor and provide an updated map excluding the newly active cluster and adjust the treatment area as necessary.

6. No mechanical treatment shall occur near active bald eagle nests during the breeding season

(typically Sept - May). The FWC reserves the right to issue a stop work notification if the Contractor’s equipment is operating within 660 feet of an active bald eagle nest per recommended Federal guidelines. Area staff closely monitor bald eagles, a federally protected species, activity throughout the year and will exclude active nests from mechanical treatment area maps to the greatest extent possible. However, if a previously inactive or unidentified nest becomes active in the planned treatment area, staff will immediately notify the Contractor and provide an updated map excluding the newly active nest and adjust the treatment area as necessary.

VI. STOP WORK

1. The FWC has the right to stop work if the work is not being completed as specified, the work is causing ecological damage, or other concerns arise.

2. The FWC reserves the right to stop or delay work if site conditions (e.g., saturated soil) lead to unacceptable levels of ground disturbance or any other undesirable result.

3. The FWC shall have sole discretion in the determination to stop and resume work. The Contractor shall stop all on-site activities upon stop work notification and shall not resume work until written notification is provided by the FWC.

VII. PRICING/PAYMENT

1. Work shall be invoiced as per acre (for mechanical vegetation treatment) and per tenth-mile (for mechanical treatment of road shoulders) rates. Bid prices shall include mobilization(s) to Corbett WMA. While it is anticipated that only one mobilization will be required, unforeseen circumstances may require a second mobilization.

2. Payment(s) may be made after work has been verified and inspected to ensure all work has been performed to the satisfaction of the FWC Project Manager.

FLORIDA FISH & WILDLIFE CONSERVATION COMMISSION

PURCHASE ORDER TERMS & CONDITIONS

Last Updated: May 9, 2023

Section 1. PURCHASE ORDER.

A. Composition and Priority.

The Contractor agrees to provide commodities or contractual services to the Commission within the manner and at the location specified in the Purchase Order, and any attachments to the Purchase Order. These Purchase Order Terms and Conditions, whether generic or specific, shall take precedence over any inconsistent or conflicting provision in the State of Florida, General Contract Conditions, PUR 1000. Additionally, the terms of the Purchase Order supersede the terms of any and all prior agreements with respect to this purchase.

B. Initial Term.

Unless otherwise specified, the Purchase Order begins on the date of issuance. Contractual services or commodities to be provided by the Contractor shall be completed by the date specified on the Purchase Order end date.

Section 2. PERFORMANCE.

A. Performance Standards.

The Contractor agrees to perform all tasks and provide deliverables as set forth in the Statement of Work and attachments to the Purchase Order. The Commission shall be entitled at all times, upon request, to be advised as to the status of work being done by the Contractor and of the details thereof.

Coordination shall be maintained by the Contractor with representatives of the Commission, or of other agencies involved in the project on behalf of the Commission.

B. Performance Deficiency.

If the Commission determines that the performance of the Contractor is unsatisfactory, the Commission may notify the Contractor of the deficiency to be corrected, which correction shall be made within a timeframe specified by the Commission. The Contractor shall provide the Commission with a corrective action plan describing how the Contractor will address all issues of Purchase Order non‐performance, unacceptable performance, and failure to meet the minimum performance levels, deliverable deficiencies, or Purchase Order non‐compliance. If the corrective action plan is unacceptable to the Commission, the Contractor will be assessed a non‐performance retainage equivalent to ten (10) percent of the total invoice amount or as specified in the contractual documents.

The retainage will be applied to the invoice for the then‐current billing period. The retainage will be withheld until the Contractor resolves the deficiency. If the deficiency is subsequently resolved, the Contractor may invoice the Commission for the retained amount during the next billing period. If the Contractor is unable to resolve the deficiency, the funds retained will be forfeited.

C. Contractor Responsibilities.

The Contractor agrees that all Contractor employees, subcontractors, or agents performing work under the Purchase Order shall be properly trained technicians who meet or exceed any specified training qualifications. Upon request, the Contractor shall furnish a copy of technical certification or other proof of qualification. All employees, subcontractors, or agents performing work under the

Ch. 287 Invitation to Bid – Revised 3.27.2024 FWC 24/25-38, Page 20 of 50

Purchase Order must comply with all security and administrative requirements of the Commission.

The Commission may conduct, and the Contractor shall cooperate in, a security background check or otherwise assess any employee, subcontractor, or agent furnished by the Contractor. The Commission may refuse access to, or require replacement of, any personnel for cause, including, but not limited to, technical or training qualifications, quality of work, change in security status, or non-compliance with the Commission’s security or other requirements. Such refusal shall not relieve the Contractor of its obligation to perform all work in compliance with the Purchase Order. The Commission may reject and bar from any facility for cause any of the Contractor’s employees, subcontractors, or agents.

D. Assignment.

The Contractor shall not sell, assign or transfer any of its rights, duties or obligations under the Purchase Order without the prior written consent of the Commission. In the event of any assignment, the Contractor remains secondarily liable for performance of the Purchase Order, unless the Commission expressly waives such secondary liability. The Commission may assign the Purchase Order with prior written notice to the Contractor.

E. Damages to State Property.

Any damages to state property (e.g., structures, roads, culverts, fences, trees, or other natural resources) caused by the Contractor while working on this project shall be the responsibility of the Contractor to remedy, as determined by the Commission. The Contractor shall be responsible for the conduct of all Contractor personnel at all times while on the job site.
