TO: All Prospective Offerors
SUBJECT: Request for Proposal (RFP), Solicitation No. 80MSFC21R0006, for Marshall Operations Systems, Services and Integration (MOSSI II)
You are invited to submit a proposal in response to the National Aeronautics and Space Administration (NASA) Marshall Space Flight Center’s MOSSI II solicitation. The principal purpose of this requirement is to maximize International Space Station (ISS) ground systems infrastructure and operational capabilities, reduce risk, and minimize the United States ISS operations costs.
NASA will conduct this acquisition as a full and open competition. The North American Industry Classification System (NAICS) code for this acquisition is 541715 – Research and Development in the Physical, Engineering, and Life Sciences (except Nanotechnology and Biotechnology). The small business size standard of 1,250 employees is tied to the exception noted in footnote 11(D) of the U. S. Small Business Administration Table of Small Business Size Standards Matched to North American Industry Classification System Codes which provides the following: Research and Development for guided missiles and space vehicles includes evaluations and simulation, and other services requiring thorough knowledge of complete missiles and spacecraft.
This competitive acquisition will result in a cost-plus-award-fee (CPAF) contract for both the core mission and indefinite-delivery, indefinite-quantity (IDIQ) components. The contract will have a total potential period of performance of 98 months, including a 90-day firm-fixed-price phase-in period, a 23-month Base Period, and six 12-month option periods.
The anticipated contract award/effective date is July 22, 2022. The contract will be performed onsite at NASA MSFC, Johnson Space Center (JSC), and Kennedy Space Center (KSC).
Potential offerors should pay close attention to all solicitation instructions. The following requirements list is summarized to assist in proposal development. Please note that this list is not exhaustive, and the solicitation terms and conditions take precedence:
1. The Government will make available existing Installation-Accountable Government Property (IAGP) for onsite contract performance as described in the RFP.
2. Site Visits/Conferences. No site visits will be conducted for MOSSI II.

3. NASA has determined that this acquisition may give rise to a potential organizational conflict of interest (OCI). Offerors should refer to NFS clause 1852.209-71, Limitation of Future Contracting, for a description of the potential conflict(s) and any restrictions on future contracting. The description of potential conflict is provided in MSFC 52.209-93, Notice of Potential Organizational Conflicts of Interest.
4. NASA MSFC appreciates the comments received in response to the release of the Draft
RFP. These comments resulted in improvements to the quality and content of the overall RFP. Offerors should review the RFP in its entirety, as its content has changed from the Draft RFP version. Attachments A and B identify some areas where changes or clarifications have been made from the Draft RFP to this final RFP that may not have been addressed in the Draft RFP questions and responses; these attachments are not intended to cover all changes nor describe all RFP requirements. Offerors should carefully review the RFP in its entirety.
5. Be advised, in accordance with MSFC 52.215-91, Due Date for Receipt of Proposals, offerors need to encourage their references to submit their Past Performance Questionnaires directly to the Contracting Officer two weeks prior to the proposal due date.
6. Below is a list of the Source Selection Authority (SSA) and voting members along with their associated NASA Marshall Space Flight Center organizational codes, for the Source Evaluation Board (SEB). The names provided are for informational purposes only and other than the Contracting Officer, Jaquilla White, these individuals shall not be contacted regarding this acquisition. The Government may change personnel associated with this acquisition at its discretion.

7. Offerors are required to have a Commercial and Government Entity (CAGE) code that matches the corporate address submitted with its proposal.
Offerors are encouraged to refer to Federal Acquisition Regulation (FAR) provision 52.215-1, Instructions to Offerors–Competitive Acquisition, in particular paragraph (f)(4) which discusses the Government’s right to award a contract without discussions.
In order to control and protect sensitive data owned by the Government and its Contractors, NASA policy requires all acquisition-related documents be released in Adobe Portable Document Format (PDF). The Offeror’s Cost Volume proposal shall include completed Cost Volume exhibits in Microsoft Office Excel format with working cell formulas.
Documents related to this acquisition, including this letter, the solicitation, attachments, exhibits, any amendments and links to online reference/technical/bidders library will be attainable electronically from the World Wide Web through the Government-wide point of entry website at www.SAM.gov. Potential offerors are requested to periodically monitor the websites for updates.
NASA FAR Supplement (NFS) clause 1852.215-84, Ombudsman, is applicable. The Center Ombudsman for this acquisition can be found at https://www.hq.nasa.gov/office/procurement/regs/Procurement-Ombuds-Comp-Advocate- Listing.pdf.
This RFP does not commit NASA Marshall Space Flight Center to pay any proposal preparation costs, nor does it obligate NASA Marshall Space Flight Center to procure or contract for these services. This request is not an authorization to proceed, and does not authorize payment for any charges incurred by the offeror for performing any of the work called for in this solicitation.
Proposals submitted in response to this solicitation shall be due no later than September 09, 2021, 2:00 p.m. Central Time.
In accordance with NFS 1815.201(f), a “Blackout Notice” has been issued to NASA personnel.

ATTACHMENT A – CLARIFICATIONS TO ALL POTENTIAL OFFERORS
Index Question Answer
Given the page count limits in this RFP, will the Government allow the compliance matrix required in this paragraph to be outside the page limits?
In accordance with NFS 1852.215-81, paragraph (c), only Attachment L-8, Personnel and Fringe Benefit Forms, and copies of applicable salary surveys or other salary information are excluded from the Mission Suitability volume page limitation. Generally, a sufficient compliance matrix should not exceed 1-2 pages.
This first sentence in section (c) implies exclusion of title pages and table of contents is appropriate, but these pages were not listed in the pages excluded. Will the Government provide Offerors with some page count relief by excluding title pages and table of contents?
The parenthetical in paragraph (c) provide examples of items that could be excluded from the established page limitation.
However, the items following the colon are those specifically excluded from the established limitations. Therefore, title pages and tables of content are not excluded from the established limitations.
Given the page constraints in this proposal, will the Government allow the format pages to be submitted as pages excluded from the 200-page limit?
Volume I – Mission Suitability page number limitation is increased from 200 to 210.

When considering complexity of previous experience and its relevance to MOSSI, obviously experience in human space flight operations and integrations is most similar to MOSSI II. In analyzing this listing, should the 3 bullets be assessed as being presented in order of relevancy? That is, Human Spaceflight operations and experience is viewed as most relevant; next in relevancy is high-risk operations in confined environments; and the final relevant activity is unmanned spaceflight ops?
The bulletized listing provides examples only and should not be construed as an order of importance or interpreted as all-inclusive. Offerors should clearly describe how the referenced contract aligns with the requirements of MOSSI II to allow for an assessment of the reference in terms of its complexity.
Several of the Data Requirements in J-2 request the initial submittal of the data requirement document “X” days after award. Several DR’s are listed in the Phase- In section of the PWS. Will the Government please clarify what Offerors shall use for the Contract Award Date – (1) day one of phase-in; (2) the first day of full contract performance following phase-in or (3) the date selection of the contractor is announced?
The Data Requirements Descriptions (DRDs) in Attachment J- 2 require initial submissions in terms of the effective date of the contract, which is the first day of the 90-day phase-in period. For example, a deliverable normally required 30 days after full contract assumption would be due no later than 120 days after the effective date of the contract (i.e., 30 days after completion of the 90-day phase-in period).
Please clarify whether there should be DRDs due during the Phase-in timeframe.
Attachment J-1, PWS, Section 1.16, specifies those DRDs which are required during the first 90 days after the effective date of the contract (i.e., during the phase-in period which overlaps the incumbent contract).
The IDIQ Contract Value presented is $75M, while the previous MOSSI contract had an estimated value of greater than $600M. Can the government explain this discrepancy?
No discrepancy exists. Amendment 004 of the MOSSI RFP established a maximum potential not-to-exceed (NTE) value for the indefinite-delivery, indefinite-quantity (IDIQ) component as $120M. MOSSI II lowers that value to $75M.

Regarding Attachments L-1 and L-2 Attachments L-1 and L-2 are replaced in their entirety to resolve all discrepancies.
Since the RFP asks for Total Compensations Plans from subcontractors in addition to Primes, we request that the Total Compensation Plan be removed from page count.
In accordance with NFS 1852.215-81, paragraph (c), only Attachment L-8, Personnel and Fringe Benefit Forms, and copies of applicable salary surveys or other salary information are excluded from the Mission Suitability volume page limitation.
Section L: Volume IV (c) Section I (1) - Item (v) seems to duplicate item (VI) Could the government clarify the difference between the two transmittal letter requirements?
This discrepancy will be corrected to eliminate the reference in Item (c)(1)(vi)
Section L: Volume IV (c) Section I (1) - Item (viii), does the government intend for the Offeror to state which Microsoft Word version was used to prepare the proposal or is there another intent behind this requirement?
Offerors should indicate the specific Word version used to prepare the proposal (e.g., 2016, 2019)
Attachment L-7 is an Excel Spreadsheet and is included in the Mission Suitability volume. It is not possible to put the Excel form in the Volume and maintain the native format of the L-7 in a MS Word file.

The MOSSI II DRFP page L-10 and Industry Day briefing slide 70 describe a potential conflict of interest with the Independent Verification and Validation (IV&V), Ground Systems Engineering Support Services (GSESS) contractor, which is yet to be awarded. The GSESS “Clarification to Questions and Answers”, 10 Dec 2020, item 19, says that “A particular company may have a conflict with one task order, but not all.” Thus, indicating that GSESS OCIs may be resolved at the Task Order level. Note that the GSESS Performance Work Statement (PWS) includes scope “…across a broad spectrum of ground support engineering disciplines” and is not limited to IV&V. Can the MOSSI II OCI be mitigated by the GSESS contractor not responding to IV&V task orders which require review of products developed by the MOSSI II contractor where both contractors are the same company in either a prime or subcontractor role?
The Government has identified a potential OCI regarding Independent Verification and Validation (IV&V), Ground Systems Engineering Support Services (GSESS) contract on the basis of presently known GSESS scope.
Per FAR Subpart 9.505, the two underlying principles guiding the Government’s avoidance of OCI’s are:
1) Preventing the existence of conflicting roles that might bias a contractor’s judgement, and
2) Preventing unfair competitive advantage The Government seeks to uphold these principles in both the acquisition phase and the execution phase of all contracts, including GSESS.
Identifying, evaluating, and mitigating specific OCI scenarios, as applicable to prime and subcontractor teaming arrangements, is the responsibility of the Offeror. The Government will assess the acceptability of the proposed OCI plan (including resolution plans for any identified OCIs) consistent with the terms and conditions of the RFP.
