STATEMENT OF WORK

Financial Reporting and Business Intelligence Tool with Integrated Governance, Risk Management, and Compliance Capabilities

Farm Credit System Insurance Corporation

1501 Farm Credit Drive McLean, VA 22102 www.fcsic.gov

1. BACKGROUND

The Farm Credit System Insurance Corporation (FCSIC or the Corporation) is an independent federal government-controlled corporation whose primary mission is to protect investors who purchase insured Farm Credit System (System) debt obligations. FCSIC administers the Farm Credit Insurance Fund (Insurance Fund) and collects annual insurance premiums from System banks.

In addition to providing insurance to investors that purchase System debt obligations, FCSIC has other mandatory and discretionary statutory responsibilities including serving as conservator or receiver when appointed by the Farm Credit Administration (FCA) Board and providing assistance to System banks suffering financial difficulty. FCA is the independent federal regulatory agency responsible for ensuring the safety and soundness of the System. FCA’s Board is comprised by the same three individuals who make up the FCSIC Board, however, the same member may not serve as chair of both entities.

FCSIC operates with a small staff. Its streamlined business model utilizes contractors and FCA staff to assist in fulfilling its mission. FCSIC purchases staffing and other support services from FCA through an interagency agreement. FCSIC has contracted with FCA to provide IT related services to FCSIC and its staff.

2. OBJECTIVE

FCSIC is looking for a 100% cloud-based solution, in one secure, integrated, and centralized software-as-a-solution tool to facilitate, automate, generate, streamline processes, and track data and provide narrative required for

• Financial Reporting and Business Intelligence capabilities, specifically to support FCSIC’s Annual Financial Report (AFR) and other weekly/monthly/quarterly/annual reports; and

• Governance, Risk Management, and Compliance (GRC) capabilities, specifically to support FCSIC’s management and testing of the requirements of the Office of Management and Budget (OMB) Circular No. A-123, Management’s Responsibility for Enterprise Risk Management and Internal Control, Appendix A, Internal Control Over Reporting (OMB A-123, Appendix A).

http://www.fcsic.gov/

3. SCOPE

The scope of work explains the financial reporting automation and the internal control management solution requirements. It also provides guidelines for the vendor responses to the procurement. The terms “tool,” “product,” and “software” may be used interchangeably in this document to reference the solution we are seeking to procure.

The tool will manage and store all work processes, workflows, supporting documentation and evidence, tracking (comments and status), and monitoring functions. The tool will extract and accept data from Excel reports and other inputs and will transform the data into formats required for financial reporting and audit management (tables, charts, graphics, text), track changes and comments, provide version controls and status (including time tracking and calendar updates), load data and formats into the report layout, and generate a report for publishing.

The tool will allow flexibility for up to 15 user licenses. It should be collaborative and allow for multiple users in the same file simultaneously and have customizable administrative and user roles. The tool should be 100% cloud accessible and must be a certified FedRAMP Moderate software. Software version updates are to be managed by the vendor and include the most recent security and functional capabilities available. The tool should have a user-friendly interface, dynamic linking of objects and content, audit trail capabilities with edits tracked in real time (tracking/version capabilities with track changes), workflow responsibilities/restrictions, file sharing and access controls, editing and publishing capabilities, and options to input/output in various formats.

The scope of work includes the Contract Line Item Numbers (CLIN) that are described below.

CLIN01 - Implementation Services (BASE YEAR)

CLIN01 is for the services required to instantiate the requested cloud resources, complete required FedRAMP paperwork, review customer responsibilities, and install and configure software in FCSIC’s IT environment (managed by FCA). Managed solutions services must have a FedRAMP Moderate authorization issued either by an Agency or the FedRAMP Joint Authorization Board (JAB). FCSIC does not have the available resources to sponsor an Agency authorization. The tool is to be turn-key/operational in 6- 9 weeks after contract award. It is expected that CLIN01 will be invoiced upon completion.

CLIN 02 - Managed Solutions Services (BASE YEAR)

CLIN02 is for 12 months of managed solutions services for the requirements listed in the “Work Requirements” section of this Statement of Work (SOW) which includes licensing for up to 15 individuals. CLIN02 is to be invoiced monthly starting after the completion of CLIN01.

CLIN 03 - Managed Solutions Services (OPTION YEAR)

CLIN03 is for 12 months of managed hosting services for the requirements listed in the “Work Requirements” section of this SOW. The vendor must remain FedRAMP Moderate-certified. CLIN03 is an option to be executed via contract modification by the

Contracting Officer at FCSIC’s discretion. The vendor will be notified at least 30 days before the expiration of CLIN03 of FCSIC’s intent to execute the option year.

CLIN 04, CLIN 05, CLIN 06 (OPTION YEARS 2, 3, and 4) CLIN 04, CLIN 05, and CLIN 06 option years are equivalent to CLIN03 in every way except for the option year period.

CLIN 07

At the option of FCSIC, at any time during the contract, we may elect to implement active directory sign-on.

4. CURRENT PROCESSES AND OBJECTIVES

Objective 1: Financial reporting and business intelligence capabilities - Agency Financial Report and other weekly/monthly/quarterly/annual reports

The current Agency Financial Report (AFR) manual production processes and preparation of management reports and dashboards (i.e., business intelligence reports) are inefficient and risky because there is limited audit tracking and control management.

The calendar year (CY) 2020 AFR format will follow the format published in CY 2019, which is available for viewing online at www.fcsic.gov. The AFR is composed of three major narrative sections, sourced from many authors, using various Microsoft and other applications, and includes narratives, graphs, charts, page breaks, pictures, and other common elements of an

AFR.

The AFR’s current manual production process uses a variety of commercial software applications, including Adobe Acrobat and various Microsoft applications, for report preparation, editorial and comment tracking, file version control, workflows/file access controls, content validations, and scheduling/milestones/deadlines.

Macro-based Excel data is used to prepare the financial tables, charts, and graphs that are imported into the narrative Word files supplied by multiple authors, inside and outside of FCSIC.

During the production process, there are several draft reviews of content within FCSIC, as well as with FCSIC’s external auditors, and each process requires tracking, version control, and validation of incorporation of editorial comments/changes and data table/chart/graph updates.

When the editorial review process is complete, and the AFR is deemed final and ready to publish, all Word files are combined into one Portable Document Format (PDF) file using Adobe Acrobat. The Corporation uses an outside printer, who must know certain information about the color schemes for the page. The AFR is then published on FCSIC’s website, while it is concurrently printed in hard copy and manually distributed.

Major issues with the AFR’s current manual production process include potential for inaccuracy due to manual nature of inputting key data, and reliance on a manual process to track complex editorial and comment tracking, file version control, workflows/file access controls, content and http://www.fcsic.gov/ validations, scheduling and milestone deadlines, interactions with other FCSIC offices, external auditors, and OMB. Issues with the current AFR production process cannot be resolved by SharePoint and/or other Microsoft software.

Other weekly/monthly/quarterly/annual reports and dashboards are prepared manually by FCSIC staff and are generally executed in Excel, Word, and PowerPoint.

Objective 2: Governance, risk management, and compliance capabilities – FCSIC’s management and testing for OMB A-123, Appendix A requirements

The current internal control management process to implement the Federal Managers’ Financial Integrity Act (FMFIA) and OMB A-123, Appendix A, monitoring and testing of internal controls, is inefficient and primarily maintained with spreadsheets and Word documents. The tool should eliminate the use of separate files, improve the efficiency and timeliness of coordination between offices, improve efficiency and quality of mandated reporting to our auditors, the OMB and the Government Accountability Office (GAO).

Using our current process of separate, non-integrated tools that offer limited collaboration, complicate version control between the various users. Documents pass each other in email making it difficult to know if any one version contains all the input as provided by the various people required to be involved in the final document. Additionally, since no workflows exist, and separate documents are not linked automatically, the processes around updating are manually intensive and prone to version control discrepancies.

An integrated database needs to capture logistical transactions, summary internal control testing results, management assessments of issues and organizational demographic details as the different audits progress through their various implementation cycles.

Pending the final decision, the vendor remains obligated to proceed diligently with the performance of the contract, in accordance with the Contracting Officer’s decision.

15. EMPLOYER-EMPLOYEE RELATIONSHIP

This contract does not create an employer-employee relationship between the Corporation and the vendor. The vendor will be responsible for any and all obligations arising from its status as an independent vendor, including but not limited to, tax reporting and payment obligations.

Neither the vendor nor any of its employees will be considered as a Federal employee for any purpose, nor will it be regarded as performing a personal service or be eligible for civil service employee benefits. If subcontracting is permitted, the use of the term “vendor” herein refers to both the vendor and all subcontractors at all levels. In the event the vendor encounters difficulty in meeting performance requirements, or when the vendor anticipates difficulty in complying with the performance schedule, or whenever the vendor has knowledge that any actual or potential situation is delaying or threatening to delay the timely performance of this contract, the vendor shall immediately notify the FCSIC Contracting Officer and the COR in writing, giving pertinent details; provided, however, that the data shall be informational only in character and that these provisions shall not be construed as a waiver by the Corporation of any delivery schedule or date, or of any rights or remedies provided by law or under this contract.

17. NO IDEMNIFICATION

FCSIC will not indemnify, waive, or disclaim any rights or obligations to the vendor as a result of services performed under this contract.

No contract award is to be made to any entity that has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability.

19. TERMINATION CLAUSE

FCSIC, in its sole discretion, may terminate performance of work under this contract in whole or, from time to time, in part if the Contracting Officer determines that a termination is in the FCSIC’s interest. The Contracting Officer shall terminate by delivering to the vendor a Notice of Termination specifying the extent of termination and the effective date.

After receipt of a Notice of Termination, and except as directed by the Contracting Officer, the vendor shall immediately proceed with the following obligations, regardless of any delay in determining or adjusting any amounts due under this clause:

(a) Stop work as specified in the notice.

(b) Place no further subcontracts or orders (referred to as subcontracts in this clause) for materials, services, or facilities, except as necessary to complete the continued portion of the contract.

22. METHOD OF PAYMENT

Payments by FCSIC under this contract shall be made by electronic funds transfer (EFT). FCSIC may, at its option, also forward the associated payment information by electronic transfer. As used in this section, the term “EFT” refers to the funds transfer and may also include the information transfer.

In the event the FCSIC is unable to release one or more payments by EFT, the vendor agrees to either -

a. Accept payment by check or some other mutually agreeable method of payment; or

b. Request FCSIC to extend payment due dates until such time as the FCSIC makes payment by EFT.

The vendor is required, as a condition to any payment under this contract, to provide FCSIC with the information required to make payment by EFT by registering in the General Services Administration’s System for Award Management (SAM).

Prior to submission of the first request for payment (whether for invoice or contract financing payment) under this contract, the vendor shall provide the information required to make contract payment by EFT directly to SAM. In the event that the EFT information changes, the vendor shall be responsible for providing the changed information to SAM.

The vendor shall designate a single financial agent capable of receiving and processing the electronic funds transfer using the EFT methods. The vendor shall pay all fees and charges for receipt and processing of transfers.

Liability for uncompleted or erroneous transfers:

a. If an uncompleted or erroneous transfer occurs because FCSIC failed to use the vendor-provided EFT information in the correct manner, FCSIC remains responsible for

(i) Making a correct payment;

(ii) Paying any prompt payment penalty due; and

(iii) Recovering any erroneously directed funds.

b. If an uncompleted or erroneous transfer occurs because vendor-provided EFT information was incorrect at the time of FCSIC release of the EFT payment transaction instruction to the Federal Reserve System, and

(i) If the funds are no longer under the control of the CFO, FCSIC is deemed to have made payment and the vendor is responsible for recovery of any erroneously directed funds; or

(ii) If the funds remain under the control of the CFO, FCSIC retains the right to either make payment by mail or suspend the payment in accordance with paragraph 4 of this section.

In the event that payment is not received timely, determination of interest due will be under the provisions of the Prompt Pay regulations at 5 CFR Part 1315.

FCSIC is a Federal Government-controlled corporation and is exempt from State sales tax.

Therefore, it is not required to pay sales tax on invoices submitted to it and if included, the amounts will be deducted from the total amount invoiced.

Upon FCSIC adopting the Administrative Resource Center’s (ARC) Invoice Processing Platform (IPP) (expected in 2020), the vendor shall submit payment requests electronically using the Invoice Processing Platform (IPP).
