52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JUN 2008)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF
1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the
Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent
Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA

(j) Data Universal Numbering System (DUNS) Number. (Applies to all offers exceeding $3,000, and offers of
$3,000 or less if the solicitation requires the Contractor to be registered in the Central Contractor Registration (CCR) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation
“DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address.
The DUNS +4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional CCR records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR
Subpart 32.11) for the same concern. If the offeror does not have a DUNS number, it should contact Dun and

(k) Central Contractor Registration. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the CCR database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the CCR database in the time prescribed by the Contracting Officer, the Contracting

The offeror shall be compliant with the requirements as stated in the solicitation, including, but not limited to the Performance Work Statement.
b) Proposals shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the offeror's proposal.
c) Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired.
d) In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals.
2.1 Page Limitations
Page limitations shall be treated as maximums. Page limitations of the RFP are established only for Volume I, Technical Capability proposal and Volume II, Past Performance. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal, and will be returned to the offeror as soon as practicable. When both sides of a sheet display printed material, it shall be counted as 2 pages. The Past Performance Forms L1 and L2 to be completed by offerors are attached to this RFP. Past Performance information shall only be addressed in Volume II.
2.2 Pricing Information
All pricing information relating to the proposed price including all supporting documentation must be included in the Price Volume III. Prices are not to be inserted or discussed within the other volumes. Pricing should reflect the
ELINs found in RFP Attachment 02.
2.3 Indexing and Cross Referencing
Each volume shall contain a detailed table of contents to delineate the sections and paragraphs within that volume.
Tab indexing shall be used to identify sections. Cross referencing between volumes is not permitted. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal. Cross referencing within a volume is permitted where its use would conserve space without impairing clarity.
2.4 Glossary of Abbreviations and Acronyms
Each volume shall contain a glossary of all abbreviations and acronyms used, with an explanation for each.
Glossaries do not count against the page limitations for their respective volumes.
2.5 Binding and Labeling.
Each volume of the proposal shall be clearly delineated and bound within a binder(s) that permits the volume to lie flat when open. One binder may be used to hold multiple volumes as long as each volume is clearly delineated.

2.6 Page Size/Format
2.6.1 A page is defined as each face of a sheet of paper containing information. Two pages may be printed on one sheet. Page size shall be 8.5 x 11 inches, except foldouts. Pages shall be double-spaced or use 24 leading. The text size shall be 12 point, except for the reproduced sections of the solicitation document. These page format restrictions shall also apply to responses to Evaluation Notices
(EN) and Final Proposal Revisions (FPR), should they be issued.
2.6.2 Legible tables, charts, graphs, and figures shall be used wherever practical to depict organizations, plans, lines of authority, chain of command, etc. These displays shall be uncomplicated, legible and shall not exceed 11 by 17 inches in size. Foldout pages shall fold entirely within the volume, and count as a double page. Foldout pages may only be used for large tables, charts, graphs and figures; not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than 10 point.
2.7 Proposal Compliance and Quality
Offerors should prepare initial proposals based upon the Government's intention to award without discussions.
3.0 Volume Specific Instructions
3.1 Technical Capability Proposal (Factor 1)
3.1.1 The proposal shall contain the following sections found in 3.1.2 – 3.1.8. Failure to satisfy a given requirement may result in an offeror's proposal being determined non-responsive. The proposal discussion should include as much detail as possible with particular emphasis placed on demonstrating that the primary areas of concern stated in each item below is satisfied.
3.1.2 Draft Chemical Program Outline
Describe your approach to providing a chemical program that adequately provides industrial water treatment to control scale, corrosion, and microbiological fouling for cooling towers, boilers, thermal ice storage systems, heating
& cooling closed loop water-based Heating Ventilation and Air Conditioning (HVAC) systems.
3.1.3 Draft Chemical Control Test Procedures
Describe your approach to providing chemical control test procedures that comply with industry standards in accordance with Industrial Water Treatment: Operation and Maintenance UFC 3-240-13FN.
3.1.4 Draft Product Bulletins
Provide product bulletins for proposed chemical program.
3.1.5 Draft Material Safety Data Sheets (MSDS)
Provide MSDS for proposed chemical program.
3.1.6 Draft Disposal Manifest
The contractor shall provide the following information the name and address of proposed landfill to be used for disposal of project related waste, landfill class, and proposed materials to be disposed.
3.1.7 Draft Environmental Incident Cleanup Plan
Describe your approach to containment, notification process and cleanup of spills and leaks to be in compliance with paragraph 1.10 of the HVAC IWT PWS.
3.1.8 Draft Mishap Prevention and Safety Program
Describe your approach to mishap prevention and safety program in a draft document. These draft documents should meet the requirements contained in the PWS and all Federal, State, and Local Laws/Orders/Standards.
3.2 Past Performance (Factor 2)
3.2.1 Format
Use the Past Performance Information form (Attch L1) for submitting relevant recent, past, and present performance. Provide a separate, thoroughly completed form for each contract submitted, including factual, concise, and clear comments regarding your performance on them. This information is required on the offeror and all subcontractors, teaming and/or joint venture partners proposed to perform a major portion of the proposed effort based on the total proposed price, or perform aspects of the effort the offeror considers critical to overall successful performance. The Government will use information provided by the offeror in this volume and information obtained from other sources in the evaluation of the Past Performance Factor.
3.2.2 All past performance should be either completed within the past three years of the solicitation date or still in progress and have at least one year of performance history.
3.2.3 Offerors are required to thoroughly explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. Specifically relate them to the HVAC IWT O&M.
Indicate the relevancy and provide rationale for each classification.
3.2.4 Include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a little or no confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror is required to clearly demonstrate management actions employed in overcoming problems and the effect of those actions, in terms of improvements achieved or problems rectified. This may allow the offeror to be considered a higher confidence candidate. For example, submittal of quality performance indicators or other management indicators that clearly support that an offeror has overcome past problems is required. Categorize the relevant information into the specific requirements of the HVAC Industrial Water Treatment Operation and Maintenance
Services acquisition.
3.2.5 Organizational Roadmap
Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this acquisition. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition.
To facilitate this relevancy determination, include a "roadmap" in your past performance volume describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any contracts you identify for past performance evaluation. Since the Government intends to consider current, recent and relevant past performance information provided by other sources as well as that provided by the offerors, your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
3.2.6 Partnership Agreements
If any of the contracts you identify were performed as teaming or joint venture partners, offerors must thoroughly explain the relationship of each partner, e.g. managing partner, under the contract(s) submitted, and include copies of the teaming and/or joint venture agreement(s) for these contracts. For joint venture partners, define this relationship as it relates to "populated" or “unpopulated" performance of the services by each of the partners.
3.2.7 Consents
Offerors are required to include written consents from their proposed subcontractors, teaming partners, and/or joint venture partners for the disclosure of past performance information by the Government to the offeror (prime). These written consents will facilitate the performance confidence assessment process by enabling the Government to clarify (FAR 15.306(a)(2) and, if necessary communicate and/or discuss (FAR 15.306(b) and (d), subcontractor, teaming partner, and/or joint venture partner past performance information with the offeror (prime).
3.2.8 Past Performance Surveys
For each cited contract effort (Attch 04), a Past Performance Survey (Attch 05) will be submitted to the point of contact. These results will not be released to the contractor.
3.3 Price Volume (Factor 3)
3.3.1 Price Reasonableness
These instructions are to assist you in submitting information other than cost or pricing data that is required to evaluate the reasonableness of your proposed price. It is anticipated that pricing of this action will be based on adequate price competition. Compliance with these instructions is mandatory and failure to comply may result in rejection of your proposal. Note that unrealistically low or high proposed prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the offeror does not understand the requirement or has made an unrealistic proposal. Offers should be sufficiently detailed to demonstrate their reasonableness. The burden of proof for credibility of proposed prices rests with the offeror.
3.3.2 Complete Blocks 17a, 30a, 30b, 30c, of SF 1449. In doing so, the offeror accedes to the contract terms and conditions as written in the entire RFP.
3.3.3 Complete unit prices for CLINs X001, X002, X003, X004 of the Price Schedule. See Attachment 02 for specific instructions on the completion of the CLIN prices. Ensure all rounded unit prices, extended amounts and totals are correct.
3.3.4 Do not submit any other pricing, e.g. information other than pricing data such as pricing worksheets or spreadsheets, manpower labor costs, etc. In accordance with FAR 15.403-3(a), information other than cost or pricing data may be required to support price reasonableness.
3.3.5 As mentioned above offerors are not required to submit certified cost or pricing data. However, if after receipt of proposals it is determined that adequate price competition does not exist, additional “other than certified cost or pricing data” shall be required. If it is determined that adequate price competition does not exist, the offeror shall provide additional data within 10 calendar days after receipt of the Contracting Officer's request.

Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, price and specific requirements of the solicitation.
