About this file
This is an Other Transaction (OT) Agreement executed under 10 U.S.C. § 4022 between the Department of the Air Force and a contractor for the Advanced NAV-WAR Open Air (ANOA) System prototype development. The agreement is dated 21 April 2026 and is administered by AFMC/AFTC/PZIA at Arnold AFB, Tennessee.
The effort is structured in sequential phases with two mandatory milestones and optional operational utility work. The mandatory portion includes Milestone 1 (Business Process Prototype) requiring delivery of a Government-approved Statement of Work defining the project execution plan, and Milestone 2 (Proof of Concept Prototype) requiring completion of three design reviews (10%, 60%, 100%), delivery of one functional ANOA system, and Government-witnessed testing demonstrating conformance to performance parameters defined in Attachment 1. The optional phase covers delivery of seven additional systems and two spare units under the Operational Utility Prototype. Payment is on a Firm-Fixed-Price basis contingent upon formal written Government acceptance of each milestone. The Performer bears all risk of loss until Government acceptance and must deliver items to Arnold AFB, Tennessee and Holloman AFB, New Mexico. The Government receives Unlimited Rights to all Foreground Intellectual Property developed during performance. The Performer must maintain CMMC Level 2 C3PAO certification (or alternative compliance path until 10 November 2026) to protect Controlled Unclassified Information, report cyber incidents within 72 hours to DIBNet, and comply with prohibitions on equipment from specified foreign sources including Huawei, ZTE, Kaspersky Lab, and ByteDance applications. Title to deliverables transfers to the Government upon formal written acceptance. The agreement includes a one-year limited warranty on delivered systems and permits incremental funding with notification requirements at 80% of allotted funds.
