L.7.2. Table of Contents. Volume II’s Table of Contents shall be broken down at a minimum with Table 1 – Proposal Organization’s Volume II to help delineate each component included in the Executive Summary Proposal. Offerors file the Table of Contents after the Volume II Cover Page. Tables of Content do not count against the page limitations.

L.7.3. Executive Summary. In Attachment 4, "Offeror (Prime) Company Information & EC2 Team Structure,” the offeror will identify itself and its team structure that will perform significant and critical aspects of the contract (e.g., EC2 categories). Provide a brief summary of the offeror and its team, capabilities of each, how (and to what extent) they will support future EC2 requirements. Offerors shall include an organizational chart that clearly identifies the lines of authority between each the entities.

L.7.4. Offeror Company Information and Team Structure. The Offeror shall complete Attachment 4. Offeror Company Information and Team Structure for each legal entity participating in the offer. Joint Ventures will provide additional information regarding protégé’ partners (see L.8.8). The legal entity is considered any company or organization that has legal rights and responsibilities, including tax filings. The distinguishing factor for identifying a legal entity for purposes of completing this form is if the entity has a Unique Entity Identifier for their entity in SAM.gov. If so, the Offeror shall provide its information on the form. The Offeror shall be registered in the System for Award Management (SAM.gov) for the duration of the acquisition. If the Offeror’s SAM.gov registration expires prior to the proposal validity date, the Offeror shall assert its intent to renew the registration.

L.7.4.1. Teaming arrangements, subcontracting, affiliate/sister companies/entities are not restricted. Offerors submitting a proposal as the Prime Offeror in response to this solicitation are permitted to submit a separate proposal under which they would be a Subcontractor, or a team member to another prime. Subcontractors are permitted to support multiple primes.

L.7.5. Evidence of Commitment. Where offerors propose to utilize companies/entities (including subcontractors, affiliate companies, sister companies, teaming arrangement partners, joint venture partners) to perform significant and critical aspects of the contract (i.e., EC2 categories, as offeror identifies in Attachment 4), and seeks government consideration of the company's/ entity's work samples under past experience and past performance, then the offeror must provide documentation to demonstrate the commitment. The documentation will include a signed agreement executed between the prime offeror and the company/entity, demonstrating that the company/entity will perform those significant and critical aspects of the contract (if awarded).

This includes documented affiliation, copy of the teaming agreement, copy of the joint venture agreement (see 13 C.F.R. 125.8), or other agreements as applicable.

L.7.5.1. Ensure that the signed agreement (or documented affiliation) is provided. A company/ entity’s assurance, memo, or affidavit alone is not sufficient. Ensure that the agreement (or documented affiliation) clearly demonstrates the company/entity’s commitment to perform those significant and critical aspects (EC2 categories) of this contract. An agreement (or documented affiliation) which is unclear, or equivocal in commitment, or vague (e.g., whether agreement applies to this particular contract, ambiguity regarding the EC2 categories to be performed) may adversely impact the evaluation of the offeror’s proposal. If an offeror does not provide sufficient information, then the government may not consider the company/entity’s work samples/contract references in past experience and past performance.

L.7.5.2. The government will review the signed agreement (or documented affiliation) simply to validate the company/entity’s commitment to perform significant and critical aspects of this contract. The form, format, detail, volume are entirely within the discretion of the offeror.

Certified/notarized copies are not required.

L.7.5.3. The offeror's team structure may also include related entities (wholly owned subsidiaries, acquired companies, or affiliates), which must be listed (Attachment 04) and the legal relationship demonstrated (submitted in Volume II, under L.7.5). It is incumbent upon the offeror to fully explain organizational changes (including acquisition, merger, reorganizations) and the organization structure of affiliated companies. The offeror shall provide an Organizational Structure Change History that demonstrates any organizational changes to the offeror and its entities as necessary. The organization history shall include a "roadmap" describing all such changes in the organization of your company or entity, as necessary, particularly dating to any prior work that may be submitted in this proposal. A pamphlet or other commercial document describing such reorganizations may also be used to describe the changes.

As part of this explanation, describe how these changes have relevance to the past experience and/or past performance evaluations. Information must be clear and complete. The offeror should not assume that the government will interpret or extrapolate information that was not presented.

L.7.5.3.1. The offeror may intend to submit the entity's past information for government consideration in past experience and past performance evaluation. Mere ownership or affiliation, or shared organizational structures, or potential/speculative access to the entity's resources of is not sufficient in itself. Offerors must provide evidence of commitment that demonstrates that the resources of the entity workforce (e.g., its management, facilities, or other resources) will be utilized or that the entity otherwise has meaningful involvement in future EC2 contract performance. The offeror may submit any company documentation that demonstrates the commitment of the entity to perform. Bilaterally-signed agreements/memoranda may be submitted which clearly demonstrate the significant and critical aspects (EC2 Categories) of the contract that the entity will perform under the contract.

L.7.6. Consent Letters. Past Performance Submissions cannot be disclosed to non-Government parties without the information owner’s consent. The prime offeror may submit past performance information regarding its team (including JV partners, teaming partners, subcontractors, affiliates). The Government may, at its discretion, obtain further past performance information.

Consent letters (Attachment 5) shall be submitted for the prime offeror's team, as identified in Attachment 04. The consent letter shall be signed by an individual who has the authority to sign for and legally bind the company. The consent letter authorizes the Government to discuss PPI information with the prime offeror. Consent letters are required for affiliate companies, including wholly-owned subsidiaries. If the offeror has legal authority to sign on behalf of the wholly-owned subsidiary, then the offeror may provide the signed consent letter. Consent letters are required for JV partners. If the JV representative has legal authority to sign on behalf of the JV partner, then the JV representative may provide the signed consent letter. The consent letter will be submitted as part of Volume II -- Executive Summary. No consent letter is required from the prime offeror.

L.8.3. Work Sample Table of Contents. The Work Sample Table of Contents shall itemize the Offeror’s list of “Work Samples” to help segregate each Work Sample included in the Past Experience Proposal. The Work Sample Table of Contents does not count against the page limitations.

L.8.4. Self-Scoring Matrix. The Offeror shall complete Attachment 7. Self- Scoring Matrix. Self-scores shall be verifiable using the Work Samples provided in response to L.8.7. Only Column D

L.8.4.1. Scoring: Attachment 7. Self-Scoring Matrix. All SAs shall be truthfully and accurately scored by the offeror in column D of Attachment 7. Self-Scoring Matrix, based on valid Work Samples (L.8.6.1., L.8.7.5). Scores shall be either zero (0), five (5), or ten (10). For each SA, a score of 0 is entered if no Work Sample is provided; a score of 5 is entered if one Work Sample is provided; a score of 10 is entered if two Work Samples are provided. Only 0-, 5-, or 10-point scores are permitted. Two Work Samples cannot be provided from the same contract/TO for the same Specialty Area and receive the full 10 points. To receive 10 points for a Specialty Area Offeror must provide 2 different Work Samples. The Government will not evaluate proposals with any other values in Column D.

L.8.4.1.1. The Offeror shall not change, adjust, or manipulate any other cells within the Self- Scoring Matrix.

L.8.5. Burden of Proof. The burden of proof for substantiating points in the self-scoring system rests with the Offeror. The proposal shall contain sufficient data to substantiate the points claimed in the proposal. All proposal information is subject to verification by the Government.

Falsification of any proposal submission, documents, or statements may subject the Offeror to disqualification from this source selection. Please note, the Government is not bound by the offeror’s relevance assessment or proposed self-score submitted in the proposal.

L.8.6. Attachment 8. Cross Reference Matrix. The purpose of the Cross Reference Matrix is to map the Offeror’s Past Experience, to the SA, to the Work Sample Reference Document so the

Government may validate the Offeror’s Past Experience in performing the work. The Offeror shall complete the Cross Reference Matrix and clearly identify the exact location of the content Work Sample and specific substantiating Work Sample reference so that the Government may validate that the Work Sample data achieved the criteria described at M.4.2. Pages referred to in the page number column should reference the proposal page number. The Offeror shall follow the “Work Sample Reference” nomenclature/format provided in Columns C - K. If the Offeror deems it necessary, additional Work Sample Reference data can be added to Column K, “Other Notes as needed.” If a column/cell does not include reference data, please insert “N/A” into that cell. The Offeror shall include the Work Sample Reference Number (i.e., WS1-WS62), on each Work Sample Document page.

L.8.6.1. Offerors shall submit Work Samples and correctly reference that Work Sample to illustrate and demonstrate Past Experience in each EC2 SA. Offerors are cautioned to ensure the Cross-Reference Matrix is complete and accurate. Offeror omissions/errors may result in the Government non-validating Work Samples. Each EC2 SA shall receive a separate Work Sample Reference Number.

L.8.7. Work Sample Cover Sheet with Work Sample Documentation

L.8.7.1. Attachment 6. Work Sample Cover Sheet. The Work Sample Cover Sheet shall be completed for each Work Sample submitted. Offerors shall follow the instructions provided within Attachment 6. Each Work Sample shall provide at least one (1) Point of Contact (POC).

The Government may contact the POCs provided, and the Government reserves the right to contact additional POCs if necessary to validate the Work Sample. For Work Samples performed as a subcontractor, the Offeror shall provide at least one (1) POC for the prime company.

L.8.7.2. Work Samples. The work sample includes: (1) the Work Sample Cover Sheet, (2) the signed contract/TO cover page(s), and (3) the work sample official contract documentation. If unsigned, altered, or other irregularity in the documentation, provide complete explanation in the work sample cover page. The Offeror shall provide official contract documentation that demonstrates the Offeror’s Past Experience of performing the same or similar work. Offerors must submit the original page (not create one page of pasted excerpts from different pages). The signed contract/TO cover page and the work sample official contract documentation shall be unedited original documents (except for highlighting, new pagination, work sample reference number). See paragraph L.8.7.2.3. for directions on how to mark documents. Each work sample shall not exceed 10 pages. Page limits apply to individual work samples and cannot be combined between work samples. If the signed contract/TO cover page, and the work sample official contract documentation are classified, the offeror may submit an unclassified government originated/signed document, to meet the work sample requirement or other information, with explanation in the work sample cover page. The Offeror shall incorporate all documentation into Volume III.

L.8.7.2.1. "Official contract documentation" includes key documents integral to contract performance, including contracts (other than IDIQ contracts IAW L.8.7.4.), orders, modifications, PWS/SOW/SOO, CDRLs, subcontracting plans, invoices, meeting minutes, progress reports, monthly status reports, or other reports. The contractor may submit other documentation it regards to be integral to the contract (i.e., CPARS, FPDS, signed, original memos from COs/government officials/prime contractor), but Offerors are cautioned that the documentation is validated for past experience (not past performance) and that authenticity

(contract-contemporaneous documents), and level of detail are critical considerations of any Work Sample. When contracts/TOs are used for Work Samples, the Offeror shall include the signed cover page associated with the contract.

L.8.7.2.2. The Government cautions Offerors to provide authentic, complete, signed documentation in accordance with the solicitation. Deviations may limit government validation of work samples. Ensure detailed information (through the work sample and Attachment 6. Work Sample Cover Sheet). Do not presume that the government will necessarily extrapolate details that are not clearly presented. Submission of relevant pages (vice submitting an entire document) is recommended. In Attachment 6. Work Sample Cover Sheet, spelling out critical acronyms and providing "lay person" explanations.

L.8.7.2.3. Offerors may, but are not required to, highlight specific content within each Work Sample they assert satisfies the past experience requirement for each SA, identified in Attachment 1. Performance Work Statement (PWS) and Attachment 2. PWS Supplement, respectively. In addition to the volume numbering required in L.4.3., all Work Samples shall be numbered WS1, WS2, WS3, etc. Within each Work Sample, each page will be sequentially numbered 1-10. For example, Work Sample 5, page 4, would be annotated as WS5-4. Work Samples shall be in English.

L.8.7.3. There is a limit of two (2) Work Samples per SA. The Offeror shall submit Work Sample(s) for each scored EC2 SA of the Self-Scoring Matrix to demonstrate their Past Experience.

L.8.7.4. A contract/TO for the purpose of evaluating Work Samples is defined as a singular agreement used to document a mutually binding legal relationship obligating the seller to furnish supplies or services in exchange for the buyer paying for them. IDIQ contracts are not an acceptable proof of Past Experience (or Past Performance) and shall not be provided as a Work Sample. However, individual TOs, performed under an IDIQ contract, can be used as a Work Sample. Multiple contract/TOs cannot be combined and counted as one Work Sample.

L.8.7.5. Work Sample Qualifications. Work Samples shall meet these minimum qualifications:

(a) Be a past or current contract (including Federal, State, and local government and private) for efforts similar to the Government’s requirement IAW the criteria listed herein.

(b) Performed the work for a minimum of six months in duration and all work must have been performed and/or completed within the last three years from the date of this Solicitation’s date of issuance or contracts that were started prior to this time, but still in effect with active performance as of 3 years from the date of this solicitation.

(c) Work was accomplished by a legal business entity included in the Team Structure.

L.8.8. Joint Ventures. If the offeror is a Joint Venture, then the Joint Venture must submit evidence of commitment including partners (see L.7.5 13 CFR 125.8 for additional guidance pertaining to Joint Ventures). As the offeror, the Joint Venture must submit information to meet all requirements of the solicitation. The offeror may rely on its own resources or those of its partners (specific capability, Past Performance, experience, business system and certification) to demonstrate the aggregate JV submission. From the thirty-one (31) defined SAs, the JV must demonstrate the contributions/experience of the protégé member in a minimum of six (6) of the

SAs. Therefore, the offeror must provide at least one protégé Work Sample in six different SAs.

In Attachment 4, the offeror will identify the six (6) SAs for the protégé member. Nothing herein requires that a protégé partner’s contribution or experience, solely or individually, meets the same requirements as non-protégé offerors.

L.8.9. Offerors may submit work samples of its identified team structure (Attachment 4), including wholly-owned subsidiaries, acquired companies, affiliates, JV partners, subcontractors, and others). To ensure full consideration of submitted work samples, offerors must ensure that there is evidence of commitment (L.7.5) regarding the significant and critical aspects (EC2 Categories) of the contract to be performed.

The Government will use the information included in the Offeror’s Past Performance Submission, and may gather information from other sources, to assess and assign adjectival ratings to the Offeror’s Past Performance following the criteria described in paragraph M.5.3.

L.9.4.1. A responsive Past Performance Submission consists of: (1) Attachment 9. Past Performance Information Sheet and either a (2) Attachment 10. Past Performance Questionnaire (PPQ) (submitted by the Offeror’s client), or a (3) Contractor Performance Assessment Report (CPAR). PPQs shall only be submitted in instances when CPAR information is unavailable (e.g., commercial contracts, subcontracted work or the initial CPAR is not finalized). This attachment shall be used for any contract reference (including commercial contracts).

L.9.4.3.1. Offerors shall fill in Section I of the PPQ prior to sending the PPQ to the Client/Customer POC. Client/Customer POCs will in-turn submit the completed PPQ directly to the Government POCs listed in para. L.2.2.
