Roofing Maintenance and Repair IDIQ

THE EFFECTIVE ORDERING PERIOD IS THREE YEARS FROM DATE OF AWARD. CONTRACTOR SHALL FURNISH ALL LABOR, MATERIALS AND EQUIPMENT REQUIRED FOR A BROAD RANGE OF MAINTENANCE, REPAIR, AND MINOR CONSTRUCTION WORK ON VARIOUS ROOFS AT AIR FORCE RESEARCH LABORATORY (AFRL), ROME RESEARCH SITE (RRS), ROME, NY; RRS TEST SITES AT NEWPORT AND STOCKBRIDGE, NY (TEST SITES ARE WITHIN 35 MILES OF ROME, NY), AND DEFENSE FINANCE AND ACCOUNTING SERVICE (DFAS), ROME, NY.

This is an Indefinite Quantity contract as contemplated by FAR 16.504. The total scope of the tasks for which orders may be issued is set forth in the attached Statement of Scope. The maximum dollar amount the Government may order under any contract arising from this solicitation for Roofing Maintenance and Repair is $4,900,000; the minimum amount is the amount of the first Order.
B-2 ORDERING PROCEDURES
a. Upon notification from RIOC of a requirement for performance under the terms of this contact, the CO will submit the Request for Proposal, Drawings, Statement of Work, and List of Submittal Requirements to the contractor.
b. Within 2 business days of receipt, the contractor will schedule a pre-proposal site visit during which the government will review the requirement with the contractor and provide any clarifications.
c. The contractor will prepare and submit the proposal, to include pricing and schedule.
1. Pre-priced Items: the Section B Price Schedule shall serve as the basis for establishing the value of the work to be performed on a unit price basis.
2. Non Pre-Priced Items (NPIs): if required, must be identified separately in the contractor’s proposal. When proposing NPIs, the Contractor must substantiate amounts with vendor quotes, worksheets, and other pertinent data as required by the CO. Possible NPI work items for this contract include but are not limited to one-time equipment rentals, specialty tools, subcontracts, and labor categories other than those pre-established in the basic contract.
d. The government will review the proposal for completeness and negotiate with the contractor quantities for pre-priced labor and materials, any NPIs, and performance time. A resultant FFP delivery order will be issued.
Section C - Descriptions and Specifications C-1 PROJECT DESCRIPTION: This acquisition consists of furnishing all labor, equipment, appliances, devices and materials, and performing all operations necessary in connection with Roofing Maintenance and Repair. Work will include accomplishing a broad range of roof maintenance, repair, replacement and minor construction work at the Air Force Research Laboratory Rome Research Site, including its surrounding AFRL/RRS off-campus sites at Newport NY and Stockbridge NY, and the Defense Finance and Accounting Service Rome NY (DFAS). Total combined area for all roofing types is approximately 900,000 square feet. Delivery orders issued against the IDIQ contract will consist primarily of (1) roofing demolition, (2) waterproofing and sealing, (3) carpentry including decking, joists, rafters, beams, sheathing, blocking, bracing, (4) roof insulation, including polyisocyanurate board hot applied and mechanically fastened, as well as various types of tapered insulation, (5) roofing systems using Built-Up Asphalt Roofing, SBS Modified Bituminous Membrane Roofing, Ethylene Propylene Diene Monomer Roofing (EPDM), and Thermoplastic Polyolefin Roofing (TPO), (6) surfacing and restoration, (7) flashing and sheet metal, (8) roof drains and piping, (9) leak investigation and repair, and (10) roof snow removal.

52.246-12 INSPECTION OF CONSTRUCTION (AUG 1996)
(a) Definition. "Work" includes, but is not limited to, materials, workmanship, and manufacture and fabrication of components.
(b) The Contractor shall maintain an adequate inspection system and perform such inspections as will ensure that the work performed under the contract conforms to contract requirements. The Contractor shall maintain complete inspection records and make them available to the Government. All work shall be conducted under the general direction of the Contracting Officer and is subject to Government inspection and test at all places and at all reasonable times before acceptance to ensure strict compliance with the terms of the contract.
(c) Government inspections and tests are for the sole benefit of the Government and do not--
(1) Relieve the Contractor of responsibility for providing adequate quality control measures;
(2) Relieve the Contractor of responsibility for damage to or loss of the material before acceptance;
(3) Constitute or imply acceptance; or
(4) Affect the continuing rights of the Government after acceptance of the completed work under paragraph (i) of this section.
(d) The presence or absence of a Government inspector does not relieve the Contractor from any contract requirement, nor is the inspector authorized to change any term or condition of the specification without the Contracting Officer's written authorization.
(e) The Contractor shall promptly furnish, at no increase in contract price, all facilities, labor, and material reasonably needed for performing such safe and convenient inspections and tests as may be required by the Contracting Officer. The Government may charge to the Contractor any additional cost of inspection or test when work is not ready at the time specified by the Contractor for inspection or test, or when prior rejection makes reinspection or retest necessary. The Government shall perform all inspections and tests in a manner that will not unnecessarily delay the work. Special, full size, and performance tests shall be performed as described in the contract.
(f) The Contractor shall, without charge, replace or correct work found by the Government not to conform to contract requirements, unless in the public interest the Government consents to accept the work with an appropriate adjustment in contract price. The Contractor shall promptly segregate and remove rejected material from the premises.
(g) If the Contractor does not promptly replace or correct rejected work, the Government may (1) by contract or otherwise, replace or correct the work and charge the cost to the Contractor or (2) terminate for default the Contractor's right to proceed.
(h) If, before acceptance of the entire work, the Government decides to examine already completed work by removing it or tearing it out, the Contractor, on request, shall promptly furnish all necessary facilities, labor, and material. If the work is found to be defective or nonconforming in any material respect due to the fault of the Contractor or its subcontractors, the Contractor shall defray the expenses of the examination and of satisfactory reconstruction. However, if the work is found to meet contract requirements, the Contracting Officer shall make an equitable adjustment for the additional services involved in the examination and reconstruction, including, if completion of the work was thereby delayed, an extension of time.
(i) Unless otherwise specified in the contract, the Government shall accept, as promptly as practicable after completion and inspection, all work required by the contract or that portion of the work the Contracting Officer determines can be accepted separately. Acceptance shall be final and conclusive except for latent defects, fraud, gross mistakes amounting to fraud, or the Government's rights under any warranty or guarantee.

All correspondence and data submitted by the Contractor under this contract shall reference the contract number and delivery order number if applicable.
G-2 CONTRACT ADMINISTRATION
Administration of the delivery orders under this contract will be performed by the AFRL/Rome Research Site Operational Contracting Branch, AFRL/RIKO, 26 Electronic Parkway, Rome, NY 13441-4514. No changes, deviations, or waivers shall be effective without a modification of the contract executed by the Contracting Officer authorizing such changes, deviations or waivers.

52.211-10 COMMENCEMENT, PROSECUTION, AND COMPLETION OF WORK (APR 1984)
The Contractor shall be required to (a) commence work under each delivery order within 10 calendar days after the date the Contractor receives the Notice to Proceed, (b) prosecute the work diligently, and (c) complete the entire work ready for use not later than TBD by delivery order. The time stated for completion shall include final cleanup of the premises.

52.216-18 Ordering (OCT 1995)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from the date of contract award through three years after the date of contract award.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

52.216-19 Order Limitations (OCT 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $2,000, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor:
(1) Any order for a single item in excess of $1,000,000
(2) Any order for a combination of items in excess of $1,000,000; or
(3) A series of orders from the same ordering office within 10 days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.
(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 7 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 Indefinite Quantity (OCT 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 12 months after the end of the ordering period.

(b) The Contractor shall--
(1) Check all drawings furnished immediately upon receipt;
(2) Compare all drawings and verify the figures before laying out the work;
(3) Promptly notify the Contracting Officer of any discrepancies;
(4) Be responsible for any errors that might have been avoided by complying with this paragraph (b); and
(5) Reproduce and print contract drawings and specifications as needed.
(c) In general--
(1) Large-scale drawings shall govern small-scale drawings; and
(2) The Contractor shall follow figures marked on drawings in preference to scale measurements.

5352.223-9001 HEALTH AND SAFETY ON GOVERNMENT INSTALLATIONS (JUN 1997)
(a) In performing work under this contract on a Government installation, the contractor shall:
(1) Comply with the specific health and safety requirements established by this contract;
(2) Comply with the health and safety rules of the Government installation that concern related activities not directly addressed in this contract;
(3) Take all reasonable steps and precautions to prevent accidents and preserve the health and safety of contractor and Government personnel performing or in any way coming in contact with the performance of this contract; and
(4) Take such additional immediate precautions as the contracting officer may reasonably require for health and safety purposes.
(c) The contracting officer may, by written order, direct Air Force Occupational Safety and Health Standards (AFOSH) and/or health/safety standards as may be required in the performance of this contract and any adjustments resulting from such direction will be in accordance with the Changes clause of this contract.
(d) Any violation of these health and safety rules and requirements, unless promptly corrected as directed by the contracting officer, shall be grounds for termination of this contract in accordance with the Default clause of this contract.
5352.242-9000 CONTRACTOR ACCESS TO AIR FORCE INSTALLATIONS (ACCESS TO ROME RESEARCH SITE) (JAN 2008)
(Applicable to performance at AFRL Rome Research Site)
(a) The Contractor shall obtain installation identification for all contractor personnel who make frequent visits to or perform work on the Air Force installation(s) cited in the contract. Contractor personnel arerequired to wear or prominently display installation identification badges or Contractor-furnished, Contractor identification badges while visiting or performing work on the installation.
(b) The Contractor shall submit a written request on company letterhead to the Contracting Officer listing the following: contract number, location of work site, start and stop dates, and names of employees and subcontractor employees needing access to the installation. The letter will also specify the individual(s) authorized to sign for a request for identification credentials. The Contracting Officer will endorse the request and forward it to the security police for processing. When reporting to the security police office, the authorized contractor individual(s) should provide a valid driver's license, current vehicle registration, valid vehicle insurance certificate.
(c) During performance of the contract, the Contractor shall be responsible for obtaining required identification for newly assigned personnel and for prompt return of credentials for any employee who no longer requires access to the work site.
(d) When work under this contract requires unescorted entry to controlled or restricted areas, the contractor shall comply with AFI 31-101, Volume 1, The Air Force Installation Security Program, AFI 31- 501, Personnel Security Program Management, and applicable individual area operating instructions.
(e) Upon completion or termination of the contract or expiration of the installation identification badges, the prime contractor shall ensure that all installation identification badges issued to employees and subcontractor employees are returned to the issuing office.
(f) Failure to comply with these requirements may result in withholding of final payment.

OMBUDSMAN (AUG 2005)
(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the party to another official who can resolve the concern.
(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Section L - Instructions, Conditions and Notices to Bidders
A. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being ineligible for award. (Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.) The response shall consist of two (2) separate parts; Part I – Price Proposal and Part II – Past Performance Information.
B. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer's opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists, offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.
C. SPECIFIC INSTRUCTIONS:
1. PART I – PRICE PROPOSAL - Submit original and two (2) copies.
(a) Complete blocks 14, 15, 16, 17, 19, 20A, 20B, and 20C of the Solicitation Section A, SF 1442. In doing so, the offeror accedes to the contract terms and conditions as written in the Solicitation Sections A through K. These sections constitute the model contract.
(b) Insert proposed unit and extended prices in:
(1) Section B Price Schedule items numbered 1.01 through 9.10
(2) Section B Delivery Order Proposal Request 01 (Bldg 2 Ph5&6)
Item (1) must be completed and submitted in hard copy and electronic format. For the electronic copy, offerors shall use the Excel spreadsheet attached to the solicitation posted to the FedBizOps website.
For item (2) each offeror shall use the line items proposed in item (1) as well as the ordering procedures in section B-2 of this solicitation.
(c) Complete the necessary fill-ins and certifications in Sections C through K. Section K shall be returned in its entirety. For Sections C through I, the offeror shall submit only those pages that require a fill-in. The offeror’s Online Representations and Certifications Application (ORCA) record must be current, accurate, and complete. For additional information, reference http://orca.bpn.gov.
(d) Complete Section A of the Past Performance Questionnaire (PPQ) for each reference and return two (2) copies with proposal. On a separate sheet of paper, offerors shall clearly describe the relevance to this solicitation (reference C.2.b.3 below) of each project submitted on Past Performance Questionnaires.
(e) For this procurement, it has been determined that competition will be unrestricted in terms of business size classification. For reference, the NAICS code is 238160 with an associated size standard of $14,000,000 average annual revenue for the previous 3 years. Large Businesses must provide a subcontracting plan in accordance with the procedures of FAR 52.219-9 Alt II.
2. PART II – PAST PERFORMANCE INFORMATION - Submit original and two (2) copies.
(a) Quality and Satisfaction Rating for Contracts Completed in the Past Three (3) Years: Provide information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with overall job performance and quality of completed product for same or similar type contract. In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc.
(b) Performance Surveys:
1. The Government will evaluate the quality and extent of offerors’ performance deemed relevant to the requirements of this solicitation. The Government will use information submitted by the offeror and other sources, such as other Federal Government offices, Construction Contractor Appraisal Support System (CCASS) within the Past Performance Information Retrieval System (PPIRS), and commercial sources, to assess performance. Offerors shall submit past performance information by utilizing the attached Questionnaire for no more than five (5) of the most relevant contracts performed for Federal agencies and commercial customers within the last three (3) years and which demonstrate the ability of the offeror to perform the proposed effort.
2. The evaluation of past performance information also will take into account past performance information regarding predecessor companies, personnel who have relevant experience, or subcontractors that will perform major / critical aspects of the requirement when such information is relevant to the instant acquisition. An offeror is considered a General Contractor if its primary experience has been to perform less than 25% of the cost of contracts, not including the cost of materials, with its own employees. If the offeror’s primary experience is past performance as a General Contractor, that offeror must submit past performance information for proposed subcontractors specializing in roofing maintenance, repair, and installation. Major / critical aspects are defined as efforts on the proposed work valued at greater than or equal to 25% of the estimated magnitude of the contract. Offerors may submit past performance information by utilizing the attached Questionnaire for no more than five (5) of the most relevant contracts performed for Federal agencies and commercial customers within the last three (3) years by predecessor companies, personnel, and subcontractors performing major / critical aspects of the requirement and which demonstrate the ability of the offeror’s current organization to perform the proposed effort.
3. Relevant performance includes contracts where the offeror has performed efforts involving (a) roofing maintenance and repair of Built-Up roofing (BUR), (b) demolition and stripping of BUR systems on occupied facilities, (c) installation of insulated, fully adhered roofing systems using Ethylene Propylene Diene Monomer Roofing (EPDM) and Thermoplastic Polyolefin Roofing (TPO), and (d) leak investigation and repair of BUR and SBS Modified Bituminous Membrane roof systems. Relevant performance for efforts described in (b) and (c) exceeding 40,000 square feet will be considered more relevant than those efforts less than 40,000 square feet. The relevance of past performance will be assessed based on the scope and magnitude of the past performance effort. More recent and more relevant performance will have greater impact on confidence assessment. The Government will also use past performance data regarding quality, adherence to schedule, contract administration, and management effectiveness as factors affecting performance confidence assessment.
4. If a teaming arrangement is contemplated, offerors must provide complete information as to the arrangement, including any relevant and recent past performance information on previous teaming arrangements with the same partner. If this is a joint effort, each party to the arrangement must provide a list of past and present relevant contracts.
5. Offerors (and major / critical subcontractors) will complete Section A of the Questionnaire (pages 2 & 3) for each reference and include two (2) copies with their proposal.
