52.212-1 Addendum Instructions to Offerors (ITO) Instructional System Development and Training Services (ISDTS)

1. PROPOSAL PREPARATION INSTRUCTIONS

1.1. This acquisition will utilize procedures in accordance with (IAW) Federal Acquisition Regulation (FAR) Part 12 - Acqusition of Commercial Items and FAR Part 13 - Simpified Acquisition Procedures. The Government intends to award one firm-fixed price, commercial Indefinite Delivery/Indefinite Quantity (ID/IQ) contract for training needs analysis, instructional system design, courseware development, training support, and instructional process improvement services at Hill Air Force Base (AFB) Utah, their customers, and geographically separated units (GSUs). Contract terms and conditions consistent with customary commercial practices are specified in the solicitation/contract, with otherwise tailored terms and conditions specified in the solicitation attachments.

1.2. The Government will select the lowest priced, technically acceptable Offeror, based upon an evaluation of technical, past performance, and price. A contract may be awarded to the Offeror who is deemed responsible IAW the FAR, as supplemented, whose proposal conforms to the solicitation’s requirements (to include all stated terms, conditions, representations, certifications, and all other information required by 52.212-1, and this Addendum, of this solicitation) and is judged, based on the evaluation factors and subfactors, to represent the best value to the Government. Technical tradeoffs will not be made, and no additional credit will be given for exceeding acceptability requirements.

1.3. To assure timely and equitable evaluation of proposals, Offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including all stated terms, conditions, representations, certifications, and technical requirements, in addition to those identified as evaluation factors or sub-factors. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Offerors shall submit all exceptions within 14 days of the release of the solicitation. The response shall consist of four (4) separate volumes; Volume I - Price, Volume II - Technical, Volume III - Past Performance, and Volume IV - Contract Documentation.

2. PROGRAM STRUCTURE AND OBJECTIVES

2.1. This acquisition is set-aside for all small business concerns in the United States and will utilize 13 Code of Federal Regulation (CFR) Part 124 Subpart A - 8(a) Business Development/Small Disadvantaged Business Status Determinations with regards to small business size.

2.2. The Government intends to select one small business contractor within the 8(a) program to support the ISDTS Program; however, the Government reserves the right to award no contract at all, depending on the quality of the proposals, prices submitted, and the availability of funds, or if the Contracting Officer (CO) determines it is in the Government’s best interest. The CO will consider the Government’s expected volume of work, available funding, adequate competition, and the availability of best value proposals. The Government is not liable for any proposal costs incurred. The Government intends to, and reserves the right, to award a contract without interchanges; therefore, it is imperative that Offerors submit their best pricing and proposal terms initially. If during the evaluation period, it is determined to be in the best interest of the Government to hold interchanges, written Offeror responses will be considered in making an award decision.

2.3. Budget and Funding Information–Funds will not be obligated on the basic Indefinite Delivery/Indefinite Quantity (ID/IQ) contract. Funding will be obligated on each Task Order awarded under the basic ID/IQ contract. The minimum guarantee for this contract will be met with the issuance of the first Task Order.

3. GENERAL INSTRUCTIONS

3.1. This section provides general guidance for the preparation and submittal of the Offeror’s proposal for this solicitation as well as specific instructions on the format and content of the proposal. Offerors must follow the instructions contained herein. Offerors are cautioned that any noncompliance with the terms and conditions of the RFP or an incomplete proposal submittal may cause their proposal to be determined not eligible for award and elimination from competition. If a joint venture arrangement exists for this acquisition, the offeror shall provide a copy of the joint venture agreement that is signed and dated by all joint venture members as part of the proposal submission. Proposals received are subject to the requirements specified in the Performance Work Statement (PWS), FAR 52.212-1, this Addendum to the solicitation, Contract Data Requirements Lists (CDRLs), and Solicitation. Proposals must be received by the Government points of contact listed in 3.6 below no later than the date and time specified on the face page of the solicitation.

3.2. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal shall NOT simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume the Government has no prior knowledge of its capabilities and experience, and will base its evaluation on the information presented in the Offeror’s proposal.

3.3. Elaborate brochures or documentation, bindings, detailed artwork, or other embellishments are unnecessary and are not preferred.

3.4. The proposal acceptance period is 120 days from the proposal due date, and is specified on the front page of the solicitation. Submission of a proposal will constitute acceptance of the proposal validity period. The Offeror agrees to hold the prices in their proposal for 120 calendar days from the date specified for receipt of offers.

3.5. IAW FAR Subpart 4.8, Government Contract Files, the Government will retain one copy of all unsuccessful proposals.

3.6. Points of Contact - The Contracting Officer (CO) is the sole point of contact for this acquisition. Offerors shall address any questions or concerns to the CO, and courtesy copy the Contract Specialist (CS). Written requests for clarification may be sent to the CO at the address located in the Solicitation and below:

3.7. Discrepancies - If an Offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the CO and the contract specialist in writing with supporting rationale.

3.8. The Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without interchanges. An interchange allows the Government to exchange information with Offerors who provide proposals. The Government may conduct interchanges with some, none, or all Offerors at its discretion.

3.9. Electronic Reference Documents - All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) web site at http://www.fedbizopps.gov. Potential Offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

3.10. Oral Presentation - Oral presentations will not be allowed.

3.11. Amendments to Solicitation - If this Request for Proposal (RFP) is amended, all terms and conditions not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to the solicitation by signing and returning the front page of each amendment with their proposal.

3.12. Submission, Modification, Revision, and Withdrawal of Proposals - Proposals and modifications to proposals shall be submitted in electronic media to the Points of Contact in Paragraph 3.6 of this document, showing the time and date specified for receipt, the solicitation number, and the name and address of the Offeror.

3.13. Organization, Number of Copies, and Page Limits - The title page of each volume must show the following:

Solicitation Number

· Name, address, county, telephone and facsimile numbers

· Commercial and Government Entity (CAGE) code

· Data Universal Numbering System (DUNS) number

· Size of business (large or small)

· Email address of the Offeror Volume number and name (e.g., Volume I, Price)

3.14. The Offeror shall prepare the proposal as set forth in the Table 1 - Proposal Organization. The titles, contents, and page limits of the volumes shall be as defined in the table. The contents of each proposal volume are described in FAR 52.212-1 ITO - Addendum paragraph noted in the table below.

3.15. Page Limitations - Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal. Page limitations may be placed on responses to interchanges. The specified page limits for interchanges responses will be identified if interchanges are requested with Offerors. Each page shall be counted except the following: blank pages, title pages, tables of contents, tabs, glossaries, and those noted in the Proposal Organization Table as “Unlimited.”

3.16. Pricing Information - All pricing information shall be addressed ONLY in the Price Volume.

3.17. Cross Referencing - Each volume shall be written on a stand-alone basis so that its contents may be evaluated without cross-referencing to other volumes of the proposal. Information required for proposal evaluation not found in its designated volume will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted.

3.18. Offerors shall complete the page column of Table 2 - Cross Reference Matrix in the format below, indicating the proposal page reference information as it relates to the FAR 52.212-1 Addendum Instructions to Offerors, and FAR 52.212-2 Addendum Evaluation - Commercial Items, PWS, Contract Line Item Numbers (CLINs), and CDRL references found therein. The Cross Reference Matrix shall be included in the Technical Volume (Volume II).

3.19. Indexing - Each volume shall contain a more detailed table of contents to delineate the subparagraphs within that volume. Each proposal shall include tab indexing to identify sections. Each proposal shall include an indexed list of Tables and Figures.

3.20. Glossary of Abbreviations and Acronyms - Each volume shall contain a glossary of all abbreviations and acronyms used, with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.

3.21. Page Size and Format - A page is defined as each face of a sheet of paper containing information. Page size shall be 8.5 x 11 inches. Except for the reproduced sections of the solicitation document, the text shall be Times New Roman and font size shall be no-less-than 12 points, and text lines shall be single spaced. Use at least 1 inch margins on the top, bottom, and both sides. Pages shall be numbered sequentially by volume. These page format restrictions shall apply to responses to interchanges. Legible tables, charts, graphs, and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 x 17 inches in size. For tables, charts, graphs, and figures, the text shall be no smaller than 10 point font. Tables shall be used sparingly and shall not be used in place of text. Tables and Charts will not count against the page count of 20 pages.

3.22. Electronic Offers - The content and page size of electronic copies must be formatted using paragraph 3.18. The Offeror shall submit Volumes I - IV in electronic format using separate files for each volume. The electronic copies of the proposal, as applicable, shall be submitted in a format readable by or backwards compatible with Microsoft (MS) Word 2010, MS Excel 2010, and MS PowerPoint 2010, or in a “word searchable” PDF format. The Price Volume tables shall be submitted in a format readable by or backwards compatible with MS Excel 2010.

· Word documents - Set “save as type” to “Word Document (*docx)” only

· Excel spreadsheets - Set “Save as type” to Microsoft Excel Workbook (*xlsx).”

· PowerPoint presentation - Set “Save as type” to “Microsoft PowerPoint 2010 Presentation (*.pptx).”

3.23. Distribution - The “original” proposal shall be identified. Proposals shall be addressed to the CO and CS and mailed or hand-delivered to:

4. VOLUME I - FACTOR ONE - PRICE

4.1. General Instructions - The pricing criteria will be: (1) Reasonableness, (2) Balance, and (3) Total Evaluated Price (TEP) as defined in FAR 52.212-2 Addendum – Evaluation Factors for Award - Commercial Items of the RFP which will be assessed from the information provided in this volume. Offerors shall review FAR 52.212-2 Addendum Evaluation Factors for Award -Commercial Items criteria to ensure the minimum requirements are met.

4.2. Total Evaluated Price - Offerors shall input into the TEP Worksheet, located in Section J Attachment #7 TEP Worksheet, base labor rates, health and welfare rates, and fully burdened rates for each labor category skill set for all contract years. Base labor rates and health and welfare rates will be used to check for compliance with the Service Contract Labor Standards (SCLS). Fully burdened rates shall include all direct rates, health and welfare rates, other indirect rates (Overhead, General and Administrative, etc.) and profit necessary for the performance of the entire requirement. Proposed rates are Firm Fixed Price (FFP) per year and contractually binding. The proposal rates will be applied to notional hours to complete the TEP. Government determined elements of the notional formula WILL NOT be disclosed to Offerors. A no-proposal or an omitted rate may result in an incomplete price submission. An omitted rate may result in proposal elimination. The TEP is for evaluation purposes only; however all proposed rates are contractually binding as Not-to-Exceed prices for issuance of Task Orders.

4.2.1.1. Submit a copy of the completed TEP Worksheet in the Price Volume (Volume I) in Microsoft Excel (non PDF format).

4.2.1.2. Cost or Pricing Information Requirements - If, after receipt of proposals, the CO determines there is insufficient information available to determine the reasonableness of the proposed pricing, the Offeror may be required to submit additional information other than certified cost or pricing data. Certified or other-than certified cost and pricing data may be required if, during the source selection process, the CO determines adequate competition does not or no longer exists.

4.2.1.3. Rounding - All dollar amounts provided shall not extend beyond two decimal places.

4.2.1.4. Pricing Assumptions - Offerors shall summarize all significant pricing assumptions, scope limitations, and qualifications of the Price proposal. IAW with Table 1 - Proposal Organization, pricing assumptions shall not exceed two pages.

4.2.1.5. Estimating Techniques and Methods - When responding to the Price Volume requirements in the solicitation, the Offeror may use any generally accepted estimating technique (such as bottoms-up rate buildups using current, factual cost information, commercially available or in-house developed parametric models, etc.) to develop their proposal. Provide a summary description of your standard estimating system or methods.

4.2.1.6. The Data CLIN is to be left blank for all years. The Data CLINs are Not Separately Priced line items.

4.3. Submission - Offerors shall submit electronic price proposals in Microsoft Word documents and Microsoft Excel worksheets as appropriate. Word documents and Excel spreadsheets must be editable and NOT password protected. PDF files are NOT acceptable for the price proposal.

5. VOLUME II – FACTOR TWO – TECHNICAL

5.1. General - Volume II - Technical shall be clear, specific, complete, and include sufficient detail for effective evaluation. Legibility, clarity, and coherence are very important. Offeror’s responses will be evaluated against the Technical sub-factors defined IAW FAR 52.212-2 - Evaluation - Commercial Items, Evaluation Factors for Award. Offerors shall review FAR 52.212-2 - Evaluation - Commercial Items criteria to ensure all minimum requirements are met. Offerors shall provide as specifically as possible the actual methodology the Offeror would use for accomplishing and satisfying each sub-factor. Do not reference rates or prices in this volume. Offerors shall assume the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the Offeror’s proposal. All requirements specified in the solicitation are mandatory. By the Offeror’s proposal submission, the Offeror is representing the company will perform ALL of the requirements specified in the solicitation.

5.2. Adequate Responses - It is imperative that Offerors fully describe and provide detail as to how they will meet the sub-factor requirements. Do not merely copy and paste, rephrase or restate the objectives, or reformulate the requirements specified in the solicitation. Evidence which clearly demonstrates and supports the Offeror’s claims is essential. The absence of such evidence may result in a technically unacceptable proposal.

5.3. Volume Organization - Volume II - Technical shall be organized according to the following general outline:

5.4. Factor Two - Technical

5.4.1. Sub-Factor One - Program Management Plan

The Offeror shall provide a detail approach and supporting documentation as a clear methodology for the ISDTS program management or a similar type of training program. The Offeror shall describe in detail the Offeror’s management approach to accomplishing the requirements of the PWS. Proposal shall reference ISDTS PWS paragraph 2.0 and subparagraphs 2.1 through 2.4. The Offeror’s proposal shall also include verifiable past examples of:

a. Multiple-site program and personnel management, PWS paragraph 2.0

b. Outsourcing with commercial training organizations, industrial companies, colleges, universities and agencies, PWS paragraph 2.2

5.4.2. Sub-Factor Two - Resource Management Plan

5.4.2.1. The Offeror shall provide a planned approach for retaining qualified incumbent personnel, and hiring qualified personnel. As a minimum, the process shall include a clear methodology which demonstrates and substantiates how the Offeror will manage retention, recruitment, hiring, and turnover processes, in new and existing workload conditions IAW PWS paragraph 2.5 and Appendix B.

5.4.2.2. The Offeror shall provide a level of detail which identifies a clear methodology or plan to provide a workforce which possesses and is able to maintain the appropriate security measures and protocols upon the start of the contract period of performance IAW PWS paragraph 5.16 and all subparagraphs.

5.4.2.3. The professional employee compensation plan required by FAR 52.222-46 shall be submitted as a part of Volume II. The plan shall set forth salaries and fringe benefits proposed for professional employees and include supporting information to enable the Government to review the proposed salaries and fringe benefits in accordance with FAR 52.222-46. Note: The compensation plan pertains to the offeror only; however, if a populated joint venture is formed (a joint venture in which the employees are employed by the joint venture itself and not by any individual joint venture partner), the joint venture must submit the professional employee compensation plan for the joint venture. If an unpopulated joint venture is formed, each individual joint venture partner must submit its own professional employee compensation plan.

5.4.3. Sub-Factor Three: Transition Plan

5.4.3.1. The Offeror shall provide a level of detail and supporting documentation, which identifies a clear, comprehensive methodology for staffing to meet all requirements of an orderly stand up of new workload and continuous operation without negative impact on Government operations in the time frame required. The plan shall include all details regarding Phase-In and Phase-Out procedures IAW PWS paragraph 6.0 and all subparagraphs.

6. VOLUME III – FACTOR 3 – PAST PERFORMANCE

6.1. Offerors shall, if available, submit recent and relevant contracts (maximum of three contracts) as defined below; performance as a subcontractor may be included, the Offeror shall include contract number and prime contractor. The Government will consider this information, along with information obtained from other sources [e.g., Contractor Performance Assessment Reports System (CPARS), customer interviews, etc.]. Offeror may use past performance of subcontractor to satisfy recent and relevant past performance. If this is a first time joint venture, each party to the joint venture must provide a past relevant contracts (maximum of three).

6.2. Recency - is defined as performance within the last three years from the date of the issuance of the solicitation. The Government will not consider performance on contracts where performance was concluded more than three years prior to the solicitation issue date. Submitted contract/Task Order may be evaluated for past performance in their entirety if any part of the period of performance falls within the three year evaluation timeframe.

6.3. Relevancy - is defined as work which involves approximately the same type(s) of services described in the RFP, PWS, 52.212-1 Addendum, and 52.212-2 Addendum. The Offeror shall address any performance problems/issues as instructed in 52.212-1 Addendum and explain the corrective action taken or current status.

6.4. Offerors may address any past performance problems or issues the Government may identify and explain corrective action taken and current status. The Government will consider this information in determining the Offeror’s past performance rating.

6.5. An Offeror’s failure to address performance problems or issues within this volume does not preclude the Government from using such information in evaluating past performance.

6.6. If a joint venture is contemplated, Offerors shall provide complete information pertaining to the joint venture. Offerors shall include any relevant and recent past performance information on previous joint ventures with the same partner. If a joint venture is contemplated for the first time, each party to the joint venture shall provide a list of past relevant contracts (maximum of three).

6.7. To verify previous contract experience, Offerors will complete the information in Attachment #4 Past Performance Information Form and, if applicable, provide a completed Subcontractor Consent Letter (sample provided as Attachment #5 Subcontractor Consent Letter). These documents must be included in Volume III of the Offeror’s proposal and submitted electronically via email to the Contracting Officer and Contract Specialist listed in section 3.23. of this document.

7. VOLUME IV – CONTRACT DOCUMENTATION

7.1. Offerors shall provide all Volume IV Contract Documentation in the prescribed format identified in Table 1.

7.2. Solicitation Representations and Certifications - The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file. The Offeror’s proposal shall include all completed Sections of the Solicitation.

7.2.1. Supplies or Services and Prices/Cost: Do not input pricing information in Section B of the Model Contract and Solicitation. All required prices shall be proposed in the TEP Worksheet Section J Attachment #7 TEP Worksheet.

7.2.2. Contract Clauses - Offerors shall complete all required clause fill-ins.

7.2.3. Representations, Certifications, and other Statements of Offerors - Complete representations, certifications, acknowledgments, and statements. Offeror must complete an online FAR provision 52.204-8 Annual Representations and Certifications (May 2014), Online Reps and Certs at http://www.sam.gov Offerors shall ensure certification as a small business under North American Industry Classification System (NAICS) 611430. To qualify as a small business for Federal Government programs under NAICS Code 611430 the average annual receipts of a concern may not be greater than $11 Million USD.

7.3. Ability to obtain resources - Offerors shall submit acceptable evidence of adequate financial resources to perform the contract, or the ability to obtain them. This information will be used as part of the CO’s determination of responsibility IAW FAR 9.104.

7.4. Offerors shall submit Total Case Incident Rate (TCIR) and Days Away, Restricted, and Transferred (DART) rates, or, injury and illness rates for the past three years. For newly formed entities or other Offerors which do not possess three years of consecutive recording data, submit this information for the time period available. Offerors may also submit other comparable data from a recognized agency, such as workers compensation, insurance rates, etc., for the same time period.

7.5. Safety Plan - Offerors shall submit a Safety Plan IAW Appendix C of the PWS. Safety Plan will be reviewed for acceptability. Recommended changes (if required) will be submitted to Offeror for revision. Government’s acceptance of a Safety Plan is required prior to commencement of any Task Order. These plans shall be included in subtitled volumes (e.g., Volume IV, Contract Documentation). Offerors shall provide copies in the formats and quantities identified in Table 1 - Proposal Organization.

7.6. Exceptions to Solicitation Requirements - Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being ineligible for award. Offerors should clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Each exception shall be specifically related to a corresponding paragraph and specific part of the solicitation to which the exception is taken. Offerors shall provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. This information shall be provided in the format and content of Table 3 - Solicitation Exceptions.

7.7. Small businesses who intend to enter into a joint venture must still meet the 50 percent requirement per FAR Clause 52.219-14 and must include evidence of a formal/informal joint venture, in their Contract Documentation Volume IV, to include establishing a SAM account (http://www.sam.gov) which includes a Commercial And Government Entity (CAGE) Code and Data Universal Numbering System.
