CLAUSES INCORPORATED BY FULL TEXT
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JUN 2008)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF
1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is ―late‖ and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the
Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent
Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA

$3,000 or less if the solicitation requires the Contractor to be registered in the Central Contractor Registration (CCR) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation
―DUNS‖ or ―DUNS +4‖ followed by the DUNS or DUNS +4 number that identifies the offeror's name and address.
The DUNS +4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional CCR records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR
Subpart 32.11) for the same concern. If the offeror does not have a DUNS number, it should contact Dun and
Bradstreet directly to obtain one. An offeror within the United States may contact Dun and Bradstreet by calling 1-

The offeror should indicate that it is an offeror for a Government contract when contacting the local Dun and Bradstreet office.
(k) Central Contractor Registration. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the CCR database prior to award, during performance and through final payment of any contract resulting from this solicitation. (End of provision)
52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
Basis for Contract Award
1) This acquisition will utilize Lowest Priced Technically Acceptable (LPTA) procedures. Technical tradeoffs will not be made and no additional credit will be given for exceeding acceptability. Award will be made to the technically acceptable offeror with the lowest evaluated cost or price and whose proposal conforms to the solicitation requirements (to include all stated terms, conditions, representations, certifications, and all other information required by FAR 52.212-1 and its Addendum of this solicitation).
The Government reserves the right to award without discussions. Therefore, each initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if determined necessary by the Contracting Officer.
2) Number of Contracts to be Awarded:
The Government intends to select one contractor for this acquisition. However, the Government reserves the right not to award a contract at all, depending on the quality of the proposals and prices submitted and the availability of funds.
3) Correction Potential of Proposals:
The Government will consider throughout the evaluation, the ―correction potential‖ of any proposal aspect evaluated as ―unacceptable‖. The judgment of such ―correction potential‖ is within the sole discretion of the Government. If an aspect of an Offeror's proposal not meeting the Government's requirements is not considered correctable or if the amount of corrections needed to meet the Government requirement is impractical, the Offeror may be eliminated from the competitive range.
4) Rejection of Unreasonable Offers
The Government may reject any proposal that is evaluated to be unreasonable in terms of program commitments, including contract terms and conditions, or unreasonably high or low in cost when compared to Government estimates, such that the proposal is deemed to reflect an inherent lack of competence or failure to comprehend the complexity and risks of the program.
5) Competitive Range Determination
During the evaluation process multiple competitive range determinations may be made that eliminate
Offerors from the competition. A competitive range determination may eliminate Offerors based on their initial proposal evaluation results, after discussions (if necessary), prior to issuance of the Final Proposal
Revision (FPR) request or for efficiency. If Offerors are excluded from the competitive range they may request a debriefing IAW FAR 15.505.
6) Evaluation Factors
Evaluation factors used to evaluate each proposal:
Award will be made to the offeror proposing the combination most advantageous to the Government based upon an integrated assessment of the evaluation factors described below:
Factor 1: Technical
Factor 2: Cost/Price
Factors 1 and 2, when combined, are of equal importance.
Evaluation Methodology:
The Government will evaluate price for all proposals. The evaluated price will be established for each offeror based upon the total price of all Clins and options, combined. Upon establishing the evaluated price of the lowest (three) 3 offerors, only those offers will be sent for technical acceptance. Technical evaluation will be conducted in accordance with the salient features established in the attached Item Descriptions and the approachs shown to the critical technical criteria listed as Subfactor 1under Technical factors. If one
(1) of these offers are found technically unacceptable, the next lowest priced offer will be submitted for technical acceptance review. Only those offerors determined to be technically acceptable, either initially, or as a result of discussions will be considered for award. Award will be made to the lowest evaluated priced proposal meeting the acceptability standards for the non-cost factor, Technical, and who has been determined to be responsible IAW item 7 below.
Factor 1 – Technical
Each proposal will be evaluated for technical acceptability based on the criteria listed in the applicable
Statement of Work. To be determined technically acceptable at the factor level, the Offeror must meet all the criteria listed below. Offeror shall meet and acknowledge all requirements set forth in the Statement of
Work but offeror must also show a detailed approach to the specific requirements as stated in Subfactor 1.
A simple statement of concurrance will not suffice and proposal will be deemed technically unacceptable if only concurrance is acknowledged. Failure to meet any criteria will result in an unacceptable technical rating. The technical ratings are defined as follows:
Rating Description
Acceptable The proposal meets specified minimum requirements necessary for acceptable contract performance.
Unacceptable The proposal fails to meet specified minimum requirements necessary for contract performance. Proposals with an Unacceptable rating are not awardable.
Subfactor 1: Automated Carpet Cutting System and Automated Vinyl and Insulation Pattern
Cutting and Inking System
The Government will assess the Offeror’s proposed approach and design for the Automated Carpet
Cutting System and Automated Vinyl and Insulation Pattern Cutting and Inking System. Offerors are required to present all the information as stated in the Instructions to Offerors(ITO), FAR 52.212-1. The subfactor minimum is met when the Offeror’s proposal demonstrates an adequate understanding, and thoroughly substantiates all of the following essential components with little potential for disruption of schedule, increased cost or degradation of performance:
a. An acceptable approach for cutting materials described in SOW paragraph 1.3.2.
b. An acceptable approach to the effective/addressable cutting area as described in SOW paragraph
1.6.2.
c. An acceptable approach for providing a pneumatic vacuum system with safety shut off valve described in SOW paragraph 1.3.3 with a HP rating of at least 7.5HP and a decibel level less than
81db as described in SOW paragraph 1.6.8.
d. An acceptable approach for providing a cutting head, basic tool package, and computer control cabinet as described in SOW paragraph 1.3.4.
e. An acceptable approach for providing pen type holder on a toolpath layer for the Automated Vinyl and Insulation Pattern Cutting and Inking System as described in SOW paragraph 1.3.5.
f. An acceptable approach to indexing the tool in less than three minutes as described in SOW paragraph 1.6.4.
g. An acceptable approach to tool depth and pressure controls as described in SOW paragraph 1.6.5.
h. An acceptable approach to a single digitizer accessory as described in SOW paragraph 1.6.7.
i. An acceptable approach to providing software and licensing for CAD drawings and software for nesting parts and designing tool paths to be used on the new equipment as described in SOW paragraphs 1.8.2 through 1.8.12.
j. An acceptable approach to using bills of material (BOM) to run jobs on the new equipment per
SOW paragraph 1.8.13.
k. An acceptable approach to a written training plan as described in SOW paragraphs 1.11.1 through
1.11.4.
Factor 2 – Cost or Price
The offeror’s price proposal will be evaluated for award purposes by adding the total price for basic requirements (basic award) and all options. The government may determine that an offer is unacceptable if option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
a. Total Evaluated Price. Price analysis will be performed to determine the reasonableness of the offeror’s price proposal. Reasonableness will be based on the total evaluated price. The total evaluated price will be calculated as the sum of the Contract Line Item Numbers (CLINs) as defined in the solicitation.
b. Unreasonably Low Costs or Prices. Unreasonably low proposed costs or prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the offeror does not understand the requirement or the offeror has made an unreasonable proposal.
c. Unbalanced Pricing. Offerors are cautioned against submitting an offer that contains unbalanced pricing.
Unbalanced pricing may increase performance risk and could result in payment of unreasonably high prices. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly over or understated as indicated by the application of cost or price analysis techniques. The Government shall analyze offers to determine whether they are unbalanced with respect to separately priced line items. Offers that are determined to be unbalanced may be rejected if the contracting officer determines that the lack of balance poses an unacceptable risk to the Government.
7) Determination of Contractor Responsibility.
To be eligible for award, an offeror must be determined responsible. A Determination of Contractor
Responsibility will be conducted in accordance with FAR 9.1. Past performance information may be gathered from both Government (such as PPIRS, CPARS) and commercial sources. Offerors will not be penalized if no past performance information is available. Past performance will either be satisfactory, neutral, or unsatisfactory. Offerors rated as satisfactory or neutral equals a determination of responsibility.
Offerors rated as unsatisfactory equals a determination of non-responsibility. Any unsatisfactory rating given to a small business will be referred to the Small Business Administration pursuant to FAR 15.101-
2(b) and 19.6 for resolution. An offeror who receives a determination of non-responsibility will not be eligible to receive the contract award.
8) Discussions
The Government intends to award without discussions, but reserves the right to conduct discussions if necessary. Therefore, it is imperative that Offerors submit their best terms initially. However, if, during the evaluation period, it is determined to be in the best interest of the Government to hold discussions, Offeror responses to Evaluation Notices (ENs), and the Final Proposal Revision (FPR) will be considered in making the SS decision. If a Request for FPR is issued, offeror responses to ENs Notices must be included in the FPR in order to be considered in the final evaluation.
9) Solicitation Requirements – Terms and Conditions
Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and mission requirements, in addition to those identified as factors. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being ineligible for award.
Offerors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. In the case that a discrepancy exists between the Instruction to Offerors
(ITO) and the Evaluation Factors for Award, the evaluation criteria in 52.212-2 will take precedence.
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (APR 2011)
An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically at http://orca.bpn.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (c) through (o) of this provision.
