(a) All necessary petroleum, oil and lubricant (POL) of the appropriate type for the tests to be conducted shall be furnished by the contractor and included in the Engineering Program Description (EPD) budget proposed where POL will be required.

(b) The contractor is authorized to purchase POL from government sources at the government fixed rate for the calendar year.

H-002 ORDERING PROCEDURES

(a) Orders will be issued by a Procuring Contracting Officer (PCO) in accordance with the Ordering clause (FAR 52.216-18) of this contract. However, the following procedures shall be used for negotiation of orders.

12. The Contracting Officer (CO) will issue a letter Request for Proposal (RFP) with attachments that include: task list, statement of objective, and any additional information necessary for the contractor to propose.

13. The Contractor shall submit a detailed proposal in accordance with the RFP and adequate for negotiation of cost for Cost Reimbursable CLINs or price for Fixed Priced CLINs.

14. Upon receipt of the proposal, the Contracting Officer will review the proposal and, if acceptable, proceed with cost or price analysis, business clearance, negotiations, contract clearance, and award. In the event issues pertaining to a proposed work cannot be resolved to the satisfaction of the Contracting Officer, the Contracting Officer reserves the right to withdraw and cancel the proposed order. In such event, the Contractor shall be notified, via letter, of the Contracting Officer's decision. This decision shall be final and conclusive and shall not be subject to the Disputes clause or the Contract Disputes Act.

15. The Contractor is not authorized to commence performance prior to issuance of the Order by the Contracting Officer.

H-003 DIRECTION/REDIRECTION OF EFFORT

Notwithstanding any of the provisions of this contract, the Contracting Officer shall be the only individual with the authority to act on behalf of the Government to direct/redirect the effort, make determinations relative to approvals and/or successful completion of events required by this contract, or in any way amend any terms of this contract.

H-004 ENGINEERING PROJECT DESCRIPTION (EPD)

(a) EPD ADMINISTRATION:

13. It is recognized by the parties hereto that the Engine CIP is dynamic and it may be necessary to redirect Contractor effort from time to time as a result of experience in the field. Therefore, it may be necessary to add/delete/revise tasks.

14. EPD approvals/additions/revisions/stop work shall be accomplished by the Contracting Officer in writing.

23. EPD revisions shall be submitted when any of the following conditions are met:

(1) Any addition or stop work of EPDs to the existing baseline plan.

(2) The addition of work to existing EPDs that causes an increase in the total EPD budget.

(3) Any change in the approved program qualification plan, overall technical goals or design requirements.

(4) Any change to the proposed implementation plan.

(B) When directed by the Contracting Officer, the Contractor shall stop work on an existing EPD. Any further costs incurred following the stop work order on that EPD will not be allowed except for the administrative costs to sum-up the work accomplished.

15. In the event the addition of a new EPD and/or change of an existing EPD results in an increase or decrease to the total negotiated CY CIP estimated at or above the threshold provided at FAR 15.403-4(a)(1), the Contractor shall comply with FAR 15.403-4 by submitting a proposal for negotiation prior to task authorization and Certificate of Current Cost or Pricing Data. In the event that the change results in an increase or decrease below the threshold provided at FAR 15.403-4(a)(1), the Contractor shall comply with FAR 15.403-3 and submit Data Other Than Certified Cost and Pricing Data.

16. The Contractor shall not exceed 100% of amount allocated and available for payment per EPD, with the exception of those allowances identified in paragraph (A) below. The Contracting Officer must direct deviation from the initial budget allocation; contractor will not be compensated for any deviation that does not meet these terms.

(A) When the Contractor becomes aware of any changes in cost (i.e. Labor Rate Change, actual or proposed rate changes) that would impact the "Limitation of Funds", the contracting activity will be advised of the impact within 30 days.

17. Each invoice can contain no more than one (1) EPD effort (1 EPD#). This is to provide improved funding/expenditure visibility. Each invoice must clearly identify the CLIN #, Series # and EPD #.

18. The Contracting Officer may at any time, in writing, request the contractor to prepare and submit an EPD to address a particular problem or project of interest to the government.

19. Provided that sufficient funds are available for expenditure, the Contractor may initiate effort (at no change in contract price or obligation amount) up to the cost of $250,000.00 while awaiting Government approval of EPDs anticipated to exceed $250,000.00 in cost (provided the EPDs are Immediate Flight Safety or Mission Degradation or Safety Related). Written notification must be received for Safety Related EPDs prior to proceeding and the EPD shall be submitted within 30 days of receipt of approval to expend.

H-005 GUARANTEED FINAL REPORT

If this contract is terminated prior to completion, the Contractor agrees to provide a final report in accordance Data Item A019, A021, and A030.

H-006 MODIFICATION OF DATA REQUIREMENTS

28. From time to time during the performance of this contract, the Contracting Officer unilaterally may increase or decrease the number of addresses and/or increase or decrease the number or copies, (regular or reproducible) specified for any addresses of any data item of said Exhibits and attachments hereto. The parties will negotiate any equitable adjustments in accordance with the procedures of the "Changes" clause.

29. Unilateral action pursuant to (a) and (b) above shall be by the issuance of a Change Order to the contract, which will reference this Part as its authority. Any action directed by this Part shall be effected by the Contracting Officer beginning with the first submission of the particular data item or items after receipt by the Contractor of the Change Order directing such action.

5352.209-9000 ORGANIZATIONAL CONFLICT OF INTEREST (OCT 2010)

(IAW AFFARS 5309.507-2, Policy Memo 10-C-15)

(a) The following restrictions and definitions apply to prevent conflicting roles which may bias the Contractor's judgment or objectivity, or to preclude the Contractor from obtaining an unfair competitive advantage in concurrent or future acquisitions.

(1) Descriptions or definitions:

"Contractor" means the business entity receiving the award of this contract, its parents, affiliates, divisions and subsidiaries.

"Development" means all efforts towards solution of broadly-defined problems. This may encompass research, evaluating technical feasibility, proof of design and test, or engineering of programs not yet approved for acquisition or operation.

"Proprietary Information" means all information designated as proprietary in accordance with law and regulation, and held in confidence or disclosed under restriction to prevent uncontrolled distribution.

Examples include limited or restricted data, trade secrets, sensitive financial information, and computer software; and may appear in cost and pricing data or involve classified information.

"System" means the system that is the subject of this contract.

"System Life" means all phases of the system's development, production, or support.

"Systems Engineering" means preparing specifications, identifying and resolving interface problems, developing test requirements, evaluating test data, and supervising design.

"Technical Direction" means developing work statements, determining parameters, directing other Contractors' operations, or resolving technical controversies.

(2) Restrictions: The Contractor shall perform systems engineering and/or technical direction, but will not have overall contractual responsibility for the system's development, integration, assembly and checkout, or production. The parties recognize that the Contractor shall occupy a highly influential and responsible position in determining the system's basic concepts and supervising their execution by other Contractors.

The Contractor's judgment and recommendations must be objective, impartial, and independent. To avoid the prospect of the Contractor's judgment or recommendations being influenced by its own products or capabilities, it is agreed that the Contractor is precluded for the life of the system from award of a DoD contract to supply the system or any of its major components, and from acting as a subcontractor or consultant to a DoD supplier for the system or any of its major components.

5352.209-9000 ORGANIZATIONAL CONFLICT OF INTEREST--ALTERNATE I (OCT 2010)

(IAW AFFARS 5309.507-2(a)(2), Policy Memo 10-C-15)
