(a) Invoice payments—

(5) Computing penalty amount. The Government will compute the interest penalty in accordance with the Office of Management and Budget prompt payment regulations at 5 CFR part 1315.

(i) For the sole purpose of computing an interest penalty that might be due the Contractor, Government acceptance is deemed to occur constructively on the 7th day (unless otherwise specified in this contract) after the Contractor delivers the supplies or performs the services in accordance with the terms and conditions of the contract, unless there is a disagreement over quantity, quality, or Contractor compliance with a contract provision. If actual acceptance occurs within the constructive acceptance period, the Government will base the determination of an interest penalty on the actual date of acceptance. (a) Definitions. As used in this clause—

(1) “Contract financing payment” and “invoice payment” have the meanings given in section 32.001 of the Federal Acquisition Regulation.

(2) “Electronic form” means any automated system that transmits information electronically from the initiating system to all affected systems. Facsimile, e-mail, and scanned documents are not acceptable electronic forms for submission of payment requests. However, scanned documents are acceptable when they are part of a submission of a payment request made using Wide Area WorkFlow (WAWF) or another electronic form authorized by the Contracting Officer.

(3) “Payment request” means any request for contract financing payment or invoice payment submitted by the Contractor under this contract.

(b) Except as provided in paragraph (c) of this clause, the Contractor shall submit payment requests and receiving reports using WAWF, in one of the following electronic formats that WAWF accepts: Electronic Data Interchange, Secure File Transfer Protocol, or World Wide Web input. Information regarding WAWF is available on the Internet at https://wawf.eb.mil/ .

(c) The Contractor may submit a payment request and receiving report using other than WAWF only when—

(1) The Contracting Officer authorizes use of another electronic form. With such an authorization, the Contractor and the Contracting Officer shall agree to a plan, which shall include a timeline, specifying when the Contractor will transfer to WAWF;

(2) DoD is unable to receive a payment request or provide acceptance in electronic form;

(3) The Contracting Officer administering the contract for payment has determined, in writing, that electronic submission would be unduly burdensome to the Contractor. In such cases, the Contractor shall include a copy of the Contracting Officer’s determination with each request for payment; or

(4) DoD makes a payment for commercial transportation services provided under a Government rate tender or a contract for transportation services using a DoD-approved electronic third party payment system or other exempted vendor payment/invoicing system (e.g., PowerTrack, Transportation Financial Management System, and Cargo and Billing System).

(d) The Contractor shall submit any non-electronic payment requests using the method or methods specified in Section G of the contract.

(e) In addition to the requirements of this clause, the Contractor shall meet the requirements of the appropriate payment clauses in this contract when submitting payment requests.

ELECTRONIC COST MODEL FOR PROPOSALS EXCEEDING $700,000 (JAN 2006)

(a) Background: In accordance with FAR 15.403-4, cost or pricing data is required for acquisitions exceeding $700K to ensure fair and reasonable pricing.

(b) Definition: Cost model, as used here, means the breakdown and relationship of cost components comprising the total proposed price. Components of total proposed price may include material and services, direct labor, indirect costs, other costs, royalties, Facilities Capital Cost of Money (FCCM) and profit. Contractor must show bases from which the final results are calculated i.e. the formulas. If the contract effort includes multiple or option years, the cost model shall provide breakdown and relationship of cost components for each year of the effort. If contract effort includes more than one contract line item (CLIN), the cost model shall provide breakdown and relationship of cost components for each CLIN.

(c) Requirements:

(1) General. The Contractor shall submit its proposal in accordance with FAR 15.408 Table 15-2.

(2) Format. The Contractor shall submit the price or cost volume of its proposal in both paper and electronic format.

(d) Cost Model Format (Microsoft Excel Preferred): In solicitations and contracts when it is contemplated that cost or pricing data will be required from the contractor or any subcontractor, the Contractor must submit electronically (i.e.

on CD or via email) its aforementioned cost model in a spreadsheet format compatible with Microsoft Excel. The electronic format must be compatible with the Microsoft Excel application, be editable, and only password protected. Show formulas for all calculated amounts. Rounding methods, if used, must be consistent throughout. The following identifies the recommended worksheet tabs.

(Tab-1) Cost Summary: In the first tab, provide a summary of the total proposed price, including cost summaries for major cost elements such as material and services, direct labor, indirect cost, other cost, royalties and

FCCM.

(Tab-2) Direct Material: In the second tab, include a more detailed breakdown (include unit costs of material items) of the major cost element of material. This tab should include a detailed Subcontract breakdown of subcontract costs. Include more than one tab if necessary to show any analyses of such subcontractor costs performed by the prime contractor and conclusions drawn.

(Tab-3) Direct Labor: In the third tab, include a more detailed breakdown of the major cost element of direct labor. Provide a time-phased breakdown of labor hours, rates, and cost by appropriate category.

(Tab-4) Indirect Costs: In the fourth tab, show a more detailed breakdown of all rates and factors used in computing the total proposed price.

(Tab-5) Other Direct Costs: In the fifth tab, show a more detailed breakdown of other direct costs not listed specifically elsewhere (e.g. special tooling, travel, computer and consultant services, preservation, packaging and packing, spoilage and rework, and Federal excise tax on finished articles).

(Tab-6) Royalties: In the sixth tab show a detailed breakdown of all royalties.
