SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
INSTRUCTIONS TO OFFERORS
L-900 PROPOSAL PREPARATION INSTRUCTIONS (INSTRUCTIONS TO OFFERORS (ITO))
1. GENERAL INSTRUCTIONS
0. Non Compliance with Instructions. Non-compliance with these instructions may render your proposal unacceptable. These instructions prescribe the format of proposals and presentation of proposal data. Carefully review this section prior to commencing preparation of the proposal. The instructions contained herein are intended to serve as guidelines for the preparation of the proposal and are not intended to be all-inclusive. All information you provide in the proposal must be UNCLASSIFIED. Specific instructions for each of the Volumes required by these instructions are contained in paragraphs 3.1 through 8.3 of this provision L-900. Proposals will be evaluated up to the page limits listed in the format instructions listed in paragraph 3.1 below. Material exceeding the page limits will not be evaluated, and the excess material will be returned to the offeror.
0. Clarity of Proposal. The proposal shall be clear, concise, and shall include sufficient detail to permit effective evaluation and to substantiate the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the offeror's proposal.
0. Unnecessary Elaboration and Formatting. Elaborate brochures or documentation, bindings, detailed artwork, or other embellishments are unnecessary and are not desired.
0. Proposal Acceptance Period. The proposal acceptance period is 180 days after the date set for receipt of proposals. The offeror shall make a clear statement in the signed offer (SF 33 Block 12) that the proposal is valid until this date has passed.
0. Retention of Proposals. In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals; the Government will destroy extra copies of such unsuccessful proposals.
1. GENERAL INFORMATION
1. Point of Contact. The Contracting Officer (CO) is the sole point of contact for this source selection. Address any questions or concerns you may have to the CO. Written requests for clarification may be sent to the CO at the address indicated below and in Section G of the solicitation.
AF ISR Agency/A7KA 102 Hall Blvd Ste 102, San Antonio TX 78243-7009 Attn: Bill Kaufman Telephone: (210) 977-6173 (DSN 969-6173).
FAX: (210) 977-6414.
e-mail: william.kaufman@us.af.mil
1. Debriefings. The CO will promptly notify offerors of any decision to exclude them from the competitive range, whereupon they may request and receive a debriefing in accordance with FAR 15.505. The CO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable. Notwithstanding the above, it is the Government's intention to award without setting a competitive range or conducting discussions, if possible.
1. Discrepancies. If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the CO in writing with supporting rationale. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.
1. ORGANIZATION/NUMBER OF COPIES/PAGE LIMITS
2. General. Each proposal will be submitted in five volumes, preferably in loose-leaf binders. A cover sheet shall be affixed to each volume, clearly marked as to content, volume number, copy number, the Request for Proposal identification, and your company’s name. A "Copy" number shall appear on the spine of each binder to allow for rapid accountability when copies are placed in a vertical position in a storage cabinet. All documents shall be on white paper with black ink. Volume I of the proposal shall contain a master “Table of Contents” for the total proposal. This master index shall identify major subparagraphs by number and title as well as by page number and volume locations. Additionally, each volume shall contain a “Table of Contents." Tab indexing shall be used to identify all sections. The offeror may include a cross-reference showing the mapping of the RFP requirements to the proposal if desired. However, the cross-reference must not exceed five (5) pages and will not be counted as part of the page count. The page limitation and number of copies required for each volume are shown below. The table of contents, tables of illustrations, title pages, dividers and blank pages will not be included in the page count. In addition to the above, the offeror shall submit one copy of CD-ROM(s) containing the same files in a format that is readable by Microsoft Word, Excel, and Power Point as appropriate.

* For Factor 1, Mission Capability, offerors are allowed a maximum of 65 pages. Offerors must address all Subfactors in 65 pages total.
2. Page Limitations. Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal and (for paper copies) will be returned to the offeror as soon as practicable. Page limitations shall also be placed on responses to evaluation notices (ENs). The page limits for EN responses will be identified in the letters forwarding the ENs to the offerors. Where page limits are imposed for portions of a Volume, any unused pages may be allocated to the balance of that Volume at the discretion of the offeror.
2. Cost Data. This information shall be addressed in Volumes IV and V. Care must be exercised to ensure that cost or pricing data included in other Volumes is consistent with Volumes IV and V. In the event of a conflict, the Government will rely primarily on Volume V, the Model Contract/Representations and Certifications.
2. Cross Referencing. To the greatest extent possible, each volume shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross-referencing to other volumes of the proposal. Information needed for proposal evaluation that is not found in its designated volume will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted where it would conserve space without impairing clarity. The offeror shall provide a clear annotation as to the reason for the cross-reference at all cross-referenced locations in the proposal volume.
2. Indexing. Each volume shall contain a more detailed table of contents to delineate the subject paragraphs within that volume. Tab indexing shall be used to separate and identify the sections.
2. Glossary of Abbreviations and Acronyms. Each volume shall contain a glossary of all abbreviations and acronyms used, with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.
2. Page Format and Size
6. Standard Page Format. Page size shall be 8.5 X 11 inches. Proposal pages shall be printed in either a double or single sided format in a font size not less than 10 pitch (CPI) in width and 12 points in height, single-spaced. The typeface should be a common medium condensed typeface (i.e., Courier, Times Roman, etc.). Margins shall be no smaller than one inch around the perimeter of each sheet of paper. For easy reference in correspondence, meetings, etc., each volume shall use a consistent page numbering system. These page format restrictions shall also apply to responses to Evaluation Notices (ENs).
6. Format for Oversize Table, Charts, Schematics, Etc. Legible charts and graphs should be used where practical to depict organization and layout. These charts and graphs should be uncomplicated to preserve clarity. They shall not exceed 11 by 17 inches in size. Fold out pages must fold entirely within the volume. Each 8.5 X 11 page of the fold-out section will be counted as one page. Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics; they shall not for used for pages of text.
3.8 Government Electronic Formats. When electronic proposal copies are provided, the offeror shall ensure that the electronic formatting is the same as the printed documentation. To facilitate electronic commerce, Offerors are requested to provide all documents in current Air Force standard Microsoft Office products, Adobe Acrobat, or HTML. Offerors are requested to provide their pricing spreadsheets in Excel format. For electronic copies, indicate on each diskette or CD-ROM the volume number and title. Use separate files to permit rapid location of all portions, including exhibits, annexes, and attachments, if any. Include a text or document file named "Table_of_Contents" on each disk or CD-ROM provided. Offerors are also requested to provide their e-mail addresses.
4.0 VOLUME I EXECUTIVE SUMMARY
4.1 General. The Executive summary shall contain a concise narrative summary of the offeror's entire proposal, including significant risks, and a highlight of any key or unique features, excluding cost/price. The salient features should tie in with the evaluation factors/subfactors in Section M. The executive summary is not evaluated, but does serve to orient the evaluators to the approach and features of your proposal. Any material presented in the executive summary shall not be considered to satisfy the requirements for information required to be contained in other volumes of the proposal.
4.2 Table of Contents. A master table of contents of the entire proposal.
5.0 VOLUME II - MISSION CAPABILITY
5.1 General. The Mission Capability Volume should be specific and complete. Legibility, clarity and coherence are very important. Your responses will be evaluated as described for the Mission Capability subfactors in Section M, Evaluation Factors for Award. The Mission Capability Volume will be the primary basis for evaluating your ability to comply with the performance requirements of the Statement of Work. Therefore, this volume must address the requirements of the Statement of Work, the method or approach to the task, and the technical discipline(s) that will be applied. Your proposal shall demonstrate a thorough understanding of the requirements. All the requirements specified in the solicitation are mandatory. By submitting your proposal, you are representing that your firm will perform all the requirements specified in the solicitation. It is not necessary or desirable for you to tell us this in your proposal. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.
5.2 Format and Specific Content
5.2.1 Mission Capability. Mission Capability will be addressed in the Mission Capability volume. In this volume, describe your proposed approach to meeting the requirements of each Mission Capability subfactor. For each identified effort for a commercial customer, offeror shall also submit a client authorization letter, authorizing release to the Government of information requested on the offeror's performance. A copy of the client authorization(s) shall accompany the questionnaire when sent to commercial customers. Offerors will send the Government questionnaire directly to the points of contact for the past and present efforts listed in the offeror's response. Offerors are instructed that all responses to the questionnaire are to be provided directly to the Government contracting officer. Responses routed through the offeror will not be accepted. To be of benefit, the customer past performance information must be received not later than the due date for proposals.
7.0 VOLUME IV - COST/PRICE
7.1 General Instructions. Offerors will complete Section B of the solicitation. Offerors may submit any other pricing data which they believe is prudent and necessary to justify their cost/price proposal.
7.1.1 Cost/Price Reasonableness and Realism. These instructions are to assist you in submitting information other than cost or pricing data that is required to evaluate the reasonableness and realism of your proposed cost/price. Note that unrealistically low or high proposed costs or prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the offeror does not understand the requirement or has made an unrealistic proposal. Offers should be sufficiently detailed to demonstrate their reasonableness and realism. The burden of proof for credibility of proposed costs/prices rests with the offeror.
7.1.2 Estimating Techniques and Methods. When responding to the Cost/Price Volume requirements in the solicitation, the offeror and associated subcontractors may use any generally accepted estimating technique, including contemporary estimating methods (such as Cost-to-Cost and Cost-to-Non-Cost Estimating Relationships (CERs), commercially available parametric cost models, in-house developed parametric cost models, etc.), to develop their estimates.
7.1.3 Non-Required Data. Data beyond that required by these instructions shall not be submitted, unless you consider it essential to document or support your cost/price position. All required information relating to the proposed costs/prices, including all required supporting documentation must be included in the section of the proposal designated as the Cost/Price volume.
7.1.4 Rounding. All dollar amounts provided shall be rounded to the nearest dollar. All loaded labor rates shall be rounded to the nearest cent (¢).
7.1.5 DCMA/DCAA Contact information. The cost and price volume should include a cover sheet that contains the name, address and telephone number of the cognizant Defense Contract Management Agency (DCMA) and Defense Contract Audit Agency (DCAA) office that would have audit responsibility for your proposal.
7.2 Cost/Pricing Content
7.2.1 Basis of Price Evaluation. Offerors are required to propose audited rates for each labor category. Offerors will state their applied Overheads, G & A expense and proposed fee. The government will perform a technical analysis of the proposed labor mix and will determine the probable cost to the Government for the offeror's proposal. In the case of proposed teaming arrangements, critical subcontractor rates, hours, overheads, G&A, fees, and profits shall be provided.
In determining the most probable cost portion of the evaluated price, the government will extend the proposed hourly rates by an estimate of the best estimated quantity of hours for each labor category using the labor rates provided by the offeror, as best as the Government can determine. The most probable costs from each contract type, basic and subsequent periods, will be added in order to develop an overall probable cost for the entire contract period. Therefore, the cost and technical proposals must contain sufficient data to allow the government to assign each of the offered labor categories to the functional intended. The offeror's failure to provide sufficient data, or the offeror's providing of ambiguous data, for this assignment of the offered labor rates may result in the offeror's evaluated price being different from what the offeror intended.
7.2.2 Spreadsheet Submission. The Government must determine that the price is realistic and have a basis for future adjustments. Therefore, the Offeror must provide a spreadsheet that indicates how their loaded labor rates and the loaded labor rates of their subcontractor/teaming partner were developed. The spreadsheet must indicate the base labor rates, the burden/overhead rates and the G&A rate. Offerors are requested to provide their pricing spreadsheets in Excel format. A cost model has been provided to facilitate the evaluation of offers. The cost model was designed so that information from the base year is carried through to the subsequent years; however, the subsequent year rates can be overtyped if your rates change in the subsequent years. You can add or delete columns in order to accommodate the specific rates of your company. However, the first column must contain the base labor rates that build to the fully loaded labor rate in the final column. The second to last column must show the profit(fee)/hour amount.
7.2.3 Unrealistic Low Costs/Prices. The submission of unrealistically low price or cost estimates, initially or subsequently, may be grounds for the elimination of the proposal from the competition based upon the offeror’s failure to understand the requirement.
7.2.4 Requirement for Cost or Pricing Data. The Government anticipates award based on adequate competition. The contracting officer has determined that certified cost or pricing data is not required for this solicitation; however, information other than cost or pricing data is required to determine realism. Information submitted in support of the proposal will be considered information other than cost and pricing data, and may be used to establish a basis for future adjustments. Cost or Pricing data may be required in the event that adequate price competition is not obtained.
8.0 VOLUME V MODEL CONTRACT/REPRESENTATIONS AND CERTIFICATIONS
8.1 Model Contract/Representations and Certifications. The purpose of the information in this volume is to provide necessary data to the Government for preparing the contract document and supporting file. The offeror's proposal shall include a signed copy of the Model Contract, and completed Sections A through K.
8.1.1 Section A - Solicitation/Contract Form. Signature by the offeror on the SF 33 constitutes an offer, which the Government may accept. The "original" copy should be clearly marked under separate cover and should be provided without any punched holes. Section A shall also include the acceptance period during which the government may accept the offer to create a binding contract.
8.2 Exceptions to Terms and Conditions. Exceptions taken to terms and conditions of the model contract, to any of its formal attachments, or to other parts of the solicitation shall be identified. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. This information shall be provided in the format and content of Table 8.2. Failure to comply with the terms and conditions of the solicitation may result in the offeror being removed from consideration for award.
