ATTACHMENT 1

SECURITY GUARD SERVICES

SAN VITO, ITALY

1. DESCRIPTION OF SERVICES. The contractor shall provide all personnel, tools, materials, transportation, equipment, labor and supplies, except as identified herein as Government-furnished, necessary to provide security guard services at San Vito Solar Observatory, San Vito Air Station, Italy as contained in this Performance Work Statement (PWS) and in accordance with standard commercial practices. Service includes, but is not limited to: Operational Control: provide guard service for entry onto the Solar Observatory and control access for employees of the Solar Electro Optical Network (SEON) facility. Quality Control: establish and maintain a quality control system that ensures professional guard services are provided. This contract shall be carried out in strict compliance with the PWS and all applicable host nation laws.

1.1. OPERATIONAL CONTROL The Contractor shall provide Security Guard Services, provided by trained and experienced security guards, to maintain coverage of locations as designated in this PWS. Contractor shall provide these services 7 days a week, during the hours after sunset to the hours before sunrise during the specified period of performance as specified at attachment 2. The purpose of the guard service is to provide a presence and prevent terrorist/criminal activity, (i.e., damage, sabotage, espionage, theft, vandalism, unauthorized access, etc.) directed towards any of the SEON facilities. The security guards shall perform continuous patrols around the perimeter fenceline, and all of the buildings to ensure there are no break-ins, theft, or vandalism of the facilities. This includes patrolling under all types of weather and terrain conditions; pursuit of intruders over rough and hazardous terrain and around structures or over low obstacles; and initiation of immediate actions in emergency situations, such as fire, theft, accidents, sabotage, explosions, and natural disasters.

1.1.1. Security guards shall be qualified, and professionally certified as security guards, or have at least one (1) year civilian or military experience within the past three (3) years prior to assuming duties under this contract.

1.1.2. All contract personnel shall be Italian citizens, and possesses the required permit to perform security guard services issued by the pertinent authority in accordance with (IAW) the Italian law 1931, “testo unico di polizia”, and Local Prefecture requirements. Personnel performing supervisory duties under this contract must be qualified and trained as a security guard. Supervisors must have a minimum of two (2) years experience in security, law enforcement administration, or operations experience in either the armed forces, civilian police, commercial security agencies or a combination of any of the above within the past five (5) years. A certification issued by recognized Italian authority and proof of prior work experience must be submitted to the Contracting Officer (CO) after award and prior to beginning their duties under this contract.

1.1.3. Contractor security guard personnel shall be able to converse in English and the host nation language to the degree that they understand oral and written communications and express themselves in matters pertaining to their work (i.e., elementary level English), in person or by telephone/radio communications, to their supervisor or government authorities.

1.1.4. Guards will notify their identified internal control center at the on-set of any possible hostile suspicious activity or power outages. The control center will be responsible for the notification of the local police/fire authorities and immediate notification to the SEON Contract Manager or alternate during commercial power outages. Guards will be required to assist SEON personnel in anyway requested during any evacuation of SEON facilities and compound.

1.2. SECURITY AWARENESS. - Contractor personnel must be aware of the possibility of terrorist/criminal activity at all times.

1.3. RECORDS AND REPORTS

1.3.1. The Contractor shall maintain records of services performed on individual shift. “Shift Service Status” documentation shall indicate such information as: Name of the guard in service, arrival/departure and the date/time of services provided, as well as all records of all random checks performed for the services provided during the required hours of operation, IAW paragraph 1.1. of this PWS.

1.3.2 The Contractor shall provide a monthly, “Shift Service Status” summary report. The contractor shall ensure the report is accurately completed and delivered to the designated representative within 5 duty days of the following month of services.

1.3.3 The Contractor shall develop and maintain daily local operating instructions to be followed by contractor personnel, to provide the necessary service IAW this PWS. Such documentation shall be submitted to the CO, prior to contract start.

1.3.4 The Contractor shall maintain a logbook to record any suspicious or unusual events, and action taken, with specified name of the guard making the call, date time and authority informed.

3. GOVERNMENT FURNISHED PROPERTY.

The U.S. Government will provide to the Contractor, without cost to the contractor, only the keys and manual opening toll to the SEON auto gate. These items will be handed over to the Contractor by the SEON analyst departing for the evening. The Contractor shall return these items to the SEON analyst upon his/her arrival the following morning. These items will be used to open the SEON auto gate in case of power outage.

4. CONTRACTOR FURNISHED SUPPLIES AND EQUIPMENT

4.1. EQUIPMENT AS NEEDED: The Contractor shall be responsible to provide weapons adequate for providing security guard service. The Contractor may need to provide general-purpose vehicles in the performance of this Contract. All general-purpose vehicles used in the performance of this contract shall be clearly identified, by use of logo or other markings, as a contractor vehicle. Unmarked contractor vehicles are authorized on an as needed basis. All service, maintenance, and fluids required for the operation of these vehicles are the responsibility of the contractor.

4.2. TELEPHONES AND RADIOS: Contractor will provide each guard with cellular telephones and or radios, to alert local authorities of suspicious events and/or emergency situations.

4.3. UNIFORMS AND BADGES: The Contractor shall furnish standard security guard uniforms for each security guard. The uniform shall not be in conflict with any other uniformed activity such as the police, firemen, or military. The Contractor shall provide uniform clothing and footwear for use during inclement weather. All uniforms will be "identical", including seasonal clothing, except for items that identify rank or position. All security guards on duty will wear uniform seasonal clothing and shoes, and carry identical equipment.

4.3.1. Contract personnel shall wear identification badges provided by the Contractor while on duty. The badge will be laminated. The badge will contain, at a minimum, a personal picture, name of employee, and Contractor's name. Badges shall be worn in a uniform manner on the outer garment in full view. Badges may be attached to the outer shirt/jacket pocket by a button or clip or worn around the neck secured by an appropriate identification card chain.

4.4. MISCELLANEOUS:

4.4.1. Flashlights: The Contractor shall provide flashlights for each security guard working during the hours of darkness or reduced visibility.

4.4.2. Spotlights: The Contractor shall provide hand-held battery operated spotlights with batteries for security guard training and operational requirements. These spotlights will be of an increased illumination capability above that of flashlights used during day-to-day operations. These spotlights shall be available for use during search or emergency incidents.

4.5. EQUIPMENT ACCOUNTABILITY:

The US Government shall not be responsible for the safety of contractor furnished supplies and equipment.

5. GENERAL INFORMATION.

5.1. Quality Control: The Contractor shall establish and maintain a complete Quality Control Plan (QCP), that ensure a professional guard service is performed IAW this contract, applicable law and regulations and IAW best commercial practices. Quality control procedures should present all aspects of quality control to include responsibility for surveillance and description of records to be kept. Record of inspections must be available to the Government upon request. A copy of the Contractor's QCP shall be submitted with the proposal. If changes occur, to ensure the requirements of the contract are provided as specified, changes to the QCP shall be provided to the CO for acceptance who in-turn passes to the Air Force Weather Agency (AFWA) COR. The plan shall include, but is not limited to:

5.1.1. Identification and clearly defined authority of key personnel under the Contractor's organization.

5.1.2. An inspection system covering all the services listed in the PWS. It must specify the areas to be inspected on either a scheduled or unscheduled basis, how often inspections shall be accomplished and the title and name of the individual(s) who shall perform the inspection.

5.1.3. Establish and implement a key control system, to make sure that the SEON auto gate keys and opening toll issued to the contractor for the evening are not lost, misplaced and are not used by unauthorized persons. Contractor shall establish a log to show date and time signed for these items, and date time signed back to SEON personnel. The log shall also include any other pertinent information necessary to control these items.

5.1.3.1. Reporting Lost Keys. The Contractor shall immediately report to the COR or the CO any occurrences of lost, unauthorized use, or unauthorized duplication of the auto gate keys.

5.1.3.2. Re-Keying or Replacement. In the event keys other than

Master keys are lost or duplicated, the Contractor may be required, upon written direction of the CO, to re-key or replace the affected lock or locks without cost to the Government. The Government may, at is option, replace the affected lock or locks or perform re-keying and deduct the cost of such from the monthly payment due to the contractor. In the event a master key is lost or duplicated, the Government shall replace all locks and keys for that system and the total cost of the re-keying effort deducted from the monthly payment due to the contractor.

5.1.3.3. Unauthorized Use. The Contractor shall prohibit the opening of the SEON auto gate by contractor employees to permit entrance of person other than SEON personnel and other contractor employees engaged in performance of contract work requirements in the SEON compound.

5.1.4. Detailed information specifying the types of action the Contractor will take to correct deficiencies and prevent their recurrence. This will also include the method for identifying and preventing defects in the quality of service performed before the level of performance becomes unacceptable.

5.1.5. On-site records of all inspections conducted by the Contractor and necessary corrective action taken. This documentation shall be made available, upon request, to the US Government during the terms of the contract.

5.1.6 Standards of Conduct for Guard Personnel. The Contractor shall submit with the proposal, a set of standards of conduct. All security guards shall be required to use the set of standards. At a minimum these standards must include: restriction of alcohol, illegal substances, conduct, dress and appearance, etc.

5.2. Quality Assurance. The AFWA Contracting Officer’s Representative (COR) will assess the Contractors performance through monthly review of the Contractor’s Shift Service Status Report, yearly on-site inspection of the Contractor’s quality control system, and customer survey inputs. Repeated failures discovered during quality control inspections or repeated customer survey inputs will cause an increase in inspections. Likewise, the Government may decrease the number of quality control inspections if performance dictates. The Contractor shall be responsible for initially validating unfavorable customer service survey inputs received from the COR within three duty days. Contractor will be provided a listing of Quality Assurance Personnel within 30 days after award of contract.

5.3. Performance Evaluation Meeting. The Contract Manager may be required to meet with the Contracting Officer, Contract Administrator (CA), COR, and other Government personnel as deemed necessary. The Contractor may request a meeting with the Contracting Officer when the Contractor believes such a meeting is necessary through teleconference. If the Contracting Officer or the Contract Administrator deems necessary, written minutes of any such meetings shall be recorded in the contract file and signed by the Contract Manager, the Contracting Officer and the Contract Administrator. If the Contractor does not concur with any portion of the minutes, such nonoccurrence shall be provided in writing to the Contracting Officer within 10 calendar days of receipt of the minutes.

5.4. Contractor personnel: Personnel shall present a professional, neat appearance and be easily recognized at all times as a Contractor employee. Each Contractor employee shall wear contractor provided personal protection equipment (i.e. safety shoes, gloves, etc.) while performing duties under this contract. Uniform work clothing will be worn while on duty as directed by the supervisor. Uniform work clothing will be in a clean and well-pressed condition. Required insignia and name tags will be worn. Unauthorized insignia or accoutrements shall not be worn with or on uniform work clothing. Uniform work clothing will not be worn off duty, except for travel to or from the place of duty or while on official duty travel. Shirts, jackets, and coats will be buttoned. Uniform equipment will be clean and appropriate concern for personal hygiene will be expected. Hair (including facial hair) will be clean and well groomed and not at a length as to present a safety problem. Hair length or fullness must not interfere with the wearing of required headgear.

5.4.1. All Contractor personnel shall be Italian citizens. Proof of citizenship (passport/national identification card) will be provided to the CO prior to the employee beginning duties under this contract. The Contractor shall provide the original copies of all documents pertaining to all personnel employed under the terms of this contract to the CO for verification. All personnel employed under the terms of this contract will be on a temporary basis pending receipt of their individual background checks or investigation. Contractor is responsible for conducting background checks, copies of the results will be provided to the CO. Upon the CO's determination, the Contractor shall remove employees from performing under this contract in the event an employee’s behavior in any way jeopardizes the safety, security or general well being of the contract.

5.4.2. The Contractor shall not employ any person who is an employee of the United States Government if the employment of that person would create a conflict of interest. Nor shall the Contractor employ any person who is an employee of the Department of the Air Force, either military or civilian, unless such person seeks and receives approval from the Government. The Contractor is cautioned that off duty active military personnel hired under this contract may be subject to a Permanent Change of Station (PCS), change in duty hours or deployment. Military Reservists and National Guard members may be subject to recall to active duty. The abrupt absence of these personnel could adversely affect the Contractor’s ability to perform. Their absence at any time shall not constitute an excuse for nonperformance under this contract.

5.4.3. All Contractor personnel under this contract shall be physically and mentally able to perform their assigned duties. Medical and psychological screening will be conducted prior to the guards being hired. All medical/physiological examinations and any other diagnostic tests shall be at the Contractor's expense. Security guards must possess above-average physical dexterity and stamina to ensure accomplishment of assigned missions. Medical clearance certificates shall be provided to the CO prior contract start date, and every time thereafter, it is necessary, before a new contractor employee start performing under this contract.

5.4.4. The Contractor shall ensure all employees are trained and are qualified to operate prior to assigning them to tasks that require use of special vehicle and/or equipment. The contractor shall provide environmental health and safety training to ensure compliance with all European, Italian, and local laws and regulations. The Contractor must maintain records of training indicating employees name, subjects briefed and dates briefed. These records must be made available to the Government upon request of the CO.

5.4.5. The consumption of alcohol or drugs while on duty is strictly prohibited. Contractor personnel shall not consume alcohol or drugs within eight (8) hours prior to reporting to duty. Contract personnel found to be under the influence of alcohol or drugs during duty will be immediately removed from duty. The Contractor will be notified and will provide a replacement immediately. If it is determined that any Contractor personnel are abusers of alcohol or drugs, they will not be allowed to perform duties under this contract. "Abuser" is defined as Contractor personnel reporting for duty under the influence of alcohol or drugs one time. When there is a reasonable suspicion (evidence that meets legal sufficiency/probable cause) that a security guard uses or is suspect of being under the influence of illegal drugs, the employee under suspicion shall be removed from the installation and the contractor shall ensure the individual is subsequently drug tested through urine screening without delay.

5.4.6 If Contractor personnel are under prescription medications, Contractor must notify the CO in writing specifying the type of medicines being used. If such medications reduce the security guards Physical/Mental Ability/Efficiency, subject personnel shall not be used to perform duties under this contract. The Contractor shall immediately suspend the employee from performing security duties under this contract.

5.5. Safety. Contractor shall comply with pertinent Italian regulations and laws regarding safety while operating under this contract. The Contractor employee’s must use proper protective equipment and clothing in accordance with the current Italian Law 81/08

5.6. Insurance: At the time of the pre-performance conference, contractor shall furnish to the CO evidence of the kinds and minimum amounts of insurance covering work to be performed.

5.7. Changes: The Contracting Officer may issue necessary changes and amendments to guard orders, instructions, procedures, and the number, location, and manning of guard posts to meet changing conditions and new operational requirements. The Contractor shall provide the additional services IAW the standards of this Performance Work Statement. Compensation for this service will be negotiated when service is required. The Contractor at no additional cost to the US Government shall implement changes provided such changes do not constitute an increase in the contractor's manpower workload or require additional guards. Disagreement between the CO and the Contractor, are governed by the “Disputes Clause 52.212.4(d)”.
