CLAUSES INCORPORATED BY FULL TEXT

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

i. FACTOR 1 – Price

ii. FACTOR 2 – Technical

iii. FACTOR 3 – Past Performance

(b) Lowest price will be determined based on the total evaluated price (TEP). The TEP will be calculated as the sum of the offeror’s quoted price (extended amounts) for the period of performance. Lowest Price Technically Acceptable (LPTA) with past performance evaluation will be the evaluation methodology utilized. The evaluation process will begin with a price rank, next the lowest priced offeror will be evaluated for technical acceptability, lastly past performance will be evaluated for acceptablity should that offeror be determined technically acceptable with acceptable past performance, the evaluation stops, a determination will be made that the price is fair and reasonable and award will be made to that offeror. If at any point during the technical evaluation the offeror is determined unacceptable the evaluation will proceed to the next lowest priced offeror until an offer is rated technically acceptable with acceptable past performance.

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM TO FAR 52.212-2 – EVALUATION – COMMERCIAL ITEMS (OCTOBER 2014) Offers will be evaluated in accordance with the following tailored language from FAR 52.212-2:

1.0 DESCRIPTION OF SERVICES: The Statement of Work (SOW) (Attachment 1) defines the requirement for the contractor to provide the United States Air Forces in Europe (USAFE) AFAFRICA/A4/CDGA with ADR Conversion of R-11 Aircraft Refueling Vehicles. This requirement is to provide all labor and materials needed to accomplish the tasks associated with this SOW that has not been provided to by the Government. The contractor shall also conduct all work in accordance with the latest European Agreement Concerning the International Carriage of Dangerous Goods by Road, Volume II, dated 1 January 2015 (ADR) and Appendix 1 of the SOW Technical Engineering Document. Work is performed as required to convert R-11 aircraft refueling vehicles to be compliant with the ADR.. The contractor shall adhere to these requirements as identified herein and may provide input for revision of existing ones or definition/selection of new processes, procedures, and standards.

2.0 FACTOR 1 – PRICE: Offerors are required to provide unit price and other information as outlined in the Addendum to FAR 52.212-1, Instructions to Offerors – Commercial Items. All offerors’ proposed price will be determined by multiplying the quantity identified in the schedule of this solicitation by the proposed unit price for each CLIN to confirm the extended amount and the total amount. Detailed pricing information is not required as competition is expected to determine that prices are fair and reasonable. Should a single quote be received additional pricing considerations will be made (i.e. requirement for information other than cost and pricing data).

(a) Arithmetic Discrepancies. For the purpose of initial evaluation of offers, the following will be utilized in resolving arithmetic discrepancies found on the face of the bidding schedule as submitted by the offeror.

i. Obviously misplaced decimal points will be corrected

ii. Discrepancy between unit price and extended price, the unit price will govern

iii. Apparent errors in extension of unit prices will be corrected

iv. Apparent errors in extended prices per CLIN will be corrected

(b) For the purposes of offer evaluation, the Government will proceed on the assumption that the offeror intends his/her offer to be evaluated on the basis of the unit price. The totals arrived at by resolution of arithmetic discrepancies listed above will be so reflected on the abstract of offers. These correction procedures shall not be used to resolve any ambiguity concerning which offer is low.

(c) Provide the name, title and telephone number of the company/division point of contact who can make decisions concerning your quote and who can obligate your company contractually. Also, identify the individual(s) authorized to negotiate with the Government. Ensure compliance with FAR 4.102, Contractor’s Signature.

3.0 FACTOR 2 – TECHNICAL: Attachment 1 is the “ADR Conversion of R-11 Aircraft Refueling Vehicles Statement of Work (SOW).” The contractor’s quote must be specific, detailed, and clearly demonstrate that the offer meets all of the Specific Task requirements, identified in Appendix 1 of the SOW, in order to receive a “Technically Acceptable” rating.

3.1 GENERAL. The technical capability must be compliant with the most current European Agreement Concerning the International Carriage of Dangerous Goods by Road (ADR) as specified in the attached Statement of Work. Information the offeror deems appropriate to address the technical criteria should be included in the quote in an orderly format and be consistent with the evaluation criteria for award set forth in the Addendum to FAR Clause 52.212-2 of this solicitation. Quotes shall correspond to the below evaluation factors and pertinent to the SOW. To facilitate evaluation, the information shall be detailed, clearly demonstrate that the offeror has a thorough understanding of the requirement for the accomplishment of this effort, and as specifically as possible provide the actual methodologies that will be used to accomplish/satisfy the requirement.

4.0 FACTOR 3 – PAST PERFORMANCE:

4.1. Past Performance. Offerors shall provide past performance information for evaluation. An offeror with no or so sparse performance should submit the past performance with an explanation that they have no recent or relevant performance. Failure to submit available recent and relevant past performance information may render your offer ineligible for award. The offeror shall provide no more than three (3) relevant past performance references similar in complexity to this requirement performed from Government agencies and/or commercial customers. Past performance references provided in excess of the given limit of three (3) will not be evaluated. Offerors shall provide information for each current or previously performed contract which details at a minimum the following items:

a. A description of the work accomplished and narrative addressing why performance of the subject contract is relevant to the requirements.

b. Contract/order reference number associated with the requirement

c. Total contract dollar value per year and/or total amount

d. Date of award

e. Period of performance

f. POC information, including at a minimum, name, phone number, and email address

4.2. Recency and Relevancy. Offerors will be evaluated on their past performance under recent and relevant contracts/subcontracts for support similar to this solicitation. To be recent, the contract must have been performed within the past five (5) years from the date of issuance of this solicitation. Past performance that does not meet these criteria will not be evaluated. Relevancy is defined as similar complexity. Relevancy in regard to complexity includes performance similar to the conversion requirement which includes making vehicles compliant with the most current European Agreement Concerning the International Carriage of Dangerous Goods by Road (ADR). The Government may review the Past Performance Information Retrieval System (PPIPRS) and any other source deemed necessary to obtain additional information that will be used in the evaluation of the offeror’s past performance.

4.3. The Government may contact references other than those identified by the offeror and use information received to evaluate the offeror’s past performance.

4.4. Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the quote a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

4.5. Past Performance Factor. Past performance will be evaluated on an “Acceptable” or “Unacceptable” basis.

The offeror must receive an “Acceptable” rating to be eligible to receive an award. This rating is based upon offeror provided information indicating performance of capabilities. The table below outlines the minimum requirements for each rating.

Evaluation Process. The past performance evaluation considers each offeror’s demonstrated recent and relevant record of performance to include quality in supplying services that meet the solicitation requirements.

5.0. Solicitation Requirement, Terms and Conditions

Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors. Failure to comply with the terms and conditions of the solicitation may result in the offeror being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. The Government reserves the right to determine any such exceptions unacceptable.

(End of provision)

PAST PERFORMANCE EVALUATION RATINGS

Rating Description

Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown. (See note below.)

Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305(a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

(i) Taxes are considered delinquent if both of the following criteria apply:

(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability.

Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms.
