L-1.1 This section of the RFP provides general guidance for preparing proposals as well as specific instructions on the format and content of the required proposal volumes. Each proposal must include all data and information requested in the RFP. The offeror shall comply with the solicitation requirements as stated and the PWS. The offeror’s proposal must reflect a thorough understanding of the services required and display a logical development of the offeror's plans to implement all PWS requirements as assessed by the RFP evaluation criteria.

L-1.2 Efforts shall be made to keep offers as concise as possible with the emphasis being on providing information essential for proper evaluation. The proposal shall be clear, concise, and shall include sufficient detail to provide for adequate evaluation and for substantiation of the validity of stated claims.

Submitted documents must contain adequate information to enable the evaluation team to fully ascertain an offeror's capability to perform contract requirements, must meet the requirements of the RFP, and must address the evaluation factors for award.

L-1.3 All information contained in the proposal an offeror feels is “Proprietary Information” and therefore not releasable under the Freedom of Information Act (FOIA), should be labeled “Proprietary Information, Source Selection Information—See FAR 2.101 and 3.104.”

L-1.4 Offerors shall acknowledge awareness of all amendments to the solicitation by signing and dating Page 1 of each Standard Form 30, Amendment of Solicitation/Modification of Contract, and including it in Volume III, Price of the proposal.

L-1.5 The Contracting Officer has determined there is a high probability of adequate price competition for this acquisition so offerors are cautioned to submit their best pricing and technical information up-front.

L-1.6 Funds are not presently available for this effort. No award will be made until funds are available.

The Government reserves the right to cancel this solicitation, either before or after the closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an offeror for any costs.

Include a separate master list of all documents submitted to SAFE so that the mailto:claire.hammond.gb@us.af.mil mailto:amy.elizondo-williams.3@us.af.mil mailto:kazzandra.dexter@us.af.mil http://www.fbo.gov/ https://safe.amrdec.army.mil/safe contracting office can verify receipt of all portions of your proposal. The separate master list will not be counted in the proposal page limitations outlined in paragraph L-4.5. Ensure that the Government POC emails listed in paragraph L-2.1 are entered correctly so that the system will notify the contract specialist and contracting officer that a proposal has been uploaded to SAFE.

L-3.2 Offerors are cautioned to strictly comply with all instructions within this solicitation to ensure submission of a complete proposal. Failure to furnish a complete proposal at the time of proposal submission may result in the proposal being considered non-compliant to the Government and eliminated from consideration for award. Late proposals will be processed in accordance with FAR 52.215-1 “Instruction to Offerors – Competitive Acquisition.” The Government will retain the unopened proposal.

However, the proposal will not be evaluated or considered for award.

L-3.3 Contact Information. Offeror shall provide:

• Names, titles, addresses, telephone and email addresses of persons authorized to negotiate on the offeror’s behalf with the Government in connection with this solicitation.

• Name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent’s authority, even if that evidence has been previously furnished to the issuing office.

L-3.4 Disposition of Proposals.

In compliance with FAR Subpart 4.8, the Government will retain one (1) copy of all unsuccessful proposals. Extra copies of unsuccessful proposals will be destroyed. No destruction certificate will be provided.

L-4 PROPOSAL PREPARATION INSTRUCTIONS

L-4.1 The following instructions prescribe the format for proposals, and describe the approach to be used for the development and presentation of the proposal data. The proposal shall include all of the information requested in the specific instructions. Failure to include all information may result in an offer being ineligible for award. A proposal that merely reiterates or promises to accomplish the requirements of the PWS will be considered unacceptable. A proposal that is orderly and sufficiently documented will enable the Government to easily understand the proposal and perform a thorough and fair evaluation of it. The Government may incorporate into the contract by reference or full text portions of the successful offeror’s proposal as revised and supplemented through the final proposal revision that is submitted in response to the solicitation.

L-4.2 Proposal Volumes. Proposals shall be prepared in three (3) separate and distinct volumes:

Volume I – Past Performance Volume II – Technical Volume III – Price

L-4.3 Electronic Copies. Electronic copies of all proposal information for each volume shall be submitted using Microsoft Office 2010 or later, and/or Portable Document Format (PDF) using Adobe Acrobat 9.0 or later. Offerors shall not submit any documents in PDF that cannot be electronically searched. Offerors may use JPEG images for charts or screen shots. Volume III - Price shall be submitted in accordance with paragraph L-7, Instructions for Volume III. Offerors shall name files using standard naming conventions for each volume (e.g., Offeror name-volume name.docx). Each volume shall be contained in its own single searchable file, with copy/paste capability, and stored in a folder that corresponds to the proposal volume it represents. Offerors shall insert the file name in the header of each document.

L-4.4 Proposal Format. The proposal text shall be printed single-sided. Type size for text shall not be smaller than Microsoft Word Times New Roman 12 point font, single column, normal proportional spacing and one inch (1”) margins (top, bottom, left and right). The text for charts, tables, graphs, and figures shall be no smaller than Microsoft Word, Times New Roman or Arial Narrow, 8 point font. Text lines and table lines of text shall be single-spaced. Text color for each page of the proposal submission shall be black only. Information submitted shall not exceed the page limits stated below for each volume.

What Counts as a Page. A page shall be an 8 ½” x 11” sheet of paper. All material shall be contained within the page limit identified for each volume, and all appendices, charts, graphs, diagrams, tables, photographs, drawings, etc., are included in the page count.

L-4.5 Copies and Page Limits. Evaluators will only read up to the maximum number of pages specified.

If the page limit is exceeded, the excess pages will be removed from the proposal. Copy requirements and page limitations are as follows:

See paragraph L-7.1.2 for requested Supporting Price Backup Data.

L-4.6 Cross-Referencing. Offerors shall not cross reference between Volumes I, II, and III. Each Volume shall be written on a stand-alone basis so that its contents may be evaluated without cross-referencing to other Volumes of the proposal. Information required for proposal evaluation, which is not found in its designated Volume, will be assumed to have been omitted from the proposal.

L-4.7 Exceptions/Assumptions. Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications and technical requirements, in addition to those identified as evaluation factors. Failure to meet a requirement may result in an offer being ineligible for award. If the offeror finds it necessary to take exception or make assumptions to any of the requirements specified in this solicitation, the offeror shall clearly identify the applicable Volume and exceptions/assumptions with a complete explanation of why the exception/assumption was taken, what benefit accrues to the Government (if any), and its impact, if any, on the performance, schedule, price and specific requirements of the solicitation. Each exception/assumption shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception/assumption is taken. Offerors are cautioned that taking an exception/assumption may render the offer ineligible for award. This information shall be provided in the format below.

L-5 VOLUME I – PAST PERFORMANCE PROPOSAL

L-5.1 The Past Performance Volume and Past Performance Questionnaires (PPQs) are due 26 March 2018, 1600 British Summer Time/1100 Eastern Standard Time. It is the responsibility of the offeror to ensure the Contracting Office receives the past performance information. Specific guidelines and requirements about volume content and format are provided in this section.

L-5.2 Past Performance Information (PPI) Contract References. Offerors may provide information for no more than three (3) references; the references provided should be on the offeror (prime), if available. If offerors would like assessment of an individual task/call/delivery/purchase order, the offeror shall submit that as a separate PPI reference. PPI Reference inputs will be treated as source selection information IAW FAR Part 2.101 and 3.104.

L-5.3 Past Performance Recency. Recency is defined as contract performance during the three (3) years preceding the date of issuance of this solicitation.

L-5.4 Past Performance Relevancy. Offerors shall submit performance information on contracts they consider relevant to this effort. This information should include rationale supporting the offeror’s assertion of relevance. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate. When applicable, categorize and cross reference the relevance of the information into the specific relevancy criteria as defined in Section M, of this solicitation. The Government is not bound by the offeror’s opinion of relevancy.

L-5.5 Volume Contents. The offeror shall submit a Past Performance Volume that contains the following:

1 Table of Contents Not to exceed one (1) page 2 Summary Not to exceed one (1) page

See paragraph L-5.5.1 3 Past Performance Information (PPI) Sheets See paragraph L- 5.5.2 4 Subcontractor Teaming Partner Consent

Letter See paragraph L-5.5.3

5 Authorization Letter From Prime Offeror if Applicable

Not to exceed one (1) page See paragraph L- 5.5.4

6 Organization Structure Change History Not to exceed two(2) pages (bullet format, narrative not required), See paragraph L-5.5.5

L-5.5.1 Summary. Describe roles of offerors and all subcontractors, teaming partners, or joint venture partners. Provide a detailed matrix that depicts how each PPI contract reference provided meet the relevancy criteria defined in Section M.

L-5.5.2 PPI Contract Reference Sheet. Offerors shall submit information on contracts considered most relevant in demonstrating ability to perform the proposed effort. This information is required on the offeror, subcontractors, teaming partners, and/or joint venture partners considered critical to overall successful performance. The offeror shall submit a maximum of three (3) contract references. Offeror shall provide a separate PPI Sheet for each contract reference identifying active (minimum of 3 months performance) or completed contracts, either Government or commercial. PPIs should be submitted in the electronic volume. Relevancy shall be detailed in the PPI reference sheet. PPI reference sheets will be treated as source selection information in accordance with FAR Part 2.101 and 3.104.

L-5.5-3 Subcontractor Consent (Attachment 01). PPI contract reference concerning subcontractor and teaming partners cannot be disclosed to a private party without the subcontractor’s or teaming partner’s consent. Because a prime contractor is a private party, the Government will need that consent before disclosing subcontractor/teaming partner PPI contract reference to the Prime during exchanges. These letters are only required for subcontractors and teaming/joint venture partners for which the Prime submits past performance information as part of the Past Performance Volume. Completed consent forms shall be submitted as part of the Past Performance Volume. If the Offeror is a Joint Venture (JV), relevant project experience should be submitted for projects completed by the Joint Venture entity. If the Joint Venture does not have shared experience, projects shall be submitted for the Joint Venture members. The Offeror shall submit a signed copy of the Joint Venture agreement indicating the proposed participation of each Joint Venture member. Failure to submit the required Joint Venture Agreement may render the offeror ineligible for award.

L-5.5.4 Authorization Letter. In order to validate a prime Offeror’s past performance as a subcontractor on a submitted PPI contract reference, Offerors are required to provide written authorization for the Government to contact the prime contractor on the contract referenced in the submitted PPI.

L-5.5.5 Organization Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a chart or schedule describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment.

Since the Government intends to consider present and past performance information provided by other sources as well as information provided by the offeror(s), your chart or schedule should be both specifically applicable to the efforts you identify and general enough to apply to efforts for which the Government receives information from other sources.

L-5.5.6 Past Performance Questionnaires (PPQs) (Attachment 02). When completed Contractor Performance Assessment Reports CPARS or similar reports are submitted to reflect past performance data, a Past Performance Questionnaire (PPQ) is not required. Offerors without formal documented Government CPARS shall send a PPQ to each performance reference cited. PPQs shall be sent directly from your reference to this office marked to the attention of Claire Hammond, via e-mail to claire.hammond.gb@us.af.mil or to Amy Elizondo-Williams at amy.elizondo-williams.3@us.af.mil.

THE RESPONSIBILITY TO SEND OUT THE PAST PERFORMANCE QUESTIONNAIRE

RESTS SOLELY WITH THE OFFEROR.

Once the questionnaires are completed by the POCs, the information contained therein will be considered source selection sensitive and will not be released outside the Government. The POCs shall forward their completed questionnaires directly to the government – NOT BACK TO

THE OFFEROR.

L-5.5.7 Past Performance Information from Other Sources. Past performance information for contracts not listed by the offeror and/or past performance information for contracts of planned subcontractor(s) may also be evaluated. References other than those identified by the offeror may be contacted by the Government and the information obtained during such contact may be used in the evaluation of the offeror’s past performance. While the Government may elect to consider data obtained from other sources, the burden of demonstrating relevancy and providing current, accurate, and complete past performance information rests solely with the offeror.

L-5.5.8 Offerors Rebuttal of Adverse Past Performance Information (if applicable). The offeror is allowed to provide a rebuttal to unfavorable past performance information if it did not do so on the original report or form. The offeror shall limit this rebuttal to addressing the specific negative comments.

The offeror shall clearly distinguish between any rebuttal already provided on a form or report and those rebuttals provided specifically for the purpose of this proposal.

L-5.5.9 Responsibility Determination: Even though the assessment of past performance is separate and distinct from the Determination of Responsibility required by FAR Part 9.1, PPI references contained herein may be used to support the Determination of Responsibility for the successful offeror.

L-6 VOLUME II – TECHNICAL PROPOSAL

L-6.1 The Technical Volume shall be specific, detailed, and complete to clearly demonstrate that offerors have a thorough understanding of the requirements to accomplish IMPS for the Building 1245 Renovation Project. Section M - Evaluation Factors for Award

M-1 BASIS FOR AWARD

M-1.1 This competitive best value source selection will be conducted using a Limited Tradeoff source selection process in accordance with (IAW) Federal Acquisition Regulation (FAR) Part 15, Department of Defense (DoD) Source Selection Procedures effective 1 April 2016 and Air Force Federal Acquisition Regulation (AFFARS) Mandatory Procedures (MP) 5315.3 for Source Selection as revised 3 October 2017. The Government will award one Requirements contract resulting from this solicitation to the responsible offeror (IAW FAR Part 9) whose offer conforms to the solicitation and is the most advantageous to the Government, price and other factors considered. Past Performance and Technical, when combined, are approximately equal to Price. If an offeror fails to meet all solicitation requirements, the Government may not make an award to that offeror.

M-1.2 A Performance/Price tradeoff, where the Technical factor is assessed on an “Acceptable/Unacceptable” basis will be utilized. This may result in an award being made to a higher rated, higher priced offeror where the decision is consistent with the evaluation factors and the Source Selection Authority (SSA) determines that the superior past performance of the higher priced offeror outweighs the price difference. The SSA bases the source selection decision on an integrated assessment of the evaluation factors and subfactors. While the Government evaluation team and the SSA will strive for maximum objectivity, the source selection process, by its nature, is subjective; therefore, professional judgment is implicit throughout the entire process.

M-1.3 Award of Task Order Requirements. Upon award, the Government intends to issue a task order for the Building 1245 Renovation project. The Government reserves the right to issue a Task Order, subject to the availability of funds, within 60 days of award of the Requirements contract.

M-1.4 The Government reserves the right to award without discussions, but may conduct discussions if the Government determines it is necessary. If the Government elects to open discussions, the competitive range may include proposals rated as “Unacceptable” at the sole discretion of the Government (i.e., minor corrections to technical subfactor aspect(s)). If required, the competitive range may be further reduced for purposes of efficiency pursuant to FAR 15.306(c)(2). Therefore, offerors are advised to submit proposals that are fully and clearly acceptable without additional information.

M-1.5 In order to be eligible for award, offerors are required to meet all solicitation requirements, such as terms and conditions; representations and certifications; evaluation factor requirements; and be deemed responsible in accordance with FAR Part 9.

M-1.6 The Government may incorporate into this contract, by reference or full text, portions of the successful offeror’s proposal submitted in response to this solicitation as revised and supplemented through the final proposal revision.

M-2 FINAL PROPOSAL REVISION

M-2.1 The Government reserves the right to award without discussions and make an award based on acceptable proposals; however, discussions or negotiations may be held and result in a requirement for a Final Proposal Revision (FPR). Formal responses to discussion items and final proposal revisions will be considered in making the award decision. Offerors should be aware that a complete understanding as to price, technical, past performance, and all terms and conditions of the proposed contract must exist between the offeror and the Government at the conclusion of discussions, if held. All Offeror and team member/subcontractor information must be incorporated into one coherent proposal to be considered complete.

M-2.2 Any revision or non-concurrence to contract terms and conditions submitted in the FPR may not be subject to further discussion or negotiation, and may render the offer unacceptable to the Government.

This provision is not intended to restrict the offeror’s opportunity to revise figures (e.g., prices, discounts, percentages, rates, etc.); rather, it is intended to preclude any misunderstandings by the Government, which could result if new or revised terms and conditions are submitted in the FPR that have not been fully disclosed, discussed and understood during discussions or negotiations. Hence, such new or revised terms and conditions are not solicited and, if submitted in the FPR, may render the offer unacceptable to the Government.

M-3 EVALUATION FACTORS and METHODOLOGY

M.-3.1 Proposals will be evaluated using three evaluation factors:

Factor 1: Past Performance Factor 2: Technical Factor 3: Price

There are three (3) subfactors under the Technical factor as follows:

Subfactor A: Staffing Subfactor B: Recruitment, Training and Retention Plan Subfactor C: Mobilization/Equipment

Past Performance and Technical, when combined, are approximately equal to Price.

M-3.2 FACTOR 1: Past Performance

M-3.2.1 Past performance shall be evaluated as a measure of the Government’s confidence in the offeror’s ability to successfully perform based on previous and current contract efforts. The Performance Confidence Assessment will be assessed at an overall factor level after evaluating all aspects of the offeror’s recent past performance, focusing on performance that is similar or greater in scope, magnitude and complexity than the effort described in the solicitation. For purposes of this evaluation, the “offeror” includes any joint ventures, subcontractors, and/or teaming partners proposed as part of the Prime Contractor’s team under this effort.

M-3.2.2 Recency. Recency is defined as performance occurring within the last three (3) years from the issuance date of the solicitation. Current performance will have greater impact on the performance confidence assessment than older performance.

M-3.2.3 Relevancy. Relevancy for this contract is defined as providing Information Protection Monitoring Services similar to the size, scope and complexity as the Building 1245 Renovation project.

The Government will validate the relevancy information contained in the PPI contract reference. The Government is not bound by the offeror’s opinion of relevancy. The Government will assign a relevancy rating for each recent PPI contract reference IAW Table 2, Past Performance Relevancy Ratings from the DoD Source Selection Procedures.

Table 2. Past Performance Relevancy Ratings

Adjectival Rating Description

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

M-3.2.4 Performance Quality Assessment. For each recent and relevant PPI reviewed, the Government will evaluate all performance data obtained to determine if the offeror can successfully perform IMPS.

Performance records will be obtained through one or more of the following: 1) the Past Performance Information Retrieval System (PPIRS); 2) similar systems of other Government departments and agencies; 3) questionnaires tailored to the circumstances of this acquisition; 4) interviews with program managers and COs; and 5) other sources known to the Government. The Government is not bound to the offeror’s opinion of its performance.

M-3.2.5 Performance Confidence Assessment. The rating for the Past Performance factor is based on the evaluation of the offeror’s past performance data, resulting in an overall performance confidence assessment. The Performance Confidence Assessment represents the Government’s confidence in the offeror’s ability to complete work of the same size, scope and magnitude of the IMPS solicitation. Each offeror will receive one overall performance confidence assessment rating IAW Table 3 of the DoD Source Selection Procedures, as follows:

Table 3. Past Performance Confidence Assessment Ratings Rating Description

Substantial Confidence Based on the Offeror’s recent/relevant performance record, the Government has a high expectation that the Offeror will successfully perform the required effort.

Satisfactory Confidence Based on the Offeror’s recent/relevant performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort.

Neutral Confidence No recent/relevant performance record is available or the Offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

The Offeror may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the Offeror’s recent/relevant performance record, the Government has a low expectation that the Offeror will successfully perform the required effort.

No Confidence Based on the Offeror’s recent/relevant performance record, the Government has no expectation that the Offeror will be able to successfully perform the required effort.

Note: In evaluating past performance, the Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in the solicitation.

M-3.2.6. Adverse Past Performance. Adverse past performance is defined as past performance information that supports 1) a less than satisfactory rating on any evaluation subfactor; or 2) any unfavorable comments received from sources without a formal rating system that cause evaluator concern.

When a relevant performance record indicates performance problems, the Government will consider the number and severity of the problems and the appropriateness and effectiveness of any corrective actions taken (not just planned or promised). The Government may review more recent contracts or performance evaluations to ensure corrective actions have been implemented and to evaluate their effectiveness. In accordance with FAR 15.306(b)(4), Communications must be held with any offeror who will be excluded from competition because of adverse past performance information, unless the offeror has previously had the opportunity to comment on such information.

M-3.2.7. In the case of offerors for which there is no information on past contract performance or where past contract performance information is not available, the offeror may not be evaluated favorably or unfavorably on the factor of past contract performance (see FAR 15.305(a)(2)(iv).) In this case, the offeror’s past performance is unknown and assigned a performance confidence rating of “Neutral Confidence. A “Substantial Confidence” or “Satisfactory Confidence” past performance rating may be worth more than a “Neutral Confidence” past performance rating in this solicitation.

M-3.2.8. Even though the assessment of past performance is separate and distinct from determination of responsibility required by FAR Part 9, past performance information evaluated may be used to support the determination of responsibility for the successful offeror.
