Section B: Description of the Supplies/Services Required

The requirement is for a three month Firm Fixed Price Custodial Services Contract for Department of Defense Dependant Schools (DoDDS) UK to included RAF Lakenheath, RAF Feltwell, RAF Alconbury and all Geographically Separated Units (GSU's). The previous contract, FA5587-14-C-0001, was awarded to Sodexo Ltd on 01 October 2013. DoDDS has requested a reduction in services which would be out of scope of the current contract, though the type of work has not changed. The purpose of the three month contract is to create a "bridge" between periods of performance of the existing contract (ending on 31 March 2015) and the beginning of the new contract which will be aligned with the school year (starting 1 July 2015).

Section C: Justification for Soliciting from a Single Source

Transfer of Undertakings/Protection of Employment (TUPE) regulations direct all personnel employed by the incumbent , Sodexo, will be, in effect, transferred to the new Contractor upon award. This, combined with the short period of performance on a service of such magnitude, will create a liability for any new contractor. There is a lead time of approximately three months for a TUPE transfer, which would make this contract impossible for any contractor other than the incumbent.

Section D: Efforts to Obtain Competition

A Sources Sought notice was posted to FBO on 17 November 2014 and other custodial contractors, as identified through market research for the upcoming reacquisition of this service, were contacted regarding this requirement. The incumbent, Sodexo, was the only company to respond directly to the Sources Sought, however one other company, Deltek, did inquire later about a solicitation but failed to respond to follow on correspondence. Neither company indicated that there were any unclear aspects or anything that doesn't align with commercial practice.

Section E: Steps to Preclude Future Single Source Awards

This is a unique contracting requirement. Because this is a bridge contract between two multiple year contracts with a short period of performance, TUPE comes heavily into play. Future acquisitions will have a much longer solicitation and award period and TUPE will not be a factor limiting competition.

Section F: Contracting Officer's Determination

I have determined, in accordance with FAR 13.106-1(b)(1), that the circumstances of this contract action deem only a single source is reasonably available.
