52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (APR 2010)

(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-

(i) The Offeror and/or any of its Principals-

(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and

(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.; and

(D) Have , have not , within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,000 for which the liability remains unsatisfied.

(1) Federal taxes are considered delinquent if both of the following criteria apply:

(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JULY 2013)

(a) Definitions. As used in this provision--

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.

(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in--

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).

52.212-1 ADDENDUM

Addendum to 52.212-1 Proposal Preparation Instructions A. To assure timely and equitable evaluation of the proposal, the offeror shall follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factor or subfactors. Failure to meet a requirement may result in a proposal being ineligible for award. Offeror’s proposal shall consist of three (3) separate parts; Part I - Price Proposal, Part II - Technical Capability Proposal, and Part III - Past Performance.

B. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer‘s opinion, adequate price competition exists no additional price information will be requested. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists, offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness of the price.

C. Specific Instructions: Complete the necessary fill-ins and certifications in all provisions. The provisions FAR 52.212-3, 52.223-3, 252.212-7000, 252.212-7001, and 252.229-7001 shall be returned along with the proposal.

Hand carried proposals must be delivered to the contracting office at Building 977, 1st Floor, RAF Lakenheath, United Kingdom, IP27 9PN. The sealed envelope or package used to submit your proposal must show the time and date specified for receipt, the Solicitation Number, and the name and address of the offeror. Offerors are cautioned that RAF Lakenheath has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass prior to entrance. SOME DELAY SHOULD BE ANTICIPATED WHEN HANDCARRYING PROPOSALS. Offerors should allow sufficient time to obtain a visitor pass and arrive at the proposal depository PRIOR to the time specified for receipt. Late proposals will be processed in accordance with FAR 52.212-1(f) ―Late submission, modifications, revisions, and withdrawals of offers.

Offerors are encouraged to submit their proposals electronically to: megan.scioneaux@us.af.mil and eric.schaffstein@us.af.mil. Please note that the Government’s email system has a 1MB limit for attachments. Offerors may send their proposals using multiple emails and it is advised that number systems such as ―email 1 of 4 are used to allow for confirmation of receipt. The requirements below for multiple copies do not apply to electronically submitted proposal.

1. PART I – PRICE PROPOSAL - Submit original and three (3) copies FA5587-14-R-0005

a) Firm Fixed Priced Proposal: As prescribed by clause 52.216-1 TYPE OF CONTRACT, the Government contemplates award of a Firm Fixed Priced contract resulting from this solicitation.

b) Complete blocks 12, 17a, and 30a, b, and c of the SF 1449. In doing so, the offeror accedes to the contract terms and conditions as written in the solicitation, with attachments. The solicitation constitutes the model contract.

c) Complete all areas within the solicitation ensuring that unit and extended prices for the required quantities are correctly calculated for summary totals that equate to prices provided at the Contract Line Item Number-level (CLIN). Note: Consumables (IAW PWS Paragraph 3.2.3.1) are not a separately priced item and associated costs shall be proposed inclusive of monthly unit pricing at established CLIN levels.

d) TUPE: During the solicitation phase and award of the resultant contract the Government does not have access to specific TUPE information nor becomes involved with related TUPE processes and associated liabilities (to include indemnification) that may transpire during pre-award or post-award phases between transferor and transferee. While the Government fully understands the relevance of TUPE-information in proposing fixed prices, the responsibility to provide TUPE-information rests solely with the transferor; governed by Regulation 11 of the Transfer of Undertakings (Protection of Employees) Regulations 2006 (TUPE). As the transferor need only provide TUPE information to the transferee prior to the transfer, the Government will only make available the listing of the current, incumbent contractor(s) with associated points of contact if requested.

As this is a firm-fixed price contract it is incumbent upon the offeror to calculate their anticipated TUPE pricing at time of proposal submittal. TUPE costs cannot be submitted as a conditional proposal, if submitted as such the offeror’s proposal will be considered unacceptable and the offeror may be excluded from competition.

2. PART II – TECHNICAL CAPABILITY PROPOSAL - Limited to no more than thirty (30) pages. Submit original plus three (3) copies.

a) Transition Plan – Offerors shall illustrate a detailed and comprehensive plan for transitioning to new contract performance during the 30 day phase-in period by describing how all requirements will be successfully performed on the contract start date. The Transition Plan shall include, but is not limited to:

i. A detailed description and complete timeline of all transition activities necessary to begin successful performance on the contract start date of 1 July 2015.

ii. Comprehensive description of the supply chain that will be utilized to procure and store materials to ensure adequate supplies for the start and duration of the contract

iii. Description of staff hiring process that will be utilized to obtain adequate numbers of qualified personnel in effectively transitioning to perform the required levels of service and respective facility square footage as stipulated by the PWS

iv. Description of the process used to ensure hired personnel will be certified in accordance with the Disclosure and Barring Service Check (DBS) prior to beginning work on the contract

b) Quality Control Plan (QCP) – The policy of the Government for contractor quality control and applicable definitions are provided in Federal Acquisition Regulation Part 46. In all Government contracts, the contractor is required to control the quality of service delivery and deliver to the Government for acceptance only services that conform to contract requirements. The overall control of quality must meet the specified performance thresholds for each requirement in the Services Summary (PWS Paragraph 2.0). Note that if selected for award, your QCP will be monitored for compliance as a Service Summary, performance objective item, and rated accordingly by the Government at the Contractor Performance Assessment Reporting System (CPARS) Dept of Defense (DoD) database.

Quality Control Plans shall be specific to the work requirements prescribed by this Request for Proposal (RFP) and the respective Performance Work Statement (PWS).

Offerors shall thoroughly and clearly describe quality control processes and procedures to ensure satisfactory levels of performance will be achieved at all specified service locations/sites as outlined under this RFP. Quality Control Plans shall include at a minimum:

· A clear and comprehensive description of the inspection system to cover all servcies listed in the Services Summary (SS). Description shall include inspection methods and documentation, specifics as to the areas to be inspected on both a scheduled and unscheduled basis, frequency of inspections, how inspections will be used to correct and/or prevent deficiencies in the quality of servcie provided to ensure performance is within thresholds of the PWS.

· A clear and comprehensive description of processes, procedures, and timeframes by contractor quality manager(s) and/or site manager(s) to respond, correct, and prevent potential performance deficiencies identified by the Government COR during quality assurance surveillances at all service locations/sites (i.e. Response timeframes to COR generated feedback via quality assurance customer complaints or performance assessment reports.

· A clear and comprehensive description of processes for the scheduling of services for work performance by contract employees/operatives (ref. PWS para 1.8 Work Schedules). This shall include title(s) and organizational placement of contractor personnel that will be responsible for generating up-to-date schedules of routine and periodic custodial services at all required service locations/sites

· A thorough and clear description of the offeror’s training program to illustrate and implement areas of training on the PWS requirements, methods and certifying employee training and documenting that ensures the cleaning standards prescribed by the PWS (and UK Health and Safety standards) are successfully met.

c) Key Personnel – Identify key positions, responsibilities, and their roles with respective schedules for transition and successful contract performance on the contract start date and for the duration of contract performance. Offeror shall provide an organizational chart of staffing structure which includes key management, site managers and quality assurance personnel at all required service locations/sites to include staff personnel/operatives. This should also include a detailed description of the offeror’s approach to manage staffing, and to mitigate unpredictable leaves of absence by employees in achieving the performance standards detailed in the PWS Offerors shall provide a candidate for the below positions and include résumés for personnel to list relevant education and experience.

i. Offerors shall provide a Quality Control Manager with the below minimum qualifications:

· Five (5) years of experience in a Quality Control position

· DBS Certification

ii. Offerors shall provide Onsite Managers to manage operations at each base. Onsite Managers shall meet the following qualifications:

· Five (5) years of custodial experience

· Three (3) years of experience in a supervisory position

· DBS Certification

3. PART III – PAST PERFORMANCE INFORMATION - Only references for recent and relevant type contracts and/or projects are desired for past performance evaluation (definitions of recency and relevancy can be found below in paragraph (a). Submit original and three (3) copies with a total page limitation of twenty five (25) pages.

a) Quality and Satisfaction Rating for Contracts Completed in the Past Three Years: Offerors must submit recent and relevant contact information for a maximum of five (5) customers for whom custodial services have been provided.

i. To be considered recent, custodial services for a particular customer must have been provided within the last three (3) years.

ii. To be considered relevant, custodial services must be, or have been, similar size and complexity to the work requirements outlined in this solicitation and associated Performance Work Statement.

The Contracting Officer will be responsible for contacting the past performance points of contact referenced by offerors in their proposal. The references will be requested to complete the Past and Present Performance Questionnaire (included as an attachment to the RFP) which will be returned directly to the Contracting Officer for purpose of evaluation. Multiple customer contacts can be provided by offerors for the same customer.

Note: Any copies of completed questionnaires submitted by offerors with their proposal will be discarded and not considered in the Government’s evaluation.

For each customer provided, offerors must provide the following information:

(i) Company/Division name/Contracting Agency/Customer Name

(ii) Description of service provided

(iii) Contract Number (if applicable)

(iv) Contract Dollar/GBP Value

(v) Period of Performance

(vi) Verified, up-to-date name, address, email, & telephone number of the customer NOTE: If a customer point of contact cannot be reached, the Government may contact the offeror again and request an additional point of contact. References that cannot be reached will not be considered for award.

b) If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent (within the past three years) past performance information on previous teaming arrangements with the same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts. No more than five (5) total references shall be submitted.

Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Part III – Past Performance A Lowest Price Technically Acceptable (LPTA) Source Selection Process in accordance with FAR part 15.101-2 will be utilized for the purpose of the Government’s evaluation of proposals and resultant award determination.
