(w) Conciliation. Except as otherwise provided in this contract, any disagreement arising under this contract which is not resolved by the parties to this contract may be submitted to the United States - Japan Joint Committee for conciliation in accordance with Paragraph 10, Article XVIII of the Status of Forces Agreement under Article VI of the Treaty of Mutual Cooperation and Security between Japan and the United States of America. The Joint Committee shall be immediately informed by the Contractor of his action taken hereunder.

(5) No request for conciliation can be submitted to the Joint Committee in the case of a dispute upon which the final decision of the appropriate authority under the clause of this contract entitled, “Disputes”, has been rendered.

52.216-19 ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than JPY100,000, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor -

(1) Any order for a single item in excess of JPY30,000,000;

(2) Any order for a combination of items in excess of JPY100,000,000; or

(3) A series of orders from the same ordering office within 3 calendar days that together call for quantities exceeding the limitation in paragraph (b) (1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 3 calendar days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 INDEFINITE QUANTITY. (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after the end of each contract period, or as described in each individual Task Order, whichever later.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor at least 15 calendar days before the contract expires.

Note: Since these services will be performed strictly in the country of Japan, the Contractor is required to follow the labor standards of Japan. The rates will not be adjusted as a result of revisions to prevailing labor rates provided by the Secretary of Labor, as applicable to contracts performed in the United States. Therefore, payment shall be made at the rates specified for the period of performance immediately preceding the period of extended services.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor not later than 15 calendar days prior to the contract expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 calendar days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 66 months.

AWARD-TERM CONTRACTING

Award-Term Contracting.

In addition to the terms set forth elsewhere in the contract, the Contractor may earn an extension or reduction to the contract period from a minimum of 1 to a maximum of 2 years on the basis of performance during the evaluation periods. The Contractor is evaluated during the first year of performance (Basic Period), but extensions or reductions starts in the second year. If the result of the Contractor Performance Assessment Reporting System (CPARS) assessment during basic year of every single category is equal to or more than “very good”, the Government may execute the unilateral right for making the 3rd option year period effective.

If the result of the CPARS assessment during Option 1 Period of every single category is equal to or more than “very good”, the Government may execute the unilateral right for making the 4th option year period effective.

(a) Rating Criteria under standard assessment monitoring (CPARS) is stated as below:

Rating Definition Note Exceptional Performance meets contractual requirements and exceeds many to the Government’s benefit. The contractual performance of the element or sub-element being evaluated was accomplished with few minor problems for which corrective actions taken by the Contractor were highly effective.

If the Contractor receives this rating based on the performance assessment on CPARS during the basic period, the Government may have the unilateral right to execute the 3rd option period.

If the Contractor receives this rating based on the performance assessment on CPARS during the Option 1 Year Period, the Government may have the unilateral right to execute the 4th option period.

Very Good Performance meets contractual requirements and exceeds some to the Government’s benefit. The contractual performance of the element or sub-element being evaluated was accomplished with some minor problems for which corrective actions taken by the Contractor was effective.

Satisfactory Performance meets contractual requirements. The contractual performance of the element or sub-element contains some minor problems for which corrective actions taken by the Contractor appear or were satisfactory.

If the Contractor receives this rating based on the performance assessment on CPARS during the basic or Option 1 year period, the 3rd and 4th option will not be executed.

Marginal Performance does not meet some contractual requirements. The contractual performance of the element or sub-element being evaluated reflects a serious problem for which the Contractor has not yet identified corrective actions. The Contractor’s proposed actions appear only marginally effective or were not fully implemented.

If the Contractor receives this rating based on the performance assessment on CPARS during the basic or Option 1 year period, the 3rd and 4th option will not be executed.

Unsatisfactory Performance does not meet most contractual requirements and recovery is not likely in a timely manner. The contractual performance of the element or sub-element contains a serious problem(s) for which the Contractor’s corrective actions appear or were ineffective.

If the Contractor receives this rating based on the performance assessment on CPARS during the basic or Option 1 year period, the 3rd and 4th option will not be executed.

(b) Option periods that became available based on the award-term contracting are to be executed in accordance with FAR 52.217-9, Option to Extend the Term of the Contract.

(c) The initial contract term or ordering period may be extended or reduced on the basis of Contractor performance, resulting in a contract term or an ordering period lasting at least 3 years from the date of contract award, to a maximum of 5 years after the date of contract award.

(d) The Contractor's performance will be measured against stated standards by the performance monitors, who will report their findings to the Contracting Officer (KO).

(e) Bilateral changes may be made to the award-term plan at any time.

(f) The contract term or ordering period may be unilaterally modified to reflect the KO’s decision. If the contract term or ordering period has one year remaining, the operation of the contract award-term feature will cease and the contract term or ordering period will not extend beyond the maximum term stated in the contract.

(g) Award terms that have not begun may be cancelled (rather than terminated), should the need for the items or services no longer exists. No equitable adjustments to the contract price are applicable, as this is not the same procedure as a termination for convenience.

(h) The decisions made by the KO may be made unilaterally. Alternate Dispute Resolution procedures shall be utilized when appropriate.

52.232-19 AVAILABILITY OF FUNDS FOR THE NEXT FISCAL YEAR (APR 1984)

Funds are not presently available for performance under this contract beyond 30 Sep 19 for Basic Period, 30 Sep 20 for Option One Period (if exercised), 30 Sep 21 for Option Two Period (if exercised), 30 Sep 22 for Option Three Period (if exercised), 30 Sep 23 for Option Four Period (if exercised). The Government's obligation for performance of this contract beyond that date is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise for performance under this contract beyond 30 Sep 19 for Basic Period, 30 Sep 20 for Option One Period (if exercised), 30 Sep 21 for Option Two Period (if exercised), 30 Sep 22 for Option Three Period (if exercised), 30 Sep 23 for Option Four Period (if exercised), until funds are made available to the Contracting Officer for performance and until the Contractor receives notice of availability, to be confirmed in writing by the Contracting Officer.

252.216-7006 ORDERING (MAY 2011)

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c)(1) If issued electronically, the order is considered ``issued'' when a copy has been posted to the Electronic Document Access system, and notice has been sent to the Contractor.

(2) If mailed or transmitted by facsimile, a delivery order or task order is considered ``issued'' when the Government deposits the order in the mail or transmits by facsimile. Mailing includes transmittal by U.S. mail or private delivery services.
