CLAUSES INCORPORATED BY FULL TEXT
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JAN 2017)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation.
Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.
(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a single copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained free of charge by submitting a request to the addressee in paragraph (i)(1)(i) of this provision.
Additional copies will be issued for a fee.
(2) Most unclassified Defense specifications and standards may be downloaded from the following ASSIST websites:
(i) ASSIST (https://assist.dla.mil/online/start/).
(ii) Quick Search (http://quicksearch.dla.mil/).
(iii) ASSISTdocs.com (http://assistdocs.com).
(3) Documents not available from ASSIST may be ordered from the Department of Defense Single Stock Point (DoDSSP) by--
(i) Using the ASSIST Shopping Wizard (https://assist.dla.mil/wizard/index.cfm);
(ii) Phoning the DoDSSP Customer Service Desk (215) 697-2179, Mon-Fri, 0730 to 1600 EST; or
(iii) Ordering from DoDSSP, Building 4, Section D, 700 Robbins Avenue, Philadelphia, PA 19111-5094, Telephone
(215) 697-2667/2179, Facsimile (215) 697-1462.
(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.
(j) Unique entity identifier. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database.) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation ``Unique Entity Identifier'' followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.
(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
(1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.
(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.
(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award;
(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.

(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.
(End of Provision)
Addenda to FAR 52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JAN 2017)
(a) Paragraphs 52.212-1(b), “Submission of offers,” and 52.212-1(f), “Late submissions, modifications, revisions, and withdrawals of offers,” are deleted in their entirety and replaced with 52.215-1(c), “Submission, modification, revision, and withdrawal of proposals,” by reference.
(b) Paragraph 52.212-1(c), “Period for Acceptance of Offers,” is tailored as follows: “The offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers.”
(c) The following is inserted as new paragraph (m) of the provision:
(m) Proposal Preparation Instructions.
A. To assure timely and equitable evaluation of proposals, Offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and any applicable technical requirements, (in addition to those identified as evaluation factors or subfactors). Failure to meet a requirement may result in a proposal being determined unacceptable. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of three separate parts: Part I - Summary and Miscellaneous Data, Part II - Price Proposal, and Part III – Past Performance.
B. Specific Instructions:
1. PART I – SUMMARY AND MISCELLANEOUS DATA.
(a) Submitted offers will be signed and dated by authorized individuals. By submission of an offer, the Offeror accedes to the solicitation terms and conditions as written.
(b) Submit the necessary Representations and Certifications as required by FAR 52.212-3, Offeror Representations and Certifications – Commercial Items. A submission of completed SAM record is acceptable.
(c) Submit an acknowledgment of all solicitation amendments, if issued.
(d) If none proposed, submit an Affirmation of no Exceptions, Deviations, or Waivers.
2. PART II – PRICE PROPOSAL.
(a) Offerors shall submit pricing as required by the solicitation.
(b) Insert proposed unit prices and extended amounts for each Contract Line Item Number
(CLIN) where required (Attachment 2, Price Reference Sheet). The extended amount must equal the unit price multiplied by the number of units. It is imperative that mathematical calculations are correct; particular care should be taken to ensure the amounts match when using a spreadsheet program, such as Microsoft EXCEL. The unit prices and extended amounts are limited to two decimal places.
(c) Extreme care should be exercised to ensure that no price data of any kind are included in any other Part of the proposal.
3. PART III – PAST PERFORMANCE PROPOSAL.
(a) The Offeror’s Past Performance shall consist of a list of at least three, but no more than ten references relating to providing services for Vehicle/Equipment Corrosion Control and Painting. Past Performance listed shall not be any older than three years from the issue date of the RFP.
(b) The Offeror’s Past Performance list shall furnish the following information (see RFP Attachment 5):
a. Company/Division name
b. Product/Service
c. Contracting Agency/Customer
d. Contract Number
e. Contract Dollar Value
f. Period of Performance
g. Verified, up-to-date name, mailing and e-mail addresses, and telephone number of the contracting officer (Point-of-Contact)
h. Comments regarding compliance with contract terms and conditions
(c) Past Performance data shall be submitted in response to this solicitation before the solicitation close date to mister.raby@us.af.mil, nicole.jordan.3@us.af.mil and 673CONS.LGCB.Services@us.af.mil.
C. Documents submitted in response to this RFP must be consistent with the following:
1. Requirements of the solicitation (CLINs and PWS) and Government standards and regulations pertaining to the PWS.
2. FAR 52.212-2, Evaluation—Commercial Items and its addenda, of this solicitation.
3. Format for Proposals shall be as follows:
*NOTE – The following information is to be understood if the Contracting Office were to print the proposals*
(a) Each Part shall be separately labeled and clearly identified on the file.
(b) The proposals will be on 8 ½ in. by 11 in. paper. Page margins shall be a minimum of 1 inch top, bottom, and each side.
(c) One electronic copy of each Part of the entire proposal must be submitted. The electronic version of the proposal shall be submitted in a format readable by Microsoft Office 2013, which includes software programs such as Word, Excel, or PowerPoint. For those pages of the proposal that cannot be submitted using Microsoft Office, offerors shall include those pages electronically using Adobe Acrobat portable document files (.pdf) format.
(d) Offerors shall submit the electronic copy of the proposal via AMRDEC or email correspondence. Offerors assume all risk of proposals not being received due to security measures, firewalls, upload issues, server outages or incorrectly typed email addresses. Only files created using Microsoft Word, Microsoft Excel, and/or Adobe pdf files will be accepted.
If using AMRDEC, the Offeror shall submit the proposal using the link and instructions at:
https://safe.amrdec.army.mil/safe/. The Offeror will upload the proposal using this file exchange by selecting non-CAC user. Once the proposal is uploaded, send a confirmation email that it has been uploaded via AMRDEC to the following addresses:
mister.raby@us.af.mil, nicole.jordan.3@us.af.mil and 673CONS.LGCB.Services@us.af.mil
If submitting a proposal via email, please send to the following addresses:
mister.raby@us.af.mil, nicole.jordan.3@us.af.mil and 673CONS.LGCB.Services@us.af.mil
**Note: Currently, email/server limitation may prevent GCI.net email accounts from reaching Air Force email accounts. It is the Offerors responsibility to ensure all communication and proposals reach the Government as described in this solicitation.
(e) Each Part shall be complete in itself and shall not reference information contained in other Parts.
(f) Elaborate formats, bindings, and color presentations are not desired or required.
(End of Addendum)
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(i) Price
(ii) Past Performance
(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
(End of provision)
Addenda to FAR 52.212-2, EVALUATION--COMMERCIAL ITEMS (OCT 2014)
The following is inserted as new paragraph (c) of the provision:
(c) BASIS FOR CONTRACT AWARD: This is a competitive Lowest Price with Acceptable Past Performance (LPAPP) selection conducted in accordance with Federal Acquisition Regulation (FAR) Parts 12, 13.5 and 16, and all applicable Department of Defense (DoD) FAR Supplement (DFARS) and Air Force FAR Supplement (AFFARS) references. It is the Governments intent to award up to three Indefinite-Delivery, Indefinite Quantity (IDIQ) contracts.

Award(s) will be made to the lowest Total Evaluated Price (TEP) Offeror(s) that meet the acceptability standards for non-price factors. The Government will first evaluate price factors, rank offers by price, and then evaluate non-price factors beginning with the lowest priced offers. The Government intends to make award without discussions but reserves right to conduct discussions if deemed in the best interest of the Government. Offerors are cautioned to submit sufficient information and in the format specified in 52.212-1, Instructions to Offerors – Commercial Items and its addenda, of this solicitation. Offers that fail to conform to any of the solicitation terms and conditions may be excluded from contract award consideration. The evaluation process will include the following:
(1) Price Evaluation Factor. The Government will rank all offers by TEP. The price evaluation will document the fairness and reasonableness of the TEP. In addition, each Offeror’s separately priced items shall be analyzed to determine if the prices are unbalanced in accordance with FAR 15.404-1(g). The Government reserves the right to perform price realism analysis.
The Offeror’s TEP will be the sum of all proposed prices contained in Attachment 2, Price Reference Sheet.
Submitted prices will remain valid for a period of 90 days following contract award(s). The Government will execute a task order at time of contract award to each awardee based on the pricing submitted for equipment identified in Attachment 2.
(A) The Government intends to award up to three IDIQ contracts to the lowest priced offeror(s) with acceptable past performance; however, the Government reserves the right to award less than three or no contract(s) at all if found to be in its best interest. Therefore, Offeror(s) initial proposals should contain their best terms.
(B) Reasonableness. The proposed prices will be evaluated for reasonableness. Reasonableness must represent a price to the Government a prudent person would pay in the conduct of competitive business.
Normally, price reasonableness is established through adequate price competition but may also be determined through cost/price analysis techniques.
(C) Unreasonable Costs or Prices. Unreasonable proposed costs or prices, initially or subsequently, may be grounds for eliminating an offer from competition, either on the basis that the Offeror does not understand the requirement or has submitted an unreasonable proposal.
(D) Unbalanced Pricing. Offerors are cautioned against submitting a proposal that contains unbalanced pricing. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more item(s) is significantly over or understated as indicated by the application of cost or price analysis techniques. The Government shall analyze proposals to determine whether they are unbalanced with respect to separately priced items. Offers that are determined to be unbalanced may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.
(2) Past Performance Factor. The Government will evaluate recent and relevant performance information on all offers based on (i) the references provided by the Offeror, (ii) any past performance information obtained during Government-conducted past performance surveys with the reference POCs provided by the Offeror(s) and (iii) any data independently obtained by the Government. The Government will attempt to contact reference POCs, but it is not responsible for inaccurate contact information or the failure of a reference POC to provide responses to any surveys/questionnaires.
(A) Recent past performance information includes contracts performed and/or being performed for any customer within the last three years from the issuance date of the solicitation.
(B) Relevant contract performance efforts include similar scope, magnitude of effort, and complexities to that required by this solicitation. To be relevant, submitted past performance references will have the ability to illustrate that the Offeror performed vehicle/equipment corrosion control and painting services for a combined total of approximately 35 vehicles and/or pieces of equipment on an annual basis. The Government will assess relevancy for each contract and assign a rating as described in Table 1 below:
TABLE 1. PAST PERFORMANCE RELEVANCY RATINGS
RATING DEFINITION
RATINGS RATING DEFINITION
Relevant Present/past performance effort involved similar scope and magnitude of effort and complexity that this solicitation requires.
Not-Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
(C) Performance Quality Assessment: For each of the recent and relevant past performance information reviewed, the performance quality of work will be assessed based on the (i) Quality Assessment Criteria evaluated under Present/Past Performance and (ii) the evaluation ratings in the Federal Past Performance Information Retrieval System (PPIRS), and/or other Government databases, if available will be conducted by the Government. Each offer determined to contain recent and relevant past performance will be assigned a quality rating as described in Table 2 below:
TABLE 2. QUALITY ASSESSMENT RATINGS
RATINGS RATING DEFINITION
Satisfactory (S) During the contract period, Contractor performance is meeting (or met) contract requirements. For any problems encountered, Contractor took effective corrective action.
Unsatisfactory (U)
During the contract period, Contractor performance is not meeting (or did not meet) contract requirements. For any problems encountered, corrective action appeared only marginally effective, not effective, or not fully implemented. Customer involvement was required.
(D) The past performance evaluation is an assessment of the Offeror’s probability of meeting the solicitation requirements. Offerors must receive a past performance rating of “Acceptable” to be eligible for award.
As a result of the recency, relevancy and performance quality assessments, Offerors will receive an integrated past performance rating as described in Table 3 below:
TABLE 3. PAST PERFORMANCE EVALUATION RATINGS
RATINGS DESCRIPTION
Acceptable Based on the Offeror’s recent/relevant performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offerors performance record is “unknown.”
Unacceptable Based on the Offeror’s recent/relevant performance record, the Government has no reasonable expectation that the Offeror will be able to successfully perform the required effort.
Note: In the case of an Offeror without a record of recent/relevant past performance or for whom past performance is not available, or so sparse that a meaningful past performance rating cannot be reasonably assigned, the Offeror cannot be evaluated favorably or unfavorably on past performance (see FAR 15.305(a)(2)(iv)). Therefore, the Offeror will be determined to have an unknown past performance. In the context of acceptability/unacceptability, “unknown” will be considered “Acceptable.”
