ADDENDUM TO FAR PROVISION52.212-1, INSTRUCTIONS TO OFFERORS - COMMERCIAL

PRODUCTS AND COMMERCIALSERVICE

I. GENERAL.

A. These instructions prescribe the format of the proposal and describe the approach for the development and presentation of proposal data.

These instructions are designed to ensure the submission of necessary information and to provide for the understanding and comprehensive

evaluation of proposals. Carefully review this section and its relationship to Section M prior to commencing proposal preparation. All solicitation amendments must be acknowledged with a signed SF1449.

B. In accordance with DFARS PGI204.403(1)(iv) Responsibilities of Contracting Officers, Offerors must have a valid U.S. security clearance of Tier 3 or higher in order to respond to this RFP FA483024R0004, because the RFP FA483024R0004 includes an annex(information) classified at the Tier 3 level which will be released only to offerors possessing the appropriate clearance. All classified material must be handled in accordance with the National Industrial Security Program Operating Manual (NISPOM) (DoD 5220-22-M) and Industrial Security Regulation (DoD5220.22-R).

C. Proposals shall contain the following information: RFP Number; Time Specified for Receipt of Proposal; Name, Address, and Telephone Number of Offeror; System for Award Management (SAM) UEI Number and CAGE Code; Name and Email address of Representative authorized to discuss proposal; Any Discount Terms; and Acknowledgement of all Solicitation Amendments (if applicable). Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

the email shall contain the solicitation number (FA483024R0004) and your company name. It is the responsibility of the Offeror to ensure the proposal and all required attachments are received by all the above email addresses prior to the close date and time of the solicitation. Amendments must be acknowledged in writing, or the proposal may be ineligible for evaluation and award. c. Contractors are to utilize the Pricing Schedule of the Attachment 4 - Pricing Schedule Worksheet and A&B, and C&D tabs to propose on the Work Order CLINS.

2. VOLUME 2: TECHNICAL

a. The offeror shall submit a technical approach that clearly demonstrates a complete and realistic plan to meet the requirements in accordance with (IAW) the Performance Work Statement (PWS)(See Attachment 1).

Legibility, clarity, and coherence are very important.

b. The Offeror shall submit a Technical Volume comprised of five (5) clearly distinct subfactors as listed below.

This volume shall be limited to no more than sixty (80) pages, in total, typed no smaller than twelve (12) font size.

All pages submitted beyond the sixty (80) page limit shall not be reviewed or considered. Offeror shall not exceed the allowable page limit for each subfactor as outlined in Section E above.

i. Subfactor 1: Technical Approach - The Technical Approach shall clearly explain how the Offeror intends to ensure successful contract performance IAW the PWS. Proposals shall not simply rephrase or restate the PWS or contain general statements such as "Standard procedures will be employed". Solicitation responses shall provide convincing rationale addressing how the technical portion of the proposal meets solicitation requirements (not to exceed 20 pages; any additional pages will not be evaluated).

ii. Subfactor 2: Staffing Plan - The Staffing Plan shall summarize all the assessments and analyses conducted, outline the decision-making process, and include concrete numbers of required personnel, identify factors impacting personnel availability and conduct a gap analysis. The Staffing Plan shall also include a transition phase. The transition phase will outline the phase-in/phase-out periods of contractor personnel during the performance of the contract, and it is essential that attention be given to minimize interruptions or delays to work in progress that would impact the mission. The Contractor must plan for the transfer of work control, delineating the method for processing and assigning tasks during the phase-in/phase-out periods of contractor personnel during the performance of the contract (not to exceed 10 pages; any additional pages will not be evaluated).

iii. Subfactor 3: Candidate Qualification Documentation - Offeror shall submit Qualification documents, to include resumes, that demonstrate the qualifications of each position (Site Lead, Lineman

- Inside Plant, Lineman -Outside Plant, and Voice Over Internet Protocol Technician(s)) that the contractor intends to use to perform base telecommunications services. The documentation must demonstrate that the qualifications of each site lead/technician submitted meets all of the "Contractor Qualifications" IAW Section 1.3 of the PWS (not to exceed 30 pages; any additional pages will not be evaluated).

iv. Subfactor 4: Quality Control Plan - Offerors shall submit a Quality Control Plan that addresses all requirements of the PWS. The plan must address methods to be used for identifying and preventing deficiencies before the performance becomes unacceptable. The plan shall also include procedures to identify unfavorable performance trends, problem areas, and the corrective actions that would be taken (not to exceed 10 pages; any additional pages will not be evaluated).

v. Subfactor 5: The Offeror shall provide a written plan describing how it will continue to perform the essential Contractor services IAW DFARS 252.237-7024. The plan shall adequately address all elements identified in DFARS 252.237-7024 (not to exceed 10 pages; any additional pages will not be evaluated).

3. VOLUME 3: PAST PERFORMANCE

a. Offerors shall include a list of references, with minimum of the three (3) references desired but not to exceed five (5) references, for which the Offeror has contracted with the federal, state and/or local government.

b. In order to meet the definition of recency as defined in Addendum to FAR 52.212-2, at least one (1) year of service in the last five (5) years performing base telecommunication services utilizing Attachment 5, Past Performance Information.

c. The quality assessment will consist of an evaluation of the past performance questionnaire responses (see

Attachment 6, Past Performance Questionnaire) and CPARS information. It may include interviews with Government customers or other sources known to the Government. The quality assessment may result in positive or adverse findings.

F. Period for Acceptance of Offerors. The Offeror agrees to hold the price in its proposal firm for 90 calendar days from the date specified for receipt of proposals unless another time period is specified in an addendum to the solicitation.

G. A written notice of award or acceptance of proposal, mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the proposal, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept a proposal (or part of a proposal), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

H. Late submissions, modifications, revisions, and withdrawals of proposal. Offerors are responsible for submitting proposals, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation or otherwise will not be accepted.

I. The Government intends to evaluate offers and award a contract without discussions with Offerors. Therefore, the Offeror's initial offer should contain the Offeror's best terms from a price and technical standpoint. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

J. Debriefing. An Offeror, upon request and received by the agency within three (3) days after the date of contract award, the contracting officer shall furnish the information described in paragraph FAR 15.503(b)(1) to unsuccessful offerors. The debriefing shall be conducted IAW FAR 15.506.

52.212-2 Evaluation-Commercial Products and Commercial Services. Nov 2021

Paragraph (a) is tailored as follows:ADDENDUM TO FAR PROVISION 52.212-2:

Evaluation:

IAW FAR 52.212-2, Evaluation -Commercial Products and Commercial Services, the Government will award a contract resulting from this solicitation to the responsible contractor whose solicitation response conforming to the solicitation will be most advantageous to the Government, and judged to represent the best value to the Government based on the following factors:

1. Price

2. Technical

3. Past Performance

BASIS FOR CONTRACT AWARD: This is a competitive, best value continuum using the Lowest Price Technically Acceptable (LPTA) source selection process. Technical elements will be evaluated as acceptable or unacceptable for each solicitation response.

Qualifications will be clear, and objectives will be outlined in the RFP. Past Performance will be evaluated as acceptable or unacceptable for each solicitation response. The evaluation process shall proceed as indicated below.

Evaluation Approach:

Step 1: All contractors will be evaluated for responsiveness. Responsiveness is determined by verifying compliance with FAR 52.212-1 and its addendum.

Step 2: All responsive contractors will be , by price, from the lowest to the highest Total Evaluated Price (TEP). A contractor's TEP is ordered depicted in Attachment 4, Pricing Schedule Worksheet, on the Price Schedule Tab. The TEP is comprised of the total contract value (base and all options) plus the 6-month option available at FAR 52.217-8, Option to Extend Services. is determined by taking the Pricing for FAR 52.217-8 "amount" of the most recent option year exercised and dividing it by two (2).

Step 3: Technical evaluations will start with the lowest TEP offer and continue until two (2) solicitation responses are determined to be technically acceptable, or until all solicitation responses have been evaluated.

Step 4. The solicitation responses determined to be technically acceptable will then be evaluated for past performance until two (2) technically acceptable solicitation responses have been determined to have acceptable past performance. Steps three

(3) and four (4) will continue until two (2) solicitation responses have been determined acceptable in both technical and past performance, or until all solicitation responses have been evaluated.

Step 5. The Government will make a determination of price fair and reasonable.

Evaluation Factors for Award:

Price Foreword: The government will evaluate offers for award purposes based on their TEP. The government may determine that a solicitation response is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the government to exercise the option(s).

1.Price:

a.) Initially, solicitation responses shall be ordered from lowest to highest TEP, as previously defined.

b.) For evaluation purposes, FAR 52.217-5, Evaluation of Options and Pricing from tabs A&B and C&D will be evaluated and applied to this evaluation. The escalation rate for tabs A&B and C&D will also be incorporated into the total PIID pricing which will also be utilized to determine price fair and reasonable. To evaluate the impact of clause FAR 52.217-8, the pricing option four (4) will be utilized to calculate a six (6) month extension price. Evaluation of options will not obligate the proposed for government to exercise the option(s).

c.) The TEP will be evaluated to determine whether it is reasonable. A reasonable price/cost represents a price/cost that provides best value to the government, considering market prices, the technical and functional capabilities of the contractor, and risk.

Additionally, the government reserves the right to, but is not required to, conduct a price realism analysis on offers that appear to be exceptionally low and not supported by the contractor's technical approach. In instances where a contractor's proposed price(s) appears exceptionally low, contractors may be requested to address this disparity by providing evidence of their capability and/or performance at similar price(s). The burden of proof as to price credibility rests with the contractor. An exceptionally or unrealistically low offer that's left unexplained may pose an unacceptable risk to the government and may be a reason to reject a contractor's solicitation response.

d.) The government anticipates adequate price competition and intends to award a contract without exchanges with respective contractors.

The Government, however, reserves the right to conduct exchanges if deemed in its best interest.

2. TECHNICAL:

a.) The technical volume will be evaluated as either acceptable or unacceptable for each subfactor.

i. Acceptable is defined as: "Required documents clearly meet the minimum requirements of the solicitation".

ii. Unacceptable is defined as: "Required documents do not clearly meet the minimum requirements of the solicitation".

b.) The technical volume is comprised of five (5) subfactors, as listed below. An overall technical volume rating will be assigned; failure to be assigned an acceptable rating in any technical subfactor will render the entire technical volume unacceptable and, therefore, ineligible for award. Only those solicitation responses determined to be technically acceptable, either initially or as a result of interchanges, will be considered for award. However, the contractor is reminded that the government reserves the right to award this effort based on the initial solicitation response, as received, without interchanges, and may conduct interchanges with all, some, or none of the contractors.

Instruction to Offerors Evaluation Criteria

Subfactor 1: Technical Approach - Shall clearly explain how the Offeror intends to ensure successful contract performance IAW the PWS.

Solicitation responses shall provide convincing rationale addressing how the technical portion of the proposal meets solicitation requirements.

Effectively and sufficiently details and summarizes the offeror's technical approach in ensuring performance per the PWS and solicitation requirements. The standard is met when the conditions accurately describe performance in accordance with the PWS.

Subfactor 2: Staffing Plan - The Staffing Plan shall summarize all the assessments and analyses conducted, outline the decision-making process, and include concrete numbers of required personnel, identify factors impacting personnel availability and conduct a gap analysis. The Staffing Plan shall also include a transition phase. The transition phase will outline the phase-in/phase-out periods of contractor personnel during the performance of the contract, and it is essential that attention be given to minimize interruptions or delays to work in progress that would impact the mission. The Contractor must plan for the transfer of work control, delineating the method for processing and assigning tasks during the phase-in/phase-out periods of contractor personnel during the performance of the contract.

A clear and effective summary of how assessments and analyses are conducted, the decision-making process, an unambiguous number of required personnel, offeror's gap analysis, and identification of factors that can impact personnel availability. Also sufficiently outlines the offeror's transition phase that most effectively minimizes interruptions or delays during the performance of the contract.

Subfactor 3: Candidate Qualification Documentation - Offerors shall submit Qualification documents, to include resumes, that demonstrate the qualifications of each position (Site Lead, Lineman - Inside Plant, Lineman - Outside Plant, and Voice Over Internet Protocol Technicians) that the contractor intends to use to perform base telecommunications services. The documentation must demonstrate that the qualifications of each site lead/technician submitted meets all of the "Contractor Qualifications" in Section 1.3 of the PWS.

Accurate documentation of each position's qualifications to meet requirements specified in the PWS.

Subfactor 4: Quality Control Plan - Offerors shall submit a Quality Control Plan that addresses all requirements of the PWS. The plan must address methods to be used for identifying and preventing deficiencies before the performance becomes unacceptable. The plan shall also include procedures to identify unfavorable performance trends, problem areas, and the corrective actions that would be taken.

Effective and logical processes for Quality Control to identify and prevent deficiencies during contract performance. Functional procedures for identifying unfavorable performance trends, problem areas, and corrective actions.

Subfactor 5: The Offeror shall provide a written plan describing how it will continue to perform the essential Contractor services IAW DFARS 252.237-7024. The plan shall adequately address all elements identified in DFARS 252.237-7024.

Sufficiently and clearly demonstrates the offeror's ability to perform essential Contractor services IAW

DFARS 252.237-7024.

3. PAST PERFORMANCE:

a.) The Government will seek recent, relevant past performance and will be evaluated on an Acceptable/Unacceptable scale as defined below. Information will be based on one (1) past effort provided in the proposal utilizing Attachment 5 and two (2) data independently obtained from other government or commercial sources in order to determine the contractor Acceptable/Unacceptable.

(a) An assessment of the past performance information will be made to determine if it is recent. Recent contracts are contracts which have been performed within the last five (5) years from the date of the issuance of this solicitation.

(b) Relevant performance includes performance efforts involving Base Telecommunication Services that involved similar scope/complexity, magnitude of effort, contract type, and contract environment this solicitation requires, as identified in the table of Relevancy Definitions below:

(c) In the case of a contractor without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the contractor may not be evaluated favorably or unfavorably on past performance IAW FAR15.305(a)(2)(iv). Therefore, the Offeror shall be determined to have unknown past performance. Unknown or neutral past performance, in the context of acceptability/ unacceptability, a neutral rating shall be considered acceptable.
