52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Offerors will be evaluated using Performance Price Tradeoff (PPT), where Price is slightly more important then past performance.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

THIS IS AN ADDENDUM TO FAR 52.212-2

BASIS FOR CONTRACT AWARD: This is a competitive selection in which competing offerors price will be evaluated on a basis slightly more important than past performance. By submission of its offer in accordance with the instructions provided in clause 52.212-1, Instruction to Offerors, the offeror accedes to the terms of this model contract and such offers shall be treated equally except for their prices and performance records. The evaluation process shall proceed as follows:

a. The selection of the offeror receiving the contract award will be made based on the evaluation criteria established under Addenda to FAR 52.212-2 and forms the basis of this plan. The past performance confidence rating will be obtained on questionnaires we receive back from sources or any additional information obtained on contractor’s past performance. PPT permits trade-offs between past performance and price/cost evaluation for proposals.

b. Specific Criteria for Award. The government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. 3. Past Performance Past Performance is slightly less important than Price when being evaluated. The Evaluation Team will review the offeror’s past performance, focusing on and targeting performance relevant to this solicitation. A confidence assessment rating will be established through an integrated analysis of the offeror’s weaknesses and strengths as determined by the offeror’s recent and/or current contract performance. Current and relevant performance will have greater impact in the performance confidence assessment than less recent or non-relevant performance. A final rating will be established according to the chart listed below:

4. Evaluation Process The evaluation process shall proceed as follows:

Price Evaluation Criteria

a. Price is slightly more important than past performance. Price proposals will not be rated or scored but will be evaluated for reasonableness and completeness. The prices from the bid schedule will be added together for base period plus four option years to come up with the total price.

b. Price proposals will be reviewed in terms of mathematical correctness, relevancy, completeness, and realism. Realism will be based on an evaluation of the offered price(s) to determine if the cost reflects a clear understanding of the requirement(s), and is not unbalanced, excessive or insufficient for the effort to be accomplished.

c. Proposed prices will be evaluated to determine if prices are unreasonably high or low in relation to the Government’s independent estimate and other proposed prices received in response to the solicitation. The prices from the bid schedule will be added together for the base period and four option years to come up with a total price.

d. Initially offers shall be ranked according to price, including option prices. An offeror’s proposed prices will be determined by multiplying the quantities identified in the Pricing Schedule by the unit price for each item to confirm the extended amount for each. Copies of the Pricing Schedule will be necessary in order to submit a proposal for each Option Year.

(1) Price proposals will be reviewed in terms of mathematical correctness, relevancy, completeness and realism.

(2) Realism will be based on an evaluation of the offered price to determine if the cost reflects a clear understanding of the requirements, is consistent with the various elements of the offer’s technical proposal, and is not unbalanced, excessive or insufficient for the effort to be accomplished.

(3) Reasonableness will be determined by competition.

Past Performance Evaluation Criteria

a. Consideration. Each performance confidence assessment will consider Past Performance Questionnaires submitted by each offeror, as well as any additional information obtained on contractor past performance. The assessment of performance confidence is not intended to be a simple arithmetic function of an offeror’s performance on a list of contracts. The evaluation team should place the greatest consideration on the information deemed most relevant. For this solicitation, relevant experience is defined as similar end item (i.e. complexity of effort) with similar project size and scope, as stated in the Statement of Work. For this solicitation, recent experience is defined as within the past three years.

b. Using questionnaires, the contracting officer shall seek relevant performance information on all offeror’s based on (1) the references provided by the offeror and (2) data independently obtained from other government (e.g. CPARS data via PPIRS) and commercial sources. Relevant performances includes performance of efforts involving but are not limited to, those contracts for base linen services that are similar or greater in scope, magnitude and complexity than the effort described in this solicitation. The government reserves the right to seek information on higher priced offeror’s if none of the lower priced offeror’s receives a “High Confidence” performance assessment rating. The purpose of the past performance evaluation is to allow the government to assess the offeror’s ability to perform the effort described in the solicitation, based on the offeror’s demonstrated present and past performance. The assessment process will result in an overall performance confidence assessment rating based on the AFFARS Mandatory Procedures 5315.3, Table 3 below.

Based on the offeror’s performance record, extreme doubt exists that the offeror will successfully perform the required effort.

c. Past performance regarding predecessor companies, key personnel who have relevant experience or sub-contractors that will perform major or critical aspects of the requirement will not be considered as highly as past performance information for the principle offeror. Offerors with no relevant past performance history shall receive the rating “Unknown Confidence”, meaning the rating is treated neither favorably nor unfavorably.

d. In evaluating past performance, the government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation.

e. If the lowest priced evaluated offer is judged to have a “High Confidence” performance rating, that offer represents the best value for the government and the evaluation process stops at this point. Award shall be made to that offeror without further consideration of any other offers.

f. If the lowest priced offeror is not judged to have a “High Confidence” performance assessment, the next lowest priced offeror will be evaluated and the process will continue (in order by price) until an offeror is judged to have a “High Confidence” performance assessment or until all offeror’s are evaluated. The Source Selection Authority shall then make an integrated assessment best value award decision.

g. Offeror’s are cautioned to submit sufficient information and in the format specified in the proposal preparation instructions. Offeror’s may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system. Communication conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision.

h. The government intends to award a contract without discussions with respective offeror’s. The government, however, reserves the right to conduct discussions if deemed in its best interest.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in paragraphs (i) through (vi) of this paragraph in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause--

52.215-5 FACSIMILE PROPOSALS (OCT 1997)

(a) Definition. Facsimile proposal, as used in this provision, means a proposal, revision or modification of a proposal, or withdrawal of a proposal that is transmitted to and received by the Government via facsimile machine.

(b) Offerors may submit facsimile proposals as responses to this solicitation. Facsimile proposals are subject to the same rules as paper proposals.

(c) The telephone number of receiving facsimile equipment is: 803-895-5339 or DSN 965-5339.

(d) If any portion of a facsimile proposal received by the Contracting Officer is unreadable to the degree that conformance to the essential requirements of the solicitation cannot be ascertained from the document--

(1) The Contracting Officer immediately shall notify the offeror and permit the offeror to resubmit the proposal;

(2) The method and time for resubmission shall be prescribed by the Contracting Officer after consultation with the offeror; and

(3) The resubmission shall be considered as if it were received at the date and time of the original unreadable submission for the purpose of determining timeliness, provided the offeror complies with the time and format requirements for resubmission prescribed by the Contracting Officer.

The Government reserves the right to make award solely on the facsimile proposal. However, if requested to do so by the Contracting Officer, the apparently successful offeror promptly shall submit the complete original signed proposal.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 15 days.

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years 6 months.
