Section SF 30 - BLOCK 14 CONTINUATION PAGE

AMENDMENT 0001

1. The purpose of this amendment is to make administrative changes due to the submission of offeror inquiries.

a. Questions and answers are provided below.

b. Updates to RFP document are indicated by a ( | ) to the right of the applicable change.

c. Table L2.0 updates are indicated by red bold print.

d. Updates to Attachments 17 and 18. New attachment, Attachment 19, added. Review complete attachments for changes.

e. All other terms and conditions remain the same.

QUESTION 1. Regarding Section L6.4, was it the Government’s intent to state that the target fee of the Option Task Order is 8%?

ANSWER 1: Target fee is 6.5%. Section L6.4 corrected.

QUESTION 2. Regarding sections M3.3.4.2.4 and L4.4.1. Was it the Government’s intent to leave “The degree to which the proposal provides a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract in accordance with FAR 52.222-46” in section M3.3.4.2.4 given that instructions regarding total compensation was removed from Section L4.4.1?

ANSWER 2: See L4.4.4 total compensation plan instruction added.

QUESTION 3. Regarding section L4.7 (copied below). Can the Government confirm that the offeror’s entire section L4.7 response should appear only in the Cost/Price Volume IV? Further, can the Government confirm that section M3.3.4.5 Subfactor 5 – Small Business Participation Plan will apply to Volume IV versus Volume II?

ANSWER 3. Must address subfactor 5, Small Business Participation Plan in the Technical Volume, Volume II. Due to the unlimited page requirement in Volume II, the actual plan with pertinent details should be housed in the Cost/Price Volume, Volume IV.

QUESTION 4. Regarding Section L1.3.1 and the Price Model. There appears to be a disparity between Section L1.3.1 and the Price Model regarding Potential 3400/3600 Efforts. Section L1.3.1 shows a total of $20.5 while the Price Model shows $8,770,000. Can the Government clarify?

ANSWER 4. Removed all budget numbers provided in Section L.6.3 etc from the Price Model. The offeror should input all budget numbers provided by Section L6.3.

QUESTION 5. Regarding L6.3 and the Price Model. There appears to be a disparity between Section L6.3 CLIN X002 and the Price Model. Section L6.3 CLIN X002 shows a total of $1.1M while the Price Model shows $53,719. Can the Government clarify?

ANSWER 5. Removed all budget numbers provided in Section L.6.3 etc from the Price Model. The offeror should input all budget numbers provided by Section L6.3.

QUESTION 6. Regarding Section L6.4.1. Inclusion of the instruction in L6.4.1 is confusing as Section L6.4 addresses a Pre-Priced Option Task Order that has nothing to do with the Representative SCR Worksheet. Can the Government clarify?

ANSWER 6. Revised Section L.6.4.1 to include a Pre-Priced Option SCR Worksheet (Section J, Atch 18). The worksheet is included for the offeror to identify the total number of coding hours or coding tasks (if more than one) associated with this optional task.

QUESTION 7. Sections L6.2.1 and L6.2.2 of the RFP specify that the offerors are to estimate the number of coding hours required for each of the SCRs listed in Representative SCR Worksheet (Sec J, Atch 17) and enter those hours into the CLIN 0001 Base Year Breakdown tab of the NIDS III Price Model (Sec J, Atch 14). Sections L6.4.1 and L6.4.2 are subsections under the Priced Option Task Order (CLIN 0006) section L6.4 and both subsections also reference SCR Worksheet (Sec J, Atch 17) as a component of the cost approach for CLIN 0006. Can the Government clarify the intent of having the reference to the Representative SCR Worksheet in the section dealing with the Priced Option Task Order (CLIN 0006)?

ANSWER 7. CLIN 0006. Revised Section L.6.4.1 to include a Pre-Priced Option SCR Worksheet (Section J, Atch 18). The worksheet is included for the offeror to identify the total number of coding hours or coding tasks (if more than one) associated with this optional task

QUESTION 8. Section L4.6 states the offeror will present a Statement Of Work; however, L4.6.1 states the offeror to provide a Performance Work Statement. Should Section L4.6 state a PWS to be consistent with section L4.6.1

ANSWER 8. Yes. Correction made to L4.6.

QUESTION 9. Please clarify the requirement for a QCP. Section L 2.0 (table 2.0) contains a requirement for a QCP while the requiement for a QCP was deleted from section L4.4.6 in the final RFP

ANSWER 9. Requirement for QCP removed from Section L2.0 (table).

AMENDMENT 0002

Corrections are made throughout Section L; references to “Priced Option Task Order” are corrected to state “Pre-Priced Option Task Order.”

Table L2.0, Volume IV, remove Max page limit verbiage for Small Business Participation Plan.

QUESTION 1. Section L4.4.2. In Section L4.4.2 it reads the skill set matrix will not count towards the page count. Can offeror conclude the related detailed descriptions of the skill set criteria and definitions also will not count towards page count?

ANSWER 1: The information is directly related to the skill set matric, therefore, the detailed description will not count towards the page count.

QUESTION 2. Sections L4.6.1 and L2.0. Section L4.6.1 states that a PWS is required for the Priced Option Task Order; however, L2.0 does not identify whether the PWS is within the stipulated page count. In order to provide a complete proposal for consideration, may the Priced Option PWS be provided as an attachment to Vol II and therefore outside of the page count identified?

ANSWER 1. Per RFP Table L2.0 “Volume II, Pre-Priced Option Task Order, 20 pages.

(See note at the end of Table L2.0). ** The individual page limitation does not count towards the respective volume page limitation.”

AMENDMENT 0008

PURPOSE OF AMENDMENT:

1. The purpose of the amendment is to provide responses to industry questions. All changes to the RFP are marked with { | } to the right of the document.

2. Submit any changes to your proposal via color pages to this office are changed from COB 17 August 2012 to COB 20 August 2012.

3. Indicate your receipt and acceptance of this amendment.

QUESTIONS AND ANSWERS:

Q1. In Table L1.3.1, the base year budget total is $1.2M (O&M) and

$2.5M (Potential 3400/3600 Efforts) = $3.7M. Should contractors assume that

CLIN 0006 and CLIN 0009 are not part of the O&M (per direction) and also not part of the Potential 3400/3600 Efforts?

A1. Yes, CLINs X006 and X009 are not a part of the O&M and not a part of Potential 3400/3600 efforts. However, totaling the base year O&M budget with the Potential 3400/3600 efforts is incorrect. The only number to consider for O&M funding is given on the O&M line in the L1.3.1 table.

Q2. Table L1.3.1 values for the Potential 3400/3600 Efforts are different than the sum from Tables L6.12-14 for those CLINs. Should contractors assume that L6.12-14 is the correct values? For example, L1.3.1 shows $2.5M, $5.0M, $5.5M, $4.0M, $3.5M, and $0M for years FY13-18 respectively, whereas tables L6.12-14 add up to $2.5M, $2.75M, $4.2M, $4.2M, $4.35M, and $2.5M respectively.

A2. Yes, see revised Sections L6.12/L6.13 and L6.14 tables.

Q3. For O&M, the Government direction was to scale the Option Periods based on the Base Year thus possibly not adding up to the budget values in

Table L.1.3.1. The FY18 Six Month Extension budget shows $0.7M yet the scaled figure could be higher. Should contractors assume to use the scaled value which could exceed the FY18 O&M budget of $0.7M?

A3. No, we assume that the values represented in the cost model would be reduced to accommodate a lower budget in FY18. Additionally, the O&M budget ($12.96M) for FY13 thru FY18 represents the total amount of O&M funds available. The total O&M funds available should be reduced by the offeror’s bid for ODCs, On-site and Fees to equal the offeror’s amount available for Sustainment SCRs and represented in the cost model.

4. All other terms and conditions remain the same.

QUESTIONS AND ANSWERS FOR AMENDMENT A011

QUESTION 1: One major issue, since the PoP has changed and by doing this, it will make massive changes to our Cost/Price and Contracts Volume, do you want all those changes now or during FPR?

ANSWER 1: We would like these changes by Monday, 11 March 2013, 4:00 PM CST.

QUESTION 2: The following section appears identical to the same section issued under amendment 0008. Can the government verify that some portion of this text has changed?

*Potential 3400/3600 Efforts will be negotiated for Future Development Task Orders (CLIN X003), Future Enhancement Task Orders (CLIN X004), and Future FFP Taskings (CLIN X008)

* NOTE: The potential efforts are only projected amounts based upon current information and may change from year to year. The total of $20.5M in potential efforts over the life of this contract will be considered within scope and will be included in the estimated total ceiling of $36M. Each task order will be reviewed to determine which funding is appropriate.

**$33.46M is the estimated total based on the figures above, but has been rounded to $36M for estimated total ceiling.

ANSWER 2: Yes, the dollars in the table in L1.3.1 have changed. The Potential efforts remains the same and the total remains same, but the O&M values have been adjusted to reflect the PoP changes with additional out-year funding.

QUESTION 3: The following section appears identical to the same section issued under amendment 0008. Can the government verify that some portion of this text has changed?

L1.4. PROPOSAL ACCEPTANCE PERIOD AND DUE DATE

The proposal acceptance period/due date is specified in Table 2.0. Unless otherwise noted, proposals are due no later than 4:00 PM Central Time on the date specified. The offeror shall make a clear statement that its offer is valid through 31 Jul 2013. Late proposals may be rejected from consideration. If any proposal is received late, the Contracting Officer will promptly notify the offeror that its proposal was received late and whether the proposal will still be considered. A receipt e-mail will be sent to the offeror. If the offeror does not receive a confirmation, it is their responsibility to contact the POC.

ANSWER 3: Intitially, the Government stated that the offer would be valid for 180 days. Since we have processed amendments, here the Government is stating that the proposal is valid through 31 July 2013. The dates in Table L2.0 were for the initial offeror’s proposal.

QUESTION 4: Table 2.0 referenced above includes a Due Date of 21 May 2012. Can the government supply a due date for proposal changes resulting from issuance of amendment 0010?

ANSWER 4: The dates in Table L2.0 were for the initial offeror proposal. It is the Government’s intent that the responses to A010 and EN responses be received on 11 Mar 2013, 4:00 PM CST.

QUESTION 5. Section L.1.3.1 stipulates a one month transition but lists start/stop dates in excess of one month. Was it the government’s intent that the transition begin 1 Jul 2013 running through 31 Jul 2013 with full performance commencing 1 Aug 2013?

ANSWER 5: The Transition will be 40 days.

QUESTION 6: The following section appears identical to the same section issued under amendment 0008. Can the government verify that some portion of this text has changed?

L6.4 Pre-Priced Option Task Order (CLIN 0006/CPIF). The Offeror shall propose an amount for the performance of USSTRATCOM NIDS III requirements for the Pre-priced Option Task (Sec J, Atch 19). This CLIN includes target cost and target fee. Target fee will be 6.5% of the proposed target cost. Note: Pre-priced optional task order should only be proposed for base year, and may or may not be used after contract award. This Pre-priced Option Task Order is considered an enhancement under the Incentive Plan. For cost purposes, this task is a reduction to CLIN X003.

ANSWER 6: Yes, some portion of this text changed. This effort is considered an enhancement therefore the cost of this effort should come out of CLINX004. RFP L6.4 will be changed to reflect a reduction to CLIN X004 rather the CLIN X003.

QUESTION 7: If only 10 change pages are allowed, will the government only consider change pages and not EN responses in the FPR evaluation?

ANSWER 7: IAW M2.4, entitled “Discussions” “Offeror responses to Evaluation Notices (EN’s), and the Final Proposal Revision (FPR) will be considered in making the source selection decision.” The Government is not restricting replacement pages.

QUESTION 8: Given the changes induced by Amendment A010, should the offeror withhold all changes to the Cost Volume and Contracts Volume until submission of all changes to these volumes simultaneously.

ANSWER 8: Please submit all documents by 11 March 2013, 4:00 PM CST.

CLARIFICATION:

1. The Government’s intent is only to limit the overall technical volume to an increase of 10 additional pages, for a maximum of 70 pages.

AMEND A012

The purpose of this Amendment A012 is to incorporate the following changes to this solicitation:

1. Section B changed base period PoP to15 Jul 2013 through 30 Sep 2013. This is the new transition/base period for this requirement.

2. Section B item description changes to CLINS X002, X003, X004, X008, 1004 and 2004.

4. Section B added 600X CLINS IAW FAR 52.217-8, Option to Extend Services, for PoP 15 Jul 2018 through 14 Jan 2019.

5. Section E changed PoPs as stated.

o. Section L6.14 Future FFP taskings

Offeror should review each section stated above in its entirety.

7. See Revised Atch 14, Pricing Model

8. Question and Answer:

Question 1: The following section appears identical to the same section issued under amendment 0008.

This Pre-priced Option

Task Order is considered an enhancement under the Incentive Plan. For cost purposes, this task is a reduction to CLIN X003.

ANSWER 6: Yes, some portion of this text changed. This effort is considered an enhancement therefore the cost of this effort should come out of

CLINX004. RFP L6.4 will be changed to reflect a reduction to CLIN X004 rather the CLIN X003.

Question 1 A012: Should contractors subtract their CLIN 0006 price from the CLIN

0004 plug number so that the total of CLIN 0006 and CLIN 0004 is $1M?

Answer 1 A012: Based on the changes in this Amendment A012, the offeror should reduce the cost of CLIN X004 in Option Period 1 by CLIN X006.

9. EN responses and revised proposal volumes, if required, due to this office 20 March 2013, 4:00 PM CDT.

AMEND A014

The purpose of this Amendment is to:

1. Provide answers to industry concerns

2. Update Atch 14, Pricing Model Rev4. This Pricing Model includes all revisions to-date.

Question 1: In the cost model, under tab “GRAND TOTAL”, Columns P&Q (total hours/cost) rows 16-19, 32, and 35-47 don’t have Columns L&M in the total calculations.

Answer 1: The cost model v4 has been modified to add columns L&M for the identified rows.

Question 2: Pricing Model – the instructions states to only fill in areas that are highlighted in yellow. The Government plug numbers for the out years are not in the cost model. Please confirm that the offeror is supposed to add the Government plug numbers (per the Section B description) into the cost model.

Answer 2: Yes, the Govt decided not to pre-populate CLINS X003/X004 and X008 since the Pre-priced Optional Task (Clin X006) and Transition CLIN X009 are specific reductions to Future Enhancements CLIN X004 Option Yr 1. The offeror is to populate CLINS X003/4/8 with amounts provided in L6.12/13/14. CLIN X004 Option 1 only has reductions for CLIN X006 and X009. Additionally, CLINS X003/4/8 do not have Base Year funds.

Question 3: All Government plug numbers are coming out of the base year.

Answer 3: The offeror is to populate CLIN X003/4/8 with amounts provided in L6.12/13/14. CLIN X004 Option 1 only has reductions for CLINS X006 and X009. Additionally, CLINS X003/4/8 do not have Base Year funds.

Question 4: Page 1 – Item 2. Section B items description changes to CLINs X002, X003, X004, X008, 1004 and 2004. Offoer takes this to mean that all CLINs ending in ‘2’, ‘3’, ‘4’ and ‘8’ have description changes but then on Page 3, Section B, CLIN 0002 (plus CLINs 0003, 0004, 0008, 1004, 2004) and only describes changes to that CLIN. Please confirm that only CLINs 0002, 0003, 0004, 0008, 1004 and 2004 have description changes and not all CLINs in the out years.

Answer 4: The instructions are changed to read: CLINS 0002, 0003, 0004, 0008, 1004 and 2004.

Acknowledge receipt of this Amendment with your submission on 20 March 2013, 4:00 PM CDT.

CLAUSES INCORPORATED BY FULL TEXT

52.234-4 EARNED VALUE MANAGEMENT SYSTEM (JUL 2006)

(a) The Contractor shall use an earned value management system (EVMS) that has been determined by the Cognizant Federal Agency (CFA) to be compliant with the guidelines in ANSI/EIA Standard - 748 (current version at the time of award) to manage this contract. If the Contractor's current EVMS has not been determined compliant at the time of award, see paragraph (b) of this clause. The Contractor shall submit reports in accordance with the requirements of this contract.

(b) If, at the time of award, the Contractor's EVM System has not been determined by the CFA as complying with EVMS guidelines or the Contractor does not have an existing cost/schedule control system that is compliant with the guidelines in ANSI/EIA Standard - 748 (current version at time of award), the Contractor shall--

(1) Apply the current system to the contract; and

(2) Take necessary actions to meet the milestones in the Contractor's EVMS plan approved by the Contracting Officer.

(c) The Government will conduct an Integrated Baseline Review (IBR). If a pre-award IBR has not been conducted, a post award IBR shall be conducted as early as practicable after contract award.

(d) The Contracting Officer may require an IBR at--

(1) Exercise of significant options; or

(2) Incorporation of major modifications.

(e) Unless a waiver is granted by the CFA, Contractor proposed EVMS changes require approval of the CFA prior to implementation. The CFA will advise the Contractor of the acceptability of such changes within 30 calendar days after receipt of the notice of proposed changes from the Contractor. If the advance approval requirements are waived by the CFA, the Contractor shall disclose EVMS changes to the CFA at least 14 calendar days prior to the effective date of implementation.

(f) The Contractor shall provide access to all pertinent records and data requested by the Contracting Officer or a duly authorized representative as necessary to permit Government surveillance to ensure that the EVMS conforms, and continues to conform, with the performance criteria referenced in paragraph (a) of this clause.

INSEPECTION & ACCEPTANCE TERMS

INSPECTION & ACCEPTANCE TERMS

QUALITY ASSURANCE: (IAW FAR 46.401(b) and 46.503)

a. The Government will designate, in writing, a Contracting Officer Representative (COR) within USSTRATCOM who will be the focal point for all requirements specified under this task order.

b. Inspection and acceptance, of all items, shall be approved by the PM or the designated alternate. (The Contractor Data Requirements List (CDRL) shows deliverables). The PM will ensure that deliverables due from the Contractor are received prior to payment. This clause does not authorize anyone other than the Contracting Officer to commit the Government to changes in the terms of the task order.

c. The COR will provide technical assistance to the Contracting Officer in administration of this contract. Duties will involve quality control, inspection/surveillance, and certification of contractor performance.

d. The COR will conduct an inspection of the Contractor using the Performance Assessment Report (PAR), PWS and Services Summary for subject contract. In the event the COR finds that the Contractor is not performing in accordance with the contract, the COR will contact the Contractor's Manager (or on-site representative) and inform them by providing information as to the deficiency using the PAR.

e. At a minimum, the COR will submit to the Contract Administrator, a PAR on a quarterly period for the contract. When deficiencies in the PAR are identified, the Contract Administrator will submit this form to the Contractor. The Contractor shall enter corrective action taken or to be taken to correct such deficiencies in Part III of the PAR. In addition, the Contractor shall state what measures were taken or shall be taken to prevent recurrence. Quality checks by the Government do not relieve the Contractor from establishing their own quality assurance procedures (Reference Clause FAR 52.246-4). If a customer has a complaint, they will complete a Customer Compliant Record (CCR) form, which will be validated by the COR. The contractor will respond using a Corrective Action Report (CAR). These forms will be provided to the COR during Phase II COR training.

DD FORM 1423, DATA INSPECTION AND ACCEPTANCE: (IAW FAR 46.401(b) and 46.503)

a. The inspection and acceptance for data items are as shown on the CDRLs, DD Form 1423, Exhibit A. All deliverable data under the contract will be specified on a DD 1423, CDRL, attached to the order. Government users may add other CDRLs, as required, to the contract.

b. Payments may be withheld under the contract for failure to provide data requirements identified in the CDRL.

Contracting Officer Representative (COR):

The Contracting Officer will designate the COR who will be responsible for technical assistance to the Contracting Officer in administration of the contract. The COR and/or its alternate must receive COR training IAW AFFARS Mandatory Procedures 5301.602-2(d) prior to contract award and assuming their responsibilities. Appointed COR from USSTRATCOM will participate in the administration of this contract. Duties will involve quality control and inspection/surveillance reporting and quarterly or semi annual certification of Contractor performance using the PAR. The CORs will maintain performance records. When deficiencies are recorded by the COR or Alternate COR, the Contractor (or the authorized representative) will acknowledge deficiency notification by completion of Part III of the PAR performance records. Designation of CORs does not include authority to direct and/or authorize the Contractor to make changes in the scope or terms of the contract without the written authority of the Contracting Officer. The Contractor will be notified by the Contracting Officer of the name, duties, and limitations of the COR.

CONTRACTOR QUALITY CONTROL PLAN (QCP):

The contractor shall develop and maintain a quality program to ensure services are performed in accordance with commonly accepted practices. At a minimum, the contractor shall develop quality control procedures that address the areas identified in the PWS, section 10, Services Summary. The contractor’s proposed quality control plan (QCP) shall be submitted to the Government 30 days after contract award.
