CLAUSES INCORPORATED BY FULL TEXT

52.209-10 Prohibition on Contracting With Inverted Domestic Corporations. (NOV 2015)

(a) Definitions. As used in this clause--

Inverted domestic corporation means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of

6 U.S.C. 395(c).

Subsidiary means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

(b) If the contractor reorganizes as an inverted domestic corporation or becomes a subsidiary of an inverted domestic corporation at any time during the period of performance of this contract, the Government may be prohibited from paying for Contractor activities performed after the date when it becomes an inverted domestic corporation or subsidiary. The Government may seek any available remedies in the event the Contractor fails to perform in accordance with the terms and conditions of the contract as a result of Government action under this clause.

(c) Exceptions to this prohibition are located at 9.108-2.

(d) In the event the Contractor becomes either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation during contract performance, the Contractor shall give written notice to the Contracting

Officer within five business days from the date of the inversion event.

(End of clause)

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JAN 2017)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF

1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the

Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation.

Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

ADDENDUM TO 52.212-2 – EVALUATION

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation is determined to be the lowest price technically acceptable (LPTA) offer in accordance FAR http://www.sam.gov/ http://www.sam.gov/ https://www.acquisition.gov/

Parts 12, 13, and 15. The Government may award without discussions; however, the Government reserves the right to conduct discussions if deemed in the Government’s best interest. The following factors shall be used to evaluate offers:

The Evaluation Factors are:

PART I – Price Proposal

PART II – Technical Proposal

a. Subfactor – Technical Capability

b. Subfactor – Past Performance

Technical and Price are approximately equal.

I. Factor 1 – Price Proposal.

Initially, offers shall be ranked according to price, including any option prices. For items with estimated quantities listed in Attachment 5, Proposal Schedule, the offero’s proposed prices will be determined by multiplying the premium percentage by the estimated base gross annual wage amount to confirm the extended amount. Failure to include a price for each price table (base year plus 4 option year tables) may exclude the offeror from further consideration for award.

The price evaluation will document the reasonableness and affordability of the proposed total evaluated price based on the following Subfactor:

1. Complete Proposal Schedule (Attachment 5 of the Solicitation)

The total evaluated price will include all option periods. The price evaluation will document the reasonableness and completeness of the total evaluated price. The total evaluated price will be evaluated by factoring in an additional

50% of the final option period price to the proposal, to reflect the price of a maximum six month extension.

Arithmetic Discrepancies. For the purpose of initial evaluation of offers, the following will be utilized in resolving arithmetic discrepancies as submitted by the offeror.

(A) Obviously misplaced decimal points will be corrected;

(B) Discrepancy between unit price and extended price, the unit price will govern;

(C) Apparent errors in extension of unit prices will be corrected;

(D) Apparent errors in extended prices per CLIN will be corrected.

II. Factor 2 – Technical Proposal.

Subfactor – Technical Capability

Next, the Government technical evaluation team shall evaluate the technical proposals submitted by the lowest priced offer on pass/fail basis, assigning a rating of Acceptable or Unacceptable. The proposals shall be evaluated against the following:

1. Insurance Business Certificate

2. Contractor Quality Control Plan: A detailed plan of how your company will meet the requirements of this

Performance Work Statement (PWS). The plan must also specifically include the following questions and information with appropriate answers:

- Where do employees report for initial care?

- As stated in the PWS, 65 ABG will provide the USAFE BASE IMT 50 to inform of any accident/injury.

Where do these forms need to be delivered and within what timeframe?

- What does the employee need to do, to inform the provider to receive a follow-up care?

- How will the follow-up care and/or physical therapy be scheduled and what transportation is authorized to attend these appointments?

- What do employees need to do in order to get paid (for time off from work, transportation reimbursements, or any required by Portuguese law?

- Under what terms and conditions will insurance coverage for employees in work travel status be provided?

- Under what terms and conditions will insurance coverage for employees in physical fitness programs be provided?

- What are the procedures for reviewing claims (including where and how claims were processed and settled)?

- Appoint a central point of contact (POC) and provide a respective phone number.

- The POC must ensure the capability to provide efficient and effective customer service, handle claims and other insurance coverage related information.

- Attending to the fact that the contract POC should promptly act, in order to resolve issues, questions and other related information that may result from the present requirement, describe the average follow-up and responsiveness to ensure the prior criteria is carried away in a professional, efficient and efficient manner.

Subfactor – Past Performance

Past Performance will be evaluated based on a subjective assessment of how well the offeror performed on past contracts with regard to recency and relevancy as outlined in Addendum to FAR Provision 52.212-1. The offeror must receive an Acceptable rating to receive an award. This rating is based upon offeror-provided information, or information obtained from any other sources of past performance information, indicating performance of same or similar scope and size Civilian Employees Insurance Coverage as follows:

Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown (See note below.)

Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a) (2) (iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “Unknown” shall be considered “Acceptable.”

The Past Performance information may be obtained from the following sources:

(A) Reference List (Please see details in the Addendum to FAR 52.212-1, Part II).

(B) Past Performance Information available from other sources such as Past Performance Information

Retrieval System (PPIRS), Contractor Performance Assessment Reporting System (CPARS) and/or other past performance information sources to obtain additional information that may be used in the evaluation of an offeror’s past performance.
