Request for Quotations (RFQ)
Solicitation #: FA301620U0001
JBSA Leadership Resiliency Courses
1. Solicitation Number. FA301620U0001 is a combined synopsis/solicitation for commercial items prepared in accordance with the format in FAR Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested and a written solicitation will not be issued. This combined synopsis/solicitation incorporates provisions and clauses in effect through Federal
Acquisition Circular 2005-94, (FAC), No. 2019-06 Item 1, effective 10 Sep 2019 and DFARS
DPN 20191001, effective 01 Oct 2019.
This solicitation is issued as a Request for Quotation (RFQ) in Accordance With (IAW) FAR
Subpart 12.6 and conjunction with FAR Part 13 and Subpart 13.5 as supplemented with additional information included in this notice.
This purchase is restricted to Woman Owned Small Business concerns (WOSB), NAICS code: 611430 Professional and Management Development Training. Small business size standard: $12M.
2. Requirement. The 502d Air Base Wing through the 502d Contracting Squadron, Joint Base
San Antonio (JBSA) Randolph, has a one (1) year plus three (3) option years requirement for the providing of leadership resiliency courses across Joint Base San Antonio in accordance with (IAW) the Performance Work Statement, (PWS) as noted in attachment 2 of this solicitation.
3. Period/Place of Performance. IAW the PWS, training will be conducted five (5) times per year across JBSA (JBSA Lackland, JBSA Randolph, & JBSA Fort Sam Houston). The specific dates and locations will be established after contract award. Acceptance point for this requirement will be FOB destination.
4. Mandatory Registration. To be eligible for award, registration with the System for Award
Management (SAM) must be current. There are no exceptions. To register or apply please visit the SAM website at http://www.sam.gov. 5. Schedule. The quoter must provide a firm fixed price quote for the requirements herein. The quote shall include a unit, extended price, and total prices for each of the contract line item numbers (CLINs) in the following schedule.
Not submitting pricing for each CLIN will be considered unresponsive to this RFQ.

7. Special Notes and Instructions: Only quotes submitted by Women Owned Small Business concerns (WOSB) will be accepted. Quoters are cautioned that clauses and provisions within this RFQ may include blocks that must be completed prior to submission of the quote.
Quotations should contain the quoter’s best terms on price and technical capability.
The clause at FAR 52.212-4, Contract Terms and Conditions -- Commercial Items, and the associated addendums found within this solicitation, are applicable to this acquisition.
The clause 52.212-5, Contract Terms and Conditions Required to Implement Statutes or
Executive Orders -- Commercial Items, applies to this acquisition.
Addendum to FAR 52.212-1 Instructions to Offerors -- Commercial Items (Oct 2018) is incorporated by reference.
This addendum changes terminology in FAR Provision 52.212-1 from "offerors" to "quoters" and from "offers" to "quotes"
The following paragraphs of this provision have been tailored.
52.212-1(b) Submission of quotes: Quotes may be submitted on vendor's stationary and in accordance with industry standard.
(11) The quoter is required to agree with all terms, conditions, and provisions included in the solicitation. Quotes that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
52.212-1(c) Period for acceptance of quotes. The quoter agrees to hold the prices in its quote firm for 60 calendar days from the date specified for receipt of quotes.
The following paragraphs of this provision are not applicable.

The following paragraphs are added to this provision.
(m). The following factors shall be used to evaluate quotes.
(1). Price and Options. To be awarded a purchase order, the total price must be found to be fair and reasonable.
(2). Technical Plan. Each quoter shall provide a detailed technical plan showing their resiliency training approach, methodology, and solution to satisfy the requirements included in PWS. The technical plan will contain the following sub factors:
Sub factor 1: Licensing and/or certification and/or qualifications of professional instructors, as applicable to the type of training required in the PWS
Sub factor 2: Agenda / schedule of 5-day course
Sub factor 3: Curriculum and training
(3). Quality. This factor will consider the quality of the curriculum and traing to be presented, evidence of an established and proven training approach, and well developed agenda outlining the 5-day course quoted.

Evaluation -- Commercial Items: The provision at FAR 52.212-2, Evaluation – Commercial
Items, is not used in this solicitation. Pursuant to FAR 12.602, contract award will be made using Simplified Acquisition Procedures in accordance with FAR 13.106. Vendor's submissions will be evaluated as outlined below:
1. The government will award a purchase order resulting from this solicitation to the responsible quoter whose quote conforming to the solicitation represents the best value to the government, price and other factors considered.
2. The government is not assigning a relative importance to each evaluation factor and intends to conduct a comparative evaluation of quotes in accordance with FAR 13.106-
2(b)(3). All timely quotes received will be evaluated. Award decision will be based on an overall subjective evaluation of the quotes. The quoter that provides the best solution to meet the training need, that demonstrates high quality and proven positive results of the training course, that is found to be fair and reasonably priced, and is found responsible will be awarded the purchase order.
3. The following factors will be used to evaluate quotes.
A. Price. To be awarded a purchase order, the total evaluated price must be found to be fair and reasonable. Adequate competition is anticipated so quoters are encouraged to quote their best pricing with available discounts.
B. Options. The government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options shall not obligate the government to exercise the options.
C. Technical Plan. Each quoter shall provide a detailed technical plan showing their resiliency training approach, methodology, and solution to satisfy the requirements included in PWS. An
"acceptable" or "unacceptable" rating will be used to evaluate the quoter's technical plan, including its sub factors. See Table 1 for the rating descriptions. The technical factor and all sub factors must be rated "acceptable" to be eligible for award. The technical plan shall address the following sub factors:
Sub factor 1. The quoter's plan to ensure they will provide licensed, certified, and/or qualified, professional instructors, as applicable to the type of training required in the PWS.
Sub factor 2. Agenda of 5-day course that shows the daily line-up of events.
Sub factor 3. Curriculum and training that shows what it is comprised of and how it will be delivered to the students.
The following rating definitions will be used.

Acceptable Quote meets the minimum requirements of the solicitation.

D. Quality. This factor will consider quality of the curriculum, training approach, and agenda of the 5-day course quoted. The quoter must demonstrate how their technical plan will not only satisfy the requirements of the performance work statement and the solicitation but also how the quality of their program will have a positive effect on the students that attend. This factor will be rated on a ranking system from 1 to x (x is the number of quotes received) with 1 having demonstrated the lowest quality and x having demonstrated the highest quality of the curriculum, training approach, and agenda of the 5-day course quoted.
4. Once all quotes are evaluated on the above factors, the government evaluators will consider all ratings and determine which quote will provide the best value to the government in fulfilling this need.
5. Interchanges. The government reserves the right to hold interchanges if, during the evaluation, it is determined to be in the best interest of the government. Interchanges are fluid interaction(s) between the contracting officer and the vendor that may address any aspect of the quote and may/may not be documented in real time. Interchanges may be conducted with one, some, or all, as the government is not required to conduct interchanges with any and/or all contractors responding to the RFQ.
6. A vendor must be determined to be responsible by the contracting officer in order to be eligible for award. Responsibility is described in Federal Acquisition Regulation (FAR)
Subpart 9.1., "Responsible Prospective Contractors." Part of the determination address financial capability. Please provide the names, addresses, and points of contact for all financial institution organizations utilized to determine if the vendor has adequate financial resources to perform the contact or the ability to obtain them to include written authority to contact the provided financial institution.
Addendum to FAR 52.212-4(c) CONTRACT TERMS AND CONDITIONS –

(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties with the exception of administrative changes, such as changes in the paying office, appropriations data, etc. which may be changed unilaterally by the
Government.

PERFORMANCE WORK STATEMENT
FOR
JOINT BASE SAN ANTONIO (JBSA) LEADERSHIP RESILIENCY COURSE
1. GENERAL INFORMATION. The contractor shall provide all management, tools, supplies, equipment, and labor necessary to provide leadership resiliency training for mid-level non-commissioned officers (NCOs) across Joint Base San Antonio (JBSA). This requirement is for non-personnel services and the Government shall not exercise any supervision or control over the contracted service providers performing the services herein. Such contract service providers shall be accountable solely to the contractor who, in turn is responsible to the Government.
The command staff of the 502 ABW of JBSA requires a comprehensive, sustainable, multifaceted, evidence-based holistic health, wellness, and fitness leadership program focused on enhancing strength and balance for military leaders while providing relevant and essential tools for leaders to manage and respond to unit and troops’ issues and challenges.
2. DESCRIPTION OF SERVICES. The contractor shall develop and provide a 5-day long, leadership resiliency training course, five times during each performance period of the contract at JBSA installations. Installations may include JBSA-Fort Sam Houston, JBSA-Lackland, and JBSA-Randolph.
Each training session will contain approximately 50 mid-level service members plus potentially their spouses for the last two days of the training. The purpose of this training is to strengthen and broaden the resiliency of the JBSA community with a targeted focus on mid-level leaders and spouses.
2.1. Training Dates. Training dates for the leadership courses will be established between the government and contractor at the beginning of each performance period of the contract and will be based on availability of government training locations and contractor availability.
2.2. Curriculum and Training.
2.2.1. The contractor shall provide a comprehensive multifaceted, hands-on, holistic evidence-based leaders resiliency course focused on enhancing strength and balance in leaders while providing relevant and essential tools for leaders to manage and respond to Airmen’s issues and challenges.
2.2.2. The contractor shall draft an implementation plan related to the development and execution of the training courses. The implementation plan shall include a tentative schedule, course agenda, and confirmation of performance parameters by which success of the training can be measured.
2.2.3. The intense five-day course shall effectively integrate the following topics: leadership, military, values, self-care, resiliency, stress, stress management, anger, anger management, biofeedback, relaxation, yoga, meditation, mindfulness, hypnosis, humor and health, spirituality, physical fitness and physical training planning, injury prevention, pain management, couples and parent-child communication, conflict resolution, sex and relationships, sexual assault and domestic violence, nutrition, journaling, sleep, financial management and planning, combat stress, post-traumatic stress, suicide and suicide prevention, psychological fitness, alcohol and alcohol management, Alcoholics Anonymous and similar programs, transitions, and individual sessions. The course shall include complementary medicine approaches such as hypnosis, acupuncture, mindfulness, meditation, and yoga.
2.2.4. Spouses are invited and encouraged to attend the final two days of the course. Spouses shall be given the ability to participate in the hands-on learning, covering topics such as couples communication, Attachment 1 relationships, sex and relationships, domestic violence, physical fitness, problem solving, couples yoga, financial fitness, parenting, resiliency, and transitions.
2.2.5. The contractor shall encourage discussion on challenging topics, facilitating NCO-to-NCO support, awareness, shared challenges, mentorship, and problem solving. The bond built amongst the NCOs reinforces the ‘NCO brotherhood and sisterhood’ and the importance of being a well-rounded NCO leader.
2.2.6. The contractor shall provide leadership and oversight in the conduct of all course sessions that take place as part of this scope. A core staff member from the contractor shall lead all discussion sessions with the support of local subject matter experts in providing information and responding to the airmens' and soldiers’ questions on the topic. Sessions shall present an opportunity to establish a connection between the NCOs and the local subject matter experts.
2.2.7. The contractor shall provide anonymous feedback results of the training to the Government point of contact to assess the overall effectiveness of the training. The contractor will provided the results after the completion of every 5–day session. The length of time needed to compile and provide said results will be coordinated between the Government and the contractor.
2.3. Student and Spouse Materials
The contractor shall ensure that each participant receives a minimum of course handouts, session exercises, and a graduation certificate.
3. HOURS OF OPERATION.
The contractor is responsible for conducting business between 7:00 AM central time to 5:00 PM central time Monday thru Friday except federal holidays, or when the government facility is closed due to local or national emergencies, administrative closings, or similar government directed facility closings.
4. HOLIDAYS OBSERVED.
Training sessions will not be scheduled for the following federal holidays.
• New Year's Day (January 1).
• Birthday of Martin Luther King, Jr. (Third Monday in January).
• Washington's Birthday (Third Monday in February).
• Memorial Day (Last Monday in May).
• Independence Day (July 4).
• Labor Day (First Monday in September).
• Columbus Day (Second Monday in October).
• Veterans Day (November 11).
• Thanksgiving Day (Fourth Thursday in November).
• Christmas Day (December 25).
5. SECURITY REQUIREMENTS.
Contractor personnel performing work under this contract must have a valid driver’s license/state ID number with state of issue or social security number card with valid form of identification. Prior to training, contracted employees will work with the contracting officer representative (COR) to complete and submit an installation access pass for each JBSA location.
6. PERFORMANCE OF SERVICES DURING CRISIS DECLARED BY THE NATIONAL
COMMAND AUTHORITY OR OVERSEAS COMBATANT COMMANDER.
This is a non-essential requirement with regard to performance during crisis IAW DODI3020.37.
Promptly notify the contracting officer should a crisis occur to obtain further guidance.
7. RECORDS MANAGEMENT.
The contractor shall manage all data created for Government use or legally controlled by the Government, in support of the functional activity or required by AF publication, IAW with the AF records management procedures in Air Force Instruction (AFI) 33 - 322, Records Management Program, paragraph 10, Air Force Manual (AFMAN) 37-363, and the Air Force Records Disposition Schedule (AFRDS) located at https://afrims.amc.af.mil/rds_series.cfm or http://www.amc.af.mil/shared/media/document/AFD-060803-003.pdf ”
8. AIR FORCE ANTITERRORISM (AT) PROGRAM
The AT program seeks to deter or limit the effects of terrorist acts against the AF by giving guidance on collecting and disseminating timely threat information, providing training to all AF members, developing comprehensive plans to deter and counter terrorist incidents, allocating funds and personnel and implementing AT measures. In accordance with AFI 10-245Paragraphs 2.18 and paragraph 2.25, DOD contractors and sub-contractor personnel shall be offered, Level 1 - AT Awareness Training. AT Awareness Training may be accomplished by either a Level I -qualified instructor, or by completing the "Force Protection" computer based training (CBT) course on the Advanced Distributed Learning System (ADLS)https://golearn.csd.disa.mil/kc/login/login.asp or at https://jkodirect.jten.mil for individuals without access to NIPR, possessing a CAC card, nor enrolled in DEERS. Compliance with the training will be monitored by the requiring agencies designated point of contact.
9. CONTRACTOR FULL-TIME EQUIVALENT REPORTING.
The contractor shall report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for the Air Force via a secure data collection site.
The contractor is required to complete fill in all required data fields at http://www.ecmra.mil.
Reporting inputs will be for the labor executed during the period of performance for each Government fiscal year (FY), which runs 1 October through 30 September. While inputs may be reported any time during the FY, all data shall be reported no later than 31 October of each calendar year. Contractors may direct questions to the CMRA help desk.
9.1. Reporting Period.
Contractors are required to input data by 31 October of each year.
9.2. Uses and Safeguarding of Information.
Information from the secure web site is considered to be proprietary in nature when the contract number and contractor identity are associated with the direct labor hours and direct labor dollars. At no time will any data be released to the public with the contractor name and contract number associated with the data.
9.3. User Manuals.
Data for Air Force service requirements must be input at the Air Force CMRA link. However, user manuals for government personnel and contractors are available at the Air Force CMRA link at http://www.ecmra.mil.

"Covered contractor information system" means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.
"Federal contract information" means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public websites) or simple transactional information, such as necessary to process payments.
"Information" means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on
National Security Systems Instruction (CNSSI) 4009).
"Information system" means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).
"Safeguarding" means measures or controls that are prescribed to protect information systems.
(b) Safeguarding requirements and procedures.
(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:
(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices
(including other information systems).
(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.
(iii) Verify and control/limit connections to and use of external information systems.
(iv) Control information posted or processed on publicly accessible information systems.
(v) Identify information system users, processes acting on behalf of users, or devices.
(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.
(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.
(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.
(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.
(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.
(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.
(xii) Identify, report, and correct information and information system flaws in a timely manner.
(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.
(xiv) Update malicious code protection mechanisms when new releases are available.
(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.
(2) Other requirements.This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other
Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order
13556.
(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

(a) The Government recognizes that the line items established in this solicitation may not conform to the Offeror's practices. Failure to correct these issues can result in difficulties in acceptance of deliverables and processing payments. Therefore, the Offeror is invited to propose alternative line items for which bids, proposals, or quotes are requested in this solicitation to ensure that the resulting contract is economically and administratively advantageous to the Government and the Offeror.
(b) The Offeror may submit one or more additional proposals with alternative line items, provided that alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation. However, acceptance of an alternative proposal is a unilateral decision made solely at the discretion of the Government. (a) Definitions. As used in this clause-
Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.
Document type means the type of payment request or receiving report available for creation in Wide Area
WorkFlow (WAWF).
Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.
Payment request and receiving report are defined in the clause at 252.232-7003, Electronic Submission of Payment
Requests and Receiving Reports.
(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS)

(c) WAWF access. To access WAWF, the Contractor shall-

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training
Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the Web Based Training link on the WAWF home page at https://wawf.eb.mil/
(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data
Interchange, or File Transfer Protocol.

Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that-
(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or

(a) Definitions. As used in this provision-
Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian
Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a
Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
Federal contracts and grants with total value greater than $10,000,000 means-
(1) The total value of all current, active contracts and grants, including all priced options; and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.
(a) Definitions. As used in this provision-
Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
Forced or indentured child labor means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
Inverted domestic corporation, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
Manufactured end product means any end product in product and service codes (PSCs) 1000-9999, except-
(1) PSC 5510, Lumber and Related Basic Wood Materials;

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.
Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate-
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(ii) The management and daily business operations of which are controlled by one or more service-disabled veteransor, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service connected, as defined in 38 U.S.C. 101(16).
Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
Small disadvantaged business concern, consistent with13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that-
