Special Contract Requirements

H.01 RESERVED

H.02 Special Acquisition Requirements (RFO 37.301-1 and RFO 37.301-1). These services, which require the contractor to provide advice, opinions, recommendations, products, ideas, reports, analyses, or other work have the potential for influencing the authority, accountability, and responsibilities of Government officials. Therefore, special management attention is required to ensure that this contract does not result in performance of inherently governmental functions by the contractor and that Government officials properly exercise their authority. All contractor personnel attending meetings, answering Government telephones, and working in other situations where their contractor status is not obvious to third parties are required to proactively identify themselves as such to avoid creating an impression in the minds of members of the public or Congress that they are Government officials. They must also ensure that all documents or reports produced by contractor employees are suitably marked as contractor products or that contractor participation is appropriately disclosed.

H.03 RESERVED

H.04 Public Release of Information. Publicity releases and request for publication in connection with this contract shall not be made by the Contractor unless prior written approval has been received from the CO and cleared through appropriate Government security and policy review.

H.05 Employee Conduct. The contractor shall be responsible for maintaining satisfactory standards of employee conduct, appearance, and behavior and shall be responsible for taking disciplinary action as may be necessary.

a. Contractor's employees shall comply with all applicable Government regulations, policies and procedures (e.g., fire, safety, security, sanitation, environmental protection, "off limits" areas) when visiting or working at Government facilities. The contractor shall ensure contractor employees present a professional appearance at all times and that their conduct shall not reflect discredit on the United States or the United States Space Force.

b. If through fault or negligence, the contractor, contractor employees, or authorized contractor agents destroy, lose, or damage any Government property, equipment, stock, or supplies during performance of this contract, the Contractor shall repair or replace that property or reimburse the Government for its full replacement cost.

c. The contractor is responsible for maintaining clean and orderly assigned working spaces. Furniture that may be assigned to the space(s) shall remain in place and not be removed. All telephones are for conducting official Government business.

H.06 Non-Personal Services:

a. The services required under the contract constitute professional advisory and assistance services, which are critical to the mission but not otherwise available within.

b. The Government will neither supervise Contractor employees nor control the method by which the Contractor performs the required tasks. Under no circumstances shall the Government directly assign tasks to, or prepare work schedules for, individual Contractor employees. It shall be the responsibility of the Contractor to manage their employees and guard against any actions that have the nature of personal services or give the perception of personal services. If the Contractor feels that any actions constitute, or are perceived to constitute personal services, it shall be the Contractor's further responsibility to notify the Contracting Officer immediately.

c. These services shall not be used to perform work of a policy/decision making or management nature. All decisions relative to programs supported by the Contractor will be the sole responsibility of the Government. Support services will not be ordered to circumvent personnel ceilings, pay limitations, or competitive employment procedures.

H.07 Qualifications of Contractor Support. The Government may, at its sole discretion (via the Contracting Officer), direct the Contractor to remove any Contractor employee from Government facilities or the installation for misconduct, safety or security reasons. Removal does not relieve the Contractor of the responsibility to continue providing the services required under the contract. The Contracting Officer will provide the Contractor with a written explanation to support any request to remove an employee.

H.08 Cooperation with Other On-Site Contractors. When the Government undertakes or awards other contracts for work on-site, the Contractor must: (1) cooperate in good faith with other on-site Contractors and Government employees while performing in strict accordance with the terms of this contract, and (2) continue to carry out SOLAR-M responsibilities being careful to not commit or permit any act that would interfere with the performance of work awarded to another Contractor or with the performance of other Government employees. If any such concerns or issues arise or are anticipated, notify the CO and COR at once for resolution or direction.

H.09 RESERVED

H.10 Key Personnel. Certain skilled experienced professional and/or technical personnel are essential for accomplishing the work to be performed. These individuals are defined as "Key Personnel:" (1) Personnel considered essential to the performance of the contract. (2) Personnel whose resume or CV were marked or otherwise identified by the contractor as "Key Personnel" before award. (3) Personnel otherwise identified in the contractor's quote submissions as key individuals to be assigned for participation in the performance of the contract or any modifications thereto. (4) Personnel whose resume or CV are submitted with a response to the any change request or future modification. (5) Individuals who are designated as key personnel by agreement between the Government and the Contractor during negotiations, if any. (6) If the

Government determines personnel are "key" to successful completion of the contract, they may also be designated as "Key Personnel."

No substitutions shall be made of accepted key personnel except for sudden illness or death, or termination of employment. Substitutions shall only be accepted if in compliance with the following:

Key Personnel Substitution: All Contractor requests for approval of substitutions hereunder shall be submitted in writing to the COR and the Contracting Officer at least thirty (30) calendar days in advance of the effective date, whenever possible, and shall provide a detailed explanation of the circumstances necessitating the proposed substitution, a complete resume for the proposed substitute, and any other information requested by the Contracting Officer necessary to approve or disapprove the proposed substitution. All proposed substitutions shall possess qualifications and experience equal to or superior to those of the Key Personnel being replaced. A "meet and greet" may also be requested. The COR and the Contracting Officer will evaluate such requests and promptly notify the Contractor of approval or disapproval in writing.

Personnel Performance/Replacement: The Contractor shall provide a resume for each individual assigned to work on this effort. Key Personnel assigned to this contract will not be removed without Contracting Officer approval. Removal does not relieve the Contractor of the responsibility to continue providing the services required under the contract.

H.11 RESERVED

H.12 Ombudsman:

1. An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the interested party to another official who can resolve the concern.

2. Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Consulting an ombudsman does not alter or postpone the timelines for any other processes (e.g., agency level bid protests, GAO bid protests, requests for debriefings, employee-employer actions, contests of OMB Circular A-76 competition performance decisions).

3. If resolution cannot be made by the contracting officer, the interested party may contact the ombudsman, Mr. Eric Symanski (719-554-3668). Concerns, issues, disagreements, and recommendations that cannot be resolved at the Center/MAJCOM/FLDCOM/DRU ombudsman level, may be brought by the interested party for further consideration to the Department of the Air Force ombudsman, Associate Deputy Assistant Secretary (ADAS) (Contracting), SAF/AQC, 1060 Air Force Pentagon, Washington DC 20330-1060, phone number (571) 256-2395, facsimile number (571) 256-2431.

4. The ombudsman has no authority to render a decision that binds the agency.

5. Do not contact the ombudsman to request copies of the solicitation, verify offer due date, or clarify technical requirements. Such inquiries shall be directed to the contracting officer.

(a) Evaluation factors. The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors will be used to evaluate offers:

[Insert evaluation factors in the relative order of importance.
