About this file

This is a Key Contracting Persons Disclosure Statement form from the Texas Department of Agriculture (TDA) for use in state and local contract solicitations. The form serves as a transparency mechanism requiring vendors responding to TDA solicitations to disclose any business relationships or familial connections with identified key personnel within the agency. Key contracting persons are defined as individuals with authority to make recommendations and decisions of serious import to the solicitation, preparation, management, oversight, or enforcement of contracts. The disclosure requirement applies to any business conducted within the 24-month period immediately prior to the solicitation deadline, including transactions exceeding $500 in aggregate value involving personal services, property purchases, loans, or other legal obligations. The form lists TDA's key personnel across multiple categories, including executive leadership (Commissioner, Deputy Commissioner, Assistant Commissioners), legal and financial staff (General Counsel, Chief Financial Officer), and procurement and contracting office personnel (procurement director, contract administrators, purchasers, and contract specialists).

Vendors must certify that either they have not conducted business with any TDA key person during the relevant 24-month period or must specifically identify and list any key persons with whom they have done business and explain why such relationships do not create conflicts of interest. The form expressly prohibits TDA from contracting with any vendor in which the Commissioner, Deputy Commissioner, Assistant Commissioners, General Counsel, Chief Financial Officer, Procurement Director, procurement staff, or their family members within the second degree of blood or marital relationship hold any financial interest, including direct or indirect ownership of at least one percent of the business or potential for personal financial benefit. Retail transactions for goods and services sold at posted or published prices available to the general public are excluded from disclosure requirements. Vendors must sign and date the completed form, attesting to the accuracy and completeness of the information provided and committing to submit amended disclosures if circumstances change during the solicitation or contract performance.
