About this file

This is an insurance requirements exhibit for a technology professional services agreement with the City of Palo Alto. The document establishes mandatory insurance coverage that contractors must obtain and maintain throughout the contract term at their sole expense. Required coverage includes Worker's Compensation (statutory limits), Employer's Liability (statutory limits), General Liability with minimum limits of $2,000,000 per occurrence and aggregate, Technology Errors and Omissions Liability covering professional misconduct, network security breaches, and malicious software with $2,000,000 limits, Cyber and Privacy Insurance with $2,000,000 limits covering electronic data damage and loss, Automobile Liability with $1,000,000 limits per person and occurrence, and Professional Liability including errors and omissions with $1,000,000 limits. All insurance must be provided by companies with AM Best's Key Rating of A-:VII or higher and authorized to conduct business in California. Award is contingent upon compliance with these requirements.

The City of Palo Alto must be named as an additional insured on all policies except Worker's Compensation, Employer's Liability, and Professional Insurance. Contractors must include a contractual liability endorsement providing coverage for their indemnification agreement with the City, and the insurance must be primary coverage for claims arising from the named insured's operations. Certificates of insurance evidencing the required coverage must be submitted to purchasingsupport@cityofpaloalto.org or through the City's PlanetBids portal. Contractors must provide thirty days' written notice of policy cancellation for any reason other than non-payment of premium, and ten days' notice if cancellation results from non-payment. All insurance coverage must remain in force during the full contract term.
