About this file
This document is Exhibit C: Additional Statement of Work Provisions for a contract with the Colorado Department of Human Services (CDHS) related to the TGYS (Transitional Group Youth Services) Program. The contract establishes mutual responsibilities between the Department and the successful Contractor, with the Department appointing a liaison to attend conferences and provide ongoing support, while the Contractor must negotiate in good faith regarding additional activities that may become necessary due to funding changes or legislative initiatives. The Department retains the option to extend the contract for up to one additional year at the same rates and terms with 30 days' written notice, with a maximum total contract duration of three years. The Contractor may also have the option to adjust service quantities based on established contract rates. The agreement requires the Contractor to maintain high-quality deliverables in agreed-upon formats, respond to Department communications within one business day, and comply with strict confidentiality requirements regarding client records, internal policy discussions, and financial information.
The contract is structured as a reimbursement agreement with state funds, requiring all expenditures to align with the Statement of Work and Budget exhibits and comply with Colorado fiscal guidelines. Monthly invoices must be submitted within 60 days of the billing period's end, with final invoices due within 30 days of contract expiration or termination. The Department has 30 calendar days to review deliverables and notify the Contractor of any deficiencies in writing, allowing the Contractor up to 10 calendar days to correct identified issues. The Contractor must permit CDHS and auditors access to records and financial statements for audit compliance and shall not use funding for inherently religious activities or lobbying efforts. Any modifications to the Statement of Work or direct costs exceeding 10 percent or $10,000 (whichever is lower) require prior written approval from the TGYS Program Specialist, submitted at least 90 days before the contract period ends. Performance will be monitored across quality, cost, timeliness, customer service, technology, flexibility, quantity, and safety metrics, with compliance issues documented and subject to remedial action plans.
