About this file
This document is a Master Agreement between the Board of Trustees of the Colorado School of Mines and an unnamed contractor, establishing a framework for future task orders. The master agreement is a zero-dollar contract that sets up a mechanism for Mines to procure consulting services and training on an as-needed basis through individual task orders. The initial term of the agreement is not specified with a specific end date, but the total duration of the master agreement, including any options, shall not exceed five years. Each task order will define specific services, budgets, performance periods, and maximum payable amounts.
The financial structure of the agreement is deliberately flexible, with no guaranteed work or minimum purchase commitment. Each task order will specify its own budget, with the master agreement's total maximum payable amount set at $0.00. Payments will be contingent upon funds being appropriated and available, and each task order will require full execution before the contractor can begin work. The agreement includes comprehensive provisions for invoicing, with monthly invoicing allowed, and requires detailed documentation of services performed. Notably, the contract includes provisions for potential termination, intellectual property rights, confidentiality, and compliance with Colorado state laws and regulations.

3. Intellectual Property If Contractor infringes on a patent, copyright, trademark, trade secret or other intellectual property right while performing its obligations under this Master Agreement, Contractor shall, at Mines’ option (a) obtain for Mines or Contractor the right to use such products and services; (b) replace any Goods, Services, or other product involved with non-infringing products or modify them so that they become non-infringing; or, (c) if neither of the foregoing alternatives are reasonably available, remove any infringing Goods, Services, or products and refund the price paid therefore to Mines.
