About this file

This document is Exhibit A, a Professional Service Agreement (PSA) between Florida Keys Electric Cooperative (FKEC) and a contracting firm, outlining the terms and conditions for professional services. The agreement establishes the framework for a contractor to provide services as requested and authorized by FKEC, with provisions for payment, insurance requirements, liability, document disposition, and performance expectations. The document specifically indicates that performance and payment bonding is applicable to this contract, requiring the contractor to maintain bonds for 100 percent of the contract price.

The payment terms specify that FKEC will compensate the contractor using a fixed "not to exceed" amount for specified projects, with the ability to withhold 10% of projected costs if the contractor exceeds the scheduled completion date. The contractor is required to maintain comprehensive insurance coverage, including general liability ($2,000,000 per occurrence), workers' compensation ($500,000 per accident), auto liability ($2,000,000 per accident), and additional specialized coverages for maritime and vessel-related work. The agreement also provides detailed provisions for changes to the scope, termination of services, access to records, and remedies in case of contract violations, with all legal interpretations to be conducted under Florida state law.
