About this file
This is an exemplar contract template for federally funded projects between the City of Milpitas and contractors providing Community Development Block Grant (CDBG) services. The document serves as a standardized agreement framework for various service types, with specific contract details (contractor name, contract number, service description, dates, and compensation) to be inserted based on individual program needs. The scope of services, defined in Exhibit A, requires contractors to file quarterly performance reports due 15 days after each calendar quarter (with quarter four submissions due 10 days after quarter close), coordinate services with other organizations to avoid duplication, and maintain full communication with the City representative regarding program operations and community impact. Contractors must appoint a fiscal agent responsible for financial and accounting activities, establish accounting systems compliant with generally accepted accounting principles, and submit quarterly reimbursement requests within 15 working days of quarter close, accompanied by supporting documentation.
Compensation is structured as reimbursement for allowable costs and expenses incurred during the contract period, with specific funding amounts to be designated by funding source (CDBG) and total contract value to be inserted in Exhibit B. Payment is issued within 30 days of submission and acceptance of required documentation. Eligible reimbursable items include salaries and fringe benefits for program staff, while disallowed costs identified through audits or monitoring are the contractor's responsibility. The contract incorporates extensive federal compliance requirements under 2 CFR Part 200 and 24 CFR Part 570, including civil rights protections, labor standards, environmental review responsibilities, relocation assistance, conflict of interest prohibitions, and procurement standards. Contractors must maintain comprehensive records for five years following final payment, submit to City and HUD audits and facility examinations, comply with wage and hour laws, and maintain required insurance coverage including $1,000,000 commercial general liability, $1,000,000 automobile liability, and workers' compensation at statutory limits with $1,000,000 employer's liability coverage.
