JUSTIFICATION FOR AN EXCEPTION TO FAIR OPPORTUNITY
PURSUANT TO FAR 16.505(b)(2)(ii)(B) FOR ORDERS WITH AN
ESTIMATED VALUE EXCEEDING THE SIMPLIFIED ACQUISITION THRESHOLD
FAR 16.5 Justification for an Exception to Fair Opportunity exceeding SAT, v5.0, 09/10/2024 1 | P a g e
CONTROL NUMBER: JA-FY25-011
1. IDENTIFICATION OF THE AGENCY AND THE CONTRACTING ACTIVITY.
National Geospatial-Intelligence Agency / Office of Contract Services (OCS), on behalf of NGA’s Chief Information Officer & Information Technology (CIO-T) Enterprise Services (TCC), located at 7500 GEOINT Drive, Springfield VA 22150.
2. NATURE AND/OR DESCRIPTION OF THE ACTION BEING APPROVED.
The purpose of this justification and approval (J&A) document is to extend contract services provided under the Enhanced Solutions for the Information Technology (IT) Enterprise (ESITE) Task Order (TO) 2 contract, HHM40215D0057/HM047618F0163, (hereafter “ESITE TO 2”) for a base period of 2 months with (1) one two-month option and (1) one one-month option period for a total period of five (5) months. The ESITE TO 2 was awarded to Vykin Corporation, now SOS International (SOSi). This is a Firm Fixed price contract.
NGA’s ESITE TO 2 was awarded on 08 June 2018 against the Defense Intelligence Agency’s (DIA) ESITE IDIQ contract HHM40215D0057, for which the ordering period ended in July 2020. However, the IDIQ contract allows performance under task orders to continue for five (5) years beyond the last day of the ordering period, which would be 16 July 2025, in accordance with the basic contract FAR clause 52.217-9, Option to Extend the Term of the Contract (MAR 2000), paragraph (c). The proposed five-month period will be awarded utilizing an exception to the fair opportunity process.
The present vendor, SOSi, is the only vendor able to provide continued services under ESITE TO 2 without unacceptable delays to existing mission requirements and near-term surges in mission requirements for procurement or development of replacement capabilities.
A sole-source modification to extend ESITE TO 2 services for up to up to five months is proposed to avoid unacceptable delays to NGA-directed data migration requirements and a subsequent, significant gap in mission critical NGA operations while the follow-on contract is still in progress for award, utilizing competitive procedures to cover multiple NGA enterprise IT requirements. The follow-on contract, which will include this work, is projected to be awarded in the second quarter of FY25. The extension to ESITE TO 2 will add a period of performance from 07 February 2025 through 06 July 2025 see below chart for breakdown.
The estimated total value of entire five-month period is $ . These estimates were derived from the current contract price and includes a 4% escalation. The current task order is firm fixed priced with no anticipated travel.

4. IDENTIFICATION OF THE STATUTORY EXCEPTION TO FAIR OPPORTUNITY.
FAR 16.505(b)(2)(i)(G) -- For DoD, NASA, and the Coast Guard, the order satisfies one of the exceptions permitting the use of other than full and open competition listed in 6.302 (10 U.S.C. 3406(c)(5)). The authority under FAR 6.302 cited for this action is FAR 6.302-1(a)(2)(iii)(A) and (B) “…services may be deemed to be available only from the original source in the case of follow-on contracts for the continued provision of highly specialized services when it is likely that award to any other sources would result in (A) substantial duplication of cost to the Government that is not expected to be recovered through competition; or (B) unacceptable delays in fulfilling the agency’s requirements.
5. DESCRIPTION OF THE SUPPLIES OR SERVICES REQUIRED TO MEET THE AGENCY’S NEEDS.
This Task Order provides software services that support Web, Cloud, Database, applications development and testing across various NGA Source Directorate offices (SCP, SFA, and SFN). A primary objective is for these web, software and database services to reflect high quality, accuracy, and timeliness. The contractor-based-solution applies best practices across the SCP, SFA, and SFN organizational requirements.
The ESITE TO 2 contract captures the collective IT application service requirements from NGA Aeronautical Navigation, and the Office of Geomatics. ESITE TO2 support ensures that NGA’s enterprise IT mission is successful by providing the following:
On-line, on-demand, worldwide aeronautical Geospatial Intelligence (GEOINT);
Collection, maintenance, and use of GEOINT data and products, such as Aeronautical Migration
System (AMS) and Aeronautical Content Exploitation System (ACES);
Online, on-demand worldwide Geodetic and Geophysical (G&G) GEOINT;
Data management services, and content-rich, multi-resolution, seamless digital data content; 5.
Direction and control of Source efforts for acquiring data, products, capabilities, and services;
and
FAR 16.5 Justification for an Exception to Fair Opportunity exceeding SAT, v5.0, 09/10/2024 3 | P a g e
Under ESITE TO 2, general IT support services provided to Source offices include: software, web, application, and database-development, testing, and maintenance; software-cloud engineering, and business web analytics; experienced GEOINT database analysis and programming support to integrate legacy geodetic, geophysical, Global Navigation Satellite System (GNSS), Geographic Information System (GIS), and elevation data with ongoing data collection into an accessible, online data service aligned to National System for Geospatial Intelligence (NSG) architecture and data standards; data migration, governance, site and customer issue resolution; and assessment and recommendation of improvements to align with DoD and IC data and certification policies. The ESITE TO 2 customers require that time-sensitive conversion milestones are met in order to avoid the loss of Agency-wide and IC capabilities, such as for GEOINT mandatory web training, certification tracking, and IC GEOINT credentialing.
6. DEMONSTRATION OF THE PROPOSED CONTRACTOR’S UNIQUE QUALIFICATIONS OR THE NATURE OF
THE ACQUISITION THAT REQUIRES USE OF THE EXCEPTION CITED.
Follow-on contract. The work that will be performed under this action is considered a “follow-on” because the requirements under the extension are identical to the requirements that are currently being performed by SOSi under the ESITE TO2 ending 6 February 2025. The follow-on contract is being competed and the source selection process is still ongoing. The Vertex IT follow-on is anticipated to be awarded in early March 2025.
Highly specialized services. ESITE TO 2 contractor support is essential to NGA mission. The ESITE TO 2 customers require that time-sensitive conversion milestones are met to avoid the loss of Agency-wide and IC capabilities, such as for GEOINT mandatory web training, certification tracking, and IC GEOINT credentialing.
Unacceptable delays. The purpose of the proposed five-month ESITE TO 2 extension is to ensure that necessary technical support services to fulfill high-visibility mission milestones continue without breaks in service. A break in service would result in lost data, tools, and capabilities. Any lapse in coverage will result in “archive” of current data management tools, code reference libraries, the code and data contained therein, and loss of the user-facing sites, capabilities, and tools that - Source provides across NGA and the greater IC.
User-facing missions under ESITE TO 2 include timely and accurate Aeronautic geoinformatics tools and Geodetics data used across the GEOINT community; and SharePoint sites and site data for Source used to track, record, and automate information-sharing across NGA;
FAR 16.5 Justification for an Exception to Fair Opportunity exceeding SAT, v5.0, 09/10/2024 4 | P a g e
Loss of the technical support services provided under ESITE TO 2 has implications to mission needs across NGA, the Department of Defense (DoD), and the GEOINT Intelligence Community (IC), due to the resulting inability to meet mandatory development, site security, and accreditation milestones of related database conversions, Computer-Based Training repositories, and interoperable agency data services and products. The five-month extension is intended to cover these vital missions until the ESITE TO 2 mission archive deadlines are met successfully in the same period, and/or transition can occur to the follow-on contract.
In the event of mission lapse due to breaks in coverage, loss of any and all aforementioned capabilities will result in loss of support to DoD warfighters, GEOINT users, IC stakeholders, and NGA professional staff for currently indeterminable time period while re-procurement and re-development of said capabilities are completed and new end products are released.
The time required to transition support currently being provided under ESITE TO 2 to any other contract would extend beyond the milestone need dates that must be met to prevent the loss of capabilities summarized above. A break in service between the performance end date of ESITE TO 2 and the award and ramp-up of any other contractor support contract would create further mission delays tied to redevelopment and certification needs of equivalent capabilities lost, as well as associated man-hour support surges required to execute workable capability replacements or workarounds to continue separate -Source mission support needs.
Extending the period of performance for up to five months will allow for continuity in operations and avoid gaps in service while competitive awards are made for these requirements, thereby avoiding critical capability and data loss. The unacceptable delay that would occur is not the result of a failure to plan, but rather due to a shift in the agency’s acquisition strategy during the course of executing its acquisition plan for the VERTEX program, which ultimately segregated the VERTEX IT requirements from the remainder of the program, which has caused delays necessitating the extension to E-SITE TO 02.
7. CONTRACTING OFFICER DETERMINATION THAT THE ANTICIPATED COST TO THE GOVERNMENT WILL
BE FAIR AND REASONABLE.
Before award of any contract action, the Contracting Officer will determine if the price is fair and reasonable by conducting price analysis in accordance with FAR 15.404-1(b). The ESITE IDIQ and subsequent ESITE TO 2 task order were awarded on a competitive basis, and the rates established in the contracts were determined to be fair and reasonable based on price analysis. NGA has historical price data from SOSi and an Independent Government Cost Estimate (IGCE) that will be used to conduct a price analysis. SOSi will be required to submit a proposal to be evaluated.
8. ANY OTHER FACTS SUPPORTING THE JUSTIFICATION.
An initial J&A was approved in June 2023 for an extension period of six (6) months (7 June 2023 through 6 December 2023)
A second J&A was approved in November 2023 for an extension period of nine (9) months (7 December 2023 through 6 September 2024)
FAR 16.5 Justification for an Exception to Fair Opportunity exceeding SAT, v5.0, 09/10/2024 5 | P a g e
A third J&A was approved in September 2024 for an extension period of five (5) months (7 September 2024 through 6 February 2025)
ESITE TO 2 was extended for 5 months in accordance with FAR Clause 52.217-8 Option to extend services. In accordance with FAR 6.305(a), a copy of the approved J&A will be made publicly available within 14 days after award.
9. STATEMENT OF THE ACTIONS, IF ANY, THE AGENCY MAY TAKE TO REMOVE OR OVERCOME ANY
BARRIERS THAT LED TO THE EXCEPTION TO FAIR OPPORTUNITY BEFORE ANY SUBSEQUENT
ACQUISITION FOR THE SUPPLIES OR SERVICES IS MADE.
The follow-on for these requirements will be awarded on a competitive basis under NGA’s VERTEX IT solicitation released on 3rd quarter FY24.
10. APPROVING OFFICIAL DETERMINATION THAT ONE OF THE CIRCUMSTANCES UNDER FAR
16.505(b)(2)(i)(A) THROUGH (E) AND (G) APPLIES.
I, acting as the Contracting Officer, have determined that the following circumstance applies to this order, requiring an exception to fair opportunity: FAR 16.505(b)(2)(i)(A) -- The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.
