About this file
This is a sample Products and Services Agreement form (OGC Form 2020-003-1) used by Midwestern State University, a Texas public institution of higher education, to establish contractual relationships with vendors for products and services. The agreement serves as a template for university procurement and outlines the framework for vendor engagement on an as-needed basis without guaranteeing minimum or maximum compensation or purchase quantities. The contract includes provisions for service orders to be completed and signed by both parties prior to service commencement, with scope confirmation and written quotes required before work begins. The term of the agreement begins and ends on dates to be specified, with provisions for one additional one-year renewal term unless either party provides written notice of non-renewal at least sixty days prior to the current term's expiration. The contract may be terminated for material breach with thirty days' notice, for convenience by the university with thirty days' notice, or immediately upon contractor insolvency.
Compensation is structured according to the contractor's submitted fee schedule, which is attached as Exhibit A and subject to university approval; no modifications to the fee schedule are enforceable without prior written authorization. Invoices must reference a valid purchase order and include itemized expenses with supporting documentation, with payment due net thirty days in compliance with Texas law. The agreement incorporates by reference the Required Contract Terms from Texas Tech University and Midwestern State University purchasing terms and conditions, establishing an order of precedence in which contract terms control over solicitation terms, which control over contractor proposals. The contractor must comply with extensive IT security requirements including NIST 800-53 safeguards, 99.99% system uptime standards, Section 508 accessibility standards, FERPA and HIPAA confidentiality requirements where applicable, and breach notification obligations. The contractor is required to maintain records for at least two years, cooperate with state audits, and provide indemnification to the university for acts or omissions in contract performance.
