About this file

This document is a Vendor Supplemental and Special Conditions form issued by the Texas Department of Family and Protective Services (DFPS) for use in state contracts. The form, designated as N502 FORM-5622V (June 2022), establishes additional contractual requirements and remedies that contractors must follow in addition to the DFPS Vendor Uniform Terms and Conditions. The document indicates that there are no supplemental conditions modifying the uniform terms, but it does establish three primary special conditions addressing contractor compliance and performance management.

The special conditions outlined in the document provide DFPS with specific remedial mechanisms for addressing contractor noncompliance or performance deficiencies. These remedies include the authority to issue a Corrective Action Plan (CAP) that identifies areas of noncompliance, poor performance, or other deficiencies, requiring the contractor to respond in writing within specified timeframes and implement approved corrective measures. Additionally, DFPS reserves the right to suspend or remove all or any portion of the contract and to require the removal of any contractor employee, volunteer, agent, or subcontractor employee from service delivery or direct contact with DFPS-referred clients and client records. These provisions establish clear performance standards and DFPS's authority to enforce compliance throughout the contract term.
