About this file
This is a Master Professional Services Agreement between Texas Woman's University (TWU) and a design firm for architectural and engineering services related to a campus building project. The agreement outlines comprehensive design services spanning multiple phases: programming, conceptual design, schematic design, design development, construction contract documents preparation, proposal phase assistance, and construction administration. The project scope includes coordination with the Owner's representatives, integration of consultant services (civil, structural, mechanical, electrical, plumbing, landscape architecture, and other specialized disciplines), and full site administration during construction. The Architect/Engineer is required to maintain a designated Principal and Project Manager throughout the project duration from programming through construction completion and acceptance. Key deliverables include program documents, design packages at various completion stages (50%, 75%, 95%, and 100%), construction contract documents, statements of probable construction cost at each phase, and record documents incorporating all addenda and change orders. Work must proceed phase-by-phase with written "Notice to Proceed" from the Owner before advancing to the next level, and all designs must comply with applicable codes, Owner design standards, and green building certification objectives without adversely impacting the established Construction Cost Limitation.
Compensation is structured as a fixed base fee not to exceed a specified amount, plus reimbursable expenses capped at a designated limit, with total compensation established through a Purchase Order. Extra services beyond the base fee scope are compensated at specified hourly rates for principals and various employee classifications, with consultant services marked up at 1.1 times the billed amount. Payment is distributed across project phases: 10% upon completion of Programming, 20% for Schematic Design, 40% for Design Development, 75% upon completion of Construction Contract Documents, 80% upon Construction Contract award, and 100% upon final completion and acceptance including delivery of record documents. The Architect/Engineer must maintain professional liability insurance meeting TWU's Third Party Insurance Standards, provide accounting records available for audit, and comply with numerous state and federal certifications including provisions related to debarment, tax compliance, non-discrimination, firearm entity non-discrimination, and Texas Public Information Act requirements. The agreement is governed by Texas law with venue in Denton County, and either party may terminate with appropriate notice, with compensation limited to services actually rendered.
