About this file

This document is the Standard Terms and Conditions for the Department of Public Safety of the State of Texas (DPS). The document establishes the foundational contractual framework governing all state and local contract opportunities with DPS, including provisions for contract formation, performance requirements, termination rights, and compliance obligations. Rather than describing a specific solicitation for products or services, this document serves as the master terms that would be incorporated into individual DPS contracts and applies to all contractors performing work for the agency regardless of contract type or value.

The standard terms establish DPS's broad contractual authority and discretion, including the right to terminate contracts for convenience with 30 days' notice, terminate for failure to perform, withhold payments for non-compliance, conduct inspections and audits, require personnel replacements, and modify contract terms through authorized representatives. Contractors must comply with extensive state and federal requirements including background checks, E-Verify verification, drug-free workplace standards, non-discrimination provisions, public records disclosures, and prohibitions on lobbying and fraud. DPS retains ownership of all work products, data, and intellectual property created under contracts. Contractors are classified as independent contractors responsible for all payroll taxes, workers' compensation, and unemployment insurance. Payment terms are governed by the Texas Prompt Payment Act with DPS retaining rights to withhold, offset, and deduct payments for non-compliance, audit findings, or debts owed to the state. The document was approved by the Office of the Governor on June 11, 2025, and represents the standard contractual terms binding all DPS vendors and contractors unless specifically modified in individual contract documents.
